                  AFFINITY MODELS & TALENT, INC.
     EXCLUSIVE CONTRACT BETWEEN ARTIST AND TALENT AGENCY

1. I agree to engage AFFINITY MODELS & TALENT, INC ("AGENCY") as my exclusive
   Talent Agent for Korea, Japan, China, Singapore, Taiwan, France, Britain, Germany, Italy,
   Spain and South America and to authorize said Talent Agent to act in my behalf.. I hereby
   employ you as my nonexclusive talent agency for a period of _____ years (not to exceed 7
   years) from date hereof to negotiate contracts for the rendition of my professional services as an
   artist, or otherwise, in the fields of motion pictures, legitimate stage, radio broadcasting,
   television and other fields of entertainment.

2. I hereby agree that you may advise, counsel, or direct me in the development and/or
   advancement of my professional career.

3. I hereby agree that you may render your services to others during the term hereof.

4. In the event that I do not obtain a bona-fide offer of employment from a responsible employer
   during a period of time in excess of four (4) consecutive months, during all of which said time I
   shall be ready, able, willing, and available to accept employment, either party hereto shall have
   the right to terminate this contract by notice in writing to that effect sent to the other by
   registered or certified mail.

5. Subject to my availability, you hereby agree to use all reasonable efforts to procure employment
   for me in the field or fields of endeavor specified in the contract in which you represent me.

6. As compensation for your said services agreed to be rendered hereunder, and in consideration of
   your efforts to assist me in finding union film or television extra-work, full-featured film and
   commercial work, AGENCY will receive a TEN PERCENT (10%) not to exceed maximum
   rate shown on fee schedule of all monies or things of value as and when received by me directly
   or indirectly, as compensation for my professional services rendered or agreed to be rendered
   during the term hereof under contracts, or any extensions, renewals, modifications, or
   substitutions thereof, entered into or negotiated during the term hereof and to pay the same to
   AGENCY thereafter for so long a time as I receive compensation on any such contracts,
   extensions, options, or renewals of said contracts; and for so long as AGENCY remain licensed.
   It is expressly understood that to be entitled to continue to receive the payment of compensation
   on the aforementioned contracts, after the termination of this agreement, AGENCY shall remain
   obligated to serve me and perform obligations with respect to said employment contracts or to
   extensions or renewals of said contracts or to any employment requiring my services on which
   such compensation is based.

7. As compensation for your said services agreed to be rendered hereunder, and in consideration of
   your efforts to assist me in finding non-union film or television extra-work, full-featured film
   and commercial work, AGENCY will receive TWENTY PERCENT (20%) not to exceed
   maximum rate shown on fee schedule of all monies or things of value as and when received by
   me directly or indirectly, as compensation for my professional services rendered or agreed to be
   rendered during the term hereof under contracts, or any extensions, renewals, modifications, or
   substitutions thereof, entered into or negotiated during the term hereof and to pay the same to
   AGENCY thereafter for so long a time as I receive compensation on any such contracts,
   extensions, options, or renewals of said contracts; and for so long as AGENCY remain licensed.
   It is expressly understood that to be entitled to continue to receive the payment of compensation
   on the aforementioned contracts, after the termination of this agreement, AGENCY shall remain
           obligated to serve me and perform obligations with respect to said employment contracts or to
           extensions or renewals of said contracts or to any employment requiring my services on which
           such compensation is based.

       8. In consideration of your efforts to assist me in finding non-theatrical, non-artistic contracts,
          AGENCY will receive TWENTY-FIVE PERCENT (25%) of all other fees received by me
          through or as a result of direct or indirect efforts of AGENCY. There will be certain non-
          theatrical, non-artistic assignments that will be paid a flat rate and the 25% fee will not apply.

       9. All fees listed above shall also apply on any additional employment or contracts with employers
          from whom I first received work through AGENCY I agree to refer any potential clients to
          AGENCY while working for clients referred to me by AGENCY

       10. I agree that all fees earned by me shall be paid directly to AGENCY, and that AGENCY is
           authorized to deduct its percentage before remitting payment to me. Should payment of a fee be
           sent to me directly, I agree to pay AGENCY its percentage as outlined above within 5 days of
           receipt.

       11. I further agree to cooperate with AGENCY by keeping it informed of my availability and to
           notify them of any emergency preventing prompt arrival.

       12. It is further agreed that any work performed by talent will be as an independent contractor and
           not as an employee. It is further agreed that AGENCY will not maintain any type of State or
           Federal tax for any payments made to talent. Talent agrees to be responsible for any tax
           liabilities on any and all moneys received through AGENCY.

       13. Controversies arising between us under the provisions of the California Labor Code relating to
           talent agencies and under the rules and regulations for the enforcement thereof shall be referred
           to a mutually agreed upon mediator. If it proves impossible to arrive at a mutually satisfactory
           solution through mediation, the parties agree to submit their dispute to binding arbitration under
           the rules of the American Arbitration Association. The Labor Commissioner or his authorized
           representative may attend these proceedings and will receive notice of these arbitration
           proceedings at least ten (10) working days in advance of said arbitration.

        14. You hereby agree to deliver to me an executed exact copy of this contract.

                             PUBLISHING AGREEMENT

Please read the following and sign your name at the bottom of this agreement. This
agreement must be returned to us within ten days.

I agree to let AFFINITY MODELS & TALENT, INC. ("AGENCY") have the right
to disseminate, reproduce, print and publish my name, likeness and biography in order to
secure the advantages of publicity for me and to promote my artistic career. This
includes, but is not limited to, portfolios, agency brochures, business cards, Internet, web
page or other electronic media advertising or other agency promotional materials.
Agency may grant such rights to others, provided however, that AGENCY shall in no
event grant permission to any person to use any direct endorsement by myself of any
product or service without my written consent.

AGENCY may open all correspondence intended for me which they receive, and may
answer any correspondence relating to my professional activities.
