BOARD COMMITTEE1 DESCRIPTIONS

Purpose of Committees:
Each committee is responsible for the overall direction and control of their organizational area.
Committees are composed of members of the Board, as well as staff and non-Board members as
appropriate.

If there is a need for an executive committee, it is composed of the Board Officers and Executive
Director, the Executive Committee acts between Board meetings if immediate decisions are needed, and
clarifies issues to be brought to the full Board for discussion and action.


Finance Committee
   Prepares a yearly budget for Board approval.
   Approves the allocations of funds and payment of bills.
   Ensures the preparation of accurate, timely financial reports, and reviews such reports with the
    Board to explain budget deviations and make recommendations.
   Reviews budgets of special projects or committees as appropriate.
   Reviews on an annual basis, the sources of funding for the organization.
   Arranges for an annual audit of the financial operations and reports results of the audit to the
    Board.
   Recommends to the Board the investment or disposition of funds and reports to the Board on a
    regular basis the conditions of such investments.
   Sees to the preparation of all tax forms and licenses as required by law.


Board Development/Governance Committee
   Analyzes current Board and identifies areas of strength and weakness, considering technical skills
    and personal talents needed to complement Board diversity.
   Reviews job descriptions and committee charges.
   Coordinates recruitment of new Board members for nomination, including interviewing prospective
    Board members and preparing a slate of candidates for Board nomination.
   Develops and coordinates a Board orientation program.
   Assists other Board committees with recruitment of volunteers and non-Board members.
   Evaluates nominating process, orientation program and Board development needs.

Personnel Committee
   Recommends and oversees Executive Director evaluation process.
   Coordinates revision of personnel policy manual including job requirements, vacations, time off,
    salary scales, etc.
   Keeps Board informed regarding legislative issues concerning labor laws or related issues.
   When needed, serve as court of staff grievances.


Planning & Evaluation Committee
   Organizes and assures implementation of strategic planning process.
   Coordinates the regular review and revision of strategic plan with Board, committees and Executive
    Director.
   Assures the creation of evaluation processes for the organization's programs.
   Makes recommendations concerning the expansion, maintenance or curtailment of programs.


Resource Development Committee
   Prepares and oversees the implementation of an annual fundraising/resource development plan.
    The plan should include a diversified funding mix of special events, membership, direct mail and
    special program funding from individuals, community groups, corporations and foundations.
   Oversees the development of special fundraising programs for capital, planned giving and
    endowment programs.
   With Board President, clearly assigns Board fundraising tasks, and organizes Board for fundraising
    activities. Recommends fundraising subcommittee formation as needed.
   Arranges for Board training and development in the area of fundraising.
