1.0 INTRODUCTION AND PURPOSE
1.1 DESCRIPTION AND PURPOSE OF THE REQUEST FOR BIDS
The State of Wisconsin, Department of Administration, Consolidated Agency Purchasing
Services, on behalf of the Division of State Facilities, requests bids for Real Estate
Brokerage and Marketing Services.
The purpose of this document is to provide interested parties with information to enable
them to prepare and submit a bid response.
1.2 SCOPE OF PROJECT
The Department of Administration, Division of State Facilities has a need to contract for
Real Estate Brokerage and Marketing Services to sell two state owned properties. First
property is the former Department of Natural Resources Facility, 1125 North Military Ave.,
Village of Howard, Brown County and the second is 22 acres of land in the Grant
Williams sub-division in the town of Lawrence, Brown County, formerly owned by the
Department of Transportation.
The sale of each property shall be contingent on the approval of the State Building
Commission.

22.8 acres along Highway 41 located in the Town of Lawrence in Brown County, WI
formally the old wayside. There are 2.3 acres of low wetlands, wooded land and ridge

1.4 CONTRACT TERM AND RENEWAL:
This RFB document and the awarded bidder’s response information shall become part of
the Contract.
This contract will be for a (1) year period. The contract shall be effective on the date
indicated on the purchase order or the contract execution date. This contract will be for a
one (1) year period with the option to renew for one (1) additional one-year period by
mutual agreement of the State and the Contractor.
The Contractor may not cancel this Contract during the Contract period without the
written approval of the Department.
As required by Wisconsin State Statutes, this Agreement must include the following
provision: Continuance of this Contract beyond the limits of funds available shall be
contingent upon appropriation of the necessary funds, and the termination of this
Contract by lack of appropriations shall be without penalty.
In the event of Contract award, the definitive Contract will constitute the entire agreement
of the parties and will supersede any representations, commitments, conditions, or
agreements made orally or in writing prior to execution of the Contract(or)
Commission rates must remain firm for the initial contract term. Prices established may
be lowered due to changes in the real estate market conditions or negotiations between
the Contractor and the Division of State Facilities.
1.5 CANCELLATION AND TERMINATION:
The State reserves the right to cancel the resulting contract/agreement, for any reason,
by giving written notice to Contractor of such cancellation and specifying the effective
date thereof, at least ten (10) days before the effective date of such cancellation.
Contractor shall, in the event of such cancellation, be entitled to receive compensation for
any work accepted hereunder in accordance with the State's order(s). Contractor may
also be compensated for partially completed work in the event of such cancellation. The
compensation for such partially completed work shall be no more than the percentage of
completion of each work effort, as determined in the sole discretion of the State, times
the corresponding payment for completion of such work as set forth in the State's
order(s).
The agency may terminate the Contract at any time at its sole discretion by delivering 30
days written notice to the Contractor. Upon termination, the agency's liability will be
limited to the pro rata cost of the services performed as of the date of termination plus
expenses incurred with the prior written approval of the agency. In the event that the
Contractor terminates the Contract, for any reason whatsoever, it will refund to the
agency within 15 days of said termination, all payments made hereunder by the agency
to the Contractor for work not completed or not accepted by the agency. Such
termination will require written notice to that effect to be delivered by the Contractor to the
agency not less than 180 days prior to said termination.
Upon cancellation, termination or other expiration of the resulting contract/agreement,
each party shall forthwith return to the other all papers, materials, and other properties of
the other held by each for purposes of execution of the contract/agreement. In addition,
each party will assist the other party in the orderly termination of this contract/agreement
and the transfer of all aspects hereof, tangible or intangible, as may be necessary for the
orderly, nondisruptive business continuation of each party.

2.0 BIDDER QUALIFICATIONS
2.1 MANDATORY REQUIREMENTS
Before the award of any Contract, the Procuring Agency shall be satisfied that the bidder
has sufficient qualified resources available for performing the work described in this bid
and the Contractor meets the following mandatory requirements. It is the bidder’s
responsibility to acquaint the purchasing agent with these qualifications by submitting
appropriate documentation or through the references.
To be eligible for an award, bidder must be qualified and able to provide the following as
required or the bid response may not be considered.
2.1.1 The real estate firm and agent shall be licensed to buy and sell real estate in
the State of Wisconsin.
2.1.2The real estate firm and agent shall have been in business for a minimum of 5
years.
2.1.3 The agent assigned shall have sold a minimum of two commercial properties
with sale prices of $500,000 each.
2.1.4 The enclosed Vendor Reference form must be completed and returned with
your bid response. It should contain references for all properties sold that meet or
are similar in nature to the properties identified in this document.
2.1.5 Marketing plans must be enclosed for all properties sold that meet the above
requirements. Confidential client information may be removed from those plans. The
plans must include the advertising plan for the local metro newspaper (Milwaukee
Journal Sentinel) as well as other advertising media used and the frequency used.
The plans must be appropriate for the commercial property market.
2.1.6 Maintains a permanent place of business.
2.1.7 In carrying out the scope of this Contract, the Contractor shall be required to
perform services on State property. Bidders commission cost must include all
transportation, insurance charges and marketing costs.
2.1.8 The contractor is required to maintain insurance in compliance with Standard
Terms and Conditions (DOA-3054).
2.2 INVOICE PAYMENT:
Payment will not be made until the service is determined to meet all specifications and
has been accepted by the State of Wisconsin.
2.3 RECORDKEEPING AND RECORD RETENTION
The agency shall have the right to audit, review, examine, copy, and transcribe any
pertinent records or documents relating to any Contract resulting from this RFB held by
the Contractor. The Contractor will retain all documents applicable to the Contract for a
period of not less than three (3) years after final payment is made.
3.0 BID PROCESS, PROCEDURES AND INSTRUCTIONS

3.2 VENDOR REGISTRATION:
Only vendors registered with the State of Wisconsin’s VendorNet will receive future
official notices for this service/commodity. The State of Wisconsin’s purchasing
information and vendor notification service is available to all businesses and
organizations that want to sell to the state. Anyone may access VendorNet on the

All communication on all matters and all questions regarding this bid must refer to

In the event that it becomes necessary to provide additional clarifying data or information,
or to revise any part of this RFB, supplements or revisions will be posted on VendorNet.

3.5 VENDOR CONFERENCE
A Vendor Conference will be held at 10:30 am on February 19, 2009 at the Department
of Natural Resources Facility, 1125 North Military Ave., Village of Howard, Brown County,

to respond to questions and to provide any additional instruction to bidders on the
submission of their bid. All vendors who intend to respond to the RFB MUST plan on
attending the Vendor Conference.
If no questions are received the State reserves the right to cancel the bidder conference.
3.6 SITE VISIT
There will be a tour of Property #1, the DNR Facility, following the vendor conference.
There will not be a site visit of Property #2 (22.8 acres along Highway 41, located in the
Town of Lawrence, in Brown County.) It is strongly encouraged that the Bidder inspects
Property #2 prior to submitting a bid to determine all requirements associated with the
contract. Failure to visit the sites will in no way relieve the successful Bidder from the
necessity of providing, without additional costs to the Department, all necessary services
that may be required to carry out the intent of the resulting contract.

3.7 SUBMITTING A BID
Bidders must submit an original signed bid, marked as such, and three (3) copies of all
materials required for acceptance of their bid by the deadline shown on the Request for

3.10 FORMAT OF BID
Bidders responding to this RFB must comply with the following format requirements:
a) Signed Request for Bid Sheet: Include the signed Request for Bid sheet included with
the bid and those certifications required for submittal of a bid. Bids submitted in response
to this RFB must be signed by the person in the vendor's organization who is responsible

for the decision as to the prices being offered in the bid or by a person who has been
authorized in writing to act as agent for the person responsible for the decision on prices.
By submitting a signed bid, the vendor's signatories certify that in connection with this
procurement: (a) the vendor's organization or an agent of the vendor's organization has
arrived at the prices in its bid without consultation, communication or agreement with any
other respondent or with any competitor for the purpose of restricting competition, (b) the
prices quoted in the bid have not been knowingly disclosed by the vendor's organization
or by any agent of the vendor's organization and will not be knowingly disclosed by same,
directly or indirectly, to any other respondent or to any competitor, and (c) no attempt has
been made or will be made by the vendor's organization or by any agent of the vendor's
organization to induce any other person or firm to submit or not to submit a bid for the
purpose of restricting competition.
(b) State of Wisconsin Terms and Conditions: These standard and supplemental terms
and conditions shall govern this proposal and subsequent award. Vendors must accept
these terms and conditions or submit point-by-point exceptions along with proposed
alternative or additional language for each point, including any vendor contracts.
Submission of any standard vendor contracts as a substitute for language in the
terms and conditions is not a sufficient response to this requirement and may
result in rejection of the vendor's proposal. The State reserves the right to negotiate
contractual terms and conditions other than those in the State of Wisconsin Contract
when it is in the best interest of the State to do so.
(c) Additional Information: Include the completed Vendor Information Sheet and Vendor
Reference Sheet and any other forms required in the bid. Include all additional
information that will be essential to an understanding of the bid. This might include
diagrams, excerpts from manuals, or other explanatory documentation that would clarify
and/or substantiate the bid document.
(d) Cost Information: Provide cost information on the cost sheets included in this RFB.
All costs for furnishing the service(s) included in the bid in accordance with the terms and
conditions in this RFB must be included in the prices quoted.
3.11 MULTIPLE BIDS
Multiple bids from a bidder will be permissible; however each bid must conform fully to
the requirements for bid submission. Each such bid must be separately submitted and
labeled as Bid #1, Bid #2, etc. on each page included in the response.
3.12 INCURRING COSTS
The State of Wisconsin is not liable for any cost incurred by a bidder in the process of
responding to this RFB.
3.13 NEWS RELEASES:
News releases pertaining to the RFB or to the acceptance, rejection, or evaluation of bids
shall not be made without the prior written approval of the State.
4.0 BID ACCEPTANCE, REVIEW AND AWARD
4.1 METHOD OF BID:
Bidder must submit a Brokerage Firm Sales Commission Percentage for the marketing,
showing and sales of either one or both properties on the attached cost sheet. Prices
listed must be in US dollars unless otherwise indicated

4.2 METHOD OF AWARD:
The award shall be made on the basis of the lowest responsive, responsible bidder
submitting the lowest Brokerage Firm Sales Commission Percentage for the marketing,
showing and sales of either one or both properties as identified in this Request for Bid
document.
4.3 BID OPENING:

Bids will be opened on 2:00 pm on March 6, 2009 at 101 East Wilson St., 9 Floor,
Madison, WI. Names of the bidders may be read aloud at that time.
4.4 BID ACCEPTANCE:
Bids which do not comply with mandatory requirements or are unable to comply with
specifications contained in this RFB may be rejected by the State. The State retains the
right to accept or reject any or all bids, or accept or reject any part of a bid deemed to be
in the best interest of the State. The State shall be the sole judge as to compliance with
the instructions contained in this RFB.
4.5 BID REVIEW:
Bids will be reviewed to verify that they will meet all specified requirements in this RFB.
This verification may include requesting reports on the bidder's financial stability,
conducting demonstrations of the bidder's proposed products(s) and/or service(s), and
reviewing results of past awards to the bidder by the State of Wisconsin.
4.6 MINORITY PREFERENCE:
The State of Wisconsin is committed to the promotion of minority business in the State’s
purchasing program and a goal of placing 5% of its total purchasing dollars with certified
minority businesses. Authority for this program is found in ss. 15.10(2), 16.75(4),
16.75(5) and 560.03(2), Wisconsin Statutes. The contracting Agency is committed to the
promotion of minority business in the State’s purchasing program.
Bids from certified Minority Business Enterprises may have points weighted by a factor of
1.00 to 1.05 to provide up to a five percent (5%) preference to these businesses.
4.7 NOTIFICATION OF AWARD:
All bidders who respond to this RFB with a bid shall be notified in writing of the State's
intent to the contract(s) as a result of this RFB.
4.8 APPEALS PROCESS:
The appeals procedure applies to only those requests for bids that are greater than
$25,000. Notices of intent to protest must be made in writing. Protestors should make
their protests as specific as possible and shall identify statutes and Wisconsin
Administrative Code provisions that are alleged to have been violated.

and received in his/her office no later than five (5) working days after the notices of intent
to award are issued.
The written protest must be received in his/her office no later than ten (10) working days
after the notices of intent to award are issued.
The decision of the head of the procuring Agency may be appealed to the Secretary of
the Department of Administration within five (5) working days of issuance, with a copy of
such appeal filed with the procuring Agency, and provided the appeal alleges a violation
of a statute or a provision of the Wisconsin Administrative Code.
4.9 LIQUIDATED DAMAGES:
Both parties acknowledge that it can be difficult to ascertain actual damages when a
Contractor fails to carry out the responsibilities of the Contract. Because of that, the
Contractor acknowledges that for the Contract resulting from this RFB, it will negotiate
liquidated damages, as required by the State, for the Contract. The Contractor agrees
that the Agency shall have the right to liquidate such damages, through deduction from
the Contractor's invoices, in the amount equal to the damages incurred, or by direct
billing to the Contractor.
5.0 TECHNICAL SPECIFICATIONS
All requirements in this section are mandatory. Conditions of bid that include the word
“must” or “shall” describe a mandatory requirement. FAILURE TO MEET A
MANDATORY REQUIREMENT SHALL DISQUALIFY THE BID. All specifications are
defined as mandatory minimum requirements unless otherwise stated. If no bidder is
able to comply with a given specification or condition of bid, the State reserves the right
to delete that specification or condition of bid
5.1 The Contractor shall provide sufficient personnel with adequate training, licensing,
and certifications to perform all tasks per specifications as applicable to each site being
maintained.
5.2 The agent must have access to on line resources such as the Multiple Listing
Service or equivalent.
5.3 The agent must have access to a company-owned, publicly accessible web site
having the capability to post and display photographs of the property and related
marketing information. The agent should list which web sites will be used.
5.4 The agent must be available to show the properties to prospective buyers upon
request.
5.5 EMPLOYER-EMPLOYEE RELATIONSHIP
The successful vendor agrees that they are an independent Contractor doing business
with the State of Wisconsin and shall comply with all applicable federal, state and local
laws regarding working conditions, hours of employment, overtime regulations, methods
and rates of payment and any other regulation regarding employer-employee
relationship.
6.0 COST INFORMATION
Bidders are to submit Sales Commission Percentage for each property on the attached
cost sheets.

8.0 TERMS AND CONDITIONS
PRIME CONTRACTOR AND MINORITY BUSINESS SUBCONTRACTORS:
The prime Contractor will be responsible for Contract performance when subcontractors
are used. However, when subcontractors are used, they must abide by all terms and
conditions of the contract. If subcontractors are to be used, the bidder must clearly
explain their participation.
The State of Wisconsin’s policy provides that minority owned business enterprises
certified by the Wisconsin Department of Commerce, Bureau of Minority Development
should have the maximum opportunity to participate in the performance of its contracts.
The Contractor is strongly urged to use due diligence to further this policy by awarding
subcontracts to minority owned business enterprises, or by using such enterprises to
provide goods and services incidental to this requested service or contract, with a goal of
awarding at least 5% of the award amount of this request for bid to such enterprises.
Upon request the awarded bidder shall furnish a subcontracting plan of action
indicating appropriate information about its effort to achieve this goal, including identities
of such enterprises certified by the Wisconsin Department of Commerce and their
subcontract amount. The Division of State Facilities will require from the Contractor a
quarterly report of amounts spent with certified minority business enterprises.
