                                 This incentive is available only to IBM Distributors, IBM Solution Providers who acquire products directly from
     Contact PartnerWorld        IBM, and IBM Systems Integrators.

                                 IBM is making this incentive viewable by Solution Providers who acquire IBM products from IBM Business
                                 Partner -- Distributors in order to provide them with direct access to the processes their Distributor may require
                                 them to execute.

                                 If eligible IBM Business Partners acquire, for an End User*, eligible new IBM Power Systems products for
                                 installation as a new system, or Miscellaneous Equipment Specification (MES) upgrade to an existing system, in
                                 conjunction with the new sale of a qualifying new software solution or service under one of the following IBM-
                                 approved Value Added Enhancements (VAEs):

                                        any Application category VAE (Axxx)
                                        the following selected Cross Industry Technology category VAEs:

                                                High Availability Backup Recovery (T057)
                                                Lotus ® Domino ® (T002)
                                                SAN Solution (T047)

                                                 System p Server Consolidation (T007)
                                                 Technology ISV Solutions (T021)

                                 they can receive an additional discount off the IBM Single Unit Purchase Price (SUPP) and One-Time Charge
                                 (OTC) of the eligible new IBM Power Systems products they acquire.

                                 The amount of the additional discount depends upon how IBM has identified the End-User location. End-User
                                 locations identified as General Business Mid-Market qualify for a greater additional discount.

                                 In order to qualify, the End-User invoice amount for the qualifying new software or service solution sold must
                                 meet the following criteria:

                                         the End-User invoice amount for a qualifying new software solution (which may also include associated
                                         software services in addition to the software application) sold under the IBM-approved Application
                                         Category VAE must be equal to at least 10% of the total IBM SUPP of the eligible new IBM Power
                                         Systems hardware products acquired, or $100,000 USD ($121,070 CAD), whichever is lower.
                                         the End-User invoice amount for a qualifying new software or service solution sold under the IBM-
                                         approved Cross Industry Technology VAE must meet the Billed Value Measurement requirements
                                         defined in the IBM North America VAE marketing requirements guide.

                                 Note: End-User invoices for the qualifying new software solution or service sold under the IBM-approved VAE
                                 need not be generated by the IBM Business Partner who acquires the eligible new IBM Power Systems
                                 products for sale to the End User.

                                 Unless specifically overridden by the terms of this announcement, all IBM VAE marketing requirements apply.

                                 For a list of eligible new Power Systems products and qualifying new software solutions and services under an
                                 IBM-approved VAE, refer to the Qualifying/Eligible products section.

                                 Start and/or end dates

                                 Special bid requests for the eligible products must be received by IBM on or after August 18, 2009.

                                 End-User invoices for the qualifying new software solutions must have a date that is no more than 3 months
                                 before or 6 months after the IBM invoice date of the eligible hardware.

                                 Who is eligible?
                                 The following IBM Business Partners are eligible for this incentive:

                                         Distributors
                                         Solution Providers who acquire products directly from IBM
                                         Systems Integrators

                                 IBM Business Partner -- Distributors are responsible for making their IBM Business Partner -- Solution Providers
                                 aware of this incentive.

                                 Discounts under this incentive will be provided by IBM to the Distributors and not to their Solution Providers.
                                 IBM Distributors will determine the benefit their IBM Solution Providers will receive and may use this incentive
                                 funding with their Solution Providers to drive sales into the targeted growth areas.

                                 IBM Business Partners when marketing under the Solution Provider -- Complementary Marketing or Systems
                                 Integrator -- Complementary Marketing terms are not eligible for this incentive.

                                 Where is it available?
                                 This incentive is available only in:
                                         the United States and its territories
                                         Canada

                                 This incentive is not available in the IBM - Caribbean North District.

                                 Contact your authorized IBM Distributor for the list of eligible IBM Power Systems products.


                                 Qualifying new software solutions and services#

                                 All qualifying new software solutions and services under the following IBM-approved VAEs:

                                        any Application category VAE (Axxx), and
                                        the following selected Cross Industry Technology category VAEs:

                                                High Availability Backup Recovery (T057)
                                                Lotus Domino (T002)
                                                SAN Solution (T047)
                                                System i Server Consolidation (T069)

                                        Select a Country and click Go.
                                        On the introduction page under Membership, click "Member sign-in".
                                        Enter your IBM ID and password.
                                        Under Product shortcuts, click BP Library.
                                        In the Library category drop down, click Operations Library. In the Keywords: box, enter VAE, click
                                        Submit.
                                        Under the Operations Library, click "VAE -- Approved ISV Solutions for IBM Power Systems with IBM i
                                        North America Value Added Enhancements", or "VAE -- Approved ISV Solutions for IBM Power Systems
                                        with AIX ® North America Value Added Enhancements", "VAE -- Descriptions for North America Value
                                        Added Enhancements on IBM Power Systems", as appropriate.

                                 # In order to qualify for the additional discount, the qualifying software solution or service must be approved as
                                 a VAE on your IBM Business Partner Agreement and be the VAE used for the transaction. For example, if you
                                 are selling a qualifying Domino server solution, you must have the Lotus Domino VAE approved by product on
                                 your IBM Business Partner Agreement.

                                 Additional information/conditions
                                 IBM's Business Partner Agreement Compliance team, managed by Maurine Engel, will periodically audit the
                                 IBM Business Partner's compliance with the terms and conditions of this incentive and associated IBM VAE
                                 marketing requirements. For information regarding IBM VAE marketing requirements, refer to the "VAE -
                                 Marketing Requirements for North America Value Added Enhancements on IBM Power Systems" document
                                 located under the Operations Library category in BP Library.

                                 IBM Business Partners are expected to have documented evidence to support their sale of the eligible Power
                                 Systems products in conjunction with the new sale of a qualifying new solution or service under a selected IBM-
                                 approved VAE. Business Partners who misrepresent their solution sale under the terms of this incentive will be
                                 subject to compliance violations, restitution, and possible termination of their IBM Business Partner Agreement.

                                 IBM may also perform pre-sales audits during the special bid process against any transactions for which the
                                 additional discount is being requested.

                                 Products acquired for IBM Business Partner internal use or for demonstration or development use do not qualify
                                 for additional discounts under the terms of this incentive.

                                 In Canada, you are responsible for all applicable taxes such as Goods and Services Tax (GST), Provincial
                                 Sales Tax (PST), Quebec Sales Tax (QST), and other sales or value-added taxes which are extra.

                                 This incentive is subject to the terms and conditions of any applicable Agreements.


                                 General Business Mid-Market customer eligibility

                                 Early in the sales cycle, and prior to using the General Business Mid-Market qualification approval process, IBM
                                 Business Partners can determine if IBM classifies an End-User location as a Mid-Market customer by utilizing
                                 the General Business query tool.

                                 IBM will be the sole determiner of an End User's classification as a General Business Mid-Market customer. End
                                 Users are classified as General Business Mid-Market at the End-User location level (single building with a single
                                 mailing address). For example, an End User classified as General Business Mid-Market in one location does not
                                 guarantee that all locations within the End-User Enterprise are similarly classified. General Business Mid-Market
                                 customer classifications apply to a single End-User location only.

                                 General Business Mid-Market qualification approval process

                                 In order to receive the Mid-Market additional discount, IBM Business Partners must apply for, and receive, a
                                 Mid-Market qualification approval number.

                                 Mid-Market qualification approval numbers are valid only for the End-User location for which they are issued.
                                 They may not be used as approval for any other End-User location within an End-User Enterprise.

                                 Unless advised otherwise by their Distributors, Solution Providers who acquire their IBM products from an IBM
                                 Distributor should complete the PSQUAL Qualification form. The appropriate qualification approval number will
                                 be provided by IBM to the requesting Solution Provider or Distributor.

                                 Business Partners can submit requests for approval by visiting the following Web site:

                                        click "Sign In" in the "Already an IBM Partner" section to enter your PartnerInfo ID
                                        select Forms from the "Forms and Agreements" category
                                        select PSQUAL -- Power Systems BP Incentive qualification form
                                        check the box to request a General Business Large Enterprise/General Business Mid-Market check
                                        complete the form in its entirety, name the form (for example, End User name), and click "save as new"
                                        go into "saved forms," open the form, and click "submit"

                                 Incomplete forms will not be accepted. The "saved forms" function also provides the ability to view forms
                                 previously sent.

                                 Qualification approval forms will be processed and responded to within three U.S. business days of their receipt.

                                 Mid-Market qualification approval numbers must be used in the special bid process in order to receive the
                                 associated incentive discount.

                                        those issued prior to April 7, 2009 will expire on December 31, 2010
                                        those issued on or after April 7, 2009 will expire 24 months after date of issue

                                 If an End-User location is reclassified by IBM such that it is no longer defined as a Mid-Market customer,
                                 associated Mid-Market qualification approval numbers will expire on the date of the IBM reclassification.


                                 Special bid process

                                 To certify opportunity development activity and request the additional discount, IBM Solution Providers who
                                 acquire their products directly from IBM, IBM Systems Integrators, and Solution Providers who acquire their
                                 products from an IBM Distributor must submit a special bid request using ePricer.

                                 Business Partners can submit special bid requests by visiting the following Web site:

                                        select Create a Quote
                                        complete all mandatory fields as appropriate for the End-User opportunity including the following:

                                                indicate the appropriate VAE in the VAE field.
                                                select the appropriate Special Bid Code from the drop down menu. For a description of the
                                                available Special Bid Codes, refer to the Unique Special Bid Codes publication.
                                                in the Certification Form section, select "yes" to confirm the certification terms as presented.
                                                submit Bid in order to complete the special bid and additional discount request process.

                                 It is IBM's intent that special bid requests will be processed and responded to within two U.S. business days of
                                 their receipt. IBM Business Partners will receive a Special Bid Addendum with a special bid number that will
                                 provide the special contract number required when ordering the eligible products. The special contract number
                                 will generate the additional discount provided by this incentive.

                                 The Special Bid Addendum will have an expiration date on it. After that time, the Special Bid Addendum will no
                                 longer be valid. If the opportunity has not culminated in a sale and shipment to the End User prior to the
                                 expiration of the Special Bid Addendum, the Business Partner will need to submit a new special bid request in
                                 order to be eligible for this incentive.

                                 IBM Business Partners must comply with the terms and conditions of the Special Bid Code descriptions listed in
                                 the Unique Special Bid Codes publication located in the Operations Library section of the BP Library in
                                 PartnerWorld.


                                 Ordering information

                                 When ordering eligible products under the terms of this incentive, follow normal ordering procedures and use
                                 the special contract number provided in the Special Bid Addendum. The special contract number will generate
                                 the additional discount provided by this incentive.

                                 In Canada, orders are to be submitted to your Customer Support Representative (CSR) within IBM Business
                                 Partner Support Operations (BPSO).


                                 Can this offer be combined?

                                 For information on combining special bid codes, refer to the Unique Special Bid Codes publication located in the
                                 Operations Library section of the BP Library in PartnerWorld.
