TALENT AGENCY AGREEMENT
THIS AGREEMENT is entered into this day of , 20 , by and between , hereinafter referred to ,
as the "Artist", whose principal office is located at , and hereinafter referred to as "Agent", whose principal office is located at . WITNESSETH: WHEREAS, the Artist is engaged in the operation of ; and
WHEREAS, Agent has knowledge and experience in the business of talent promotion and development; and WHEREAS, the Artist desires to enter into this Agreement with Agent, providing, among other things, for Agent's services to the Artist; and WHEREAS, Agent desires to enter into this Agreement with respect to services to the Artist upon the terms and conditions hereinafter set forth. NOW, THEREFORE, for and in consideration of the foregoing and of the terms and conditions herein set forth, the parties do agree as follows: 1. All "WHEREAS" clauses set out hereinabove are hereinafter incorporated by reference. 2. The Artist shall retain Agent and Agent will assist the Artist upon the terms and conditions aforesaid and hereinafter set forth. 3. Term. The term of this Agreement shall commence on the day of , 20 , and terminate on the day of , 20 , unless terminated prior to that date as set out hereafter. 4. Duties. During the period of this Agreement, Agent shall have the full and complete obligation and responsibility for the performance of the duties and/or work described in the attached Exhibit "A" for the Artist, and Agent shall be obligated to the Artist for the performance of all such duties and/or work. During the period hereof, Agent shall assist the Artist and shall perform any and all services required or requested in connection with the Artist's abilities. Within the limitations herein provided, Agent will render such services of an advisor nature as may be requested from time to time by the Artist. 5. Responsibilities of Artist. During the period of this Agreement, the Artist shall have the full and complete obligation and responsibility to provide the performance of the duties and/or work described in the attached Exhibit "B". 6. Time Requirements. Agent shall devote, during the term of this Agreement, such amount of its time, energy, and skill as are necessary, in Agent's sole discretion, for the performance of its duties hereunder. 7. Financial Guarantee. The Artist shall pay Agent ( %) percent for the gross compensation earned or received by the Artist for, or in connection with, any contracts for, or engagements of, the Artist's services negotiated or entered into during the term, including, but not limited to, all gross compensation from such services, that is earned or received by the Artist or by Agent on behalf of the Artist, or becomes due and payable to the Artist or to Agent on behalf of the Artist, after the expiration of the term, and for, substitutions, supplements, replacements, or extensions of or to such services, whether negotiated or entered into during or after the term. As used herein, the term "gross compensation" shall mean all gross base salary and does not include royalties, bonuses, and shares of profits or gross receipts. 8. Relation to the Parties. Agent is retained by the Artist only for the purposes and to the extent set forth in
this Agreement and Agent's relationship to the Artist shall, during the term of this Agreement, be that of an Independent Contractor. The Artist shall not withhold from sums becoming payable to Agent hereunder any amounts of State or Federal Income Tax, or for FICA (Social Security) Taxes.
