                                  Arby‟s Restaurant Group, Inc.

Hala Moddelmog, President of Arby's Restaurant Group, Inc., is a seasoned restaurant industry
executive, who has extensive experience leading successful, high performance organizations.

Named Arby‟s President in May 2010, Moddelmog's leadership background includes service from
2006-2009 as President and Chief Executive Officer of Susan G. Komen for the Cure, the world‟s
largest grassroots network working to eradicate breast cancer. Previously, Moddelmog served as
President of Church‟s Chicken from 1995-2004, where she led the re-imaging of the brand and
drove record sales and profit growth. Prior to leading the brand as president, she served as
Church‟s Vice President of Marketing. Moddelmog is very familiar with Arby‟s, having started
her business career as a Market Research Manager for the AFA Service Corporation ("AFA"),
which is Arby's franchise marketing association, from 1981-1984. She later returned to the AFA
in the early 1990‟s as Vice President Product Development and Strategic Planning.

Today, Moddelmog is responsible for leading the turnaround of Arby‟s business, including
repositioning the brand and growing sales and profits.

Moddelmog earned a M.A. in Journalism and Mass Communications from the University of
Georgia and a B.A. in English from Georgia Southern University. She has attended executive
education programs at Harvard University and Northwestern University's Kellogg Graduate
School of Management, and has received the National Association of Corporate Directors'
(NACD) certification. She also has served on multiple public, private, advisory and non-profit
boards and is currently a director of AMERIGROUP Corporation (NYSE: AGP). She is the
recipient of numerous awards, including an Honorary Doctorate of Letters from Georgia
Southern University.

                                         George Condos
                                      Chief Operating Officer
                                   Arby‟s Restaurant Group, Inc.

George Condos is Chief Operating Officer of Arby‟s Restaurant Group, Inc. (ARG). Condos has more
than 30 years of restaurant experience primarily with Dunkin Brands where he held positions of Vice
President of Marketing, Development and Operations as well as SVP and Brand Officer of Dunkin
Donuts until 2006. He was also the Chief Executive Officer of Friendly‟s Ice Cream where he led the
sale of the company to Sun Capital Partners in 2007. Additionally he returned to a newly acquired Sun
Capital portfolio company, Bar Louie Restaurants as its interim CEO in 2010.
As Chief Operating Officer, Condos is responsible for the restaurant operations of all Arby‟s franchised
and company restaurants, as well as improving the customer experience through exceptional,
welcoming service.

Condos graduated from the University of Vermont with a Bachelor‟s of Science degree in Business
Administration. He is a former member of the U.S. Air Force Chief of Staff‟s Civic Leaders Council
and is a licensed Merchant Marine Captain.

Condos and his wife, Laurie, have two daughters, one a recent college graduate and the other attending
Wake Forest University.


                                             Russ Klein
                                       Chief Marketing Officer

Russ Klein serves as the Chief Marketing Officer for Arby‟s Restaurant Group, Inc. (ARG), the second
largest quick-service sandwich chain in the U.S. with more than 3,600 restaurants system-wide. Founded
in 1964, Arby‟s is known for its classic Roast Beef and Beef „n Cheddar sandwiches, slow-roasted and
thinly sliced in-store daily, in addition to its deli-style Market Fresh® line of sandwiches and salads,
premium Angus sandwiches, Curly Fries and Jamocha Shakes.

Klein brings a 25-year track record of marketing management, brand turnarounds and value creation at
Burger King, 7-Eleven, Dr Pepper, 7-Up and other brands.

Over the course of his career, Klein has launched new brands, repositioned existing brands and brought
“talked about” ideas to the marketplace. He has been publically acknowledged by numerous “Top
Marketer” lists spanning three decades, including “Top 100 Marketer” by Advertising Age and “Marketer
of the Year” twice by Brand Week.

As Chief Marketing Officer, Klein leads all strategic brand marketing efforts, including product
development, brand and field marketing, advertising, media, corporate communications, public relations,
consumer insights and research.

Klein is a graduate of Harvard Business School Advanced Management Program and earned a BS in
Business Administration from The Ohio State University, where he is a recipient of the Max Fisher College
of Business Distinguished Alumnus Award.

                                            Nils Okeson
                           General Counsel and Chief Development Officer
                                   Arby‟s Restaurant Group, Inc.

Nils Okeson serves as General Counsel and Chief Development Officer for Arby‟s Restaurant Group,
Inc. (ARG).

Okeson originally joined Arby‟s in 2005 with more than 15 years of experience in securities regulation,
mergers and acquisitions, and corporate governance. His expertise with SEC reporting and
compliance, Sarbanes-Oxley, and legal team building makes Okeson a well-qualified leader of Arby‟s
legal team.

In his current role, Okeson directs ARG‟s legal functions, including providing legal counsel for mergers
and acquisitions, securities regulation, finance, real estate, advertising and intellectual property,
corporate governance, and franchising. He also leads the development team, which includes
architecture and design, franchise development, real estate and construction.

Prior to Arby‟s, Okeson was a partner in the Atlanta office of Alston & Bird, LLP, where he co-
chaired the law firm‟s Corporate Governance Practice Quality Team and was past co-chair of its
Securities Practice Quality Team. While at Alston & Bird, he specialized in representing both issuers
and underwriters in numerous public offerings of equity, debt, and convertible debt securities. He also
focused on representing buyers and sellers in numerous M&A transactions involving both public and
private companies and served as an Advisory Board member of the Weinberg Center for Corporate
Governance at the University of Delaware.

In October 2005, he was named a “2005 Georgia Rising Star” in Atlanta magazine and Georgia Super
Lawyers – Rising Stars Edition. He is listed in Best Lawyers in America and Chambers USA,
America‟s Leading Lawyers for Business.

Okeson earned his Juris Doctor degree and Bachelor of Arts degree, with distinction, from the
University of Virginia. He is a member of the American Bar Association, State Bar of Georgia, and the
Atlanta Bar Association.


                                           Melissa Strait
                      Senior Vice President of HR and Leadership Development
                                   Arby‟s Restaurant Group, Inc.

Melissa Strait is Senior Vice President of HR, Training and Development of Arby‟s Restaurant Group,
Inc. (ARG).

Strait began her 27-year tenure with Arby‟s behind the counter of a restaurant in 1984 to work her way
through college. She progressed from there to become a director of training in 1995, vice president of
training and development in 2000, vice president of human resources, training and development in
2002 and to senior vice president of training and development in 2004.

With the purchase of Wendy‟s International on September 30, 2008, Strait was named Senior Vice
President of HR, Training & Development for the Arby‟s brand.

In her current role as Senior Vice President, Strait is responsible for leadership development and
organizational development, as well as the human resources functions for Arby‟s company operations.

Strait is originally from Muskegon, Michigan and she graduated from Hope College with a bachelor‟s
of arts in psychology. In her free time, she enjoys spending time with her husband, David, and
watching her children, Michael and Andrew, play youth sports.


                                           David Pipes
                                      Chief Financial Officer
                                   Arby‟s Restaurant Group, Inc.

Pipes joined Arby‟s Restaurant Group in July 2003 through Arby‟s franchisee RTM, bringing with him
over 20 years of accounting experience, much of it in the restaurant industry. Prior to joining RTM, he
spent ten years with Yum! Brands, Inc./PepsiCo, Inc. in Dallas, Texas and Louisville, Ky. This Texas
native attended the University of Texas at Arlington, where he received his bachelor‟s of business
administration degree in accounting.

Upon Triarc Restaurant Group‟s purchase of RTM in July 2005, Pipes assumed the role of chief
accounting officer of Arby‟s Restaurant Group, Inc. (ARG), leading the accounting of ARG‟s
1010 company restaurants. He also leads the tax and corporate accounting functions.

In his spare time in Atlanta, Georgia, David enjoys racquetball, tennis, and spending time with his
wife, Lezlie, and their sons, Blake and Justin. He is also on the American Diabetes Association
board and attends Roswell United Methodist Church.
