1.	
           The	
  space	
  licensed	
  (the	
  “space”)	
  consists	
  of	
  an	
  open	
  area	
  measuring	
  
approximately	
  1,000	
  sq.	
  ft.,	
  located	
  on	
  the	
  11th	
  floor	
  at	
  315	
  W.	
  39th	
  Street,	
  Studio	
  1104,	
  
New	
  York,	
  NY	
  10018.	
  The	
  space	
  includes	
  the	
  use	
  of	
  4	
  dimmable	
  chandeliers	
  and	
  track	
  
lighting,	
  3	
  modern	
  couches,	
  1	
  coffee	
  table,	
  2	
  high	
  tables,	
  4	
  cocktail	
  chairs,	
  1	
  movable	
  
bar,	
  40	
  folding	
  chairs,	
  2	
  buffet	
  tables,	
  one	
  kitchen	
  area	
  (double	
  sink,	
  one	
  freezer,	
  one	
  
microwave	
  and	
  a	
  refrigerator)	
  for	
  catering	
  &	
  food	
  preparation,	
  two	
  bathrooms,	
  a	
  double	
  
coat	
  rack	
  and	
  hangers,	
  the	
  use	
  of	
  a	
  media	
  system	
  including	
  an	
  Ipod	
  dock,	
  DVD	
  player,

  wireless	
  internet,	
  inputs	
  for	
  a	
  computer	
  and	
  the	
  use	
  of	
  a	
  freight	
  elevator

  the	
  hours	
  of

  Client	
  acknowledges	
  that	
  he/she/it	
  has	
  been	
  afforded	
  a	
  
full	
  opportunity	
  to	
  examine	
  the	
  space	
  prior	
  to	
  entering	
  into	
  this	
  agreement	
  and	
  accepts	
  
it	
  “as	
  is.”	
  
	
  
2.The	
  space	
  is	
  accessible	
  via	
  lobby	
  elevator	
  located	
  at	
  315	
  West	
  39th	
  Street,	
  Studio	
  1104,	
  
New	
  York,	
  NY	
  10018	
  	
  (hereafter	
  “315	
  W.	
  39th	
  Street”).	
  Said	
  address	
  shall	
  be	
  used	
  by	
  
Client	
  on	
  all	
  invitations	
  for	
  Client’s	
  pre-­‐booked	
  event	
  (hereafter	
  “event”).	
  Client	
  should	
  
instruct	
  all	
  providers	
  of	
  services	
  at	
  event	
  to	
  contact	
  Studio	
  Manager,	
  	
  	
  	
  Amber	
  King

  or

on	
  Tel:	
  	
                                                         ,	
  directly	
  to	
  make	
  delivery	
  and	
  pick-­‐up	
  
arrangements	
  to	
  the	
  freight

3.The	
  space	
  license	
  fee	
  of	
  _________+	
  $150	
  cleaning	
  fee	
  is	
  for	
  a	
  period	
  of	
  eight	
  (8)	
  
consecutive	
  hours	
  calculated	
  from	
  the	
  commencement	
  of	
  Set-­‐up	
  Time	
  entered	
  on	
  the	
  
first	
  page	
  and	
  such	
  eight	
  (8)	
  hour	
  period	
  is	
  known	
  as	
  the	
  “License	
  Period.”	
  An	
  event	
  will	
  
only	
  be	
  booked	
  upon	
  Select	
  Space’s	
  receipt	
  of	
  the	
  following:	
  
	
  
This	
  agreement	
  initialed	
  on	
  each	
  page	
  and	
  signed	
  on	
  the	
  last	
  page	
  by	
  Client	
  or	
  an	
  
authorized	
  representative	
  of	
  Client,	
  having	
  capacity	
  to	
  make	
  such	
  an	
  agreement.	
  
	
  
A	
  “License	
  Deposit”	
  of	
  50%	
  of	
  the	
  license	
  fee	
  by	
  a	
  certified	
  check,	
  cash,	
  or	
  wire	
  transfer	
  
must	
  be	
  received	
  within	
  2	
  days	
  after	
  the	
  contract	
  was	
  issued.	
  
	
  
Credit	
  card	
  information	
  must	
  be	
  provided	
  to	
  Select	
  Space’s	
  management	
  prior	
  to	
  rental	
  
period.	
  $500	
  will	
  be	
  held	
  on	
  credit	
  card	
  as	
  security	
  and	
  will	
  be	
  refunded	
  within	
  24hrs	
  
after	
  event.	
  This	
  information	
  will	
  be	
  used	
  to	
  charge	
  Client	
  for	
  the	
  space	
  if	
  it	
  is	
  not	
  left	
  
“broom	
  sweep”	
  clean,	
  or	
  if	
  any	
  damages	
  are	
  done	
  to	
  the	
  space.	
  The	
  maximum	
  amount	
  
that	
  can	
  be	
  charged	
  on	
  the	
  card	
  is	
  $1,000.00	
  (USD).	
  	
  The	
  amount	
  will	
  be	
  determined	
  by	
  
’s	
  onsite	
  manager.	
  	
  Any	
  overtime/damage	
  to	
  floors/space	
  caused	
  by	
  (rental)	
  companies	
  
will	
  be	
  charged	
  to	
  Client’s	
  card	
  and	
  is	
  responsibility	
  of	
  the	
  Client.	
  
	
  
4.	
  Select	
  Space’s	
  manager	
  will	
  be	
  on-­‐site	
  during	
  the	
  event.	
  Select	
  Space	
  can	
  refer	
  Client	
  
to	
  catering	
  services,	
  technical	
  support,	
  entertainment,	
  event	
  planners,	
  lighting	
  
designers,	
  florists,	
  photographers,	
  props	
  and	
  more	
  but	
  such	
  recommendation	
  is	
  not	
  a	
  
warranty	
  or	
  guarantee	
  and	
  Client	
  shall	
  contract	
  directly	
  with	
  any	
  such	
  providers.	
  Event	
  
manager	
  is	
  not	
  event	
  planner	
  or	
  cleaning	
  service.	
  Event	
  manager	
  will	
  not	
  help	
  decorate,	
  
move	
  the	
  furniture	
  or	
  clean	
  after	
  set-­‐up	
  time.	
  Cleaning	
  during	
  the	
  event	
  is	
  the	
  Client’s	
  
responsibility.	
  
	
  
5.	
  Client’s	
  payment	
  of	
  the	
  remaining	
  50%	
  of	
  the	
  license	
  fee	
  and	
  a	
  valid	
  Certificate	
  of	
  
Insurance	
  (depending	
  on	
  type	
  of	
  event)	
  document	
  must	
  be	
  received	
  by	
  Select	
  Space	
  
manager	
  30	
  days	
  prior	
  to	
  the	
  Event	
  Date.	
  If	
  the	
  event	
  takes	
  place	
  one	
  month	
  or	
  less	
  
prior	
  to	
  signing	
  the	
  agreement,	
  then	
  Client	
  must	
  pay	
  the	
  rental	
  fee	
  in	
  full	
  with	
  a	
  certified	
  
check	
  or	
  cash	
  upon	
  signing	
  this	
  agreement.	
  In	
  addition	
  to	
  this,	
  under	
  such	
  circumstances	
  
Client	
  must	
  provide	
  the	
  certificate	
  of	
  insurance	
  (if	
  required)	
  to	
  Select	
  Space’s	
  manager	
  
no	
  later	
  than	
  one	
  week	
  prior	
  to	
  the	
  event.	
  
	
  
DEPOSIT:	
  	
  An	
  Event	
  Agreement	
  must	
  be	
  signed	
  and	
  accompanied	
  with	
  the	
  required	
  
(non-­‐refundable)	
  deposit	
  in	
  order	
  to	
  insure	
  event	
  date	
  and	
  space.	
  This	
  deposit	
  will	
  be	
  
deducted	
  from	
  the	
  total	
  event	
  balance.	
  A	
  signed	
  Event	
  Agreement	
  must	
  be	
  returned	
  
within	
  2	
  days	
  of	
  receipt,	
  otherwise	
  it	
  will	
  be	
  deemed	
  null	
  and	
  void.	
  If	
  the	
  booking	
  is	
  
made	
  two	
  weeks	
  or	
  less	
  before	
  the	
  actual	
  event,	
  the	
  deposit	
  must	
  be	
  paid	
  by	
  cash,	
  
check,	
  money	
  order	
  or	
  wire	
  transfer.	
  
	
  
CANCELLATION:	
  	
  In	
  the	
  event	
  of	
  cancellation	
  all	
  deposits	
  are	
  non-­‐refundable.	
  All	
  
cancellations	
  must	
  be	
  done	
  IN	
  WRITING	
  and	
  sent	
  via	
  email	
  to	
  info@selectspacenyc.com.	
  
The	
  Client	
  can	
  NOT	
  re-­‐use	
  the	
  deposit	
  and	
  reschedule	
  the	
  event.	
  
	
  
6.	
  There	
  is	
  charge	
  of	
  $250	
  for	
  every	
  hour	
  past	
  scheduled	
  time.	
  
Any	
  delay	
  in	
  Client’s	
  arrival	
  time	
  at	
  the	
  Premises	
  on	
  the	
  Event	
  Date	
  will	
  not	
  extend	
  the	
  
License	
  Period	
  except	
  with	
  Select	
  Space’s	
  prior	
  written	
  consent.	
  If	
  Client	
  has	
  not	
  vacated	
  
the	
  Premises	
  by	
  the	
  end	
  of	
  the	
  License	
  Period	
  that	
  is	
  stipulated	
  in	
  the	
  contract,	
  Client	
  
will	
  be	
  subject	
  to	
  an	
  overtime	
  charge	
  of	
  $250.	
  The	
  overtime	
  fee	
  will	
  be	
  determined	
  by	
  
the	
  Select	
  Space’s	
  manager	
  onsite	
  at	
  the	
  event.	
  	
  
	
  
	
                                          	
  
7.	
  Except	
  as	
  specified	
  in	
  Paragraph	
  1,	
  no	
  rented	
  furniture,	
  artwork	
  or	
  sound,	
  film,	
  
catering	
  or	
  cooking	
  equipment	
  is	
  included	
  in	
  the	
  license	
  of	
  the	
  Premises.	
  No	
  equipment,	
  
props,	
  accessories	
  or	
  other	
  property	
  not	
  belonging	
  to	
  Select	
  Space	
  may	
  be	
  delivered	
  to	
  
the	
  Premises	
  prior	
  to	
  the	
  License	
  Period.	
  All	
  rentals,	
  equipment,	
  catering,	
  food,	
  
instruments,	
  furniture,	
  boxes	
  and	
  any	
  item	
  brought	
  in	
  by	
  Client	
  must	
  be	
  removed	
  
immediately	
  after	
  event.	
  Anything	
  left	
  past	
  the	
  scheduled	
  before	
  5	
  hour	
  license	
  period	
  
will	
  be	
  charged	
  for	
  at	
  a	
  rate	
  of	
  $250	
  for	
  24	
  hr	
  period.	
  Select	
  Space	
  assumes	
  no	
  legal	
  
responsibility	
  for	
  Client’s	
  property	
  at	
  any	
  time,	
  including	
  during	
  the	
  License	
  Period	
  and	
  
this	
  license	
  agreement	
  does	
  not	
  create	
  any	
  contract	
  of	
  bailment	
  between	
  the	
  parties	
  
hereto	
  in	
  respect	
  of	
  any	
  Client’s	
  property.	
  	
  
       	
  
8.	
  Client	
  can	
  not	
  sell	
  liquor	
  on	
  the	
  premises.	
  In	
  addition,	
  where	
  Client	
  uses	
  a	
  caterer,	
  
such	
  caterer	
  must	
  carry	
  a	
  separate	
  minimum	
  $1,000,000	
  (one	
  million	
  U.S.	
  dollars)	
  
liquor	
  &	
  food	
  liability	
  insurance,	
  with	
  a	
  carrier	
  acceptable	
  to	
  Select	
  Space	
  including	
  
coverage	
  for	
  death	
  or	
  personal	
  injury	
  to	
  persons	
  or	
  property	
  inside	
  or	
  in	
  the	
  vicinity	
  of	
  
315	
  west	
  39th	
  street.	
  Proof	
  of	
  such	
  insurance	
  must	
  be	
  provided	
  (1)	
  month	
  prior	
  to	
  the	
  
event	
  listing:

  to	
  be	
  satisfactory	
  by	
  Select	
  Space.	
  All	
  such	
  policies	
  of	
  insurance	
  
shall	
  name	
  Select	
  Strands	
  LLC	
  as	
  an	
  additional	
  insured.	
  
	
  
8(a).Client	
  is	
  responsible	
  to	
  ensure	
  and	
  warrants	
  and	
  that	
  any	
  outside	
  caterers	
  hired,	
  are	
  
familiar	
  with,	
  and	
  obey	
  all	
  rules	
  of	
  the	
  loft	
  space,	
  and	
  all	
  State,	
  City,	
  and	
  Federal	
  laws,	
  
regulations	
  and	
  ordinances,	
  and	
  at	
  all	
  times	
  conduct	
  themselves	
  so	
  as	
  insure	
  their	
  own	
  
safety	
  and	
  the	
  safety	
  of	
  any	
  other	
  persons	
  on	
  the	
  premises,	
  or	
  located	
  elsewhere	
  within

  West	
  39th	
  Street	
  ,	
  or	
  in	
  adjoining	
  premises	
  or	
  buildings,	
  or	
  in	
  the	
  vicinity	
  of	
  315	
  West	
  
39th	
  Street	
  ,	
  Studio

9.Client’s	
  guests	
  are	
  only	
  to	
  use	
  the	
  lobby	
  entrance	
  to	
  enter	
  or	
  leave	
  the	
  building	
  and	
  
must	
  use	
  the	
  passenger	
  elevator	
  located	
  in	
  the	
  lobby	
  for	
  traveling	
  to	
  the	
  scheduled	
  
event.	
  Client’s	
  guests	
  are	
  not	
  to	
  congregate	
  in	
  the	
  lobby	
  or	
  around	
  the	
  building	
  
sidewalks.	
  Absolutely	
  no	
  guest	
  is	
  permitted,	
  save	
  in	
  the	
  case	
  of	
  fire,	
  calamity	
  or	
  other	
  
dire	
  emergency,	
  to	
  use	
  the	
  stairwells	
  for	
  any	
  purpose	
  whatsoever.	
  In	
  the	
  event	
  of	
  fire,	
  
all	
  Clients	
  and	
  guests	
  shall	
  evacuate	
  the	
  building	
  via	
  the	
  stairs.	
  Client’s	
  guests	
  are	
  not	
  
permitted	
  to	
  be	
  in	
  any	
  part	
  of	
  the	
  building	
  other	
  than	
  the	
  lobby	
  area,	
  when	
  entering	
  or	
  
leaving,	
  or	
  to	
  use	
  bathrooms,	
  which	
  shall	
  also	
  be	
  designated.	
  Client’s	
  guests	
  may	
  not	
  
carry	
  or	
  take	
  any	
  glassware,	
  plates,	
  cups,	
  porcelain,	
  china	
  or	
  silverware	
  outside	
  of	
  Studio	
  
1104.	
  Guests	
  smoking	
  in	
  stairwell	
  or	
  bathroom	
  are	
  grounds	
  for	
  immediately	
  terminating	
  
event.	
  
	
  
10.Freight	
  elevator:	
  All	
  rentals,	
  equipment,	
  catering,	
  food,	
  instruments,	
  furniture,	
  boxes,	
  
ice.	
  etc.	
  must	
  be	
  delivered	
  and	
  removed	
  via	
  the	
  freight	
  elevator.	
  Use	
  of	
  such	
  freight	
  
elevator	
  shall	
  be	
  according	
  to	
  the	
  timetable	
  and	
  confirmed	
  in	
  advance	
  by	
  the	
  sales	
  
manager.	
  See	
  “Paragraph	
  7”	
  for	
  details	
  and	
  see	
  “Paragraph	
  6”	
  for	
  “Over	
  Time”	
  
specifications.	
  Select	
  Space	
  does	
  NOT	
  provide	
  parking	
  for	
  vendors	
  while	
  unloading	
  
their	
  trucks	
  or	
  for	
  guests	
  during	
  the	
  event.	
  Any	
  potential	
  tickets	
  resulting	
  from	
  Client’s	
  
or	
  vendors	
  mistakes	
  will	
  not	
  be	
  paid	
  by	
  Select	
  Space.	
  	
  	
  
	
  
11.The	
  Client	
  has	
  the	
  right	
  to	
  use	
  Select	
  Space’s	
  sound	
  system	
  with	
  the	
  event	
  manager’s	
  
assistance.	
  This	
  system	
  is	
  to	
  be	
  used	
  for	
  background	
  music	
  during	
  the	
  hours	
  of	
  9am-­‐6pm	
  
and	
  after	
  that	
  it	
  can	
  be	
  raised	
  to	
  a	
  comfortable	
  level	
  approved	
  by	
  the	
  studio	
  manager.	
  
The	
  Client	
  is	
  responsible	
  for	
  providing	
  the	
  CD	
  player	
  or	
  iPod.	
  Only	
  a	
  CD	
  player,	
  iPod	
  or	
  
mp3	
  may	
  connect	
  to	
  sound	
  system.	
  DJ	
  equipment	
  will	
  not	
  be	
  permitted	
  into	
  Select	
  
Studio.	
  Music	
  and	
  sound	
  programming	
  are	
  subject	
  to	
  Select	
  Space’s	
  requirements	
  to	
  
accommodate	
  Select	
  Space’s	
  neighbors.	
  This	
  agreement	
  is	
  a	
  grant	
  of	
  a	
  license	
  to	
  Client	
  
and	
  Client’s	
  invitees	
  to	
  enter	
  onto	
  and	
  occupy	
  the	
  “licensed	
  space”	
  of	
  the	
  Premises	
  for	
  
the	
  Event,	
  subject	
  to	
  the	
  terms	
  and	
  conditions	
  stated	
  herein.	
  Select	
  Space	
  reserves	
  the	
  
right	
  to	
  revoke	
  the	
  license	
  if	
  in	
  Select	
  Space’s	
  judgment,	
  the	
  Event	
  is	
  not	
  materially	
  in	
  
conformity	
  with	
  Client’s	
  description,	
  or	
  if	
  Client’s	
  use	
  of	
  the	
  premises	
  poses	
  a	
  risk	
  to	
  the	
  
premises,	
  to	
  Select	
  Space’s	
  personnel	
  or	
  to	
  Client’s	
  invitees	
  or	
  involves	
  illegal	
  or	
  
offensive	
  behavior.	
  Select	
  Space	
  will	
  have	
  no	
  liability	
  for	
  any	
  damage	
  or	
  loss	
  to	
  Client	
  
relating	
  to	
  or	
  arising	
  out	
  of	
  any	
  illegal,	
  immoral,	
  reckless	
  or	
  negligent	
  activities	
  by	
  Client	
  
or	
  Client’s	
  guests.	
  
	
  
12.Noise	
  Level:	
  	
  If	
  Client	
  fails	
  to	
  so	
  comply	
  and	
  building	
  owner,	
  or	
  any	
  agent,	
  servant	
  or	
  
employee	
  of	
  building	
  owner	
  is	
  summonsed	
  or	
  given	
  a	
  ticket,	
  then	
  Client	
  is	
  responsible	
  to	
  
pay	
  any	
  fine	
  or	
  penalty	
  imposed	
  by	
  any	
  State,	
  City	
  or	
  Federal	
  authority	
  or	
  agency.	
  Client	
  
will	
  comply	
  with	
  all	
  New	
  York	
  City	
  and	
  State	
  noise	
  level	
  regulations	
  and	
  cut-­‐off-­‐times	
  
(midnight)	
  and	
  shall	
  not	
  play	
  music	
  so	
  loudly	
  that	
  it	
  either	
  (i)	
  causes	
  a	
  nuisance	
  to	
  any	
  
adjacent	
  premises	
  or	
  occupants	
  of	
  other	
  adjacent	
  premises	
  or	
  (ii)	
  contravenes	
  any	
  New	
  
York	
  City	
  or	
  State	
  noise	
  regulations,	
  laws	
  or	
  ordinances	
  then	
  in	
  force.	
  The	
  Client	
  has	
  
been	
  informed	
  that	
  there	
  are	
  no

  ice	
  buckets

  and/or	
  mopped	
  by	
  Client	
  before	
  leaving

  beverages	
  
           and/or	
  bottles	
  must	
  be	
  placed	
  in	
  garbage	
  cans	
  or	
  garbage	
  bags	
  and	
  not	
  left	
  
           around	
  (c)	
  felt	
  pads	
  musts	
  be	
  placed	
  under	
  all	
  furniture	
  in	
  order	
  to	
  prevent	
  
           scratching	
  the	
  epoxy	
  floors

  Select	
  Space	
  provides	
  garbage	
  bags	
  (e)	
  
           bottles/cans	
  must	
  be	
  placed	
  in	
  blue	
  recyclable	
  bags	
  and	
  cardboard	
  must	
  be	
  tied

  A	
  porter	
  must	
  be	
  designated	
  to	
  mop	
  up	
  spills	
  and	
  maintain

           cleanliness

  Mixing	
  garbage	
  and	
  recyclables	
  in	
  black	
  
           garbage	
  bags	
  will	
  result	
  in	
  $250	
  charge	
  to	
  credit	
  card.	
  For	
  any	
  damages	
  done	
  to	
  
           the	
  studio	
  that	
  is	
  beyond	
  normal	
  wear	
  and	
  tear,	
  Client	
  will	
  be	
  charged	
  for	
  the	
  
           damages	
  on	
  Client’s	
  credit	
  card.	
  The	
  amount	
  will	
  be	
  determined	
  by	
  Select	
  Space	
  
           manager	
  on	
  site	
  at	
  the	
  event	
  and	
  will	
  not	
  exceed	
  that	
  of	
  $10,000	
  (USD).	
  	
  
           	
  
14.	
  Vacating	
  Premises:	
  All	
  floors	
  should	
  be	
  left	
  clear	
  of	
  garbage,	
  water,	
  liquids,	
  etc.	
  
Bathrooms	
  should	
  be	
  left	
  clear	
  of	
  garbage,	
  trash,	
  and/or	
  liquids	
  on	
  the	
  floor.	
  All	
  garbage	
  
and	
  bottles	
  are	
  to	
  be	
  double-­‐bagged	
  and	
  left	
  adjacent	
  to	
  the	
  studio	
  door.	
  Before	
  leaving	
  
space	
  licensed,	
  all	
  lights	
  and	
  electrical	
  appliances	
  must	
  be	
  switched	
  off.	
  If	
  using	
  Select	
  
Space’s	
  furniture	
  or	
  stereo	
  system	
  Client	
  is	
  responsible	
  to	
  see	
  manager	
  before	
  leaving	
  to	
  
inspect	
  and	
  switch	
  off	
  equipment.	
  An	
  additional	
  cleaning	
  charge	
  will	
  be	
  made,	
  in	
  the	
  
absolute	
  discretion	
  of	
  Select	
  Space,	
  to	
  cover	
  any	
  cleaning	
  above	
  and	
  beyond	
  that	
  
reasonably	
  to	
  be	
  expected	
  following	
  the	
  Event.	
  
	
  
Each	
  track	
  carries	
  maximum	
  of	
  300	
  watts.	
  Each	
  current	
  light	
  bulb	
  carries	
  75	
  watts.	
  If	
  
Client	
  uses	
  additional	
  lighting	
  that	
  exceeds	
  300	
  watts,	
  Client	
  will	
  be	
  charged	
  for	
  any	
  
damages	
  caused	
  to	
  the	
  track.	
  
	
  
The	
  Select	
  Space	
  employees	
  will	
  not	
  accept	
  /	
  sign	
  in	
  rentals	
  on	
  Client’s	
  behalf.	
  If	
  other	
  
arrangements	
  were	
  made	
  for	
  an	
  earlier	
  delivery,	
  Client	
  has	
  to	
  have	
  a	
  representative	
  
who	
  will	
  sign	
  the	
  deliveries	
  in.	
  	
  
	
  
No	
  confetti	
  is	
  allowed	
  in	
  the	
  space.	
  
	
  
15.Client	
  will	
  defend,	
  indemnify	
  and	
  hold	
  Jude	
  Bernard,	
  Amber	
  King,	
  Select	
  Strands	
  LLC	
  
and	
  or	
  JJPB	
  Holdings	
  LLC	
  ,	
  (“the	
  indemnified	
  parties”)	
  harmless	
  against	
  any	
  and	
  all	
  
lawsuits,	
  claims	
  or	
  similar	
  by	
  Client’s	
  guests	
  or	
  any	
  other	
  third	
  parties	
  whatsoever,	
  
arising	
  from	
  or	
  relating	
  in	
  any	
  manner	
  or	
  way	
  to	
  the	
  use	
  of	
  space	
  licensed,	
  the	
  Event	
  in	
  
question,	
  or	
  to	
  this	
  agreement.	
  In	
  the	
  event	
  of	
  any	
  such	
  asserted	
  claim	
  or	
  claims,	
  Client	
  
shall	
  provide	
  indemnified	
  parties	
  with	
  timely	
  written	
  notice	
  of	
  the	
  same,	
  and	
  thereafter	
  
the	
  Client,	
  shall	
  at	
  his/her/its	
  own	
  expense,	
  defend,	
  protect	
  and	
  save	
  harmless	
  
indemnified	
  parties	
  against	
  said	
  claim	
  or	
  claims,	
  or	
  any	
  related	
  claim	
  or	
  claims,	
  or	
  any	
  
losses	
  or	
  liability	
  hereunder.	
  In	
  the	
  further	
  event	
  that	
  Client,	
  shall	
  fail	
  to	
  so	
  defend	
  and	
  
or	
  indemnify	
  and	
  save	
  harmless,	
  then	
  in	
  such	
  instance	
  indemnified	
  parties	
  shall	
  have	
  all	
  
rights	
  to	
  litigate,	
  defend,	
  arbitrate,	
  settle,	
  compromise	
  or	
  otherwise	
  dispose	
  of	
  said	
  
claim	
  or	
  claims	
  on	
  its/their	
  own	
  behalf,	
  without	
  notice	
  to	
  Client,	
  and	
  with	
  all	
  rights	
  to	
  
recover	
  from	
  Client,	
  all	
  fees,	
  including	
  but	
  not	
  limited	
  to	
  reasonable	
  attorneys’	
  fees,	
  
costs	
  expenses,	
  losses	
  or	
  other	
  payments	
  made	
  or	
  agreed	
  to	
  be	
  paid	
  to	
  settle,	
  defend,	
  
litigate	
  or	
  arbitrate	
  said	
  claim	
  or	
  claims.	
  Upon	
  default,	
  Client	
  further	
  agrees	
  to	
  pay	
  all	
  
reasonable	
  attorneys’	
  fees	
  necessary	
  to	
  enforce	
  this	
  agreement.	
  This	
  Indemnity	
  
agreement	
  shall	
  be	
  unlimited	
  as	
  to	
  monetary	
  amount	
  and	
  duration	
  and	
  shall	
  inure	
  to	
  
the	
  benefit	
  of	
  and	
  bind	
  the	
  parties,	
  their	
  successors,	
  beneficiaries,	
  distributees,	
  assigns	
  
and	
  personal	
  representatives.	
  This	
  indemnity	
  agreement	
  is	
  governed	
  by	
  the	
  laws	
  of	
  the	
  
State	
  of	
  New	
  York	
  in	
  its	
  interpretation	
  and	
  construction	
  and	
  may	
  be	
  enforced	
  solely	
  and	
  
exclusively	
  in	
  the	
  courts	
  of	
  the	
  State	
  of	
  New	
  York.	
  Client,	
  by	
  executing	
  this	
  agreement,	
  
hereby	
  consents	
  irrevocably	
  to	
  the	
  personal	
  jurisdiction	
  of	
  the	
  courts	
  of	
  the	
  State	
  of	
  
New	
  York	
  in	
  the	
  enforcement	
  of	
  or	
  in	
  relation	
  to	
  any	
  action	
  arising	
  from	
  this	
  indemnity	
  
clause	
  or	
  from	
  this	
  agreement	
  generally.	
  If	
  any	
  of	
  the	
  provisions,	
  terms	
  or	
  clauses	
  of	
  this	
  
Indemnity	
  Agreement	
  shall	
  be	
  declared	
  illegal,	
  unenforceable	
  or	
  ineffective	
  before	
  any	
  
court	
  of	
  competent	
  jurisdiction	
  applying	
  the	
  relevant	
  laws,	
  then	
  such	
  provisions,	
  terms	
  
or	
  clauses	
  shall	
  be	
  deemed	
  sever	
  able,	
  such	
  that	
  all	
  other	
  provisions,	
  terms	
  or	
  clauses	
  of	
  
this	
  Indemnity	
  Agreement	
  shall	
  remain	
  valid	
  and	
  binding	
  upon	
  all	
  parties	
  hereto.	
  
	
  
16.	
  Select	
  Space’s	
  inability	
  to	
  perform	
  this	
  agreement	
  due	
  to	
  any	
  circumstance	
  beyond	
  
Select	
  Space’s	
  reasonable	
  control,	
  including	
  but	
  not	
  limited	
  to	
  frustrating	
  events	
  
generally,	
  war,	
  black-­‐out,	
  natural	
  disaster	
  or	
  other	
  act	
  of	
  God,	
  shall	
  not	
  constitute	
  a	
  
breach	
  by	
  Select	
  Space,	
  and	
  Select	
  Space’s	
  liability	
  in	
  such	
  event	
  will	
  be	
  limited	
  to	
  
rescheduling	
  the	
  Event	
  for	
  the	
  first	
  available	
  date	
  requested	
  by	
  Client	
  subject	
  to	
  all	
  of	
  
the	
  same	
  terms	
  and	
  conditions	
  as	
  stated	
  herein.	
  Select	
  Space’s	
  liability,	
  if	
  any,	
  for	
  any	
  
breach	
  of	
  this	
  agreement	
  will	
  not	
  extend	
  to	
  any	
  loss	
  of	
  profit	
  or	
  any	
  consequential	
  
damages	
  and	
  will	
  in	
  no	
  event	
  exceed	
  the	
  license	
  fee	
  paid	
  by	
  Client.	
  
	
  
17.Smoking	
  is	
  prohibited	
  and	
  against	
  the	
  law.	
  Client	
  and	
  Client’s	
  guests	
  will	
  abide	
  
thereby.	
  Absolutely	
  no	
  smoking	
  is	
  allowed	
  on	
  premises,	
  including	
  any	
  studio	
  space,	
  
hallways,	
  bathrooms,	
  elevators,	
  stairwells,	
  lobby	
  and	
  any	
  other	
  area	
  whatsoever	
  within	
  
the	
  building.	
  Anyone	
  caught	
  will	
  be	
  reported	
  and	
  summonsed	
  according	
  to	
  the	
  laws	
  
then	
  in	
  force	
  within	
  the	
  New	
  York	
  City,	
  or	
  the	
  State	
  of	
  New	
  York.	
  Similarly,	
  no	
  narcotic,	
  
or	
  controlled	
  substance	
  shall	
  be	
  consumed,	
  trafficked,	
  sold	
  or	
  otherwise	
  distributed	
  
within	
  the	
  space	
  licensed	
  or	
  any	
  other	
  part	
  of	
  315	
  West	
  39th	
  Street.	
  
	
  
18.This	
  agreement	
  constitutes	
  the	
  entire	
  understanding	
  between	
  Select	
  Space	
  and	
  
Client	
  concerning	
  the	
  license	
  to	
  use	
  the	
  space	
  licensed	
  for	
  the	
  Event	
  and	
  supersedes	
  all	
  
prior	
  agreements,	
  discussions	
  and	
  understandings.	
  Client	
  acknowledges	
  that	
  it	
  is	
  not	
  
relying	
  on	
  any	
  oral	
  or	
  written	
  prior	
  statements	
  or	
  representations	
  other	
  than	
  those,	
  
which	
  are	
  contained	
  in	
  this	
  agreement.	
  Any	
  changes	
  to	
  the	
  terms	
  stated	
  in	
  this	
  
agreement	
  will	
  not	
  be	
  binding	
  on	
  Select	
  Space	
  unless	
  confirmed	
  in	
  writing	
  by	
  Select	
  
Space.	
  
	
  
19.Owner	
  is	
  responsible	
  for	
  delivering	
  the	
  space	
  with	
  all	
  utilities	
  (elevators,	
  bathroom,	
  
etc.)	
  in	
  full	
  working	
  order.	
  Owner	
  will	
  provide	
  Client	
  with	
  contact	
  name	
  and	
  phone	
  
number	
  for	
  maintenance	
  person	
  responsible	
  should	
  any	
  immediate	
  repairs	
  be	
  necessary	
  
during	
  the	
  period	
  during	
  which	
  the	
  space	
  is	
  licensed.	
  Owner	
  hereby	
  acknowledges	
  that	
  
the	
  manager	
  provided	
  by	
  the	
  Owner	
  shall	
  be	
  responsible	
  for	
  promptly	
  contacting	
  such	
  
maintenance	
  person.	
  
	
  
Event	
  manager	
  represents	
  the	
  owner	
  during	
  the	
  event.	
  The	
  event	
  manager	
  has	
  full	
  
right	
  to	
  execute	
  penalties	
  stipulated	
  in	
  contract,	
  such	
  as	
  overtime	
  charge,	
  unlawful	
  
use	
  of	
  loft	
  ,	
  unlawful	
  use	
  of	
  glassware	
  (plastic	
  cups)	
  outside	
  of	
  loft	
  and	
  can	
  terminate	
  
the	
  party.	
  If	
  the	
  event	
  has	
  reached	
  the	
  capacity	
  of	
  70	
  people	
  including	
  staff,	
  no	
  one	
  
else	
  will	
  be	
  allowed	
  in	
  space.	
  The	
  event	
  can	
  be	
  terminated	
  for	
  overcrowding.	
  If	
  Client	
  
refuses	
  to	
  stick	
  to	
  guidelines	
  stipulated	
  in	
  the	
  agreement,	
  at	
  the	
  event	
  manager’s	
  
discretion,	
  the	
  event	
  manager	
  will	
  terminate	
  event	
  immediately,	
  if	
  the	
  event	
  has	
  
grown	
  out	
  of	
  control,	
  is	
  a	
  gross	
  misrepresentation	
  of	
  the	
  initially	
  confirmed	
  event,	
  is	
  
over	
  the	
  stated	
  number	
  of	
  persons	
  on	
  first	
  page	
  of	
  contract,	
  or	
  client	
  has	
  disregarded	
  
warnings	
  about	
  noise	
  level	
  or	
  smoking.	
  If	
  this	
  does	
  occur	
  NO	
  monies	
  /	
  deposits	
  will	
  be	
  
refunded.	
  	
  
	
  
20.Garbage	
  pails:	
  Garbage	
  removal	
  will	
  be	
  performed	
  by	
  the	
  building.	
  Client	
  must	
  
double-­‐bag	
  all	
  garbage.	
  Garbage	
  bags	
  must	
  not	
  be	
  over-­‐filled,	
  ripped	
  or	
  leak.	
  Garbage	
  
bags	
  must	
  be	
  placed	
  adjacent	
  to	
  the	
  freight	
  elevator	
  at	
  end	
  of	
  the	
  event.	
  Two	
  garbage	
  
pails	
  are	
  provided	
  at	
  each	
  event,	
  which	
  must	
  not	
  be	
  removed	
  from	
  space	
  licensed.	
  If	
  any	
  
garbage	
  pail	
  is	
  missing	
  after	
  the	
  event,	
  the	
  cost	
  of	
  replacing	
  the	
  same	
  ($80)	
  will	
  be	
  
charged	
  to	
  Client’s	
  credit	
  card.	
  
	
  
21.	
  Owner	
  is	
  also	
  not	
  responsible	
  for	
  left,	
  lost	
  or	
  stolen	
  items	
  and/or	
  the	
  property	
  of	
  
Client,	
  Client’s	
  guests,	
  contractors,	
  servants,	
  agents	
  or	
  employees,	
  or	
  any	
  other	
  invitee	
  
of	
  Client.	
  	
  Under	
  no	
  circumstance	
  is	
  client	
  allowed	
  to	
  use	
  office	
  .No	
  bailment	
  is	
  created	
  
by	
  this	
  agreement	
  between	
  Select	
  Space’s	
  and	
  any	
  other	
  party

22.	
  Styling	
  room:	
  Client	
  is	
  not	
  allowed	
  to	
  use	
  Styling	
  rooms	
  unless	
  special	
  written	
  
arrangements	
  are	
  made	
  with	
  the	
  management	
  prior	
  to	
  the	
  event.	
  	
  
23.Guests	
  Lists:	
  It’s	
  within	
  the	
  Client’s	
  discretion	
  to	
  permit	
  admission	
  only	
  by	
  reference	
  
to	
  a	
  guest	
  list	
  and	
  if	
  Client	
  chooses	
  to	
  do	
  so,	
  Client	
  will	
  position	
  one	
  or	
  more	
  individuals	
  
at	
  the	
  door	
  to	
  at	
  315	
  West	
  39th	
  street,	
  so	
  as	
  to	
  ensure	
  that	
  only	
  guests	
  on	
  the	
  list	
  are	
  
admitted.	
  Client	
  may	
  also	
  have	
  guests	
  call	
  cell	
  phone	
  to	
  gain	
  access.	
  	
  
	
  
24.Payment	
  by	
  bank	
  check	
  or	
  money	
  order	
  is	
  preferred	
  over	
  other	
  forms	
  of	
  payment.	
  
The	
  balance	
  for	
  the	
  rental	
  of	
  the	
  Select	
  Space	
  should	
  be	
  made	
  payable	
  to	
  	
  JJPB	
  Holdings
