WHAT YOU CAN EXPECT FROM US

We will:

   1. Provide independent recommendations and suggest those planning strategies
      and products that we ourselves would use if we were in similar circumstances.
      We will recommend products and services that will be suited to your individual
      needs and risk comfort levels

   2. Choose and recommend products and services from high quality companies as
      representatives of DundeeWealth

   3. Provide written disclosure of any existing conflicts of interest now or in the future

   4. Maintain complete confidentiality and will discuss your file and personal
      information only with our colleagues as necessary or as you direct, unless
      required by law to release information

   5. Obtain a thorough understanding of your situation and complete “Know Your
      Client” documentation

   6. Communicate regularly with you and will advise you of circumstances that could
      affect you, as we become aware of them

   7. Offer regular reviews (at least once annually) to update our client information for
      accuracy and allow you to modify your financial plan as changes to your personal
      and financial situation

   8. When providing full financial planning (not simply recommending or selling
      specific financial products, such as mutual funds, life insurance, mortgages, etc)
      we will provide a written report and go over everything with you in detail

   9. Ensure to detail all the financial analysis, recommended strategies, products and
      services and set out the assumptions used in all calculations

   10. Follow industry standards in regards to Continuing Education. This allows us to
       provide you with effective, accurate advice and information

   11. Treat new client referrals from you with the same professionalism that you
       receive

   12. Subscribe to the Code of Ethics of the Financial Planners Standards Council of
       Canada

WHAT WE EXPECT FROM YOU

You will:
   1. Open your mind to new and creative ideas in dealing with your financial affairs

   2. Provide full disclosure of the personal and business information that we require in
      order to offer appropriate recommendations based on your unique circumstances
      and timely disclosure of any changes. We need you to provide full and accurate
      disclosure or all relevant information and documents in a timely manner and will
      also need you to advise us of any material changes that would impact financial
      planning decisions or strategies in place

   3. Seriously consider our recommendations and proposals

   4. Provide us with your business on matters that we have drawn to your attention

   5. Provide your personal endorsement to others in similar circumstances when you
      believe that our advice has been valuable to you

   6. Open communication with us to let us know how we are doing. If we aren’t
      meeting your expectations, please tell us immediately. If we are doing well,
      please tell everyone.

COMPENSATION
When we receive compensation from the provider companies, it is usually received in
the form of commissions or ongoing service fees for as long as your investments are
with that company. Should you choose to implement your plan with us, your account will
be maintained through us with DundeeWealth. Please note that when financial
products are sold, proper disclosure will be made in keeping with the appropriate
regulatory requirements.

3. Commission only - I wish to make a specific product purchase and understand that
your services will be compensated by commission. I acknowledge that this may include
ongoing service fees paid to you from these companies to compensate you for servicing
my account.

4. Comprehensive financial planning - I understand that this option entitles me to a
written financial plan or other recommendations and includes the implementation by you
directly or through referral of any of the recommendations that I choose to follow. I
acknowledge that you will be compensated entirely by commission or other fees paid by
the receiving institutions or referred individuals, including ongoing service fees. There
will be no other fees payable unless specifically agreed to in writing in advance.

For those clients who choose to partake in our financial planning services either with or
without implementation, the following financial planning services can be provided…

    Reviewing and prioritizing goals and objectives
    Developing a summary of current financial situation including net worth, cash flow,
     budget and income tax analysis
    Reviewing current investment portfolio and developing an asset management
     strategy
    Reviewing current debt management and developing a debt management strategy
    Developing a financial management strategy including financial projections and
     analysis
    Completing a retirement planning assessment, including financial projections of
     assets required at estimated retirement date
    Assessing estate net worth and liquidity and developing an estate plan to ensure
     estate planning objectives are met
    Reviewing Wills and Powers of Attorney (not legal opinion)
    Identifying of tax planning strategies to optimize financial position
    Assessing, recommending and implementing education savings plans
    Assessing exposure to financial risk in the event of death, disability or critical
     illness and developing a risk management plan
    other (please specify):

Except for those clients who wish to pay for the plan directly and choose to implement
the recommendations themselves or elsewhere, we undertake the following…

    to manage the implementation of the financial plan with you
    to continually monitor the financial performance in relation to the financial plan
    to provide ongoing review and assessment of the assumptions incorporated into
     the financial plan given changes in economic, political and regulatory environments
    to provide ongoing reviews and assessments (at least annually) with you of the
     overall plan, the financial products and services recommended and implemented
     and to update and revise the plan when necessary


MUTUAL ACKNOWLEDGEMENTS
We acknowledge our mutual expectations and that this relationship can be terminated
without notice by the client or advisor.
