                                 Invitation to Prequalify for
                   Maintenance of IT Equipment and Facilities Management

1. Export-Import Bank of India (the “Bank”) intends to procure the services for Maintenance of IT
   Equipment and Facilities Management across all its Offices in India viz., Mumbai Headquarters,
   Regional Offices in Ahmedabad, Bangalore, Chennai, Guwahati, Hyderabad, Kolkata, Mumbai,
   New Delhi, and Pune.

2. The Bank now invites sealed applications from firms for Prequalification to undertake
   Maintenance of IT Equipment and Facilities Management at its above specified locations in India.

3. The Prequalification Document,           can    be    downloaded      from    Bank’s     website
   www.eximbankindia.com.

4. Interested eligible Applicants may obtain further information from Deputy General Manager, IT,
   Export-Import Bank of India, Floor 21, Centre One Building, World Trade Centre Complex,
   Cuffe Parade, Mumbai – 400005, who shall be available from 10.30 a.m. to 12.00 noon on
   December 26, 2005 to address any clarifications requested. No requests for clarifications will be
   entertained thereafter.

5. Applications must be submitted on or before 3.00 p.m. January 04, 2006 at the address indicated
   in the Prequalification Document along with a non-refundable fee of Rs. 500/- (Rupees Five
   Hundred only) in the form of a Demand Draft/ Banker’s Cheque drawn in favour of ‘Export-
   Import Bank of India’, payable at Mumbai. Late Applications and/ or Applications received
   without the specified non-refundable fee shall be rejected.

6. The Bank will not be responsible for any costs or expenses incurred by Applicants in connection
   with the preparation or delivery of Applications.

7. In the comparison of applications, only and all those factors, methods, and criteria specified in
   Section III, Evaluation Criteria, of the Prequalification Document will be used, in accordance
   with the provisions stipulated in the Instructions to Applicants.

8. Names of Prequalified Applicants will be displayed on Bank’s website and only those
   prequalified will be invited to submit detailed proposals for selection.

9. The Bank reserves the right to accept or reject any Application received in response to this
   invitation and to annul the selection process and reject all Applications at any time prior to
   contract award, without thereby incurring any liability to the Applicants.

            Section I. Instructions to Applicants
                                           A. General
1. Scope of                  1.1 In connection with the Invitation to Prequalify indicated in Section
   Application                   II, Application Data Sheet (ADS), the Contracting Office of the
                                 Export-Import Bank of India (Bank), as indicated in the ADS,
                                 issues this Prequalification Document (PD) to applicants interested
                                 in bidding for the Services described in Section V, Scope of
                                 Services. The number of contracts and the name and identification
                                 of each contract, and the Request for Proposal document (RFP)
                                 number corresponding to this prequalification, are provided in the
                                 ADS.

                             1.2 Throughout these Prequalification Documents

                                 (a) “in writing” shall be interpreted as communicated in written
                                     form and delivered against receipt;

                                 (b) if the context so requires, singular shall be interpreted as plural
                                     and vice versa;

                                 (c) “day” shall be interpreted as calendar day; and

                                 (d) “application” shall comprise all the forms and supporting
                                     documentation submitted by an Applicant, in accordance with
                                     the Prequalification Documents.

2. Corrupt                   2.1 The Bank requires that all suppliers, contractors, and consultants
   Practices                     participating in Bank-contracts, adhere to the highest ethical
                                 standards, both during the procurement process and throughout the
                                 execution of a contract. The list of definitions set forth below
                                 involves the most common types of corrupt practices, but are not
                                 exhaustive. For this reason, the Bank will also consider claims of
                                 similar nature involving alleged acts of corruption, in accordance
                                 with the established procedure.

                                 (a) “Bribery” means the act of unduly offering, giving, receiving
                                     or soliciting anything of value to influence the process of
                                     contracting consulting firms or individual consultants, or
                                     executing contracts;

          (b) “Extortion” or “Coercion” means the act of attempting          to
              influence the process, contracting consulting firms            or
              individual consultants, or executing contracts, by means       of
              threats of injury to person, property or reputation, whether   or
              not that threat succeeds in its objective;

          (c) “Fraud” means the misrepresentation of information or facts
              for the purpose of influencing the process, contracting
              consultant firms or individual consultants or executing
              contracts, to the detriment of the Borrower or other
              participants;

          (d) “Collusion” means an agreement between Bidders aimed to
              result in bids at artificial prices that are not competitive and
              would deprive the Borrower from benefiting of free and open
              competition.

      2.2 If, in accordance with the administrative procedures of the Bank, it
          is demonstrated that any official, or anyone acting on his or her
          behalf, and/or an Applicant/Bidder in a procurement process, or
          Supplier/Contractor during the execution of the contract carried out
          in connection with a Bank contract has committed corrupt
          practices, the Bank, among others, shall:

          (a) Nullify any proposal to award a contract in connection with the
              respective procurement process; and/or

          (b) Declare a Supplier/Contractor, individual consultant or
              consulting firm and/or its personnel directly involved in corrupt
              practices, temporarily or permanently, ineligible to be awarded
              future contracts under Bank contracts.

      2.3 The Applicant/Bidder shall disclose any commissions or fees that
          may have been paid or are to be paid to agents, representatives, or
          commission agents with respect to the prequalification process,
          bidding process, or execution of the contract. The information
          disclosed must include at least the name and address of the agent,
          representative, or commission agent, the amount and currency, and
          the purpose of the commission or fee. The information must be
          included in the Bid Submission Sheet.

      2.4 The Applicants shall allow the Bank, or any person they may
          designate, to inspect or carryout audits of the applicants’
          supplier/contractors, individual consultants or consulting firms
          accounting records and financial statements in connection with this
          prequalification process, bidding process or executing contract.

3. Eligible                  3.1 An Applicant shall be a private, public or government-owned legal
   Applicants                    entity, subject to ITA Sub-Clause 3.5, or any combination thereof
                                 with the formal intent to enter into an agreement or under an
                                 existing agreement in the form of a Joint Venture, Consortium or
                                 Association (JVCA). In the case of a JVCA, unless otherwise
                                 specified in the ADS, all parties shall be jointly and severally
                                 liable.

                             3.2 An applicant shall not have a conflict of interest. An Applicant
                                 shall hold the Bank’s interests paramount, without any
                                 consideration for future work, and strictly avoid conflicts with
                                 other assignments or their own corporate interests. Applicants shall
                                 not qualify for any assignment that would be in conflict with their
                                 prior or current obligations to other clients, or that may place them
                                 in a position of not being able to carry out the assignment in the
                                 best interest of the Bank.

                             3.3 An Applicant shall not have a conflict of interest. An Applicant
                                 found to have a conflict of interest with one or more parties in this
                                 prequalification process shall be disqualified. Applicants may be
                                 considered to have a conflict of interest with one of more parties in
                                 this prequalification process if:

                                 (a) its shareholders, directors and other technical or professional
                                     staff, or its subcontractors belong or have worked for or have
                                     been part of the permanent or temporary staff of the Bank, at
                                     the time for the prequalification of Applicants, or within six (6)
                                     months prior to these dates; or

                                 (b) they have, directly or indirectly, controlling shareholders or
                                     partners in common; or

                                 (c) they receive or have received direct or indirect subsidies from
                                     any of the individuals named in (a) above; or

                                 (d) their legal representatives are the same or have a common party
                                     in their executive boards or management, or when the decision-
                                     making quorum of their shareholders at assemblies or meetings
                                     belongs directly or indirectly to the same natural persons or
                                     entities; or

                                 (e) they have a relationship with each other, directly or through
                                     common third parties that puts them in a position where they
                                     have access to information about or can influence other
                                     Applications or the decision of the Bank regarding this
                                     prequalification process; or

          (f) they submit more than one Application for this prequalification
              process. An applicant that submits an application for
              prequalification with a specific subcontractor, will not be
              allowed to submit another one exchanging roles between
              themselves; or

          (g) they have participated directly or indirectly, in any capacity, in
              the preparation of the design, feasibility studies, terms of
              reference, or technical specifications of the Services or related
              services that are subject of this prequalification process.

      3.4 A firm that is under a declaration of ineligibility by the Bank in
          accordance with ITA Clause 2, at the deadline for submission of
          Applications or thereafter, shall not be considered. The Bank may
          take into consideration the ineligibility of an Applicant, throughout
          the procurement process, up to the date of contract award.

      3.5 Government-owned entities shall be eligible only if they can
          establish that they are legally and financially autonomous, and
          operate under principles of the commercial law.

      3.6 Applicants shall provide such evidence of their continued
          eligibility satisfactory to the Bank, as the Bank shall reasonably
          request.

                      B. Contents of the Prequalification Documents
4. Sections of               4.1 The documents for the prequalification of Applicants (hereinafter
   Prequalification              “prequalification document”) consist of parts 1 and 2 which
                                 comprise all the sections indicated below, and should be read in

                             4.2 The “Invitation to Prequalify” issued by the Bank is not part of the
                                 prequalification document.

                             4.3 The Bank accepts no responsibility for the completeness of the
                                 prequalification document and their addenda unless they were
                                 obtained directly from the Bank.

                             4.4 The Applicant is expected to examine all instructions, forms, and
                                 terms in the prequalification document and to furnish all
                                 information or documentation required by the prequalification
                                 document.

5. Clarification of          5.1 A prospective Applicant requiring any clarification of the
   Prequalification              prequalification document shall contact the Bank in writing at the
                                 Bank’s address indicated in the ADS. The Bank will respond in

                                 writing to any request for clarification provided that such request is
                                 received no later than seven (7) days prior to the deadline for
                                 submission of applications. The Bank shall forward copies of its
                                 response to all applicants who have acquired the prequalification
                                 document directly from the Bank including a description of the
                                 inquiry but without identifying its source. Should the Bank deem it
                                 necessary to amend the prequalification documents as a result of a
                                 clarification, it shall do so following the procedure under ITA
                                 Clause 6 and in accordance with the provisions of Sub-Clause
                                 15.2.

6. Amendment of         6.1 At any time prior to the deadline for submission of applications,
   Prequalification         the Bank may amend the Prequalification Document by issuing
                            addenda.

                        6.2 Any addendum issued shall be part of the Prequalification
                            Document and shall be communicated in writing to all who have
                            obtained the prequalification document from the Bank.

                        6.3 To give prospective Applicants reasonable time to take an
                            addendum into account in preparing their applications, the Bank
                            may, at its discretion, extend the deadline for the submission of
                            applications.

                           C. Preparation of Applications

7. Cost of              7.1 The Applicant shall bear all costs associated with the preparation
   Applications             and submission of its application. The Bank shall in no case be
                            responsible or liable for those costs, regardless of the conduct or
                            outcome of the prequalification process.


8. Documents            8.1 The application shall comprise the following:

                            (a) Application Submission Sheet, in accordance with ITA Clause

                            (b) Written confirmation authorizing the signatory of the
                                application to commit the Applicant, in accordance with ITA
                                Sub-Clause 12.3;

                            (c) Documentary evidence establishing the Applicant’s eligibility
                                to prequalify, in accordance with ITA Clause 10;

                            (d) Documentary evidence establishing the Applicant’s
                                qualifications, in accordance with ITA Clause 11; and

                            (e) any other document required as specified in the ADS.


9. Application      9.1 The Applicant shall prepare an Application Submission Sheet

10. Documents                10.1 To establish its eligibility in accordance with ITA Clause 3, the

12. Signing of the           12.1 The Applicant shall prepare one original of the documents

                             12.2 The Applicant shall submit copies of the signed original
                                  application, in the number specified in the ADS, and clearly mark
                                  them “COPY”. In the event of any discrepancy between the
                                  original and the copies, the original shall prevail.

                             12.3 A representative shall have the authority to incur liabilities related
                                  thereto for and on behalf of the Applicant. The requirements
                                  regarding the legal instrument evidencing the authorization to
                                  represent and sign on behalf of the Applicant shall be as specified
                                  in the ADS. In case of a JVCA specified in the ITA Sub-Clause 3.1
                                  the authorization shall be signed by an authorized representative of
                                  the parties comprising the Applicant, and shall include the name
                                  and position held by the person signing the authorization. The
                                  authorizations shall be attached to the application.

                             12.4 Any interlineations, erasures, or overwriting shall be valid only if
                                  they are signed or initialed by the person signing the Application.

                           D. Submission of Applications
13. Sealing and         13.1 The Applicant shall enclose the original and the copies of the
    Identification of        application in a sealed envelope that shall:
    Applications            (a) Bear the name and address of the Applicant;

                            (b) be addressed to the Bank, in accordance with ITA Sub-Clause
                                14.1;

                            (c) bear the specific identification of this prequalification process
                                indicated in ITA Sub-Clause 1.1; and

                            (d) bear a warning not to open before the time and date for
                                application opening, in accordance with ITA Sub-Clause 17.1.

                        13.2 The Bank will accept no responsibility for not processing any
                             envelope that was delivered unsealed and not identified as
                             required.

14. Deadline for        14.1 Applications shall be received by the Bank at the address and no
    Submission of            later than the deadline indicated in the ADS.
    Applications        14.2 The Bank may, at its discretion, extend the deadline for the
                             submission of applications by amending the Prequalification
                             Document in accordance with ITA Clause 6, in which case all
                             rights and obligations of the Bank and the Applicants subject to the
                             previous deadline shall thereafter be subject to the deadline as
                             extended.

15. Late                15.1 The Bank shall not consider any Application that arrives after the
    Applications             deadline for submission of Application. Any Application received
                             by the Bank after the deadline for submission of Applications shall
                             be declared late, rejected, and returned unopened to the Applicant.

16. Withdrawal,              16.1 An Applicant may withdraw, substitute or modify its Application
    Substitution or               after it has been submitted, by sending a written notice, duly signed
                                  by an authorized representative and shall include a copy of the

                                  authorization in accordance with ITA Sub-Clause 12.3, (except

                                  substitution or modification of the Application must accompany
                                  the respective written notice. All notices must be:

                                 (a) submitted in accordance with ITA Clauses 12 and 13, (except
                                     that withdrawal notices do not require copies), and in addition,
                                     the respective envelopes shall be clearly marked
                                     “WITHDRAWAL”,                 “SUBSTITUTION”                  or
                                     “MODIFICATION;” and

                                 (b) received by the Bank prior to the deadline prescribed for
                                     submission of Applications, in accordance with ITA Clause 14

                             16.2 Applications requested to be withdrawn in accordance with ITA
                                  Sub-Clause 16.1, shall be returned unopened to the Applicants.


17. Opening of               17.1 The Bank shall conduct the opening of applications immediately
    Applications                  after the deadline for submission of Application is over in the
                                  manner mentioned in ITA Sub-clause 17.2.

                             17.2 First, envelopes marked “WITHDRAWAL” shall be opened and
                                  the envelope with the corresponding application shall not be
                                  opened but returned to the Applicant. No application withdrawal
                                  shall be permitted unless the corresponding withdrawal notice
                                  contains a valid authorization to request the withdrawal. Next,
                                  envelopes marked “SUBSTITUTION” shall be opened, and
                                  exchanged with the corresponding application being substituted
                                  and the substituted application shall not be opened but returned to
                                  the Applicant. No application substitution shall be permitted unless
                                  the corresponding substitution notice contains a valid authorization
                                  to request the substitution. Envelopes marked “MODIFICATION”
                                  shall be opened with the corresponding application. No application
                                  modification shall be permitted unless the corresponding
                                  modification notice contains a valid authorization to request the
                                  modification.

                             17.3 All other envelopes shall be opened one at a time, noting the name
                                  of the Applicant and whether there is a modification; and any other
                                  details the Bank may consider appropriate. Only Applications
                                  received until the deadline for submission of the Applications shall
                                  be considered for evaluation. No application shall be rejected at

                            Opening of Applications except for late applications, in accordance
                            with ITB Sub-Clause 15.1.

                       17.4 The Bank shall prepare a record of the Opening of Applications
                            and shall display the names of the Applicants on its Website i.e.
                            www.eximbankindia.com.

                   E. Procedures for Evaluation of Applications
18. Confidentiality    18.1 Information relating to the evaluation of applications, and
                            recommendation for prequalification, shall not be disclosed to
                            Applicants or any other persons not officially concerned with such
                            process until the notification of prequalification is made to all
                            Applicants.

                       18.2 Any attempt by an Applicant to improperly influence the Bank in
                            the evaluation of Applicants or prequalification decisions may
                            result in the rejection of its application.

                       18.3 Notwithstanding ITA Sub-Clause 18.2; from the deadline for
                            submission of applications to the time of notification of the results
                            of the prequalification in accordance with ITA Clause 25 any
                            Applicant who wishes to contact the Bank on any matter related to
                            the prequalification process, shall do so but only in writing.

19. Clarification of   19.1 To assist in the evaluation of applications, the Bank may, at its
    Applications            discretion, ask any Applicant for a clarification of its application
                            which shall be submitted within a stated reasonable period of time.
                            Any request for clarification and all clarifications shall be in
                            writing.

                       19.2 If an Applicant does not provide clarifications of the information
                            requested by the date and time set in the Bank’s request for
                            clarification, its application may be rejected.

20. Deviations,       20.1 The Bank may reject any application which is not substantially

    Applications          (a) “Deviation” is a departure from the requirements specified in
                                        the Prequalification Document;

                                 (b) “Reservation” is the setting of limiting conditions or
                                     withholding from complete acceptance of the requirements
                                     specified in the Prequalification Document;

                                 (c) “Omission” is the failure to submit part or all of the
                                     information or documentation required in the Prequalification
                                     Document; and

                                 (d) “Error” is an arithmetic or typographical or spelling mistaken
                                     in the submitted information contained in the application for
                                     prequalification.

                             20.3 The Bank’s determination of an application’s responsiveness is to
                                  be based on the contents of the application itself, in accordance
                                  with ITA Sub-Clause 4.4, and all clarifications provided in
                                  accordance with ITA Clause 19.

                             20.4 A substantially responsive application is one that meets the
                                  requirements of the prequalification document without material
                                  deviations, reservations, omissions or errors.

                             20.5 A material deviation, reservation, omission, or error is one that, if
                                  accepted would:

                                 (a) Significantly affect the scope, quality, or execution of the
                                     services specified in the prequalification document; or

                                 (b) Significantly limit, in contradiction with what is specified in
                                     the prequalification document, the Bank’s rights or the
                                     Applicant’s obligations that would originate from the contract;
                                     or

                                 (c) Affect the competitive position of other Applicants who have
                                     submitted applications that are substantially responsive to the
                                     prequalification document.
I - 12                                                        Section I. Instructions to Applicants

                       20.6 If an application is not substantially responsive to the
                            prequalification document, it shall be rejected by the Bank, and
                            may not subsequently be made responsive by the Applicant
                            through the correction of the material reservation, deviation,
                            omission, or error.

                       20.7 The Prequalification Document shall establish the possibility to
                            correct non-material deviations, reservations, omissions, and errors
                            defined in Sub-Clauses 20.2 and 20.5, provided the Application is
                            substantially responsive to the prequalification documents. In these
                            cases, the Bank shall:

                           (a) waive strict compliance with the Prequalification Document
                               and accept any non-material deviation, reservation, or
                               omission; or

                           (b) request from the Applicant to submit the information or
                               necessary documentation, within a reasonable period, in order
                               to rectify non-material errors. If the Applicant does not submit
                               the requested information within the period established by the
                               Bank, its Application may be rejected; or

                           (c) correct non-material errors.


21. Subcontractors     21.1 Applicants planning to subcontract any of the key activities
                            indicated in Section III, Evaluation Criteria, shall specify the key
                            activities to be subcontracted in the Application Submission Sheet.

                       21.2 Applicants intending to subcontract any key activities indicated in
                            Section III, Evaluation Criteria, shall clearly identify such key
                            activities and the proposed subcontractors in Forms ELI-1.2 and
                            EXP-4.3(b), in Section IV. Such proposed subcontractor(s) shall
                            meet the corresponding qualification requirements specified in
                            Section III, Evaluation Criteria. At the time of bidding, the
                            Applicant as a Bidder may only select prequalified subcontractors
                            from the list it submitted during the prequalification stage and shall
                            communicate their names with its bid.

         F. Evaluation of Applications and Prequalification of Applicants

22. Evaluation of      22.1 The Bank shall use only and all the factors, methods and criteria
    Applications            defined in Section III, Evaluation Criteria to evaluate the
                            qualifications of the Applicants. The use of other factors, methods
                            or criteria shall not be permitted.

                             22.2 Only the qualification of subcontractors that have been identified
                                  in the application may be considered in the evaluation of an
                                  Applicant. However, the general experience and financial
                                  resources of subcontractor may not be added to those of the
                                  Applicant for purposes of prequalification of the Applicant.

                             22.3 Unless otherwise indicated in the ADS, this prequalification shall
                                  be for a single contract.

                             22.4 In case of multiple contracts, the Bank shall prequalify each
                                  Applicant for the maximum number of contracts for which the
                                  Applicant meets the appropriate aggregate requirements of such
                                  contracts, in accordance with Section III, Evaluation Criteria.

23. Bank’s Right to          23.1 The Bank reserves the right to accept or reject any application, and

Introduction
Export-Import Bank of India (the “Bank”) was set up for the purpose of financing, facilitating and
promoting foreign trade in India. It is the principal financial institution in the country for co-
ordinating working of institutions engaged in financing exports and imports. The Bank completed 23
years of operations in March 2005.

Set up by an Act of Parliament in September 1981, the Bank commenced operations in March 1982
and is wholly owned by the Government of India.

Over the last 10 years, the Bank has taken several initiatives to help Indian Companies globalise their
operations. Bank’s current vision is to develop commercially viable relationships with a target set of
externally oriented companies by offering them a comprehensive range of products and services
aimed at enhancing their internationalisation efforts. Bank has been pursuing its mission of enhancing
Indian competitiveness by adopting a strategy that addresses the needs of Indian exporters through

                                 PROPOSED SCOPE OF WORK

A.     The Vendor shall provide services of Five (5) on-site technicians at Bank’s Headquarters in
       Mumbai and off-site on call support for the Regional Offices. The resident personnel will
       report daily at the Information Technology Group (IT Group) of the Bank. All complaints will
       be taken centrally at each location. These will be reviewed daily with designated authority for
       pending calls and possible escalation. In case the performance of any resident technician is
       found to be inadequate, a replacement will be provided by the Vendor.

B.     Vendor shall maintain a set of critical spare parts at the Bank premises to ensure that the
       downtime in the event of part failure is the minimum possible. The Bank shall provide the
       Vendor necessary storage space with reasonable security for storage to stock the spare parts at
       its premises, Bank however having no liability as to the safety or security of the stocks.

Details of proposed services are as under:

1. The personnel from IT facilities Management firm will assist and support the Exim Bank’s IT
    Group in various activities including but not limited to:

   A. Quarterly preventive maintenance : This will include services such as -

           1. Oiling the mechanical components

           2. Adjustments of mechanical parts

           3. Hard disk check up for bad sectors

           4. Virus and Anti-virus check

           5. Electrical installation check of Earthing / Voltages

           6. UPS – Uninterrupted Power Supply function check

           7. On-line printing check



   B. Breakdown maintenance of identified equipment as indicated in section V – site and other
      data.

           1. Vendor shall ensure that the response will be timely.

           2. Depending upon the assessment of the issue to be addressed, the vendor will –

 Arrange for delivery of required parts

 Arrange for provision of standby equipment



   C. The vendor will be responsible for activities including

 Handling trouble-shooting of software related problems pertaining to PCs, Printers and other
  associated equipment. Software includes Operating System(OS)

 Installation of software like OS, user software, Office and other software, as per setup
  procedures.

 Perodic backup of Servers such as Activity Directory Services, Oracle, Lotus Domino, Linux
  Servers.

 Enabling periodic backup of PCs of users

 Setup of Audio-Visual Presentations

 Network configuration and troubleshooting – (User Side)

 Internet Access trouble shooting and vendor co-ordination

 Co-ordination with vendors for trouble shooting, monitoring and maintenance of equipment,
  internet access, quality of leased lines etc.

 Antivirus software management on clients and servers. Monitoring the updation of Virus
  definition on the client PCs. In case of virus problem, identifying and isolating the affected PC
  from the network and fixing the problem with the virus removal tool.

 Anti-virus console management & reports.

 Configuring and troubleshooting mail client for accessing mails.

 Configuring and troubleshooting the browser for proxy settings

 User Creation / Deletion / troubleshooting on Active Directory Services, Linux Mail server, Lotus
  Domino Server.

 Maintaining call sheets and obtaining user sign-off on call closure.

 Preparation of monthly reports comprising executive summary of recurring / unusual and other
  cases handled

 Supporting users in utilizing voice / data applications over the Bank’s wide area network.

 Administration, User support and troubleshooting for the Citrix Metaframe Software

 Patch Management

 Down-time Analysis

                                        2. Service Period

The services/ maintenance will be provided for a period of one year to start with. The Contract for the
said services shall be from April 1, 2006 to March 31, 2007 for Mumbai Headquarters. For the
Regional Offices, the period shall be from the day after expiry of the ongoing Maintenance Contracts
till March 31, 2007.

The Bank will coordinate the activities of the technicians and a register of complaints will be
maintained where all calls will be logged. The technicians will work extra hours in case of any need
for problem resolution; and will be available during odd hours for any critical needs. The
consideration payable to vendor would include work required to be done beyond office (working)
hours and/ or office days of the Bank which could be mutually arranged on staggering basis.
