I.     INTRODUCTION

       Capital Legal Group, PLLC has been engaged to sell a patent portfolio directed
to systems and methods for the centralized recording and storage of digital objects
(e.g., music, video, etc.).   The portfolio consists of a single twenty-nine page U.S.
patent, one pending U.S. application, and foreign counterparts pending in the European
Patent Office and Canada.

       To date, we have identified three infringing systems.           Claim charts are
available upon execution of a confidentiality agreement.        Because the market is
growing, we anticipate more and more infringing systems to come on to the market
regularly.

       Please provide your offer no later than October 19, 2012 - although the seller will
accept a reasonable offer earlier.

II.     MARKET OVERVIEW

        The patented technology is applicable to storing video, audio (e.g., music) and
other digital objects in cloud storage. Thus, the patented technology is applicable to
remote digital video recording (DVR) services and other such services wherein the user
selects content (e.g., television show, radio shows, etc.) to record (at some point in the
future) and the system records the selected content on a server which is accessible by
the user, for example, via the Internet or a wireless network.

        As indicated in the Wall Street Journal, "the global market for 'the cloud' is
expected to soar in the next several years, but cloud computing isn't just for big
businesses; consumers use it regularly too, for storage and productivity."1 As the need
for audio and video storage increases, new players, such as Comcast, are now entering
the market.2 Consequently, the offered portfolio provides a fantastic opportunity for
significant revenue and/or increased market share to any buyer.

III.   PORTFOLIO OVERVIEW

       A. The Patent

       The patent portfolio consists of U.S. Patent No. 7,921,221, one U.S. pending
application and Canadian and European pending counterparts.
       The patented technology is directed to the centralized recording and storage of
video, audio and other such digital content, which reduces the hardware and
maintenance costs per user.        The system receives instructions from an end user
identifying content to be recorded. The content recorded may comprise:
           •    video content (such as any video broadcast over a wireless (e.g., a mobile
                telephone network) or wired network (e.g., the Internet or a cable network)
                including sports events, movies, television shows, news content, etc.; and
           •    audio content (such as any audio broadcast over a wireless network (e.g.,
                a mobile telephone network) or wired network (e.g., the Internet or a cable
                network) including music, radio talk shows, news, etc.


       The recorded content may then be accessed by the user from any device (not
just a television) including a mobile telephone, tablet, or a computer. Consequently, we
believe that the patented technology is critical to the future of audio and video
distribution.

       B. The Patent Owner

       The patents are owned Min Tnetap i Göteborg AB.         The team behind the
patented innovation has over twenty years of experience in designing, developing and
patenting fundamental innovations. They have received multiple high-tech awards and
successfully created and sold over one hundred patents in various markets within IT.
Their award achievements for example:

   •   2003 European IST Prize as one of the best European innovations
   •   2006 Patent portfolio sold to a major Telecom company


       C. Licenses, Encumbrances, Litigation, License Back

       The patents are not licensed and have never been litigated. The patents are not
encumbered and the seller does not need a license back.

      U.S. Pat. No. 7,921,221 (the '221 patent) was filed June 22, 2008, issued on April
5, 2011 includes three independent claims and 29 total claims. Claim 17 is reproduced
below followed by the front page of the patent.
