       1.         The attorney in fact is hereby authorized to execute and deliver all documents in
                  connection with the real estate closings, refinances, home equity loans, and
                  extension of credit for home equity loans including, without limiting the generality
                  hereof, mortgage deeds, promissory notes, closing statements, waivers, truth in
                  lending statements, check endorsements and Federal Housing Administration and
                  Veteran's Administration closing documents, giving and granting unto my/our
                  attorney in fact full power and authority to do and perform all and every act and
                  thing whatsoever requisite and necessary to be done in and about the premises, as
                  fully to all intents and purposes as I/we might or could do if personally present,
                  with full power of substitution and revocation; hereby ratifying all that my/our
                  attorney in fact shall do, or cause to be done, by virtue hereof.

       2.         Enter into real estate listing agreements offering the Property for sale at any price
                  on any terms and with any commission agreement.

       3.         Contract to sell the Property for any price on any terms.
       4.         Convey the Property.
       5.         Execute and deliver any legal instruments relating to the sale and conveyance of
                  the Property, including but not limited to general and special warranty deeds
                  binding Principal with vendor’s liens retained or disclaimed as applicable or

                 transferred to a third-party lender, affidavits (for example, federal tax statements),
                 notices, disclosures, waivers, and designations.
       6.        Accept notes, deeds of trust, and other legal instruments.
       7.        Approve closing statements authorizing deductions from the sale price.
       8.        Receive Principal’s net sales proceeds by check payable to Principal.

       9.        Indemnify and hold harmless any third party who accepts and acts under this
                 Power of Attorney.
       10.       Do everything and sign everything necessary or appropriate to sell the Property
                 and accomplish the powers set out.
         Interpretation and Governing Law: This instrument is to be construed and interpreted
as a limited power of attorney. This instrument is executed and delivered in the District of
Columbia, and the laws of the District of Columbia shall govern all questions as to the validity of
this power and the construction of its provisions. This instrument is intended to be effective in
all states of the United States and in all foreign countries.

        Indemnity: I hereby bind myself to indemnify my Attorney in Fact and any successor
who shall so act, against any and all claims, demands, losses, damages, actions and causes of
action, including expenses, costs and reasonable attorneys’ fees which my Attorney in Fact at
any time may sustain or incur in connection with carrying out the authority granted her or him in
this power of attorney.


        I grant to my attorney in fact full power and authority to perform every act and thing
necessary to be done in the exercise of any of the rights and powers granted in this instrument as
fully as I could do if personally present, with full power of substitution or revocation, and I ratify
and confirm all that my attorney in fact, or (his/her) substitutes, shall lawfully do or cause to be
done by virtue of this power of attorney and the rights and powers granted in this instrument.

        The rights, powers, and authority of my attorney in fact to exercise any and all of the
rights and powers granted in this instrument shall terminate on

laws, taxes or other similar matters. Client(s) realize that if additional services are sought from
Mr. Walsh, the Client(s) and Attorney will determine the scope of such additional services and the
required fees. No additional research or investigation was requested or performed. Client
understands that some documents may not be prepared without additional information obtained
from clients. Further, Client understands that the accuracy of the document(s) generated depends on
