       Contract Summary
       Contract Number: W91QUZ-09-D-0042
       Scope
       Provide state-of-the-art, commercial items needed for automatic identification, data collection,
       keyless data entry, data processing, data storage, data retrieval, data transmission, and the
       tracking of assets, including the use of radio frequency (RF) technology. Equipment includes:
       data collection devices, bar code laser scanners and imaging scanners, printers, contact or
       touch memory devices.
       Contract Type: IDIQ with firm-fixed price CLINs
       Contract Period: 7/24/2009 through 7/23/2018
       Geographic Scope of the Contract:
       Delivery and installation of hardware and software at all requisite Government sites within the
       Continental United States (CONUS) and outside the Continental United States (OCONUS)
       Delivery Order Limitations (US$)
       Minimum Single Order:
       When the Government requires supplies or services covered by this contract in an amount of
       less than $300 for monthly maintenance and $50 for all other products and services, the
       Government is not obligated to purchase, nor is the Contractor obligated to furnish, those
       supplies or services under the contract.
       Maximum Contract:
       The Contractor is not obligated to honor --
       (1) Any order for a single item in excess of $5 million;
       (2) Any order for a combination of items in excess of $10 million; or
       (3) A series of orders from the same ordering office within three days that together call for
       quantities exceeding the limitation in (1) or (2) above.
       If the order is a requirements contract (i.e., includes the Requirements clause at subsection
       52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order
       a part of any one requirement from the Contractor if that requirement exceeds the maximum-
       order limitations in paragraph (b) of this section.
       CDO will honor any order exceeding the maximum order limitations stated above, unless that
       order (or orders) is returned to the ordering office within five days after issuance, with written
       notice stating the CDO’s intent not to ship the item (or items) called for and the reasons. Upon
       receiving this notice, the Government may acquire the supplies or services from another source.

       Warranty:
       CDO will provide a minimum of a three-year warranty, including all parts, labor, and
       transportation costs for all AIT-IV components provided under this Contract. CDO will provide a
       minimum of a three-year warranty for all software products. CDO will repair or replace all failed
       AIT-IV components covered under warranty in this Contract in accordance with the procedures
       outlined below. All warranties shall be included in the purchase price of the component, and not
       priced separately. The CDO will immediately notify the ordering Contracting Officer and order
       Point of Contact (POC) regarding equipment requiring repair or replacement due to apparent
       User abuse, negligence, or missing significant parts, such as circuit cards or boards.

       Insurance:
       In accordance with the clause "Insurance - Work on a Government Installation (Jan 1997)(FAR
       52.228.5)" and this schedule, the Contractor shall acquire and maintain during the entire
       performance period of this contract insurance of at least the following kinds and minimum
       amounts set forth below:
       Workman's Compensation and Employer's Liability Insurance in accordance with the amounts
       specified by the laws of the states in which the work is to be performed under this contract. In
       the absence of such state laws, an amount of $100,000 shall be required and maintained.
       General Liability Insurance: Bodily injury liability in the minimum amount of $500,000 per
       occurrence.
       Automobile Liability Insurance in the amount of $200,000 per person and $500,000 per
       occurrence for bodily injury and $20,000 per occurrence for property damage.

       Section 1: Ordering Procedures
       1.1 Introduction
       The supplies and services are to be delivered to, or performed at, locations worldwide for
       Department of Defense (DoD) agencies, Coast Guard, North Atlantic Treaty Organization,
       Coalition Partners, other Foreign Military Sales, other Federal Agencies, and contractor
       purchases in support of DoD. The equipment and services available for order are:
               Hardware products
               Installation services
               End-user training
               Technical support

       1.2 Authorized Ordering Offices
       Ordering Contracting Officers and purchase card holders are empowered to place orders in
       accordance with the terms and conditions of the contract, the Federal Acquisition Regulation
       (FAR) and applicable supplements, and their own agency procedures.

       1.2.1 Central Order Processing Offices (COPO)
       Each delivery order and task order issued under this contract via appropriate form in compliance
       with FAR 12.204 shall be forwarded to the appropriate Service/Agency Centralized Order
       Processing Office (COPO) for verification and validation. All U.S. Marine Corps purchase card
       orders for $25,000 or more shall be submitted to the appropriate COPO for verification and
       validation. All other Service/Agency purchase card orders shall be processed in accordance
       with the Service/Agency procedures.

       1.3 Delivery/Purchase Card Orders/Task Orders
       The contractor will deliver hardware and software items to the destination specified in the order
       within 45 days after date of order for all orders (SF 1449). However, see FAR Clause 52.211-15,
       Defense Priority and Allocation Requirements, under the heading "Clauses Incorporated by
       Reference". The Contracting Officer issuing the order may arrange for a longer delivery period.
       Partial delivery is authorized, unless specified otherwise on the Delivery Order. The period of
       performance is stated on each Task Order for Technical Engineering Services, Training
       Services, and Maintenance Services. Orders are mailed or notice of award furnished to
       contractor no later than date of order (FAR 11.403). All delivery and performance schedules
       include the three-day Contractor review time for acceptance or rejection of orders. Ordering is
       decentralized, with orders being placed by any authorized Contracting Officer or purchase
       cardholder supporting the Department of Defense, the United States Coast Guard (CG), North
       Atlantic Treaty Organization (NATO), Coalition Partners, other Foreign Military Sales (FMS),
       and other Federal agencies.
       All Delivery Orders, Purchase Card Orders, and Task Orders are subject to the terms and
       conditions of this contract. The contract controls in the event of conflict with any delivery order
       or task order.

       1.3.1 Order Completion
       An SF 1449, Purchase Card form, or other authorized form is issued for each order. In addition
       to any other data that may be called for in the contract, the following information must be
       specified in each order as applicable:
       Date of order
       Contract and order number
       NOTE: Delivery Order numbering is in accordance with DFARS 204.7004 – Only the issuing
       office (ACC-RI) is authorized to use the numbers 0001-9999.
       Point of contact (name), commercial telephone and facsimile number, and e-mail address
       Ordering Contracting Officer's commercial telephone number and e-mail address
       Description of the supplies to be provided, quantity, and unit price (to include the contract line
       item number (CLIN) and/or subcontract line item number (SLIN) from Schedule of
       Supplies/Services. DFAS needs the CLIN/SLIN numbers to be reflected on the SF 1449s (or
       purchase card form) in order to do initial entry of orders into their automated payment system.
       When the Contractor submits a request for payment, DFAS compares the request for payment
       of CLIN/SLINs with the order CLIN/SLINs. Use of item numbers in Block 19 on the SF 1449 and
       not CLIN/SLIN numbers will result in payment delays and excessive administrative costs to both
       the Contractor and the Government).

       Orders for $25,000 or more are submitted to the appropriate COPO for verification and
       validation. All other Service/Agency purchase card orders are processed in accordance with the
       Service/Agency procedures. All orders except credit card orders requested by the Army, Coast
       Guard, and, other Federal Agencies shall be submitted to the Product Manager, Joint-Automatic
       Identification Technology (PM J-AIT) COPO for the assignment of a unique control number
       (UCN). Other Services should submit each order to their individual Service COPO for the
       assignment of a UCN for tracking purposes only. Upon receipt of approval from the National
       Capital Region Contracting Center Contracts Office, Government contractors authorized to use
       the AIT IV contract can order directly from the AIT IV vendor and are not required to obtain a
       UCN from a COPO.

       The COPOs forwards the order to the Contractor. Distribution of orders is made by the contract
       ordering offices, in accordance with FAR 4.2, DFARS 204.2, and agency procedures.
       Issuance of an order is defined as the date order is awarded (see also Delivery Requirements in
       Part C-1-1).

       1.4 Ordering Period
       All ordering after the Base Period is subject to the Government's Option to Extend the Term of
       the Contract. Also, any period during which there is a suspension of performance as a result of
       a bid protest does not constitute part of the Ordering Period.
       The contract life is one hundred and eight (108) months, 24 July 2009 through 23 July 2018,
       subject to Government exercise of all options to renew the term of the contract.

       1.4.1 Ordering Time Limitations
       The range of time that supplies and services may be ordered is under the following limitations.

       1.4.1.1 Hardware, Software, and Documentation
       Hardware, software, and documentation are ordered for 60 months from the date specified in
       the written notice to proceed.

       1.4.1.2 Training
       Training, if required, is ordered for 60 months from the date specified in the written notice to
       proceed.

       1.4.1.3 Technical Engineering Services
       Technical engineering services, if required, are ordered for 60 months from the date specified in
       the written notice to proceed.

       1.4.1.4 Maintenance
       Maintenance is ordered from the date the warranty expires through the remaining life of the
       contract.

       1.4.1.5 Consumables
       Consumables are ordered for 60 months from date specified in the written notice to proceed.

       1.5 Equipment Destination
       Since the intent of this Contract is to satisfy AIT requirements worldwide, and since the items
       offered by CDO Technologies are offered worldwide, all orders against this Contract must
       stipulate the intended geographic area of operation in order to ensure that the appropriate AC
       cables, plugs, and adapters are included.

       1.6 Inspection, Acceptance, and Receipt
       The Contractor will only tender for acceptance those items that conform to the requirements of
       this contract. The Government reserves the right to inspect or test any supplies or services that
       have been tendered for acceptance. The Government may require repair or replacement of
       nonconforming supplies or re-performance of nonconforming services at no increase in contract
       price. If repair/replacement or re-performance will not correct the defects or is not possible, the

       Government may seek an equitable price reduction or adequate consideration for acceptance of
       nonconforming supplies or services. The Government must exercise its post-acceptance rights

       the defect in the item.

       SMARTRACK® is a fully automated, electronic information software application and data base
       management system, specializing in Arsenal Equipment and Weapons Tracking for Military or
       Law Enforcement Managed Environments. SMARTRACK® accepts parameters to manage an
       unlimited variety of weapons and weapons related equipment and provides total life-cycle
       management of all unit assets. ASCTrac is fully functional in a standalone, field, or base
       deployment. Each SMARTRACK® System has the capability to network an unlimited number of
       individual armories, or multiple SMARTRACK® systems in one armory, to facilitate the

       exchange of data and physical weapons. SMARTRACK® provides all of the desirable features
       requested in Part D 5.9.b.
       SMARTRACK® provides statistical and strategic reporting on the entire network of armories
       comprising the SMARTRACK® System. The SMARTRACK® software is built using Object
       Oriented Software Design Methodology to create the ‘Virtual Armory’, incorporating a uniquely
       designed database that governs and manages the operation of the Software Application System
       and the collection, storage and retrieval of transactional weapons-related information.
       SMARTRACK® is currently used by numerous military customers in the US Army and US
       Marine Corps and has been deployed CONUS and OCONUS, including combat zones.
       SMARTRACK’s flexibility provides the mechanism to add any quantity or type of equipment and
       personnel from multiple units. All personnel and equipment can be managed through the
       automated arms room. Units can conduct inventory, maintenance, training, issue and turn in of
       equipment in accordance with established regulations. It is a total solution product that
       increases the accuracy of the units’ property accountability, thus allowing for increased
       readiness in the combat environment.
       Heads Up Display (HUD): produces current system status updates reminding the user of what
       scheduled tasks are to be conducted. The user is notified when maintenance is due, when
       inspections are due, amounts of items checked in and checked out, ammo storage status and
       personnel alerts. The HUD provides the user the ability to easily complete important functions.
       Master Authorization List (MAL): serves as the system controller. The MAL is a real time
       feature that displays the results of transactions as they occur to include Property Book
       Assignment, Personnel Assignment, Maintenance and Checked-Out Item Status. MAL provides
       valuable information to keep the user and customer informed of where your equipment is
       assigned, who it’s assigned to, and what the maintenance status is at all times. Assigning and
       reassigning equipment is made effortless through drag and drop interfaces.
       Turn-in and Issue: is completed in a fraction of the time it used to take. All forms are
       automatically populated and printed while automatically updating the MAL in real time. Security
       is improved through the use of the common access cards and personnel identification numbers.
       Unique features such as: rounds fired tracking, issued items reports, and personnel issue
       restrictions allow the user to customize the system to fit the organization.
       Conduct scheduled and un-scheduled maintenance: with automatic maintenance scheduling
       maintenance is no longer a monumental task. All maintenance requirements are automatically
       presented to the user, applicable forms are auto populated, maintenance statuses are then
       tracked from beginning to end and includes parts ordering and off site maintenance tracking.
       SMARTRACK® provides the capability to conduct daily, monthly and on demand serial number
       inventories in 30 percent of the time it used to take saving you hours of work. Inventories
       provide you with valuable information such as what is present, what is not present, where it is,
       when it was checked out and who is currently in possession of the items. Inventory reports are
       automatically produced and stored. Other features include:
       Track all training status results on individual and crew operated equipment to assist in future
       personnel and training assignments
       Query into the future crew and individual qualifications and assignments and battle sighting

            Software
       CDO is providing Advanced Systems Consultants’ (ASC) ASCTrac Warehouse Management
       System (WMS) to meet and exceed the manufacturing and warehouse management software
       requirement of this solicitation. ASCTrac is designed with a global perspective on both soft and
       hard goods warehousing applications, and provides functionality to support both
       warehouse/distribution and manufacturing/warehouse applications. ASCTrac has been
       deployed in the United States and internationally.
       ASCTrac provides warehouse and manufacturing production managers powerful and easy-to-
       use tools for managing floor-level operations in real-time. It supports the lifecycle of materials
       through the manufacturing process: warehousing of raw materials, monitoring work-in-process,
       and finished goods inventory. In operation, it provides support and visibility associated
       operations from receiving, bar code labeling, and product put away to customer order picking,
       advanced order planning, production picking, kitting, replenishment, and physical inventory
       counts.
       The ASCTrac Handheld user interface is designed with user prompted screens that match the
       current work flow. Handheld communications use a compact data exchange design to minimize
       bandwidth requirements. The small data packet sizes provide rapid response times, even in less
       than ideal bandwidth environments and configurations. Coupled with intelligent handheld
       terminal programming and bi-directional RF communications, ASCTrac ensures no lost
       transactions.
       ASCTrac is a true off-the-shelf product – requiring very little, if any, customization. The system
       manager allows users to access this flexibility through the runtime configuration utility. The
       configuration utility enables supervisors to configure ASCTrac to support their specific functional
       requirements and business rules. This flexibility is an important feature because it enables
       ASCTrac to support virtually any industry and workflow requirements. The system is organized
       into the modules as shown in
       Figure 1.

       version of ASCTrac WMS. Computer(s) must have Win NT/2000/XP client software installed, as
       well as the SQL client. These are the workstations used to support operator use (i.e. PC

       3.14 CLIN 0031KA, CAC Enablement Software
       CDO is providing two products from Apriva to provide this Hand Held Terminal CAC
       Enablement Software capability.
       SensaCSPware is the Cryptographic Service Provider (CSP) that provides a standard API for
       accessing the cryptographic features of the Apriva CAC Reader.
       SensaGuard is the application that provides PKI authentication to a device and/or a given
       application. SensaGuard requires SensaCSPware to function.

       3.14.1 Technical Requirements
       Microsoft Cryptographic APIs (CAPI) capability is required.

       3.15 CLIN 0040, Expedited Delivery
       Expedited Delivery of Hardware and Software Items. IAW Part C-1-1, paragraph "Expedited
       Delivery" of this contract, CDO will provide expedited delivery of hardware and software items, if
       required. The price for expedited delivery shall be negotiated on a firm-fixed prices basis. CDO
       will deliver products to destination within 7 calendar days after date of order for CONUS or
       within 14 calendar days after date of order for OCONUS, as specified in the order.

       4.1 Introduction
       CDO was incorporated in 1995 to provide quality management and information technology

       integration, consulting, facilitation, enterprise-wide outsourced support and services, software

       the marketplace today.
       Our experience as a solutions provider is built on our approach that evaluates our customer’s
       business processes, determines the solution requirements, and then selects the most suitable
       products and services to meet these requirements. Our extensive partner network and
       relationships with industry leading hardware and software providers enables us to provide cost-
       effective proven integrated solutions that meet our customer’s requirements and achieve
       expected Return On Investment (ROI) objectives. For example, CDO was selected to evaluate
       RFID technologies and their potential benefits on two Air Force Automatic Identification
       Technology Program Office contracts. On our Depot Maintenance Re-engineering Team
       (DMRT) contract, among others, CDO has demonstrated the effectiveness and process
       improvements that may be afforded through the implementation of a variety of AIT and RFID
       technologies. The implementation effort associated with the DMRT contract has demonstrated
       measurable improvements to supply chain visibility, maintenance workflow monitoring, and
       quantification of materials on-hand.

       4.3 Technical Engineering Service Considerations
       For orders exceeding $3,000, Contracting Officers will submit a Request For Proposal, which
       must include a PWS, SOO or SOR for Technical Engineering and Design Services
       requirements. Emphasis should be placed upon a description of the scope, background, current
       environment, and general and specific business objectives to be met by the proposed solution.

       4.3.1 Travel
       When a Task Order requires travel, CDO will develop travel plans and cost estimates for
       inclusion in our response to a Request For Quotation for the Task Order. CDO’s Program
       Manager will review all travel plans to ensure that they comply with the terms and conditions of
       this contract and that they comply with the Federal Joint Travel Regulations or other applicable
       regulations.

       4.3.2 TES Trip Report
       CDO will prepare and submit a TES Trip Report to the Task Order POC or Task Order COR, if
       applicable, no later than five workdays after the completion of each trip made for TES. CDO’s
       trip report will be tailored to most effectively discuss the events, accomplishments, and
       recommendations specific to the trip. As a minimum, each trip report will include:
       Report Date;
       Customer Name, address, POC, email address, and telephone number;

       4.3.3 Program Manager
       CDO’s Program Manager (PM) will be responsible for the overall performance on this contract.
       In that role, the PM will manage all orders placed, formulate work standards, schedules, staffing
       plans, and ensure project performance on all assigned tasks. Our PM will oversee the work of
       CDO’s Project Managers that are assigned to specific Task Orders, review any TES Trip
       Reports that may be required, and review all travel plans to ensure compliance with the terms
       and conditions of this contract and in accordance with the Joint Travel Regulation.

       4.3.4 Software Development Services
       CDO brings extensive experience to our customers in the area of software development. Our
       involvement spans initial concept design to field support. Our technical approach is a unique
       blend of proven processes that leverages our functional experience, our software engineering
       development expertise, our proven past performance, as well as our military background, as
       part of an integrated team approach. Our view of this integrated approach built around our
       Software Engineering Institute Capability Maturity Model – Integrated CMMI Level 2/3
       processes and industry best practices. CDO has attained a CMMI Maturity Level 2. Our
       technical approach focuses on process improvement and ensures proper execution of all
       activities including proactive management, plan, requirements determination, source selection
       support, costing, design, architecture, prototyping (as applicable), security, development,
       integration, testing, site surveys, deployment, installation, data migration, training, sustainment,
       help desk, and operational support of users, systems, and components. Our processes are
       compliant with IEEE/EIA 12207.0 Software Life-Cycle Processes (including 12207.1—Life-Cycle
       Data and 12207.2—Implementation Considerations). Our technical approach is characterized
       by adherence to Information Technology standards and our proven methodologies/processes
       and uses standard tools to the maximum extent possible. CDO’s Software Development
       Services, on this contract, are limited to the development work required to implement, modify,
       interface, and integrate AIT application(s) to existing Government application(s) and
       database(s). Services may also include new software development, which may include
       translation of existing Government code that has been deemed necessary to ensure operation
       of the system.

       4.3.5 Installation/De-Installation/Relocation Services and AIT Installation
             Plans
       CDO has proven methodologies and techniques to professionally, cost effectively, and
       accurately plan, execute, and manage Installation/De-Installation/Relocation (IDR) assignments.
       Our technical specialists and project team members follow formal procedures and utilize
       comprehensive checklists to ensure that every step in the process is completed. From initial site
       survey and analysis through on-going sustainment of operations, CDO will provide personnel
       with the solution-specific technical expertise and experience to plan, manage and execute IDR
       tasks.
       CDO will provide all necessary installation support equipment, cables for the interface of the
       various components forming an installation, including the AIT devices, servers, peripheral
       devices, and power device specific power supplies as required. CDO will provide these items

       based upon our Task Order Proposal and proposed project timeline that will be submitted upon

       CDO will install/de-install AIT equipment in accordance with the approved Installation Plan.
       CDO will develop installation/de-installation action plans that will include: detailed drawings,
       assembly, installation instructions, detailed task descriptions, estimated task sequencing,
       estimated elapsed time, labor hours, and project milestones. Additionally, these plans will
       include considerations for AIT integration requirements that are project specific. We will create a
       Bill of Materials listing required AIT components, and materials required for site modifications,
       and that meet environmental requirements. The plan will also identify roles and responsibilities
       for the customer and for CDO team personnel.

       4.3.6 Incidental Materials
       In the event that any materials required to accomplish these task orders which are not listed in
       this AIT-IV contract will be quoted as incidental materials.

       4.3.7 Contract Support Personnel
       CDO personnel are highly skilled and proven professionals that use state-of-the-art techniques,
       tools, and industry best practices on each assignment. CDO professionals are trained and
       certified on the products offered by CDO. Our people bring the proper mix of technical acumen,
       analytical and industry knowledge, and managerial leadership to each project in order to
       effectively and efficiently complete all assigned tasks. Our labor category offerings and the in-
       depth knowledge of the CDO team provides comprehensive coverage to support the
       requirements of any Task Order received.

       5.0 Training
       5.1 Introduction
       For custom developed training, CDO uses a structured training development methodology that
       adheres to the Systems Approach to Training (SAT), the Instructional Systems Design (ISD)
       model, and industry best practices as endorsed by the American Society for Training
       Development (ASTD). Our methodology will incorporate the guidance provided by the following:

       6.0 Customer Service Desk
       Customers will have access to our Customer Service Desk for customer service, initiating
       warranty repairs and replacements, warranted maintenance, and scheduling on-call warranty
       and maintenance requests. Our Customer Service Desk is designed to be the single point of
       contact between the end user and CDO for supplied products, services, and software. The
       service desk not only handles incidents, problems, and requests for information, it also provides
       a convenient way to administer returning AIT equipment when warranty or mail-in maintenance
       service is required, tracking components that must be returned, and scheduling on-call warranty
       and maintenance service.

       without submitting a formal request for help. All work history is visible to the customer via the
       Portal.

       7.0 Warranty Support
       7.1 Introduction
       CDO provides a three-year warranty, including all parts, labor, and transportation costs for all
       AIT components provided under this Contract. CDO provides a minimum of a three-year
       warranty for all software products. CDO will repair or replace all failed AIT components covered
       under warranty in this Contract in accordance with the procedures outlined below. CDO will
       immediately notify the ordering Contracting Officer and order Point of Contact (POC) regarding
       equipment requiring repair or replacement due to apparent User abuse, negligence, or missing
       significant parts, such as circuit cards or boards.

       7.2 Warranty Status Report
       CDO will provide a Warranty Status Report once each Contract year as requested by the COR.
       These reports will include but not limited to, a list of all equipment due to leave warranty status
       no later than the next twelve months with serial number, model number, Federal Agency,
       Unique Control Number, Delivery Order number, shipping date, warranty end date, Government
       User, point of contact and telephone number.

       7.3 Warranty Mail-In Procedures
       CDO will bear all shipping costs, both from and back to Government site and will be responsible
       for the equipment from the time of receipt until safe return to the Government. The Government
       will provide CDO any unusual transportation instructions for return shipment after repair. When
       the User does not require the same serial number equipment, CDO will ship a replacement item
       no later than 24 hours after notification of failed AIT component. If the User requires the same
       serial number equipment, CDO will restore all malfunctioning equipment covered under
       warranty to a fully operational condition and ship the equipment back to the User no later than
       ten workdays after receipt of the failed equipment (CONUS and OCONUS). In the event a
       same serial number component requested by the User cannot be repaired, CDO will notify the
       Government User no later than three workdays after receipt of the component at CDO’s facility.
       The Government User will provide CDO disposition instructions for un-repairable AIT
       components.

       7.4 Component Return and Tracking
       CDO will assign a RMA number and inform the User of the RMA number as the tracking
       number, and serial number for each AIT-IV component returned to CDO for warranty service.

       7.5 Warranty Replacement Parts
       CDO will only use new parts, or parts warranted as new by the OEM for repairs of failed
       Government AIT components which are under warranty. All replacement parts will be equal to
       or better than the replaced parts in terms of quality and performance. The warranty for all
       replacement items installed during the initial warranty period will be equal to the remaining
       warranty period for the original item, or 90 calendar days, whichever is greater.
       Failed parts replaced by CDO will become the property of CDO. However, the Government
       reserves the right to purchase unserviceable parts containing sensitive or classified material, as
       required by statute or regulation.

       7.6 Warranty On-Call Procedures
       CDO will provide on-call warranty service for AIT-IV IUID marking equipment in CONUS. For
       CONUS locations, CDO will provide on-call repair no later than three workdays of notification.
       When required by the using activity, CDO will provide on-call warranty service outside the
       official hours of operation. When warranty service outside the official hours of operation is
       ordered in CONUS locations, CDO will replace or return the equipment to a fully operational
       status no later than five calendar days from the time CDO is notified of the malfunction. CDO
       will provide On-call Warranty service support to repair the item on-site.

       8.0 Maintenance Support
       8.1 Introduction
       Upon expiration of the warranty, CDO will provide worldwide maintenance to repair or replace
       AIT components and provide updates and changes to software covered under maintenance.

       8.2 Maintenance Procedures
       Repaired AIT component shall be returned and received by the User no later than seven
       workdays after receipt at CDO’s facility. In the event the AIT component cannot be repaired,
       CDO will notify the Government User no later than three workdays after receipt of the
       component at CDO’s facility. The Government User will provide CDO disposition instructions
       for un-repairable AIT components.

       8.2.1 Maintenance Records – Return and Tracking
       CDO’s Service Desk Specialists will generate the necessary Returned Material Authorization
       (RMA) and provide shipping instructions that include the Repair Center destination for
       components that must be returned for maintenance. CDO’s order tracking and component
       tracking database will provide authorized users with a tool to quickly identify and track AIT
       components sent to a CDO repair center.

       8.2.2 Transportation and Packaging
       Transportation of AIT components shipped to CDO for Maintenance will be arranged and paid
       for by the Government. Return transportation of repaired or replaced components shipped to
       the User will be arranged and paid for by CDO. CDO will use a return shipping method equal to
       or better than the User’s method of shipment to the CDO facility. The Government will provide
       CDO with any unusual packaging or transportation instructions for return shipment after repair.

       8.2.3 Maintenance Replacement Parts
       CDO will only use new parts, or parts warranted as new by the OEM for repairs of failed
       Government AIT components. All replacement parts will be equal to or better than the replaced
       parts in terms of quality and performance. The warranty for all replacement items will be 90
       calendar days. Failed parts replaced by CDO will become the property of CDO. However, the

       8.3 Maintenance Types
       8.3.1 Mail-In Maintenance
       CDO will provide Mail-in Maintenance to include parts and labor on a Monthly and Per-incident
       basis for AIT Multi-Protocol Fixed Readers, Hand Held Readers, and Printers. CDO will be
       responsible for transportation back to the User for all mail-in items.

       8.3.2 On-Call Maintenance
       CDO will provide worldwide On-call Maintenance for AIT-IV IUID marking equipment. When
       maintenance service is ordered in CONUS locations, the CDO will replace or return the
       equipment to a fully operational status no later than seven workdays from the time CDO is
       notified of the malfunction. For OCONUS locations, CDO will replace or return the equipment to

       fully operational status no later than ten workdays of notification. CDO will provide on-call

       from the time the Contractor is notified of a failure. For OCONUS locations, CDO will replace or
       return the equipment to fully operational status no later than ten calendar days of notification.

       8.3.3 Monthly Maintenance
       The Government may, at its sole discretion, order monthly maintenance to be effective
       immediately upon the expiration of the warranty and continuously thereafter for any item for
       which monthly maintenance is provided. If the Government orders monthly maintenance after a
       lapse in coverage due to the expiration of the warranty or a lapse in monthly maintenance, then
       CDO will subject such items to inspection to assure the item is in proper working order. If any
       such item requires repair, the Government must order per incident maintenance for that item
       before CDO is required to accept that item under monthly maintenance. CDO will then accept
       for monthly maintenance any item that it has inspected and found to be in working order, any
       item for which inspection is not requested no later than seven calendar days after receipt of
       order for monthly maintenance or any item after completion of per incident maintenance.

       8.3.4 Preventive Maintenance
       Preventive maintenance includes all actions performed in an attempt to retain an item in a
       specified condition by providing systematic inspection, detection, and prevention of incipient
       failures. Unless otherwise specified, Government personnel will perform all preventive
       maintenance for items acquired under this Contract. CDO will provide to the Government, in
       detail, all requirements and procedures for preventive maintenance and troubleshooting-level
       diagnostics, in documentation and User Manuals. CDO will provide Material Safety Data
       Sheets to the Contracting Officer, COR and all users as specified in the individual order in
       accordance with FAR Clause 52.223-3 in Part C-1-1. CDO will provide documentation for each
       appropriate hardware CLIN that will include preventive maintenance checks, service schedules,
       and troubleshooting-level diagnostics.

       8.3.5 Software Maintenance
       CDO will provide software maintenance for all commercial software provided under this Contract
       in accordance with customary commercial software maintenance terms and conditions offered
       to the general public to include all fixes, updates and changes necessary to maintain the
       software in an operational state.
