                PROPOSAL TO ENTER INTO LICENSE AGREEMENT

The Alaska Railroad Corporation (ARRC) proposes to issue a non-exclusive license
agreement to Custom Marine Services to take possession of and remove up to 2,000
cubic yards of gravel within the ARRC Whittier Reserve. The purpose for the gravel
removal is to provide fill material for a private lot in the City of Whittier Townsite.

Location: two ARRC gravel pits, the first located within Lots 5 & 6, City of Whittier
Subdivision, Phase Two, and the second located east of the tank farm in Whittier,
Alaska.

Proposed Term of Agreement: 45 days, with options to extend as needed to meet
quantity authorized.

Use of the premises is for no other purpose than: Gravel extraction.

Maps depicting the exact location are available for review. This file (excluding
privileged or proprietary information) is available for inspection during regular business
hours, Monday through Friday, at the office of the Director of Real Estate, of the Alaska
Railroad Corporation, 327 West Ship Creek Avenue, Anchorage, Alaska. Comments
may be submitted in writing to the Director, Real Estate, P.O. Box 107500, Anchorage,
Alaska 99510-7500 and must be submitted on or before October 5, 2009, after which
time the ARRC’s decision to issue the license agreement may become final. Questions
