“AAACPL” OR “The Auctioneer” on their Portal www.aaacpl.com

SPECIAL INSTRUCTIONS : (Costs towards its compliance if any to be borne
solely by the successful Bidder)
   1. The successful bidder will have to get the necessary Licence / permission from
      Concerned / appropriate Authorities, if required.

   2. Any other statutory compliance if required has to be complied with by the
      successful bidder.

   3. NOTE : CHANGE OF NAME WILL NOT BE ALLOWED

           LIST OF UNCLEARED / UNCLAIMED IMPORT CARGO
Plant and Machinery, Spares, Printed Matter, Electrical Spares and equipment, Ball
Bearings, Synthetic and Metallic Yarn, Computer peripherals, Electronics items, Textile
Materials / Fabric / Cloth / Garments materials subject to approval of same by Textile
commission at the expenses of the successful bidder, Plastic goods, Automobile Parts
and many other ATTRACTIVE ITEMS.

The above referred dates for respective Auction are liable to be postponed to the next
working day in case of any un-scheduled unforeseen Holiday / Bandh or for any
administrative reason, etc.

                        GENERAL TERMS & CONDITIONS
Subject to the reserve price fixed by MIAL, or persons duly authorized in this regard by
MIAL and subject to the terms & conditions contained herein, all sale shall be made to the
highest bidder on “AS IS WHERE IS BASIS WHATEVER IT IS” and on “NO COMPLAINT
BASIS”.

   1. SELLER : Seller referred to in these conditions of sale, is the Department of
      Customs through their officers AND/OR the Custodian, M/S. MIAL.

 2. AUCTIONEER : AAACPL is an agency appointed as an auctioneer to facilitate
    e-auction by the Custodian. They are expected to facilitate organising and
    conducting an auction and are considered as third party not particularly interested
    in the item/s being sold for and on behalf of the MIAL.

 3. BIDDER : Any person representing as an Individual OR as Proprietor OR as a
    Partner OR as an Authorized Representative of any company and who is paying
    the Caution Money Deposit (CMD) and getting Registration with AAACPL is
    considered as a registered bidder. One individual can represent as a bidder on his
    own behalf or on behalf of his company. But he can’t register separately for
    himself & company at the same time. Bidder must read the terms and conditions
    of the auction sale very carefully and then only place his signature on the
    “Registration-cum-Acceptance Form” given in Annexure-I.               He is also
    expected to record his address, Telephone Numbers, Fax No, e-Mail address, as
    all the communication would be forwarded only at that address.

 4. AAACPL runs its business on a Website. However, it is out-sourcing server space
    from a third party hosting company and hence shall ensure the smooth running of
    the website in all good faith and intention. MIAL / AAACPL will not be held
    responsible for any failure of power, network, server, hosting server, internet
    connectivity, ISP or otherwise at Bidder’s end or at MIAL / AAACPL directly or
    indirectly affecting Online method of Bidding.

 5. All the consignments will be sold on “LOT BASIS” or part thereof. Goods may be
    sold in one or more lots as found suitable and convenient and / or advantageous in
    the opinion of the committee nominated by the Vice President (Cargo), MIAL OR
    an Officer authorized by him, present at the sale.

 PARTICIPATION
 6. The prospective bidder has to register with the auctioneer at MIAL, Cargo
    Disposal Unit (ex-Import Warehouse), Near Marol Pipe Line, Sahar Road,
    Andheri (East) Mumbai – 400 099 (hereinafter referred to as “MIAL Office”).
    The prospective bidder shall have to deposit Caution Money Deposit (CMD) of
    Rs.1,00,000/- (Rupees One Lac Only) at the time of registration by way of Demand
    Draft / Pay Order ONLY drawn on any Scheduled Commercial / Nationalized Bank
    drawn in the favour of “Mumbai International Airport Pvt. Ltd.” payable at
    Mumbai. CASH WILL NOT BE ACCEPTED.

 7. On receipt of CMD along with the “REGISTRATION-cum-ACCEPTANCE Form”
    (Attached with catalogue) the Auctioneer will provide User – Identity and Password
    to the registered bidder, which is to be used for ACTUAL Online Auction.

The User ID and Password will ONLY be e-mailed to the registering bidders and
hence a valid e-mail address should be entered in the Acceptance Form by the
bidders.

     Bidders SHOULD NOT disclose their User ID and Password to anyone and
     safeguard its secrecy. It is not possible to change the User ID OR the
     Password for the auction for which they have registered.

     Kindly note, under no circumstances User ID and Password would be given
     over the telephone OR any other e-mail address.

  8. The minimum bid price i.e. base price will be displayed against each lot on the
     bidding screen of all participating bidders. The software will not accept any bid
     lower than the minimum-bid price. All communication shall be by email only.
     Please note that no postal / courier communication shall be forwarded.


  CMD PAYMENT, CMD REFUND AND CMD FORFEITURE

  9. The Non interest bearing (CMD) Caution Money Deposit paid before the start of
     the auction is adjustable in the balance full payment as per the bid by the
     successful bidder. The CMD of the successful bidder will be retained, whereas the
     CMD of the un-successful bidders will be returned on the next working day after
     the close of the auction by Cargo F&A Deptt. at MIAL Office.

  10. Successful bidder has to pay the full payment as per the bid within the stipulated
      time detailed hereunder for ALL the lots in which he is successful. Failing to pay
      the required full payment for even one lot will lead to the forfeiture of the CMD
      deposited and the such bidder will be barred from taking part in the future auctions
      / tender sales. The lot will be sold to the next highest bidder at the sole discretion
      of MIAL. Bidders are required to make full payments as per bid for all the lots for
      which they have been declared as successful bidders.

  LOT CONFIRMATION

  11. The highest bid will be taken ONLY on Subject to Confirmation basis. After the
      closure of the auction, the lots which are accepted by MIAL as ‘Confirmed
      Acceptances’ will be intimated to the successful bidder by the Auctioneer ONLY
      through e-Mail upto 1800 hrs on or before 13.05.2011

  12. Please note the intimation of Confirmed Acceptance for the lots listed for sale by e-
      Auction will be sent ONLY through E-mail and Not by Courier / Post.

  13. Within three working days from the date of intimation of such confirmed
      Acceptance, i.e. upto 1500 hrs on or before 17.05.2011, the highest / successful
      bidder has to pay full amount as per his bid less the CMD deposited earlier, at the
      MIAL office by way of Demand Draft / Pay order only drawn on any scheduled
      Commercial / Nationalized Bank in favour of “MUMBAI INTERNATIONAL
      AIRPORT PVT. LTD.” Payable at Mumbai.

 14. If no intimation reaches the successful bidders beyond a reasonable time for
     reasons beyond the control of the Auctioneer / MIAL, the bidders shall
     endeavour to find out the status before the expiry of the above time limit . It
     is explicitly made clear that Non-receipts of Intimation from the Auctioneer /MIAL
     shall not be an excuse for non-payment and CMD will be forfeited if the highest /
     successful bidder fails to pay the required total amount as per the bid before the
     due date .


 15. Since the bill of entry is to be filed for all lots, bidders are expected to make the full
     payments as per the bid(s) after confirmation of lots within the stipulated time to
     ensure payment of duty and processing of documents in time.


 16. In case an NOC is required for any lot from regulatory bodies or Government
     Agencies for confirming the sale and the same is refused, the CMD / BID amount
     deposited for that lot will be refunded to the bidder WITHOUT INTEREST by MIAL.


 17. The Successful bidder has to make the full payment as per the bid(s) and take the
     delivery of all the lots in the specified period for which he is successful failing which
     full amount deposited will be forfeited. Further, such bidder shall not have any
     claim in the subsequent disposal of the subject lots. Auction Sale Gate Pass will be
     issued by MIAL only on completion of Customs formalities and full payment of
     MIAL dues.


 18. If the bidder fails to make payment and / or take delivery of the material within the
     allowed period, MIAL shall have the right to auction the un-delivered material
     immediately in the next auction without any intimation to the successful bidder and
     the bid money deposited by the bidder shall be forfeited.


 TAXES and OTHER INCIDENTAL EXPENSES :

 19. All bids are invited for the net amount accruable to MIAL and relevant taxes,
     levies, etc. of State, Central Government and as also Local self Government such
     as VAT, Octroi or any other applicable tax will be calculated as extra, except
     Customs Duty shall be payable by the Successful bidder immediately to ensure
     timely removal of lots from the custody of MIAL and all the other taxes as stated
     herein shall be paid by the Successful bidder before taking delivery.

 20. It is expressly made clear that, all the successful bidders should have the
     applicable license(s) etc. for the goods they are bidding for.

 21. The intimation of Confirmed Acceptance of Bid and Sales Invoice will be issued
     ONLY in the name of the Bidder as is recorded in the Registration Form. Any
     further correspondence will be only with the Bidder(s) on his / her name and
     address as recorded in the Registration Form. Kindly note that any request for
     change in Bidder Name shall not be entertained under any circumstances.

 INSPECTION

 22. Goods are sold on “AS IS WHERE IS BASIS WHATEVER IT IS” and on “NO
     COMPLAINT BASIS”. Quantities, qualities, sizes, measurements, numbers and
     weights whether displayed on the system, at the time of Online Auction Sale or
     specified in the catalogue are sold on the assumption that the bidders have
     inspected the same and known what they are buying. The doctrine of Caveat
     emptor will apply. The Auctioneer / MIAL do not give any guarantee or warranty
     or undertake any responsibility for the make, manufacture, description, quantity,
     quality, condition, size, weight, grade, accuracy, soundness, completeness, etc., of
     the goods mentioned in the catalogue or displayed in the system. The lot (s) shall
     be removed in full from the site with all faults and flaws, if any, in description or
     otherwise and no selection or sorting of the material will be allowed. No complaint
     will be entertained after the lot is knocked down.

    All bidders shall be deemed to have read and acquainted themselves with these
    conditions of sale and agreed to bid subject to these conditions only.

    No sale shall be invalidated by reason of any defect or default in any of the lots or
    on account of any of the lots being inadequately described and no compensation
    shall be paid in respect of such default or deficiency of description.

 AMENDMENTS

 23. MIAL reserves the sole right to make any announcements during the auction
     including any amendments in the conditions mentioned in the catalogue and/or
     addition deletion of items being offered for sale.

 24. Any lot or part thereof may be withdrawn from the sale at any time before it is
     actually physically delivered out of campus without disclosing the reason for such
     withdrawal. However, if any payment has been made it would be refunded without
     any interest thereon.

 DELIVERY

 25. The goods shall be lying in the premises after the conclusion of the bidding at the
     sole risk and cost of the successful bidder in all respects and the bidder shall take
     the delivery at his own expenses within three (3) working days from the date of
     intimation through e-mail and in any case not later than the period prescribed
     above.

 26. Delivery of goods will have to be taken as per e-mail sent by the Auctioneer within
     the next three working days of completion of the Customs formalities and subject
     to receipt of full payment by MIAL and it would be effected during normal working
     hours only. In order to complete delivery within the working hours all loading must
     be completed half an hour before the closing time.

 27. Should the Successful Bidder wish to take the delivery of the lots through a
     Customs House Agent(s)(CHA) or his representative, he must authorize his
     representative through a letter of authority, which shall be presented to MIAL.
     Delivery by proxy will be at the bidder’s sole risk and responsibility and no claim
     shall lie against MIAL if the delivery is effected to wrong person (s).

 28. When the lot sold is not available for any reason for delivery, amount received
     against sale will be refunded to the bidder without interest. In case, parts of the lot
     are not available for delivery, proportionate refund of amount received will be
     made. The decision of the Vice President (Cargo), MIAL will be final and binding
     on the bidder in this regard. No interest shall be payable on such refund.

 29. Delivery orders / Gate Passes will be made out in name of the successful bidder
     only.

 30. Vice President [Cargo], reserves the right to withdraw any lot or lots from the
     Auction Sale in part or full without assigning any reason, before Physical delivery
     of Materials is effected on the merits of each case. In such cases the money
     already paid as complete payment(s) as per bid of the Lots shall be refunded to
     the bidder on pro-rata basis, without any interest, as the case may be.

 31. Delivery of lots containing Textile/Fabric/Clothes/Garments Materials shall
     be effected only after approval of sample by the office of Director
     (Laboratories), Textile Committee, Govt. of India, Ministry of Textile, P. Balu
     Road, Prabhadevi Chowk, Prabhadevi, Mumbai – 400 025 at the sole
     responsibility of the Successful Bidder within Fifteen (15) days from the
     Date of Auction of such goods. Testing charges of these goods shall have to
     be borne by the successful bidder.

 32. The automobiles / vehicles are being auctioned on ‘AS IS WHERE IS BASIS’
     and ‘NO COMPLAINT BASIS’ without any commitment on their
     roadworthiness and requisite fitness. MIAL shall not be responsible and/or
     liable in any manner for its non-registration by RTO or any other claim/action
     by any statutory authority and no claims in that behalf shall be entertained
     by MIAL.

 EXCLUSIVE RIGHTS
 33. MIAL reserves the right to modify and amend ‘Terms and Conditions’ and display
     the same if need be while the auction is in progress or prior to commencement of
     auction.

 ARBITRATION
 34. In the event of any dispute the same shall be referred to a sole arbitrator to be
     appointed by the Managing Director of MIAL and the Arbitration proceedings will
     be governed by Arbitration and Conciliation Act 1996. The jurisdiction for filing the
     award into court or any other proceedings under the Arbitration Act shall be that of
     courts in MUMBAI City and the proceedings shall be conducted in English
     language only. All expenses pertaining to Arbitration shall be borne by the bidder
     alone.

 35. MIAL will not be in any way responsible for failure to deliver the goods as per
     delivery schedule due to causes beyond their control such as strikes, lockouts,
     cessation of labour, shortened hours, acts of God or other causes or contingency
     whatsoever. The bidder shall not be entitled to cancel the contract and the period
     of delivery shall be extended accordingly as may be notified.

 DEMO AUCTION

 36. To familiarize with the bidding process, a DEMO auction / MOCK Auction will be
     activated on the site on 11.05.2011 at 1500 hrs. for One hour for the Registered
     user (s) only, to clarify their doubts, if any.

 STEPS FOR ACTUAL BIDDING PROCEDURE

       Go to www.aaacpl.com and Enter “Login ID and Password”. When a bidder
        logs in on www.aaacpl.com it is deemed that the bidder has accepted the
        Terms & Conditions of the Seller.

       After successful login the bidder will be able to view all the details about the
        auction. The bidder will also view the list of the lots kept for auction.

       The bidding screen will be available to the bidder to start bidding. There will be
        lot number and Lot name describing the lot on hyperlink. ‘Current bid’ column
        will show the highest bid for the lot. ‘Your bid’ column will show the bid amount
        for the lot by the bidder.

       The Minimum Bid Price / Base Price has been recorded against each lot. The
        software will not accept any bid lesser than the Minimum Bid Amount. The bids
        shall be offered lot-wise and in no case combined bidding shall be allowed.

       Bidder can click on the bid button in the row of the lot to bid for that lot. (The
        Bid should be placed without any decimal or Comma marks) This will lead to a
        pop-up window to enter the bid amount for the lot. The bid amount should be
        greater than the current bid amount for that lot.

       The auction is set for the particular time period and each lot is allotted 4 (Four)
        minutes at the maximum. Bidding will automatically stop at the end of the time
        period of each lot. The server time will always be shown on the bidding screen
        to know the start time, remaining time and the time of close of auction. There is
        NO TIME EXTENSION AVAILABLE.

        Highest bids made by the bidders are taken only Subject to Approval from the
         seller at the close of the auction. The bid value last accepted by the system will
         be taken for deciding the status. Only if two bidders bid with same amount, the
         first bid received by the server will be the winning bid.

           The bidders would be required to feed their bid – amount by using keyboard
            only. There is no provision for increasing the bid by clicking at the key
            button for highest Bid + Increment.

           No bidder can increase his own bid in case he happens to be the highest
            bidder until some other bidder makes a higher bid for the same. A suitable
            message in this regard would appear on the same screen giving the highest
            bidder status. All Bidders are further required to ascertain their current
            highest bid status in the bid- history screen as an abundant precaution
            constantly.

           There will be a gap of One (1) minutes between the lots for bidding and a
            suitable message will flash on the bidding screen.


A NOTE OF CAUTION FOR THE BIDDERS

     Bidding during the last minutes of e-auction may encounter certain
     unforeseen problems such as time-lag, heavy traffic, system / power failure
     at the user end etc.

     In order to avoid such problems and also not to lose out bidding, the bidders
     keen on buying any particular lot, are advised not to postpone the bidding to
     the last moment and to give their maximum bid at the earliest.

   Format of Acceptance Form to be duly filled and submitted along with
   visiting card at the office of Mumbai International Airport Pvt. Ltd. at Cargo
   Disposal Unit (ex-Import Warehouse) Marol Pipe Line, Sahar Road, Andheri
   (East), Mumbai – 400 099 (hereinafter referred to as ‘MIAL Office”) along with
   Caution Money Deposit (CMD).

           REGISTRATION – cum – ACCEPTANCE FORM
   I/We confirm having

      1. Gone through the above-mentioned terms and conditions and steps for
         actual bidding process and agree to take part in the e-Auction for sale of
         Unclaimed/Uncleared Import cargo by Mumbai International Airport Private
         Limited.

      2. I/We have read the terms & conditions mentioned in the catalogues & I/we
         confirm that, I/we have understood the same very clearly. There is no
         ambiguity whatsoever & they are acceptable to me/us & shall be binding on
         me/us.

      3. The decisions on all issues taken by representatives of Seller in all respects
         shall be binding on me/us.

      4. I/we also undertake to abide by the additional conditions if announced
         during the auction including the announcement of correction in catalogue
         and / or additions or deletions of items being offered for sale.

      5. I/we note with due care that the Auctioneer shall be making the
         announcements of correction with the consent and knowledge of the
         Custodian and auctioneer shall not be liable for these last minute change.

      6. Having inspected the material and having been satisfied with the condition
         and type of the same, I/we agree to take part in this e-Auction on an “AS IS
         WHERE IS BASIS AND WHATEVER IT IS” and “NO COMPLAINT BASIS”.

      7. I/We also understand that I/we am/are legally bound to purchase the
         material at the Price at which I/we place the bid.

      GENERAL CONDITIONS OF TENDER SALE
       GENERAL CONDITIONS OF TENDER SALE
1.   Catalogue priced at Rs.150/- + 5% VAT (Total Rs.158/-) will be available for Sale
     Three working days before the date of E-AUCTION at MIAL office between 1100 hrs
     to 1700 hrs on all working days prior to E-AUCTION.

2.   Prospective bidders can inspect the samples / Lots for sale on the specified date(s)
     at MIAL Office between 10.30 hrs. to 17.00 hrs.

3.   Sealed tenders will be accepted upto 11.00 hrs on date as notified and opened at
     11.30 hrs. on the same day at MIAL Office in the presence of tenderers who wish to
     be present.

4.   Sealed tender should be deposited in the tender box kept at the MIAL Office. No
     tender will be accepted after the stipulated closing time under any
     circumstances.

5.   The results of tenders will be displayed on the Notice Board at MIAL Office on Next
     working day and through e-mail also.

6.   The conditions of sale will apply to all sale of goods on “AS IS WHERE IS BASIS
     WHATEVER IT IS” and on “NO COMPLAINT BASIS”

7.   All bidders shall be deemed to have read and acquainted themselves with these
     conditions of sale as mentioned in the Catalogue and agree to bid subject to these
     conditions only.

8.   No offer except in the authorised tender form attached in the manual catalogues
     shall be considered

9.   Offers received in envelope duly sealed shall only be considered.

10. Quotation for each lot shall be filled separately in prescribed tender form
    alongwith Earnest Money Deposit equivalent to 33.33% of offer made, by
    Demand Draft/Pay Order issued by any Scheduled Commercial / Nationalized
    bank in favour of “Mumbai International Airport Pvt. Ltd”, payable at
    Mumbai. Offers without appropriate EMD shall be treated as invalid. The
    combined offers of lots is not acceptable and would be outrightly rejected

11. The balance of the bid amount of the lots shall be paid by the successful
    bidder within three (3) working days (10.00 hrs. to 15.00 hrs.) from the next
    working day of declaring result and in case of non depositing of the Balance
    Amount within the said period the same shall be treated as cancelled and
    CMD and EMD deposited by the bidder shall be forfeited. The physical
    delivery of the Tender lot shall be effected within three (3) working days after
    custom clearance of the goods.

12. The Presiding Officer, while opening the bids, reserves the right to ordering
    any person to leave the Tender Hall for misbehaviors or indiscipline in any
    manner by himself or through his agents.

13. The bidders are directed to give their Correct Name, detailed Postal Address,
    email id and Contact Numbers Name, Address once given in the Tender Form
    shall not be changed. Receipt shall be issued in the name given in the tender
    form only.

14. MIAL reserves the right to reject any tender or all tenders, in part or in full
    without assigning any reason and in such cases the money already paid as
    EMD or complete payment of the lots thereof, shall be refunded to the
    concerned bidder on pro-rata basis without any interest.

15. Any lot or part there of may be withdrawn from the Tender sale at any time,
    before it is actually sold and/or delivered without assigning any reason for
    such withdrawal, on the merits of each case. In such cases the money
    already paid as EMD or complete payments of the lots thereof, shall be
    refunded to the concerned bidder, on pro-rata basis, without any interest, as
    the case may be.

16. No sale shall be invalidated by reason of default in any of the lots or on
    account of any of the lots being inadequately described and no compensation
    shall be paid in respect of such default or deficiency of description.

17. The goods are sold on “As is where is Basis Whatever It Is” and on “NO
    COMPLAINT BASIS” The lot or lots shall be removed in full from the site with
    whatever faults and flaws in description or otherwise and no selection or
    sorting of the material shall be allowed. Quantities, Qualities, Sizes,
    Measurements, Numbers and weight stated are all approximates. Lots are
    sold on the assumption that the bidder has inspected the lot(s) prior to bidding
    and what he is bidding for. No complaint shall be entertained after the lot(s) is
    once knocked down in bidder’s favour.

18. The Lots shall lie at the sole risk and responsibility of the bidder in all respects
    from the time of sale and must be taken away by the bidder at his own
    expenses within 3 working days after completion of custom formalities.

19. Should the Successful Bidder wish to take delivery of the goods through a
    Custom House Agent (CHA) or his representative, he must authorize his
    representative through a letter of authority, which shall be presented to MIAL.
    Delivery by proxy will be at the bidder’s sole risk and responsibility and no
    claim shall lie against MIAL if delivery is effected to wrong person(s).

20. When Lot/s sold are not available for any delivery, amount received against
    sale will be refunded. In case parts of the Lot/s are not available for delivery,
    proportionate refund of amount received will be made without any interest.
    The decision of the Vice President (Cargo), MIAL will be final binding on the
    bidder in this regard.

21. Delivery order / Gate pass will be made out in the name of successful bidder
    only.

22. All bids are invited for the net amount accruable to MIAL and all relevant
    taxes, levies etc. of State, Central Government and as also Local Self
    Government, such as VAT, Octroi or any other applicable tax will be
    calculated as extra, except Customs Duty shall be payable by the successful
    bidder immediately to ensure timely removal of lots from the custody of MIAL
    and all the other taxes as stated herein shall be paid by the successful bidder
    before taking delivery.

23. It is expressly made clear that all successful bidders should have the
    applicable license etc, for the item they are bidding for.

24. Delivery of Lots containing Textile/Fabric/Clothes/Garments Materials
    shall be effected only after approval of sample by the Office of Director
    (Laboratories), Textile Committee, Govt. of India, Ministry of Textile, P
    Balu Road, Prabhadevi Chowk, Prabhadevi, Mumbai – 400 025 at the
    sole responsibility of the highest Bidder with Fifteen (15) days from the
    Date of Tender of such goods. Testing charges of these goods shall
    have to be borne by the successful bidder.
