Reassessment Coursework Template – Summer 2012
This document describes the arrangements for students who need to take reassessment over the
summer period. Any coursework or other item submitted to the Undergraduate or Postgraduate
Office must be handed in no later than 5pm on Fri 27th July.
Work submitted later than the 27th will only be marked if a) it is handed in within 10 working days
of the deadline and b) a claim is accepted through the University’s mitigating circumstances
procedure. There is no late coursework period available for students without agreed mitigating
Students should be aware that they are expected to submit all items of assessed work and may be
withdrawn/discontinued from their programme if this is not the case.

Submission arrangements and deadlines:
All coursework reassessments must be submitted to the Undergraduate
or Postgraduate Office no later than 5pm on Friday 27th July. (If any
alternative method of submsssion has been formally agreed, this must
be clearly specified here. The same deadline must apply as for
submission to UG/PG Offices.)

BL2011 Reassessment Coursework 2012
1. Micro Ltd is a company that is based in Miltshires. Dino, Alex and Mark are the shareholders and
directors of the company. Dino had helped his cousin, Alex to become a shareholder and director of the
company by granting him an interest free loan. In return, Dino had hoped that Alex would always vote as
directed by him and that Alex would sell his shares to him after a period of five years at a price to be fixed
by Dino. During the first two years of the business, Alex voted as directed by Dino. However, recently Alex
started disagreeing with Dino on company matters and has repeatedly turned down Dino's offer to buy his
shares. Instead, Alex is trying to assume more control in the company as its profit margin has increased in
recent years. Dino and Mark have also discovered that Alex is diverting part of the company's business to a
rival company in which he has an interest.
Dino now wishes to alter the company's articles of association so as expel Alex from the company by buying
his shares, since Mark is not interested in acquiring more shares in the company. The new articles would
read as follows: "Any member who carries on business competing with the company shall be required by the
company, by ordinary resolution, to sell his shares to the other members at a fair price to be fixed by the
a) Advise as to whether Dino can proceed with the proposed alteration.
b.) What difference, if any, would it make to your answer if the alteration were to read as follows: "The
company could by ordinary resolution require any member to sell his shares to the other members at a
fair price to be fixed by the directors."

deducted if your answer is more than 150 words outside the word limit. You are expected to word
count your work and include a note of this at the end. You should read the grading criteria in
your module booklet before attempting the question.
