                   AMENDED MOTION OF THE CITY OF CERRITOS
                        FOR CERTAIN DETERMINATIONS

          Pursuant to Rule 1.12 (relating to amended documents) of the Rules of Practice and

Procedure of the Public Utilities Commission of the State of California (“Commission”), the city

of Cerritos hereby amends its previous motion, dated July 15, 2010, requesting a ruling setting

forth various determinations as to how the renewables portfolio standard (“RPS”) program

should apply to Cerritos. To date, Cerritos has operated its “community aggregation” program in

accordance with RPS requirements applicable to “local publicly owned electric utilities,” as

defined under Public Utilities Code (“P.U. Code”) Section 224.3 (“POU” or “municipal utility”).

As further described below, and in light of recent events, Cerritos believes the Commission

should determine that Cerritos’ community aggregation program should continue to be subject to

the RPS requirements applicable to municipal utilities, and that Cerritos should not conform to

the RPS requirements applicable to electric service providers (“ESPs”) or community choice

aggregators (“CCAs”).1

I.        INTRODUCTION AND SUMMARY

          On July 15, 2010, Cerritos filed a motion in this proceeding seeking various

determinations as to how the Commission’s RPS rules should apply to Cerritos’ community

aggregation program.2 The Original Motion provided a description of Cerritos’ unique status

among load serving entities in California, and Cerritos’ implementation of regulatory

requirements since it initiated electric service in mid-2005. As relevant here, Cerritos was

allowed to provide direct access service, notwithstanding the Commission’s previous suspension

of direct access, because in 2002 the Legislature enacted Assembly Bill (“AB”) 80, which

specifically authorized Cerritos to operate as a community aggregator and provide direct access

service within its city boundaries.3 Following enactment of AB 80, the Cerritos City Council

established Cerritos’ municipal utility.4 Cerritos’ community aggregation program is

implemented by and operates under the auspices of Cerritos’ municipal utility. As such, the

Cerritos City Council serves as the program’s local regulatory authority, establishing rates and

adopting policies for the program. Among other things, the Cerritos City Council has adopted

RPS and Resource Adequacy (“RA”) policies for Cerritos’ community aggregation program.5

       The Original Motion also described the process outlined in A.09-06-008 by which

Cerritos was to address the applicability of the Commission’s RPS requirements to Cerritos’

community aggregation program. In D.10-01-012, the Commission affirmed a finding that the

assigned commissioner and administrative law judge had earlier made in the Scoping Memo.6

Specifically, the Commission found that, based on language in Cerritos’ agreement with

Southern California Edison Company (“SCE”), “Cerritos is subject to the RPS requirements and

is required to participate in the RPS program.”7 The Scoping Memo directed Cerritos to seek a

determination in this proceeding as to which RPS rules (those applicable to ESPs or those

applicable to CCAs) should apply to Cerritos.8 Cerritos filed the Original Motion in compliance

with the Scoping Memo’s directive. Because Cerritos operates its community aggregation

program on an opt-in basis, similar to direct access transactions, Cerritos suggested in the

Original Motion that the Commission’s RPS rules applicable to ESPs would probably be the

most appropriate to apply to Cerritos.

       Subsequent to Cerritos’ filing of the Original Motion, the regulatory landscape has

undergone certain changes with respect to RPS rules for small load-serving entities. From these

changes, it has become increasingly clear that shoe-horning Cerritos, as a small municipal utility,

into one of two broadly applicable RPS categories (ESPs or CCAs) is unnecessary and

problematic. Two changes illustrate this point. First, illustrating why this is unnecessary, on

September 23, 2010 the California Air Resources Board (“CARB”) adopted its Renewable

Electricity Standard (“RES”).9 The RES specifically describes Cerritos as a community

aggregator, and makes various accommodations for Cerritos as a small community aggregator.

The RES and other laws and regulations pertaining to municipal utilities make additional RPS

oversight unnecessary and unduly burdensome. Second, illustrating the problematic aspect of

defining Cerritos as an ESP for RPS purposes, the Commission recently issued several proposed

decisions imposing additional RPS limitations and obligations on ESPs. Among other things, if

applied to Cerritos, these proposed decisions would limit Cerritos’ use of tradable renewable

energy credits (“TRECs”)10 and would obligate Cerritos to develop comprehensive annual RPS

procurement plans.11

       In comments made to the Commission on the TREC Proposed Decision, Cerritos

described the challenges (both practically and legally) of applying Commission-adopted RPS

rules, including the TREC usage limit, to a small municipal utility like Cerritos.12 For example,

while the TREC Proposed Decision would continue to allow two small investor-owned utilities

(Mountain Utilities and Bear Valley Electric Service) to be exempt from the TREC usage limit,

the TREC Proposed Decision would not make comparable accommodations for Cerritos. A one-

size-fits-all approach is extremely problematic for Cerritos.

       Together, these regulatory changes have caused Cerritos to re-examine the

appropriateness of applying the Commission’s RPS rules to Cerritos as a community aggregator.

Cerritos now desires to amend and supplement the Original Motion. Specifically, as supported

below, Cerritos requests confirmation from the Commission that Cerritos’ community

aggregation program should continue to be subject to the RPS requirements applicable to

municipal utilities. This differs from the Original Motion in which Cerritos expressed a

willingness, in light of Cerritos’ agreement with SCE, to contractually subject itself to the

Commission’s RPS program as an ESP.

II.    DISCUSSION

       A.      The Regulatory Landscape For Small Load-Serving Entities Has Changed In
               Recent Months

       In addition to being postured differently from a jurisdictional perspective (see below),

Cerritos is also postured differently than ESPs and CCAs from a practical perspective.

Specifically, Cerritos is a very small load-serving entity.13 In this regard, there appears to be

growing recognition among regulatory agencies that small load-serving entities should be treated

somewhat uniquely with respect to RPS matters. This recognition can be seen on two fronts:

CARB’s RES and the Commission’s proposed TREC treatment, both of which suggest that, from

a practical perspective, Cerritos should be treated differently than larger ESPs and CCAs.

       CARB’s adopted RES is supported by a documented titled “Initial Statement of

Reasons.”14 The Initial Statement of Reasons identifies Cerritos as a unique load-serving entity.

Cerritos is singled-out as “the only community aggregator in California,” with CARB specifying

that a “community aggregator is a local government that purchases electricity for its end-use

customers and does not own distribution facilities or transmission facilities.”15 Of particular

relevance to Cerritos, CARB’s adopted RES includes a specific section that exempts (with the

exception of a reporting requirement) “a Regulated Party that had annual sales of electricity to

retail end-use customers of 200,000 MWh or less, averaged during calendar years 2007 through

2009.”16 CARB’s logic for exempting such smaller entities is described in Chapter VII

(Regulatory Design Assessment) of the Initial Statement of Reasons,17 and is summarized as

follows:

       The analysis shows that retail sellers that qualify for the partial exemption
       are so small that they do not have the staffing or budget to absorb the
       administrative burden of compliance with a 33 percent renewables
       requirement. Requiring these entities to spend additional funds to procure
       renewable energy or RECs would create a disproportionate use of
       resources relative to the environmental benefits.18

       Based on this analysis, “ARB staff determined that [regulated parties] that annually

provide no more than 200,000 MWh of electricity to retail end-use customers, averaged over

calendar years 2007 through 2009 should be exempt from the 33 percent renewables

requirement. However, these entities would still be subject to reporting requirements.”19

Cerritos is included as an entity that is exempt from the 33 percent renewable requirement under

the adopted 200,000 MWh threshold.20

       The Commission has also accorded unique treatment to smaller load-serving entities. In

D.10-03-021, the Commission acknowledged that, because of their small size, the two smaller

investor-owned utilities (Mountain Utilities and Bear Valley Electric Services) face considerable

difficulty procuring reasonably priced RPS-eligible resources.21 As a result, the Commission

determined that these two smaller utilities should not be subject to the TREC limitation.22 The

TREC Proposed Decision affirms this determination, reiterating that there are practical realities

confronting smaller entities in their procurement of RPS-eligible resources.23 Moreover, the

Proposed Decision rightly acknowledges that “[e]xempting [the smaller utilities] from the

temporary TRECs usage limit does not have any significant impact on either the nascent TREC

market or the statewide achievement of RPS goals.”24

       It does not appear that the Commission is willing to extend comparable treatment to

Cerritos, if Cerritos is determined to be an ESP for RPS purposes. Rather, it appears that the

Commission is inclined to treat all ESPs the same. As such, if Cerritos is determined by the

Commission to be an ESP for RPS purposes, Cerritos would be subject to a TREC usage limit

that is the same as the large investor-owned utilities.25 Additionally, Cerritos would also be

subject to other RPS obligations that apply to ESPs, including reporting requirements and the

requirement to annually file RPS procurement plans.26

       In addition to being unwarranted from a jurisdictional perspective (see below), this one-

size-fits-all approach, which does not consider Cerritos’ limitations as a small municipal utility,

is contrary to good public policy. This approach ignores the simple fact, as affirmed by CARB,

that Cerritos, as a small municipal utility, faces “twice the administrative burden” as larger

entities in key RPS compliance matters.27 Allowing Cerritos to remain subject to the RPS

requirements applicable to small municipal utilities is the best alternative to rightly minimize this

undue burden. This approach also avoids the wastefulness of Cerritos and the Commission

continually having to consider carve-outs and exceptions for Cerritos.

       B.      There Is No Statutory Basis For Applying The Commission’s RPS Rules To
               Cerritos; Cerritos Is Not A “Retail Seller”

       In D.05-11-025, the Commission determined that it had statutory authority to apply RPS

rules to ESPs and CCAs, and that it also had policy discretion to determine the manner of ESP

and CCA participation in the RPS program.28 The statutory basis for this authority rests on the

Commission’s authority over “retail sellers.”29 That is, the Commission only has authority to

apply RPS rules to “retail sellers.” The Commission has no such authority with respect to

Cerritos, since Cerritos is not included within the definition of a “retail seller.” Specifically,

Cerritos, as a community aggregator under P.U. Code Section 366.1, is not an ESP nor is it a

CCA. Rather, Cerritos is a municipal utility.

       The exclusion of Cerritos from the Commission’s statutory oversight can be seen from

two perspectives. First, the definition of a “retail seller” expressly includes “electrical

corporations,” “community choice aggregators,” and “electric service providers.”30 Again,

Cerritos is none of these. Cerritos is clearly not an electrical corporation, and it is also not a

community choice aggregator.31 Given the opt-in nature of Cerritos’ community aggregation

program, the closest of these categories to Cerritos is an ESP. However, Cerritos is expressly not

an ESP. P.U. Code Section 394(a), relating to the registration of ESPs, specifically excludes

from the definition of ESPs public agencies, like Cerritos, that only serve customers within their

jurisdictions. The Commission has repeatedly acknowledged this jurisdictional limitation.32

       To properly understand P.U. Code Section 394(a), an examination of its origin and

surrounding context is necessary. Originally ESP registration was required of all entities that

offered electrical service to residential and small commercial customers. Specifically, as

originally introduced in AB 1890, no exceptions were made for public agencies, and,

accordingly, the Commission had properly determined that public agencies were subject to the

Commission’s various registration and consumer protection requirements.33 With Senate Bill

(“SB”) 477, however, the definition of an “electric service provider” was modified to make

expressly clear that the definition of ESP did not include, nor was the Commission’s registration

requirement applicable to, public agencies offering electric service within their jurisdictions.34

SB 477 also introduced other provisions that distinguished public agencies from other direct

access service providers. For example, public agencies were exempted from the third-party

verification requirement,35 were given authority to resolve consumer disputes,36 and were given

responsibility to establish their own implementing rules.37 As the Commission has previously

stated, P.U. Code Section 394 provides the authority for the Commission to impose requirements

on non-utility load serving entities, like ESPs.38 Absent this authority, which is the case with

respect to Cerritos, the Commission may not impose such requirements.

        Second, the definition of retail seller also expressly excludes “a local publicly owned

electric utility.”39 The fact that Cerritos operates as a municipal utility is largely self-evident.

The regulatory agency with the most oversight of municipal utilities, the California Energy

Commission (“CEC”), acknowledges Cerritos’ status as a POU.40 Moreover, the CEC has

included Cerritos’ community aggregation program in the CEC’s various reports on the status of

POU-compliance with RPS and RA requirements. For example, Cerritos’ program is described

in the CEC’s progress report on RPS implementation,41 and also in the CEC’s assessment of RA

plans.42 Moreover, even SCE does not deny that Cerritos is a municipal utility.43

       Thus, in addition to not being in one of the categories included in the definition of a

“retail seller,” Cerritos is also within one of the categories excluded from the definition of a

“retail seller.” Accordingly, since Cerritos is not a “retail seller” under the RPS law, there is no

statutory basis for claiming that the Commission has authority over Cerritos’ RPS efforts.

       C.      Sufficient Regulatory Oversight Exists For Cerritos’ Community
               Aggregation Program

       Commission oversight of Cerritos’ RPS program is unnecessary. In addition to also

being subject to CARB’s implementation of the RES, as described above, Cerritos has thus far

been, and if its request herein is granted would continue to be, subject to the RPS requirements

applicable to municipal utilities. These requirements are generally identified in P.U. Code

Section 387. Along these lines, the Cerritos City Council (as the local regulatory authority for

Cerritos’ community aggregation program) adopted an RPS standard for Cerritos,44 and Cerritos

regularly reports to the CEC on progress made in implementing Cerritos’ RPS standard,45 both as

required of municipal utilities in P.U. Code Section 387.

       Moreover, Cerritos has made actual progress in seeking to achieve the 20 percent RPS

standard established by the Cerritos City Council. Cerritos has constructed a solar photovoltaic

(“PV”) facility atop a water reservoir at its corporate yard. Cerritos is also planning a similar

solar PV installation on another facility at the corporate yard.46 Additionally, as a member of the

Southern California Public Power Authority (“SCPPA”), Cerritos is also actively investigating



municipal utilities, and the Cerritos City Council adopted an RPS policy for Cerritos’ community
aggregation program in January of 2006.”).

and pursuing other RPS resources.47 For example, through SCPPA, Cerritos is also in the final

stages of negotiation on the use of biogas as a partial substitute for natural gas at the Magnolia

Power Project. Also, Cerritos has expressed an interest to participate in SCPPA’s acquisition of

renewable energy under a long-term power purchase agreement related to a new landfill gas

project.

       Finally, it should be noted that, in no circumstance, is the Commission devoid of

jurisdiction entirely over Cerritos’ operation. Stated differently, even if the Commission granted

Cerritos’ request herein (namely, that Cerritos be allowed operate its community aggregation

program pursuant to the RPS requirements applicable to municipal utilities), the Commission

would still retain jurisdiction over Cerritos’ operating agreements with SCE.48 As such, the

Commission could continue to exercise jurisdiction over various matters, including certain RPS

matters. For example, under Section 11 of the AB 80 Agreement, Cerritos has an ongoing

obligation to “cooperate with the CPUC in providing information about Cerritos’ [RPS

requirements]….”49 Accordingly, the Commission would retain authority to exercise such

actions as it determines are necessary to implement the operating agreements.

III.   CONCLUSION

       Cerritos requests the issuance of a ruling or decision by the Commission in which it

determines that Cerritos’ community aggregation program should continue to be subject to the

RPS requirements applicable to municipal utilities.
