     AA.        OTHER AGENCIES:

                Other tax supported agencies within the State of California who have not contracted
                for their own requirements may desire to participate in this contract. The
                Contractor is requested to service these agencies and will be given the opportunity
                to accept or reject the additional requirements. If the Contractor elects to supply
                other agencies, orders will be placed directly by the agency and payments made
                directly by the agency.

   Responses to Verbal Questions

   Q1)     Will the County be providing the controller software? For example, the 2070 controller is
           stated in the bid. Multiple vendors provide 2070 controllers, but there is only one provider
           of the software that the County has currently deployed. Under this contract, will vendors be
           required to provide software or just the controller unit?
   A1)     A vendor will be chosen who is capable of supplying NAZTEC controllers with
           software. The County does not use 2070 controllers. The 2070 controller is listed in the
           event that it is needed in future applications. Caltrans has required the County to
           supply a controller for a Caltrans intersection on a County arterial, and therefore the
           County must have a vendor who can supply the 2070 controller. This controller will be
           required to have the NAZTEC software and hardware in order to be compatible with
           the existing system which the County has in place.

   Q2)     On page 30 of the RFQ, Item 9 states:
              Bidders are advised that in the evaluation of cost, if applicable, it will be assumed that
              the unit price quoted is correct in the case of a discrepancy between the unit price and an
              extension.
           What does the County mean by extension?
   A2)     The extension refers to the “Extended Price” required in Exhibit B-Revised, Bid Form.
           The extended price or extension is always the unit price quoted by the vendor
           multiplied by the “Estimated Annual Quantity” required by the County.

   Q3)     Regarding page 21 of the RFQ, Item 5 (Persistent Bioaccumulative Toxins), does the County
           require that no PBT’s are present in any of the vendors products.
   A3)     The County is looking to reduce the amount of PBT’s to the lowest level feasible in all
           products it purchases. However, State of California law on the legal limits of PBT’s
           present in products will govern the acceptability of a certain product. All vendors must
           submit products for use by the County that fall within the State of California as well as
           any and all local Alameda County guidelines on the legal limits of PBT’s.

   Q4)     Can a vendor bid solely on the LED portion of the RFQ?
   A4)     Yes, a bidder may bid solely on the LED portion of the RFQ.

   Q5)     Is there a different local specification compared to the Underwriters Laboratory (UL)?
   A5)     All material shall be Caltrans approved, at a minimum. This requires that vendors
           have all certifications in addition to the County requirements. Compare the RFQ with
           the UL specifications to verify any differences in standards. The UL website can be
           found at: http://www.ul.com/global/eng/pages/corporate/standards /.

   Q6)     Will the County award per line item as opposed to overall low bid?
   A6)     No, the County will not award by line item. The County intends to award to the lowest
           responsive and responsible bidders who are able to provide some or all of the products
           listed in this RFQ in a combination which fulfills the County’s requirements as listed in

           the RFQ and this Addendum 1. The County intends to award to multiple vendors as
           the Public Works Agency requires there to be immediate backups in case of an
           emergency or in the event that a vendor is unable to fulfill the order within the
           required time period.

   Q7)     Will the Addendum be out on January 29, 2010?
   A7)     The County anticipated releasing the Addendum on this date.

   Q8)     In what format does the County require the digital copy?
   A8)     Either CD, DVD, thumb drive, or any other digital media format that will work on a
           Windows 2003 or higher operating system.

   Q9)     Does it matter if the bid submittal is in Microsoft Excel or Microsoft Word?
   A9)     No.

   Q10) The hyperlink on page 7 of the RFQ is not working. What is the correct link?
   A10) The link provided in the RFP,
        http://www.dot.ca.gov/hq/esc/oe/specs_html/2006_specs.html, is currently working.

   Q11) Regarding page 7 of the RFQ, does the County require a discriminator in the cabinet and
        what brand of unit is County is referring to?
   A11) Yes, the discriminator is in the cabinet. The County is referring to a 3M Opticom
        system which is what the County currently uses.

   Q12) Page 8 of the RFQ, Item 2.a. states:
           The NAZTEC 981 TS2 controllers shall utilize NTCIP software in accordance with the
           Federal protocol functional specifications. The controllers shall be the same size and
           shape as existing County 820A controllers, and shall be able to replace an existing 820A
           controller with no modification except for changing the existing 820A “D” panel.
        Can the County specify if 981 controller is required, and does the controller require a new D-
        panel?
   A12) Controllers are ordered with as well as without “D” panels. So, the County will require
        vendors to provide both options. New cabinets will be required to have the specialized
        Alameda County “D” panel installed. The panel shall be wired as a standard to replace
        existing Multisonics 820A controllers.

   Q13) Regarding page 8 of 36, Item 4 (PEDESTRIAN PUSH BUTTONS), are bidders required to
        quote push buttons, push button signs, and push button frames separately?
   A13) Bidders should quote push buttons, push button signs, and push button frames
        separately as specified in the items 4a, 4b and 4c of Exhibit B-Revised, Bid Form.
        Please note that the specifications in the RFQ call for a non-adjustable pedestrian
        pushbutton (frames with no logo). The pedestrian push button (PBB) is made by
        Polaris (there is no known equivalent). The PPB sign is a Caltrans standard
        international model.

   Q14) Regarding page 19 of the RFQ, Item 13 (CLOSED CIRCUIT TELEVISION), can a bidder
        supply a NAZTEC wireless camera made by Trafficon?
   A14) This item specifies a “wireless camera” and associated components. All associated
        cameras and components must be compatible with the existing equipment currently
        used by the County. Trafficon is not 100% compatible with the Iteras brand system
        currently being used by the County.

   Q15) On page 1 of the original Exhibit B-Bid Form, line item 8 specifies: Light Emitting Diode
        Signal Modules. Can the County please specify size (8 inch or 12 inch), what color, and
        what quantity of each color?
   A15) Please see Exhibit B-Revised, Bid Form items 8a through 8i.

   Q16) Has there been a contract prior to this? If yes, is the old contract pricing available?
   A16) Yes. In order to receive previous contract information, you must submit a California
        Public Records request to Lovell Laurente by email (lovell.laurente@acgov.org).

   Q17) After the bid due date, will there be a reading as to how the bids will be awarded?
   A17) The County will have a bid opening at approximately 2:05 p.m. on the bid due date. At
        this event, there will NOT be an announcement of which vendors will be awarded since
        the bids will not have undergone the bid review and award process required to
        determine the winning bidders. After determination of the winning bidders, the
        County will send award notifications to all vendors who submitted bids.

   Q18) Should discounts and concessions be written out in the bid submittals?
   A18) Any discounts and concessions should be applied to the final pricing in Exhibit B-
        Revised, Bid Form so that pricing therein represents the bidder’s lowest possible cost
        for each unit.

   Q19) If there are not enough details provided in the Addendum, can bidders still submnit
        questions?
   A19) January 14, 2010 was the last day to ask questions regarding the PWA lighting
        specifications. However the County can answer questions regarding the SLEB
        program and other procedural matters.

   Q20) If a bidder is a new company but believes it may have the years of experience necessary in
        various forms, how should they demonstrate this?
   A20) Within Exhibit I of the RFQ, please provide a detailed explanation of your
        qualifications and experience and how they meet the RFQ requirements.

   Q21) Regarding page 28 of the RFQ, Section IV, Paragraph P (BRAND NAMES AND
        APPROVED EQUIVALENTS), will the County accept bids on bulbs from a factory which is
        currently manufacturing OEM lamps for both Phillips and Sylvania but would propose their
        generic equivalent to be sold directly to the County? Are additional steps required to quote
        lamps of a generic brand to Alameda County in order to meet the terms and conditions of
        this RFQ?

   A21) Yes, bidders may propose a generic equivalent. Please refer to pages 28-29 of the RFQ
        (BRAND NAMES AND APPROVED EQUIVALENTS). Please read this section
        carefully. In order for a bidder’s proposed equivalent or alternate to be considered,
        the bidder must clearly describe the product and how it meets the specifications
        required, as well as how it differs from the corresponding product listed in the RFQ.
        Bid responses must include any and all supporting literature that will substantiate this.
        Please also refer to the language on Exhibit B-Revised, Bid Form, page 2 of 6, right
        after Item 13. In Exhibit I of the RFP, please include any clarifications or additional
        information the the County will need in order to accept products as the equivalent or
        better than those specified in the RFQ.

         COUNTY OF ALAMEDA, GENERAL SERVICES AGENCY-PURCHASING EXHIBIT A – BID ACKNOWLEDGEMENT


                                                           RFQ No. 900677, Addendum No. 1

The County of Alameda is soliciting bids from qualified vendors to furnish its requirements per the specifications, terms and conditions contained in the
above referenced RFQ number. This Bid Acknowledgement must be completed, signed by a responsible officer or employee, dated and submitted with the
bid response. Obligations assumed by such signature must be fulfilled.
1. Preparation of bids: (a) All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and
      corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing bid. (b) Quote price as specified in RFQ. No
      alterations or changes or any kind shall be permitted to Exhibit B-Revised, Bid Form. Responses that do not comply shall be subject to rejection in
      total.
2. Failure to bid: If you are not submitting a bid but want to remain on the mailing list and receive future bids, complete, sign and return this Bid
      Acknowledgement and state the reason you are not bidding.
3. Taxes and freight charges: (a) Unless otherwise required and specified in the RFQ, the prices quoted herein do not include Sales, Use or other
      taxes. (b) No charge for delivery, drayage, express, parcel post packing, cartage, insurance, license fees, permits, costs of bonds, or for any
      other purpose, except taxes legally payable by County, will be paid by the County unless expressly included and itemized in the bid. (c)
      Amount paid for transportation of property to the County of Alameda is exempt from Federal Transportation Tax. An exemption certificate is
      not required where the shipping papers show the consignee as Alameda County, as such papers may be accepted by the carrier as proof of the
      exempt character of the shipment. (d) Articles sold to the County of Alameda are exempt from certain Federal excise taxes. The County will
      furnish an exemption certificate.
4. Award: (a) Unless otherwise specified by the bidder or the RFQ gives notice of an all-or-none award, the County may accept any item or
      group of items of any bid. (b) Bids are subject to acceptance at any time within one hundred and eighty (180) days of opening, unless otherwise
      specified in the RFQ. (c) A valid, written purchase order mailed, or otherwise furnished, to the successful bidder within the time for acceptance
      specified results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all
      respects according to the laws of the State of California.
5. Patent indemnity: Vendors who do business with the County shall hold the County of Alameda, its officers, agents and employees, harmless
      from liability of an nature or kind, including cost and expenses, for infringement or use of any patent, copyright or other proprietary right, secret
      process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or purchase order.
6. Samples: Samples of items, when required, shall be furnished free of expense to the County and if not destroyed by test may upon request
      (made when the sample is furnished), be returned at the bidder’s expense.
7. Rights and remedies of County for default: (a) In the event any item furnished by vendor in the performance of the contract or purchase
      order should fail to conform to the specifications therefore or to the sample submitted by vendor with its bid, the County may reject the same,
      and it shall thereupon become the duty of vendor to reclaim and remove the same forthwith, without expense to the County, and immediately to
      replace all such rejected items with others conforming to such specifications or samples; provided that should vendor fail, neglect or refuse so to
      do the County shall thereupon have the right purchase in the open market, in lieu thereof, a corresponding quantity of any such items and to
      deduct from any moneys due or that may there after come due to vendor the difference between the prices named in the contract or purchase
      order and the actual cost thereof to the County. In the event that vendor fails to make prompt delivery as specified for any item, the same
      conditions as to the rights of the County to purchase in the open market and to reimbursement set forth above shall apply, except when delivery
      is delayed by fire, strike, freight embargo, or Act of God or the government. (b)Cost of inspection or deliveries or offers for delivery, which do
      not meet specifications, will be borne by the vendor. (c) The rights and remedies of the County provided above shall not be exclusive and are
      in addition to any other rights and remedies provided by law or under the contract.
8. Discounts: (a) Terms of less than ten (10) days for cash discount will considered as net. (b) In connection with any discount offered, time will
      be computed from date of complete, satisfactory delivery of the supplies, equipment or services specified in the RFQ, or from date correct
      invoices are received by the County at the billing address specified, if the latter date is later than the date of delivery. Payment is deemed to be
      made, for the purpose of earning the discount, on the date of mailing the County warrant check.
9. California Government Code Section 4552: In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is
      accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the
      Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2, commencing with Section 16700, of Part 2 of Division 7 of the
      Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to
      the bid. Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder.
10. No guarantee or warranty: The County of Alameda makes no guarantee or warranty as to the condition, completeness or safety of any
      material or equipment that may be traded in on this order.
