TENDER IN BRIEF
Kerala Industrial Infrastructure Development Corporation (KINFRA), a statutory body of
Govt. of Kerala, is setting up a Biotechnology Incubation Centre at its Biotech Zone in
Kalamassery, Ernakulam District. Sealed offers are invited from reputed manufacturers
or bonafide Indian agents/Indian Suppliers who have all India network of Sales and
Service either directly or through their authorized dealers / distributors for supply,
installation, testing, commissioning, demonstration and training of the following
equipments / instruments.

Eligibility Criteria:
1. The bidder should have a minimum average annual turnover as in Table no.1
during the last 3 financial years. Documentary proof of turnover in Indian Rupees
(certified by Chartered Accountant in India or approved competent authority in
case of foreign supplier) to be provided.
2. The bidder should not have incurred any loss during the last three financial years.
3. The bidder should have supplied, installed and commissioned these equipments
at least in three reputed Indian organizations (Research / Laboratory / Institute of
the State / Central Government Departments / Undertakings / Large Private
Concerns) in the past 3 years.

Tender documents can be downloaded from the website www.kinfra.org or obtained
during office hours on all working days (between 9.30am to 5:00 p.m.) from the Park
Centre, KINFRA Hi-Tech Park, Opposite Co-operative Medical College, Kalamassery-
683503 by paying cost as mentioned in Table no:1 in the form of cash/ demand draft
drawn in favour of Managing Director KINFRA payable at Thiruvanathapuram. Those
who download the form from website should submit the fees in the form of Demand
Draft along with Technical bid. Tender documents are not transferable.
Foreign bidders may obtain the tender documents through their authorized Indian
agents.
The EMD as in Table no.1 should be in the form of demand draft/ Bank Guarantee from
a scheduled bank/ Nationalized bank infavour of The Managing Director, KINFRA,
payable at Trivandrum. Separate EMD to be submitted in case the bidder is quoting for
more than one item .
Tenders submitted through e-mail or fax will not be considered. KINFRA is not liable for
non-receipt, delay or loss of document when sent / received by post or courier. Bids to be
submitted in separate envelopes in case the bidder is quoting for more than one item.
Tenders received without EMD will not be considered at all. KINFRA reserves the right
to accept or reject any or all tenders without assigning any reasons whatsoever and no
claim shall be made by any supplier as a matter of right.
The time and date of opening of Price Bid (envelop- 2) of the tender shall be intimated
only to the qualified bidders at a later date.

INSTRUCTION TO BIDDERS
The details regarding specifications of Equipments are given as Annexure I to
VIII. The tender / offer should give the following information:
1. Eligibility Criteria:
1 The bidder should have a minimum average annual turnover (from sales) as
in Table no 1 during the last 3 financial years. Documentary proof of
turnover(certified by Chartered Accountant in India or approved competent
authority in case of foreign supplier) to be provided.
2 The bidder should not have incurred any loss during the last three financial
years.
3 The bidder should have supplied, installed and commissioned similar
equipments at least to three reputed Indian organizations (Research /
Laboratory / Institute of the State / Central Government Departments /
Undertakings / Large Private Concerns) in the past 3 years.
2. Instructions for submission of Tender
The bids for these equipments shall be in two parts viz. Envelope- I with
Technical Bid and envelop II with Price bid respectively. Both sealed envelops
should be kept in another envelope and should be addressed to The Manager
(Technical), KINFRA Hitech Park, Opp.Medical College, HMT Colony .P.O,
Kalamassery, Kochi-683 503, super scribed “Tender Documents for the Supply of
Equipment for Biotechnology Incubation Centre at Kinfra Hitech Park (Tender
No:................” so as to reach the Manager (Technical) on or before 2.00 p.m
11.01.2012 (For Tender no., Please refer to Table No 1).
3. a. Part I – TECHNICAL BID
Technical bid shall contain:
1. Earnest Money Deposit (EMD) as specified in the Table no.1, must be
sent along with the offer, otherwise the offer will not be considered at
all. The EMD should be in the form of demand draft/ Bank Guarantee
from a scheduled bank/ Nationalized bank in favour of The Managing
Director, KINFRA, payable at Trivandrum. Format of the bank
Guarantee is attached as Annexure IX. The Earnest Money Deposit of
un successful bidders will be returned after finalization of the order. The
earnest Money Deposit of the successful bidder shall be forfeited for the

non-execution of the Order within the delivery period. The EMD of the
successful bidder will be released only after satisfactory installation and
commissioning, of the equipments / instruments as per the tender
document without any interest.
2. List of reputed Indian organizations (Research / Laboratory / Institute of
the State / Central Government Departments / Undertakings / Large
Private Concerns) where bidder has supplied the equipments in the past
3 years, with the following details:
Capacity & model of the equipment supplied
Complete postal address of the parties with telephone number;
fax number, e-mail address to whom equipments have been
supplied.
Order number and date together with prices eventually or finally
paid.
The name and designation, phone number, email address of the
contact person there.
3. Satisfactory performance report or Reference letters (current dated)
from three reputed Indian Organizations (research laboratory, institute
of the state / central Govt. Departments / undertakings / large private
concerns) where the equipment was installed, supplied and
commissioned in last three years.
4. As Proof of annual turnover for the last three financial years, attested
copies of audited balance sheet and P & L statement should be
submitted.
5. The bidder has to submit a compliance statement with respect to the
technical specification along with supporting documents.
6. Detailed specifications, brochures, catalogues, technical literature and
operation / maintenance manuals of the proposed equipment with salient
features including model number and capacity. The medium of language
shall be only English.
7. In case the tender / quotation is submitted by an Indian agent, a letter of
authority (latest) from the Principal must be enclosed along with the
offer indicating clearly that the Indian Agent is authorized to quote on
behalf of the Foreign Principal (applicable to Indian Agents).

8. Details of services to be rendered by the Principal. (Applicable to Indian
Agent / Supplier).
9. Details of services to be rendered by the Indian Agent (applicable to
Foreign Suppliers). Indicate the name and address of Indian Agent.
Concurrence of the agent also should be attached. Please also indicate
the amount of Agency Commission payable to Indian Agent in Indian
Currency after the receipt of the consignment in good condition at our
Stores and after the satisfactory installation and commissioning at our
site etc. Foreign Exchange Management Act does not permit the
inclusion of Indian Agency commission, discount or like rebates
allowed by Foreign Suppliers in FOB value, payable to their Indian
Agents. Such commission, discount etc. if any, must be indicated
separately in the offer. (Applicable to Foreign Suppliers).
10. An undertaking from the bidder (in case if Indian supplier an
undertaking from the manufacturer) that spares for the supplied
equipments will be made available for a period of 10 years from the date
of commissioning. The supply of spares is to be guaranteed at least for a
period of 10 years after the supply of the equipment.
11. Tender document dually signed and sealed on all pages. Unsigned bid
will be rejected.

13. Tender fees in the form of demand draft drawn in favour of Managing
Director, KINFRA payable at Trivandrum shall be enclosed in case
where tender form has been downloaded from website.
14. All equipment related accessories and consumables are to be specified
with complete technical details (for eg. Accessories like computer,
UPS, compressor etc., and consumables like chemicals, high purity
gases etc.) The make / brand, name and address of the manufactures of
accessories and consumables are also to be provided. The bidder should
ensure that all items required for the full performance of the equipment
are included in the offer. KINFRA shall not be arranging any item,
whatsoever separately.

3.b. Other terms and conditions
1. Details of (pre installation requirement) related to utilities required for
the equipment and its accessories are to be clearly specified. (Utilities
like power (number and type of sockets, electrical rating, earthing etc),
plumbing, drainage, compressed air, steam, gases etc.) Requirements
such as the physical space, work table area; environmental conditions
(eg: air conditioned), foundation/ footings etc. are to be clearly
specified. Heat emission from the equipments in terms of KW or BTU
is to be mentioned. All electrical wiring are to be concealed and the
drawings to be submitted.
2. Certificate of calibration and inspection are included in the scope of
supply of equipment wherever applicable. This would include IQ
(Installation qualification) OQ (Operation Qualification) and PQ
(Performance Qualification).
3. No commercial information, which may have financial implications,
should be mentioned in the Technical bid.
4.a Part II PRICE BID
The Bidder’s offer shall contain:
1. FOB value, in case of the quotes in foreign currency including packing,
forwarding and inland freight charges. Where quotes are in Indian rupees,
the offer must be free delivery at KINFRA Hi Tech, Opp Co Op, Medical
College, Kalamassery, Ernakulam district.
2. CIF (Kochi) value by airfreight. Freight quoted must be on IATA basis
either on volume or weight basis, in case of foreign suppliers.
3. Percentage & amount of Indian agency commission, payable to Indian
agent in Indian currency, after the receipt of consignment in good
condition at our Stores & after satisfactory installation and
commissioning etc. (applicable to Indian Agent).
4. FOB rates must be given for any of the following Gateway International
Airports. Specify the gateway International Airport.

5. Rates for all equipment related accessories and consumables if applicable( for
eg. Accessories like computer UPS, compressor etc. and consumables like
chemicals, high purity gases etc). The rates quoted for locally supplied items
should be inclusive of all taxes, VAT, duties, etc, and must be free delivery at
site. The rates quoted also should include installation, and commissioning of
such accessories wherever applicable. Such installations and commissioning
would fully come under scope of supply of equipment.
4.b Other terms and conditions
1 In case of foreign bidders, KINFRA prefers to release the payment on BILL
basis (excluding Indian Agency Commission) after the receipt of the
consignment in good condition. Alternatively, depending upon the value and
foreign exchange regulations the payment can also be considered through Sight
Draft / Letter of Credit through the State bank of India, Trivandrum, Main
branch for the order value excluding the Indian Agency Commission.
2. IN CASE OF PAYMENT BY SIGHT DRAFT / LETTER OF CREDIT: 90%
payment shall be made by Sight Draft / an Irrevocable Letter of Credit
established in favour of the supplier through State Bank of India, Trivandrum,
Main branch, Kerala, India” for the order value, excluding the Agency
Commission due to the Indian Agents, against presentation of original shipping
documents in case of foreign suppliers. Balance 10% will be released after
completion of installation and on receipt of Bank Guarantee of 10% of total
FOB value either from Principal or from their Indian Agent towards
performance security to be valid for one year from the date of installation.
Bank guarantee only from Indian nationalized banks will be accepted and in

case a foreign Bank issues Bank Guarantee the correspondent Indian
nationalized bank should counter sign the same. However, L/C will be opened
for the full amount. No other payment term will be acceptable to us.
In case of Indian suppliers (who has quoted in Indian rupees) payment will be
effected through DD/ cheques only after receipt of equipments / apparatus in
good condition and successful commissioning. Payment shall be released as
indicated below:
a. 70% payment will be made against the submission of delivery challan by
the supplying firm duly signed and certified by the authorized
representative of KINFRA.
b. 20% of the payment will be made after the issue of installation and
commissioning certificate.
c. The remaining 10% of the payment will be released after validation of the
equipment and training to the personnel and on receipt of Bank Guarantee
towards performance security to be valid for one year from the date of
installation .
3. All foreign bank charges shall be borne by the supplier / bidder.
4. As far as possible offer should be submitted against airfreight only in case of
Foreign suppliers.
5. All taxes, duties, levies of any kind payable up to the stage of putting the
Equipment in FOB position shall be borne by the foreign supplier / bidder.
6. The bidder has to ensure that the price quoted is only as per the technical
specifications given in the tender schedule.
7. In cases where the quotes are in Indian Rupees, the rates quoted by the bidder
should be inclusive of all taxes / VAT / duties, levies of all kind, clearing and
forwarding charges. The expenses related to unloading of material at the site
and all other handling expenses will be the responsibility of the bidder.
Charges for packing & forwarding, clearing, insurance, warehouse to ware
house transit cum erection policy till the equipments are installed,
commissioned will be to the account of the supplier.
8. The offer should be inclusive of installation, commissioning, testing and
training/ demonstration charges. The offer must be inclusive of packing and
forwarding charges.
9. Spares required for three years shall be indicated with prices as an optional
item. Such prices should not be included in the quote for the equipment.

10. Deduction towards Works Contract Tax or any other tax if applicable will be
made while making payment.
11. Rates quoted for all items should be firm and no escalation of rates will be
allowed under any circumstances.
5. General Conditions of Contract.
1. Enquiries related to this tender should reach KINFRA by email/courier at
least two days before the scheduled Pre-bid meeting.
2. Technical Bids will be opened at 2.30 pm 0n 11.01.2012 at Park centre
Hitech Park, Kalamassery. Price Bids will be opened only of those bidders
whose Technical Bids are found acceptable by us. The date and time of
opening for Price bids will be communicated to the successful bidders after
evaluation of the Technical Bids.
3. Separate Tender Form should be submitted in separate envelops, in case of
bidder who is quoting for more than one item of equipment. For each tender
from kindly specify the tender number as given in Table no 1.
4. Non-execution of the Order will debar the bidder from any future purchase
/inquiry from KINFRA.
5. Rates and other specifications given in the tender must be clearly written,
or typed, without any correction, cutting or overwriting.
6. Any other condition written or printed in the tender or otherwise send along
with the tender shall not be binding on us.
7. Tenders sent through fax / e- mail will not be considered.
8. The tenders are liable to be rejected if any of the above conditions are not
complied with.
9. Part shipment will not be allowed.
10. The offer should be valid for 90 days from the date of opening of the
tender.
11. Quotations received late / after due date is liable to be rejected summarily.

12. Tender can be rejected if at any stage of the procurement process, it comes
to knowledge that any tenderer is involved in any fraudulent practice or
misrepresentation of the facts or tried to influence the selection process or
indulged in any corrupt activities in competing with others.
13. It is further to be agreed by both the parties that all differences and disputes
if not resolved as above, shall be got remedied through the Court of Law of
Thiruvanathapuram jurisdiction only.
14. KINFRA reserves the right to accept any tender in full or in part or to reject
the lowest or any or all tenders without assigning any reason.
15. KINFRA reserves the right to award the tender either in part or full or
follow any other suitable procurement procedure. KINFRA at its sole
discretion and without assigning any reason thereof, reserves the right to
accept / reject any or all bids at any stage of the tender process.
6. SPECIAL TERMS AND CONDITIONS
Delivery
1. Specific mention should be made for the exact duration required for delivery
after receipt of the order. The delivery period will have to be strictly
adhered to, in case an order is placed against the offer.
2. The approved firm shall supply the ordered equipment as per terms and
conditions within the stipulated time indicated in the Intent letter / Purchase
Order.
Installation, Testing, Commissioning, Trial run, Validation,
Demonstration & Training
3. The period stipulated for completion of installation, testing,
commissioning, trial runs, validation, demonstration and training of
personnel shall be four weeks from the date of delivery of equipment at
site.
4. All tools, equipment and machinery required for the installation and
commissioning work has to be arranged by the successful bidder only.
5. Complete demonstration of equipments to be given by the successful
bidder.

6. Training of staff for the purchased equipment is to be included in the scope
of supply of equipment.
Completion
7. Completion Certificate will be issued by the authorized representative of
KINFRA and countersigned by technical consultant after complete
validation and training to the personnel handling the equipment.
8. WARRANTY: the equipments supplied must be covered with warranty for
minimum of 24 months from the date of commissioning against any
defective manufacture/workmanship etc. Repairs/ replacements/ servicing
shall be attended free of cost within the warranty period. Bidder shall be
responsible for after sales service during the warranty period of equipment.
The after sales services to be rendered by the bidder during warranty and
there after should be made clear in the tender. The after sales service is an
essential requirement for supply of equipment.
9. During the guarantee period or later whenever the firm is called upon to
attend to the rectification of the defects/ faults in the consignment, the firm
shall attend to the repair work within a week. They should render timely
back up service whenever called upon. A certificate to the effect should be
attached to the tender.
10. Software upgrades are to be provided free of cost during and after
Warranty – where applicable.
11. Inspection certificates of the instruments / equipment inspected by the
qualified engineer of the manufacturer and packed in accordance with the
terms and conditions of this order must be enclosed.
Other terms and conditions
14.All the supplies should comply with International & local standards and
necessary documents / proof to be submitted.
15. Quality Materials should be used for fabrication. All the Material test
certificates should be supplied along with delivery.
16. The firm shall provide detailed operational and maintenance manuals at the
time of supply of the equipment.
17. The make / brand and name and address of the manufacturer, country of
origin, country of shipment and currency in which rates are quoted are to be
mentioned.

18. Any additional features of the equipment quoted shall be mentioned
separately .

KINFRA against the said Contractor and to forbear or enforce any of the terms
and conditions relating to the said agreement and we shall not be relieved from
our liability by reason of any such variation, or extension being granted to the said
Contractor or for any forbearance, act or omission on the part of the KINFRA or
any indulgence by the KINFRA to the said Contractor or by any such manner or
thing whatsoever which under the law relating to sureties would, but for this
provision, have effect of so relieving us.
6. This guarantee will not be discharged due to the change in the constitution of the
Bank or the Contractor.
