CONSULTING AGREEMENT

This Consulting Agreement is entered into and effective on ____________ (the “Effective Date”), by and
between ____________________________, (“Client”), and Julie Boney, a writing consultant, (“Consultant”).

The Client and Consultant hereby agree to the following terms and conditions:

                              ARTICLE 1. SERVICES TO BE PERFORMED

1.1    Services. Consultant shall perform the following services and shall perform all duties incidental to such
       services, (“Services”):

       1.1.1 Provide writing assistance to Client. Client must request assistance by way of website, telephone
             call, email, or in person. Writing assistance consists of editing of document(s) or writing
             consultancy in the form of tutoring.

       1.1.2 Duties incidental to Services include substantial phone calls and travel.

                                      ARTICLE 2. COMPENSATION

2.1    Fees for Services. Consultant’s fee for Services provided according to this Agreement is $30.00 per
       hour. Fees are calculated on the time spent by Consultant attending to said services, multiplied by the
       hourly rate. Time is computed by reference to fifteen-minute units. The hourly rate is applied to all
       Services provided on Client’s behalf.

2.2    Billing Arrangements. An initial deposit for the first two hours of service is required. Subsequent billing
       occurs at the end of the contract, or at the end of each calendar month, with a description of work
       performed, itemized by date of service. Consultant’s invoices are payable by the Client to the Consultant
       within thirty (30) days of receipt of the invoice. A late fee of 5% may be assessed if payment is not
       received after 30 days. Invoices and payments are submitted through PayPal.

                                  ARTICLE 3. GENERAL PROVISIONS

3.1    Entire Agreement and Amendment. This Agreement constitutes the entire agreement between the
       parties pertaining to the subject matter contained herein. This Agreement supersedes all prior oral or
       written agreements, representations, and understandings of the parties which relate to the subject matter
       of this Agreement. No supplement, amendment, or modification of this Agreement shall be binding
       unless executed in writing by all of the parties.

The parties have executed this Agreement as of the Effective Date first set forth above.
