HealthPlan Holdings, Inc. (“HPH” or the “Company”) is a leading provider of outsourced
services in the small business medical, ancillary and voluntary benefits, individual insurance, and
Taft-Hartley markets. HPH offers a comprehensive suite of benefits administration services
including sales and distribution support, information technology and data center management,

HealthPlan Holdings is organized into two operating divisions: HealthPlan Services (“HPS”) and
American Benefit Plan Administrators (“ABPA”). HPS and ABPA both offer outsourced benefit
administration services in different market segments. HPS primarily contracts with life and health
insurance carriers and managed care organizations and associations to manage small group
medical and ancillary plans, voluntary benefits, and individual insurance product lines. HPS has
contractual relationships with many of the largest insurance carriers in the U.S. and manages over
$1 billion of in-force premium and over 1 million covered members. ABPA is focused on
administration of Taft-Hartley plans, which are multi-employer funded trusts responsible for
providing health and retirement benefits to unionized workers. ABPA is one of the leading Taft-
Hartley administrators responsible for managing plans for 350 trusts representing over 575,000
union members nationwide.

The Role

The COO supports the work of the company's chief executive officer focusing on the
establishment and optimization of day-to-day operations in the company. The COO is a member
of the Executive Management Team directing the strategic and financial growth management of
the company. All internal department heads responsible for delivering services report to the
COO.
Responsibilities

      Direct company operations to meet budget and other financial goals.
      Direct short-term and long-range planning and budget development to support strategic
       business goals.
      Lead creative new business development and contract sourcing.
      Advise the management team on key planning issues and make recommendations on
       important business decisions.
      Ensure all department heads are fully informed of operational objectives
      Develop and direct execution of operating policies to support overall company policies
       and objectives.
      Establish the performance goals, allocate resources, and assess policies for senior
       management.
      Establish and monitor operational processes, process improvement and performance
       reporting systems
      Monitor department performance against performance goals to ensure that progress is
       being made
      Ensure quality control of all company output as pertains to customer acquisition and
       delivery of services
      Ensure activities comply with organizational requirements for quality management and
       legal stipulations
      Direct and participate in acquisition and growth activities to support overall business
       objectives and plans.
      Participate in capital market development, including participation in road shows, bank
       meetings and analyst meetings, as needed.

Qualifications and Experience

      A proven track record as a COO/general manager for a technology driven business/
       business unit with significant scale and complexity.
      Consistent and successful track record of performance in all areas of responsibility,
       coupled with strong credibility and reputation for delivering desired results.
      Strong negotiation and relationship building skills.
      Strong communication and interpersonal skills with the ability to express ideas clearly
       and concisely.
      Experience and ability to drive operational performance through business process
       improvement plans.
      Prior experience with Lean Six Sigma process improvement a plus.
      Evidence of creating a performance driven culture.
      Experience in acquisition and integration activities with proven background achieving
       targeted synergies.
      Prior exposure to private equity ownership is a plus.
