 Electronic gift and loyalty cards are the fastest growing form of non-cash payment in the United States and are an essential sales
 tool for signing new accounts. United Bank Card has created an impressive gift and loyalty card program that will enable you to
 sign more merchants and retain accounts longer.
 Included in this guide is everything you need to know to successfully sell gift and loyalty card packages. If you have questions

 WHY SHOULD YOU SELL GIFT CARDS?


 Gift cards have become one of the most popular gift ideas among consumers and have been dubbed “the most profitable square
 foot of selling space in the store” by merchants. Provide your merchants with a strategic advantage over their competition by
 giving them the additional payment flexibility of gift and loyalty cards.
   Create new sales opportunities with gift and loyalty card packages that can suit any merchant's needs.
   Retain accounts longer. Merchants who cancel will be unable to determine the balances on any unredeemed cards that
   have been issued.
   According to the Green Sheet, annual merchant turnover falls from 25% to 7% with a gift card program.
   Earn additional revenue from transactions and monthly fees.
   Not selling gift cards leaves the door open for competitors to convert your merchants with inferior programs.

  ADVANTAGES OF CARDS COMPARED TO PAPER CERTIFICATES


    Increase Sales
    Consumers prefer the convenience and flexibility of cards over paper certificates. Additionally, customers generally
    spend more than the amount of the gift card that are never utilized (lost or forgotten) represent 100% profit to the
    merchant.
    Eliminate Cash Back
    Unlike traditional paper certificates, the balance on the card is automatically updated with each use. This process
    eliminates the need for merchants to provide a cash reimbursement to their customers for the remaining value of the
    card. Gift cards can also be reloaded with additional value, making them an ideal tool to promote repeat shopping.
    Prevent Fraud
    Gift cards offer superior security compared to paper certificates since they have no value until they are activated upon
    the sale. Lost or stolen cards that have not been loaded at the POS terminal have no value and gift cards cannot be
    duplicated or photocopied. Password protection can be implemented in the POS system to provide additional security.
    Improve Record Keeping
    Rather than manually recording the value of paper certificates, merchants will be able to issue and redeem gift cards
    electronically through their POS terminals. The merchant will also be able to track the cards that have been issued by
    logging on to giftcards.unitedbankcard.net and their customers will also be able to view their card balances online.

    As a result of their marginal cost, merchants can use gift cards as promotional tools and give them away to boost

  UNITED BANK CARD GIFT & LOYALTY CARD PROGRAM – AN OVERVIEW

  United Bank Card has created one of the easiest gift card programs to implement while maintaining the product depth to
  accommodate any merchant's needs. We have also simplified the gift card application so you can concentrate on selling and not
  having to worry about a complicated submission process or tedious paperwork. With United Bank Card's improved gift card
  program, you will be able to provide all of your merchants with a new payment option and enhance your office with an
  impressive residual stream.
     Gift Program
     Electronic gift cards are magnetic stripe enabled cards that can be loaded with a dollar value to be used by a consumer to
     purchase goods or services from the merchant who issued the card. The cards do not have any value until they are sold, at
     which time the cashier enters the amount that the customer wishes to put on the card.
     Loyalty Program
     Loyalty cards are identical to gift cards but are used to track the purchases of consumers, enabling the customer to
     accumulate points that can be redeemed for pre-specified rewards from the merchant. For example, the merchant could have
     their loyalty program set to reward the customer with a free or discounted item after every tenth purchase.
     Gift and Loyalty Program
     With United Bank Card's combined Gift and Loyalty Program, merchants can offer the convenience of a gift program and a

     work together simultaneously.
     Multiple Package Options
     Your merchants will be able to choose from a variety of card packages with various design options and quantities. Merchants
     can select from a wide range of card designs and fonts and can even provide their own custom artwork for use with the cards.
     United Bank Card has designed our gift card packages to suit most merchants' needs but we are also ready to accommodate
     any custom order.
     In addition to our packages and custom options, your merchants can also test the program for 60 days with 25 free trial cards.

  United Bank Card's gift and loyalty card packages provide the easiest way to accommodate any merchant's needs, regardless of
  their size or transaction volume. Merchants will be able to select from a variety of pre-designed cards or they can even
  personalize their gift card packages with their own custom artwork. All of our gift card packages include display stands, sleeves,
  window decals and envelopes in order to simplify the ordering process.
  You can follow UBC's recommended pricing or set your own product costs. Offer your merchants one of three options which
  accomodate your merchants' specific needs and your personal selling strategy.


     OPTION 1 – 1-COLOR PRE-DESIGNED CARD PACKAGES

     NO ARTWORK REQUIRED!
     Description: The pre-designed card package is an introduction for small to mid-size merchants looking to explore the
                  benefits of a gift card program. The merchant's name and contact information will be printed on the card
                  template of their choice. The merchant selects the ink and card stock colors to be combined with a design
                  and font style of their choice. Card designs may be selected from 24 pre-designed card templates. You may
                  only choose from 4 ink colors and 6 card stock colors listed on the Gift & Loyalty Card Application.
     Suitable for: This option is perfect for merchants who do not have a distinctive logo or access to graphic design services.
                   It is also a low-cost option for placing gift and/or loyalty cards at their location.
     Packages:    Available in 100, 250 and 500 card packages.
                  All 1-color pre-designed card packages include card envelopes, stand and window decals.
                  Templates are available on pages 3-6 of the Gift Card Product Catalog.


     OPTION 2 – 1-COLOR CUSTOM CARD PACKAGES

     PROVIDE YOUR OWN ARTWORK – ONE COLOR OF INK – ONE COLOR BACKGROUND
     Description: This product line allows you to offer gift cards with your own artwork on them. The merchant selects the ink
                  and card stock to be combined with their custom artwork producing a one-of-a-kind design. You may only
                  choose from 4 ink colors and 6 card stock colors listed on the Gift & Loyalty Card Application. We strongly
                  recommend that your merchant provides artwork produced by a professional graphic designer to avoid
                  complications.
     Suitable for: This is the perfect cost-effective option for mid-sized merchants with their own logo and identity.
     Packages:    Available in 250, 500, 1,000, and 2,000+ card packages.
                  All 1-color custom card packages include card envelopes, stand and window decals.

     OPTION 3 – 4-COLOR CUSTOM CARD PACKAGES

     PROVIDE YOUR OWN ARTWORK – 4-COLOR CARDS FOR LIMITLESS POSSIBILITIES
     Description: This premier product allows the merchant to offer a full-color card with custom graphics. They do not choose
                  from a template and are not limited to color choices. The merchant supplies the artwork and we'll produce
                  the cards. We strongly recommend that your merchant provides artwork produced by a professional
                  graphic designer to avoid complications.
     Suitable for: This is a perfect option for mid-sized merchants and chain locations with a specific marketing campaign and
                   identity.
     Packages:    Available in 500, 1,000, and 2,000+ card packages.
                  All 4-color custom card packages include card envelopes, stand and window decals.

  Once the merchant has ordered one of the packages listed below, you will receive 100% over the gift card cost and 50/50 over

  COMPLETING THE GIFT AND LOYALTY CARD APPLICATION

  Ordering your merchant's gift card package is easy. T start, the merchant will need to select their package. You must then
  complete the Gift and Loyalty Card Application & Agreement.
  Please note that merchants who have enrolled in the free program (see page 7) will receive a Gift & Loyalty Card Application with
  their catalog, which they can complete and submit on their own.
  STEP 1:
    Fill in the merchant's standard business information in Section 1 of the Gift Card Application.
  STEP 2:
    In Section 2, you will then choose if the merchant wants to accept gift, loyalty or both types of cards as well as whether they
    are a single or multi-location business.
  STEP 3:
    Add the transaction fee and monthly hosting fee in Section 3.
  STEP 4:
    Complete the information specific to the package that the merchant has selected in Section 4.
    For 1-Color Pre-designed Packages
    Select the merchant's package size, card design, card stock, font style and font color and enter the information that they
    would like to appear on the cards in the Text section. Please print clearly. There may be additional charges if an extra proof is
    needed.
    For 1-Color Custom Packages
    Select the merchant's package size, type of artwork, card stock and ink color.
    For 4-Color Custom Packages
    Select the merchant's package size and type of artwork.
  STEP 5:
    Select the shipping method and complete the Total Costs section.
  STEP 6:
    Complete Section 5 for payment method and information.
  STEP 7:
    Complete Section 6 with proofing and shipping information. Proofs will only be sent via e-mail.
  STEP 8:
    Complete Section 7. Note that you must fill out an Account Setup Form if you will be ordering new equipment or programming
    and existing terminal.
  STEP 9:
    Place any special instructions in Section 8 and obtain the merchant's signature in Section 9.
  STEP 10:
    Submit to United Bank Card to process the merchant's application. Please allow 2-4 weeks from proof approval for shipping of
    the card package. Also note that for custom card orders, the order will not be processed until the artwork is received.
    Instructions for submittal are on the bottom of the application.

  25 FREE GIFT CARDS FOR YOUR NEW MERCHANTS


  If your merchants are not initially interested in purchasing a gift card package, United Bank Card has developed a free starter kit
  that will allow them to test the program without making an initial investment. Your merchants will be sent a full-color brochure
  with their welcome kits that will include detailed information concerning the benefits of accepting gift cards as well as an
  activation card that will enroll them in a 60 day free trial.
  By swiping their activation cards through their POS terminal, your merchants will automatically be sent 25 free standard gift
  cards, envelopes, a display stand and window decals. During this period they will pay no monthly fees, transaction fees or setup
  fees for their gift card package. This program lets the merchant evaluate the gift card package in a comfortable environment free
  from sales pressure and allows the program to effectively sell itself!
  If a merchant has not upgraded to one of the package programs and continues to use the 25 free cards after the trial period has
  expired, the merchant will be charged a monthly fee and a transaction fee.
  Merchants can upgrade to a gift card package anytime after they receive their 25 free gift cards.


  HOW TO ENROLL IN THE 25 FREE GIFT CARD PROGRAM


  New merchants will receive a 25 Free Gift Cards brochure in their welcome kit. Within this brochure is an activation card. In order
  to enroll in the trial program, the merchant simply needs to swipe the activation card through their POS terminal. This card can
  also be provided by a sales agent.
  Upon swiping the card, the merchant must enter a “Balance Inquiry” transaction. After swiping the activation card, the merchant
  will be sent their gift card package and be enrolled in a 60-day trial program. Gift cards are customized with the merchant's
  name, address and telephone number. The gift card package includes 25 gift card sleeves with envelopes, 2 window decals and
  an acrylic stand with insert and gift card pocket. Your merchant can expect to receive their starter kit within 3-5 business days.


  SWIPING THE ACTIVATION CARD

  Step 1:
     After receiving their activation card in their welcome kit or from the sales agent, the merchant must swipe the card through
     the POS terminal.
     NOTE: The merchant's terminal must be programmed with the gift/loyalty card software prior to swiping the activation card.
     As of October 11, 2006, new merchant accounts with the following terminals have had the gift card software automatically
     installed in their terminals: Hypercom, Nurit, and Omni. Specific certified terminals are listed on the IIS in the
     Gift/Loyalty Card Program section.
     Merchant accounts that were established prior to October 11, 2006 have to perform a partial gift/loyalty card software
     download. For the software download and to order 25 free gift cards for your merchant, an e-mail request must be submitted
     to artwork@unitedbankcard.com and should be worded “For MID# xxxxxxxxx: please update their terminal to support the 25
     Free Gift Card Activation Program”.
  Step 2:
     Upon swiping the card, the merchant must enter a “Balance Inquiry” transaction.
  Step 3:
     The merchant is automatically enrolled in a 60-day trial program and their 25 free trial cards (customized with the merchant's
     name, telephone number and address), 25 gift card sleeves with envelopes, 2 window decals and an acrylic stand with insert
     and gift card pocket will be shipped within 72 hours.
  Please see page 8 for exact procedures to activate the 25 free gift card program for specific terminals.

  1. Press the ENTER key until “TenderCard” appears on the terminal.
  2. Swipe the activation card.

  4. After comms, “Cards Ordered” displays on the terminal screen. This indicates a successful gift card program
     activation.
  NURIT 2085
  1. Press the PAYMENT/MODE key until “TenderCard” appears on the terminal.
  2. Swipe the activation card.
  3. Press 5 for Balance Inquiry, then press ENTER.
  4. After comms, “Cards Ordered” displays on the terminal screen. This indicates a successful gift card program activation.
  NURIT 3020
  1. Press the ENTER/PAYMENT key until “TenderCard” appears on the terminal.
  2. Swipe the activation card.
  3. Press 5 for Balance Inquiry, then press ENTER.
  4. After comms, “Cards Ordered” displays on the terminal screen. This indicates a successful gift card program activation.
  OMNI 3750, 3740, 3730
  1. Go to the terminal's main screen (if they're in SoftPay, press the Asterisk key to reach the main menu.)
  2. Press the key next to “GIFT CARD”.
  3. Once in this application, press the key to the right of INQUIRY.
  4. Swipe the activation card.
  5. After comms, “Host Error 025 Cards Ordered” displays on the terminal screen. This indicates a successful gift card
     program activation.
  HYPERCOM T7P AND PLUS
  1. Press FUNCTION 38 to get to the Gift Card menu.
  2. Press 5 for a Balance Inquiry.
  3. Swipe the activation card.
  4. After comms, the terminal will display “Cards Ordered”, and a receipt will print out.
  5. Notice under “TRANSACTION FAILED” it prints “Cards Ordered”. This terminal display and/or the receipt printout
     indicates a successful gift card program activation.
  HYPERCOM T4100
  1. From the terminals Home screen, press the button next to "Gift Card".
  2. Press 1 for Gift Card.

  4. Swipe the activation card.
  5. After comms, "Cards Ordered" displays on the terminal screen. This indicates a successful gift card program activation.

  CUSTOM ARTWORK GUIDELINES

  This section contains information that you will need when placing a custom card order. Reading and understanding these
  guidelines will reduce the amount of time it takes to process your custom order and will allow us to better meet your
  expectations.
  To avoid complication, please ensure that your merchant adheres to our artwork guidelines. If artwork files are incomplete or do
  not meet our specifications, they will have to be corrected and resubmitted by the merchant.
  CARD DIMENSIONS
  Your gift card is 3 3/8" (3.375) wide and 2 1/8" (2.125) tall.
  ACCEPTED MEDIA

  ARTWORK
  There are two types of artwork that can be submitted for use on custom cards: camera ready and digital files.
  Camera ready means exactly that. The artwork is high quality, wrinkle and blemish free and can be digitally scanned with no
  further touch-up. Typically camera ready artwork is on smooth photograph paper. Here are some tips to remember:
     Polaroid pictures, business cards and/or other printed materials are not considered camera ready. While they may be used if
     nothing else is available, we cannot guarantee the results of using such materials as source artwork.
     Images on textured paper cannot be used because the texture will become part of the image when we scan it. The image to
     be scanned should be larger than the final card size. That way, we can shrink it to fit which will actually improve the
     appearance of the image. If an image is smaller than the card measurements and we enlarge it, the image quality will
     decrease.
     Avoid using any tapes or fasteners (staples or paperclips) to attach your artwork to your order as these will mar the surface of
     the image and reduce its quality. Put the artwork in an envelope.
  Digital files are generated on a computer. Typically, a graphic designer's assistance will be needed when creating digital artwork
  for your custom cards. Here are some tips to remember:
     All files must be formatted for use on a PC (we cannot accept Macintosh formatted files).
     Digital files must have a minimum resolution of 300 dots per inch (DPI). Images from the Internet cannot be used as they are
     all 72 DPI and will appear grainy when printed onto the gift card. We can accept files from all Adobe programs and Quark
     Xpress as well as jpeg, tiff and bitmap image files (Adobe files are preferred).
     Whenever possible, please include all font types used in the design or convert all type to outlines before submitting the file(s).
     Whenever possible, please include copies of all support files, such as placed images.
     If you require color matching for your logo or design, please supply us with the Pantone color code or a color swatch that you
     want us to match. Descriptions such as "brownish-green" are very difficult to match and may require several rounds of proofs
     to achieve.
     Artwork for one-color custom cards must already be converted to one color (black and white with no grayscale).
  LAYOUT
  For full bleed designs (where the design goes right up to the card's edge), the artwork must extend 1/16" beyond the card edge.
  All copy and borders must be at least 1/8" in from the nearest edge of the card.
  All artwork may be rejected at the discretion of our art department if it does not meet the proper specifications.
  CUSTOM ARTWORK DESIGN
  United Bank Card does provide a custom design service, which includes 4 hours of design time. The merchant will be billed
  $35/hr after that. If selecting this option, please ask your merchant to supply as much information as possible in order that we
  can meet their expectations. The merchant will receive a proof for one design concept. All artwork submitted for custom design
  must meet the specifications listed above. We cannot redraw logos or illustrations or recreate typefaces.

  ONLINE ACCOUNT MANAGEMENT



                Merchants log on to giftcards.unitedbankcard.net to access daily gift card activity.
                   Consumers log on to www.ubcgiftcards.com to perform a balance inquiry.

  FOR MERCHANTS
  By logging on to giftcards.unitedbankcard.net, merchants will be able to access their daily gift card activity.
  Merchants will be able to:
     View real-time cardholder activity

  LOYALTY PROGRAM

  Enable your merchants to improve customer satisfaction at their locations by rewarding loyal patrons. With United Bank Card's
  loyalty program, merchants can provide their customers with the ability to earn points with every purchase. These points can be
  applied to receiving discounted or complimentary products/services.
  Customer rewards are based on “threshold” values that are determined by the merchant and unlimited loyalty thresholds can be
  set up for every merchant location. When the customer reaches the threshold on their loyalty card, the merchant will be alerted
  to redeem the point value.
  Offering a loyalty program enables your merchants to track consumer spending, determine who their most valuable customers
  are and reward them appropriately!


  CHAIN SETUP

  United Bank Card offers chain setup for merchants with multiple locations such as a franchise organization. These merchants
  will be supported through a central merchant identification number issued to the corporation and individual terminal IDs for
  each store. The corporate owner can log on to the online reporting center to view transactions by location or by terminal ID.

  Q.    Are any POS systems or software compatible with the gift card program such as Micros or PC Charge?
  A.                                            ,
        Unfortunately, not at this point. However this option may be available in the future.


  Q.    Which products are compatible with loyalty feature and which products are compatible with gift card
        only?
  A.    All card packages and custom orders are available as gift and loyalty. However, the 25 free card trial option is only
        available as gift cards.


  Q.    How does a merchant track card balances and funding?
  A.    Upon approval of the gift card application, the merchant is assigned a Gift Card ID and password. This can be used to access the Online
        Accounting Center in which the merchant can view and track their daily activities. Merchants can log onto giftcards.unitedbankcard.net to
        view both Gift and Loyalty transactions.


  Q.    Can merchants access reports?
  A.    This is real-time data. When accessing reports, the merchant is able to view, print, or export them to a CSV file.


  Q.    How does a consumer track card balances?
  A.    A consumer can check card balances at www.ubcgiftcards.com by entering their card number.


  Q.    What if the customer wants to purchase an item that costs more than the remaining balance on the card?
  A.    Purchases can be made by using the gift card and another payment method for the remaining balance (cash, check or
        credit card).


  Q.    How does chain setup work?
  A.    Multiple locations are supported and addressed with a central merchant number (MID) issued to the corporation and ad-
        ditional TID's for each store. An advanced form that will track and redistribute funds between franchise stores will be
        available in 2007.


  Q.    How long will it take to receive a gift card package?
  A.    After reviewing and approving the artwork proof, the merchant can expect to receive their custom package within 2 to 4
        weeks. Orders for the free 25 card trial will ship within 72 hours of activation.


  Q.    How is the merchant billed for gift cards?
  A.    The merchant will receive a supplemental bill for gift cards from United Bank Card.


  Q.    Who are the technical support and billing contacts?
  A.    As this is an in-house program, United Bank Card handles both technical support and billing.

  Q.    Are merchants who are enrolled in the free trial program charged after the 60 day period has expired?
  A.    If a merchant has not upgraded to one of the package programs and continues to use the 25 free cards after the trial
        period has expired, the merchant will be charged a monthly fee and a transaction fee.

Q.   Can expiration dates be set on the cards?
A.   Expiration dates can be set but this is discouraged due to several established and pending legislations that limit the ability
     to set expiration dates or fees for inactivity. Please specify on the application any expiration date requests and you will be
     contacted if there is a problem with your order.


Q.   How do re-orders work via the Gift Card Catalog?
A.   The merchant receives a Gift Card Catalog with their 25 free gift cards order. The merchant can fill out the Gift & Loyalty Card

     Application that is inserted in the Gift Card Catalog and submit it to United Bank Card to fulfill their gift or loyalty card order


Q.   How does the Account Executive get paid from re-orders?
A.   Orders are tracked by the MID# which is always tied to an ISO office code. As orders are received, a commission will be paid
     based on the difference between the ISO cost and the suggested retail. Payment will be made automatically via weekly bonus
     system.


Q.   Can a merchant order a custom back for the card?
A.   Most merchants are happy with the stock back that is offered. However a customized black and white back can be
     implemented for a $75 design fee. For a 4-color customized back, there is a $0.30 surcharge per card for under 5,000 cards or
     $0.20 per card for over 5,000. Please remember to include this on the application and in the price quote or it can delay the
     order.


Q.   What if an existing UBC merchant wants to participate in the free 25 card program?
A.   As of October 11, 2006, new merchant accounts with the following terminals have had the gift card software automatically
     installed in their terminals: Hypercom, Nurit, and Omni. Specific certified terminals are listed on the IIS in the Gift/Loyalty
     Card Program section.
     Merchant accounts that were established prior to October 11, 2006 have to perform a partial gift/loyalty card software
     download. For the software download and to order 25 free gift cards for your merchant, an e-mail request must be submitted
     to artwork@unitedbankcard.com and should be worded “For MID# xxxxxxxxx: please update their terminal to support the 25
     Free Gift Card Activation Program”.


Q.   Can gift cards be used for e-Commerce merchants?
A.   An e-Commerce gift card program is not in place as of now, but it is being evaluated as a possible solution for late 2007.


Q.   Does UBC offer gift cards only without a merchant account?
A.   No, UBC's gift card program is designed to work in conjunction with our payment card processing services.


Q.   What is the risk of fraud?
A.   The risk associated with gift cards is less than that of paper-based programs because cards are not activated until they are
     sold to your customers, reducing the risk of employee theft and fraudulent reproduction.


Q.   How does a merchant configure the loyalty functions of their program? For example, the number of points for
     redeeming an item, buy 10 get 1 free, etc.
A.   The merchant must submit the loyalty setup form. The merchant can then add points to loyalty cards via their POS terminal
     (or virtual terminal) based on customer purchases/visits, etc. When that point value (threshold) is reached on the loyalty card,
     some or all of the following “actions” can happen:
     A message will print on the transaction receipt (Hypercom T7P terminals only). This can be a message advising the cardholder
     of the reward.
     A dollar value can be credited to the cardholder's gift card (same card number as their loyalty card).
     A point value can be credited or redeemed from the loyalty card.
     In order for these “actions” to take place, the merchant must complete and submit the “Loyalty Setup and Automatic Rewards
     Setup Form”.

Q.   Can a merchant activate the 25 free card program without swapping the activation card?
A.   Although enrollment in the trial program is easier to activate by swiping the activation card, UBC's customer service depart-
     ment is able to assist with activation.
Q.   Can the merchant key in the transaction for the gift card if the card is not present?
A.   Yes, the merchant can key the transaction into a standard POS terminal. They can refer to their terminal's Gift and Loyalty
     Card Quick Reference Guide for instructions.
Q:   Can the merchant check customer gift card balances over the Internet?
A:   Merchants can check card balances over the Internet at giftcards.unitedbankcard.com. The merchant will receive their access
     information in their gift card welcome letter after they have placed an order.
