Swilly Seals Letterkenny ASC
1. Name of Club
1.1 The club is officially known as Swilly Seals Letterkenny ASC.
Short names for the club are Letterkenny ASC, Swilly Seals, Swilly Seals ASC
and Swilly Seals Swimming Club.
2. Club Colours
2.1 The club colours are black and yellow.
2. Aims and Objectives
2.2 Its aim is to promote the sport of swimming within the local community.
3.1 Membership is open to all members of the public who meet the club’s minimum
swimming ability standards and pay the appropriate fee. These requirements do
not apply in the case of Coaches, Club Children’s Officers and Committee
3.2 Membership fee shall be as set by the committee on an annual basis.
3.3 Non-swimming membership is conferred ex-officio on all Coaches, Club
Children’s Officers and Committee Members of the Club.
3.4 It is deemed that all members shall have agreed to abide by the Club Rules and
3.5 Posting of information on the Club notice board will be deemed to be sufficient
notification to members.
3.6 Any member who has a complaint shall put this in writing to the Secretary and
shall be answered in writing following discussion by the Committee.
3.7 A resigning member may request a letter of release, to be signed by both Club
Secretary and Club Treasurer, that there is no outstanding financial liability to
the Club and that the resigning member is free to join another Club of his/her
choice. The resigning member must return all club property and have all fees
paid up-to-date before being granted such letter of release.
4.1The Club shall be affiliated to Swim Ireland, and through Swim Ireland, to FINA.
4.2The rules of Swim Ireland shall be observed in all swimming competitions and in the
general running of the Club.
4.3Swim Ireland's ‘Code of Ethics’ and ‘Child Protection Guidelines’ and the Irish
Government's ‘Good Practice in Children's Sport in Ireland’ shall apply to all
members of the Club.
4.4Only properly affiliated and paid up members may compete for the Club.
5. Club Committee
5.1 The Club shall have a governing committee.
5.2 The committee will run the club on behalf of the members and in accordance with
the club’s aims and objectives.
5.3 Committee decisions shall be decided by consensus or by majority voting. A
quorum shall be no less than three 3 committee members.
5.4 The committee shall consist of the following:

Extra Committee Members (0 – 6)
Outside the committee will be one and possibly two Club Children’s Officers. A
Club Children’s Officer can hold no other position in the club.
5.5 The committee shall be elected at the AGM.
5.6 The term of office for the committee is from one AGM until the next.
5.7 A vacancy created by the resignation of a committee member can be filled by co-
option by the committee until the next General Meeting.
5.8 The Committee shall endeavor to meet at least once a month, and shall conduct its
affairs where possible by consensus, fixing the date of the following meeting as
the last item of business.
5.9 Where there is an equality of votes on an issue at a meeting, the Chair shall have a

5.11 Coaches are encouraged to attend committee meetings but do not have a vote.
5.12 All Committee and Coaching positions are honorary in that no salary or fee is paid
for the performance of the duties of office.
5.13 The Chairperson and either the Secretary or the Treasurer, signing in the presence
of each other, only have the power to sign contracts on behalf of the Club.
Every officer of the club committee shall be entitled to be indemnified out of the assets
of the club against all losses or liability which s/he may sustain or incur in or about the
execution of his or her office or otherwise in the relation thereto and no officer shall be
liable for any loss, damage or misfortune, which may happen to or be incurred by the
club in the execution of the duties of his or her office or in relation thereto, provided
that nothing in this clause shall affect their liability for the consequences of any
negligent act on their part.
7. General Meetings
7.1 An AGM shall be held each year.
7.2 Elections for the officers of the committee shall take place at this meeting.
7.3 The quorum for General Meetings is 8 non-committee parents/guardians or
members, as well as four committee members.
7.4 The business of the AGM shall include annual reports given by the outgoing
chairperson and treasurer, as well as a report from the Head Coach.
7.5 An Extraordinary General Meeting will be convened if 10% of total
membership of the club lodges a request to the committee.
7.6 An EGM may also be called at the discretion of the Committee.
7.7 An Extraordinary General Meeting shall discuss only the business for which it
is convened and no other business shall be transacted.
7.8 The Committee shall decide the timing of general meetings.
7.9 Notice of all general meetings will be given to the general membership at least
5 working days prior to the date of the meeting.
7.10 At a general meeting any member may propose a resolution relating to the
business of the club. The resolution shall be voted on by a show of hands,
followed by a declaration by the chairperson that the resolution is carried or
7.11 All motions, except those for which express provision is made, shall be passed
by a simple majority of those present and entitled to vote.
7.12 Motions to alter the Constitution and Rules of the Club require a two thirds
majority of those present and entitled to vote.
7.13 There is one vote per member present.
8. Dismissal of Committee Members
8.1 No member of the committee shall be dismissed from office unless:
8.1.1 Notice of a resolution to seek such dismissal, signed by at least 10% of the
active members of the club is received 4 working days prior to a General
Meeting at which such a resolution shall be debated.
8.1.2 A two-thirds majority at the meeting will pass the resolution.
9. Dismissal of Members
9.1 The committee will have power to censor or expel from the club for a period that it
i. Violation of Safety Codes as laid down by the club.
ii. Violation of Safety Codes as laid down by Swim Ireland.
iii.Conduct deemed to be prejudicial to the good name of the club.
iv. The committee has the power to immediately suspend any member who they
believe has or could endanger themselves or others.
v. The committee will decide on any further action within 2 weeks.
vi. A member penalised may appeal the decision to a General Meeting once only
in any committee year of office, where a simple majority vote will be required to
overrule the decision of the committee.
10.1 If, at any time, circumstances arise for which there is no provision in this
Constitution, the Committee shall take such action as seems reasonable and necessary.
10.2 Such action shall be deemed valid until reviewed at an EGM or AGM.
