2 Invitation to submit offers for CERs and ERUs under the
  Ministry of Finance's Purchase Programme for 2007.
2.1 General information
The Norwegian Ministry of Finance (MoF) is authorized by the Storting (Norwegian
Parliament) to purchase credits based on the Flexible Mechanisms of the Kyoto Protocol.

MoF will on behalf of the Kingdom of Norway purchase credits from Clean Development
Mechanism (CDM) and Joint Implementation (JI) projects to obtain emission reductions,
eligible under the Kyoto protocol.

All projects which are registered or designed with the aim to be registered by the UNFCCC
CDM Executive Board as a CDM-project, or designed as a Joint Implementation project are
eligible. Hydroelectric projects above 20 MW installed capacity will, however, be treated
individually.

MoF will not be involved in financing of projects. Payments will only be made against
delivery of Certified Emission Reductions (CERs) and Emission Reduction Units (ERUs).

MoF is prepared to accept bids from projects in all stages of the investment process, and to
buy guaranteed CERs/ERUs. To promote the development of the carbon market, MoF will
pay special attention to projects which are at an early stage in the investment process and to
projects in countries where there currently are few or no registered projects.

2.2 The MoF Tender for CERs and ERUs
2.2.1 Submission of Tender Documents:
Submissions should be sent to the Norwegian Ministry of Finance for the attention of Internal
Controller Director, by registered mail (official postal service) or hand delivery (including
courier services). Submissions by email will also be accepted provided that the documents are
in pdf format.

Via e-mail:
The “Subject” field of the e-mail should contain only the following words: "Tender for CERs
and ERUs". All tender documents should be collected in a pdf file attached to the e-mail.
Annual reports, annual accounts, if any, and other exhibits should be sent by separate email
to keep the size of the individual e-mail(s) within 4 MB.

Hard Copies
– In a sealed envelope marked “Tender for CERs and ERUs”, also containing an electronic
version of the tender documents in pdf format. This envelope should be forwarded in a cover
envelope to the address specified below.

2.2.3 Definitions
Terms and expressions of this document have the meaning of the definitions of the UNFCCC
“CDM Glossary of terms used in the Project Design Document (CDM-PDD) - Version 02”
unless explicitly defined in this Tender Document.

2.2.4 Eligibility
Projects which are registered or designed with the aim to be registered by the UNFCCC
Executive Board as a CDM-project, or designed as a Joint Implementation project are eligible.
Hydroelectric projects above 20 MW installed capacity will be treated individually. Such
projects should be based on international good practice, and should comply with international
thresholds and criteria for the eligibility of hydro projects.

2.2.5 Amount and Volume
In this tender, MoF will contract credits for a total value of maximum of 200 mill. Norwegian
kroner. The offer price of purchases may be denominated in Norwegian kroner (NOK), US

dollar (USD) or euro (EUR). MoF will buy up to 1 mill. CERs/ERUs from individual projects
combined for the 2008-2012 period. The minimum volume for each contract is 50,000 tonnes
of CO2 equivalents combined for the 2008-2012 period.

2.2.6 Procedure and Language
The tender procedure is an open procedure. As far as deemed practically applicable, the
procedure is in accordance with Norwegian Regulation on Public Procurement dated 7 April
2006, which is the Norwegian implementation of the EU Directive 2004/18/EC.

This procedure is not open to negotiation. This means that offers may only be accepted or
rejected by MoF, and no alterations in offers will be accepted after the submission deadline.
Contracts will build on standard contracts, as described in section 2.6, and may be adapted to
a certain extent to take into account characteristics of individual projects and jurisdictions.

All communication should be in English.

2.2.7 Time Schedule, Deadline for Submission, Validity

Deadline for submission of tenders at the MoF is 9 November at 1300 hrs CET (Central
European Time)

All bidders will be informed simultaneously about the outcome of the award procedure.

Complaints relating to the award, if any, would have to be received at MoF within ten days
after the date of receiving information of the outcome.

Validity
All offers shall be binding for 90 days from the submission deadline.

2.2.8 Costs
MoF will not reimburse any costs for the participation in the tender or expenses in relation to
the submission of the tender documents. Candidates will have no claims against MoF of any
direct or indirect costs they may incur in connection with the procedure described in this
document, even if no contract is awarded.

2.2.9 Supplementary Information
Any corrections, supplements or amendments to this publication of tender will be posted on
the website www.CarbonNeutralNorway.no, and forwarded to subscribers of the
www.CarbonNeutralNorway.no e-mail news service. Subscription to this e-mail news service
can be made through www.CarbonNeutralNorway.no. Such information will also be available
on the posting of the tender on TED, http://ted.europa.eu/ and Doffin, http://www.doffin.no/.

2.2.10         Errors, Omissions, Ambiguities
Participants discovering errors, omissions or ambiguities in the tender specifications are urged
to report to MoF without delay.

2.2.11         Non-disclosure
Respecting legitimate needs for confidentiality in business matters, details of individual offers
or contract terms will be treated confidentially unless explicitly agreed between the seller and
MoF. MoF reserves the right to publish aggregated data such as country of origin of projects,
project types, volume etc, regarding offers.

2.2.12         Offer Price, Taxes
Prices should be quoted per CER or ERU, i.e. USD, EUR or NOK per tonne. The offered
prices specified for each year along with the number of CERs and ERUs on offer during these
same years shall be quoted net of local taxes. The contract shall be fully committing on both
parties and shall not be used merely as a free option on the sales price. Local taxes, if any,
have to be carried and paid by the bidder. MoF will pay Norwegian taxes, present and future
including Value Added Tax if relevant.

2.2.13         Ethical Behaviour
The Norwegian Government attaches great importance to promoting corporate social
responsibility (CSR). CSR is consequently considered when contracts are awarded by MoF.

MoF may reject bids based on projects in countries where Norwegian authorities discourage
foreign investments. When in doubt please contact MoF for further information.

2.3 Tender documents
The following documents shall be forwarded as appendices to the tender:
    Cover letter (using the template from appendix 1)
    Declaration on exclusion criteria (using the template from appendix 2)
    Project Idea Note (PIN) or/and Project Design Document (PDD) on UNFCCC format
       (As described in section 2.4.1).
    Extract from a professional register or trade register (issued in 2006 or 2007) or
       equivalent document
    Annual reports, annual accounts, balance sheets and profit and loss accounts from the
       past three years. Offers may be considered without these documents. In this case
       potential providers are requested to provide an explanation on why these documents
       are not applicable.
    Norwegian providers only: Value added tax certificate, Company tax certificate, Self-
       declaration regarding health, environment and safety in compliance with Appendix 2
       of the Norwegian procurement regulations (“Forskrift om offentlige anskaffelser”).
    For transparency and comparison reasons, MoF request potential providers to provide
       a Financial Analysis Model, based on the WB Carbon Finance Unit Financial Analysis
       Model. This Excel spreadsheet is available at www.CarbonNeutralNorway.no.

2.4 MoF Project Idea Note (PIN)
2.4.1 PIN / PDD
Participants shall submit a Project Idea Note (PIN). Information in the MoF PIN will be used
mainly to evaluate risks associated with the project. Participants may also choose to submit a

Project Design Document (PDD) in UNFCCC format. In the latter case, the MoF PIN shall
contain information on issues not covered by the PDD, and a short summary of the contents of
the PDD with transparent references to the PDD.

The PIN should be written as a separate document, clearly labelled with numbers in
conformity with the attached MoF PIN template. The template consists of the following six
sections.

2. Project Characteristics
3. Greenhouse Gas (GHG) Emission Reduction (ER)
4. Expected Schedule and Host Country Approval Procedure
5. Environmental impacts and impact on local stakeholders
6. Finance
7. Other relevant information

While every effort should be made to provide complete and comprehensive information
submissions should not exceed 20 pages. Annual reports, annual accounts and similar exhibits
are not subject to this constraint. If a prospective supplier offers allowances from more than
one project, it is requested to fill in a separate form for each project. If allowances from more
than one project are proposed supplied as a package, information about all projects may be
incorporated in one PIN. In the latter case, the PIN may be expanded by five pages for each
additional project.

MoF is entitled to reject offers with omissions, errors or ambiguities. Nevertheless MoF at its
discretion may ask for clarification and missing information if it would not alter materially the
bid. In exercising such right it will strive to apply equal treatment of all offers in order to
avoid influencing the competitive situation amongst prospective suppliers.

MoF may request documentation on relevant information such as host country approval,
registration, start of public comment period, as applicable. For the purpose of verification of
documentation and information in general MoF reserves the right to audit or cause audits to
be made.

Participants may, after consideration of its influence on project selection, state “N/A” for
information unidentified at the stage of PIN preparation.

2.4.2 PIN alterations for JI Projects, Funds, Pools, etc.
Prospective suppliers of credits from JI projects, funds, pools, etc. are invited to participate in
the tender. Such prospective suppliers may present relevant information in a suitable way,
providing the information asked for in the PIN template as far as possible, labelling the
information in a way that makes it comparable to sellers using the MoF PIN template.

2.5 Selection Criteria
Offers will be assessed on the basis of the information submitted in the tender documents.
MoF will select projects based on an evaluation of the price and risk of the individual offers.
In the selection MoF may seek to balance the overall exposure of the portfolio.

For the purpose of comparing offers in different currencies, Norwegian kroner will be used by
MoF as common denominator. Comparisons will be made on the basis of the exchange rate,

spot rates and relevant forward rates, on 9 November 2007. However, MoF’s contractual
obligations will be fulfilled in the contracted currency irrespective of the exchange rate
prevailing at the dates of payment.

The Selection Criteria are as follows:
- Price
- Delivery risk:
        - Project specific CER/ERU delivery risk
        - Project maturity (status of financing, approvals, etc)
        - Quality of project documentation
- Contribution to overall exposure of the portfolio
- Social and environmental impact in the host country

2.6 Contract
MoF will develop a contract based on standard contracts currently available in the market.
The agreement on purchase of CERs/ERUs will be based on a standard contract currently
available in the market (such as IETA-ERPA and CERPA). Contracts may be adapted to take
into account characteristics of individual projects and jurisdictions.

Agreements, if any, with financial institutions could be based on the ISDA Agreement.

Agreements will be governed by and construed in accordance with English law, and the
parties should be prepared to submit to the jurisdiction of English courts, or the courts of
another major financial centre.

The prospective supplier, considering the commercial nature of the contract shall waive any
legal immunity to which it may otherwise be entitled, and explicitly and unconditionally
accept as final and binding decision of a competent international court to be enforced without
suit in the jurisdiction of the relevant party. To protect its exposure in the event of a default,
because of bankruptcy or otherwise, MoF will seek to block any transfer of CERs/ERUs from
the project.

MOF reserves the right to assign a contract to other counterparties on conditions set out in the
contract.
