									The following is a sample authorization to proceed (ATP) document that can be
customized and used by the partner to ensure you have received the customer’s
permission to upload their data to Cisco for processing.

           Authorization to Proceed (ATP) to Receive Cisco Discovery Service Reports


YOU MUST CAREFULLY READ AND ACCEPT ALL OF THE TERMS AND
CONDITIONS CONTAINED IN THIS AUTHORIZATION TO PROCEED (“ATP”)
BEFORE CISCO NETWORK REPORTING SERVICES CAN BE PROVIDED. IF
YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS YOU
SHOULD NOT APPROVE OR SIGN THIS REPORT REQUEST. IF YOU DO
AGREE TO ALL OF THE TERMS AND CONDITIONS YOU SHOULD APPROVE
OR SIGN. THIS ATP SUPERSEDES ANY PRIOR OR CONTEMPORANEOUS
AGREEMENT THAT COVERS THE SAME SUBJECT MATTER.

Customer (hereinafter “you”) has requested that [INSERT PARTNER COMPANY
NAME] run a network discovery software tool to collect information about your
network, and submit this data to Cisco Systems Cisco Discovery Service (“CDS”) for a
Network Assessment Report (“NAR”) or Actionable Network Snapshot Report
(“ANSR”). You authorize an engineer to run, on a computer connected to your network,
software to collect information relating to all Cisco and third-party devices in your
network. The collection of information from third-party devices can be omitted from the
process on request.

The collected data will be uploaded to a central system within Cisco Systems, which will
generate the NAR and ANSR documents in Microsoft® Office formats. The Reports will
describe the Cisco Systems hardware platforms on your network and the level of installed
software, service coverage, and will highlight areas for improvement. The NAR and
ANSR (“Reports”) will not include device configuration information. We can provide
sample Reports upon request.

The Reports are provided free of charge and are only intended to summarize the software
and hardware information collected from your network. The NAR and ANSR are not
provided as part of consultancy or any other service. Should you wish to make changes to
your network as a result of the Report findings, we will be happy to assist you in the
validation of the data and in determining the most appropriate strategy for your network.

THE INFORMATION REPORTED IN THE NAR AND ANSR IS NOT
REPRESENTED TO BE COMPLETE OR ACCURATE, AND [PARTNER COMPANY
NAME] AND CISCO SYSTEMS DISCLAIM ALL REPRESENTATIONS AND
WARRANTIES RELATING TO THE REPORTS, INCLUDING BUT NOT LIMITED
TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
PARTICULAR PURPOSE.

[PARTNER COMPANY NAME] AND CISCO SYSTEMS SHALL NOT BE LIABLE
FOR ANY INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES
IN CONNECTION WITH, ARISING OUT OF OR RELATING TO THE USE OF THE
NETWORK COLLECTION TOOL OR THE REPORTS, OR FOR THE LOSS OF
DATA, INFORMATION OF ANY KIND, BUSINESS, PROFITS, OR OTHER
COMMERCIAL LOSS, HOWEVER CAUSED, AND WHETHER OR NOT
[PARTNER COMPANY NAME] HAS BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGE.
We and you acknowledge that, in connection with this Authorization, each may obtain
information relating to the other party, which is of a confidential and proprietary nature
("Confidential Information"). For instance the NAR will be considered your Confidential
Information and Cisco acknowledges receipt of Customer’s Confidential Information
through use of CDS. By notifying the engineer conducting the network assessment,
Customer may elect to use the “purge data” (DELETE) service within CDS to destroy
such Confidential Information after use, otherwise Cisco will continue to protect
Customer’s Confidential Information as further described below. The receiving party
shall at all times keep in trust and confidence all such Confidential Information, and shall
not use such Confidential Information other than as expressly authorized by the
disclosing party, nor shall the receiving party disclose any such Confidential Information
to third parties without the receiving party’s written consent. Notwithstanding the
above, we shall be authorized to disclose your Confidential Information to its contractors
or employees of its affiliates, who have a need to have access to such information for the
purpose of this Authorization and any subsequent recommendation you may ask
[PARTNER COMPANY NAME] to make.

Personal information (data) that may be provided by you via the Cisco Discovery Service
will be treated in accordance with Cisco Systems privacy policy viewable at
http://www.cisco.com/en/US/swassets/sw293/privacy_statement.html.

The obligations of confidentiality shall not apply to information which (a) has entered the
public domain except where such entry is the result of the receiving party’s breach of this
Authorization; (b) prior to disclosure hereunder was already rightfully in the receiving
party’s possession; (c) subsequent to disclosure hereunder is obtained by the receiving
party on a non-confidential basis from a third party who has the right to disclose such
information to the receiving party. Either we or you may request at any time that its
Confidential Information be returned or deleted immediately.

By approving this ATP through electronic means or signing this ATP, you are confirming
that [PARTNER COMPANY NAME] can proceed on the basis set out in this document.
