                     Ray Gallo understands the specific, complex needs of senior executives. Since 1994, his mission

                     Tony Jensen gets to the heart of complex legal problems and steers a clear path toward their
                     resolution. Before joining Gallo & Associates, Mr. Jensen was associated with the respected law
                     firms of Fried, Frank, Harris, Shriver & Jacobsen in New York City and Irell & Manella, LLP in
                     Newport Beach, CA. His practice emphasizes contracts and rights enforcement litigation.

                     Tony has experience handling a wide range of complex business disputes in state and federal
                     courts. He has litigated commercial disputes spanning the corporate, real estate, employment,
                     securities, and administrative arenas. He also has experience with complex product liability

                     cases, including class actions. Tony is admitted to the Bar in both California and New York.

                     Tony has served as an instructor in rhetoric and argumentation in the writing program at the
                     University of California at Irvine. He is an Associate of the firm.

                     THEODORE G. JOHNSEN

                     Ted Johnsen is a master of corporate and securities law with billions of dollars in transactions to
                     his credit. He served as a partner of both Perkins Coie and Arnold & Porter before becoming of
                     counsel to Gallo & Associates.
                     Ted originally was an Associate of O’Melveny & Meyers, where he received his training. He also
                     co-founded the well-respected Los Angeles law firm of Johnsen, Manfredi & Thorpe in 1974,
                     which subsequently became the Los Angeles office of Perkins Coie. Ted’s practice is exclusively
                     transactional. It includes employment and option agreements, start-ups, fundraising, mergers,
                     and acquisitions. He is known as an exceptional negotiator.

                     Mr. Johnsen received his bachelors and law degrees from the University of California at Los
                     Angeles, where he graduated Order of the Coif and was on the Board of Editors of the UCLA
                     Law Review. He has taught law as an Instructor of Law at the University of Michigan Law
                     School and as an Adjunct Professor of Law at the University of Southern California.

                     SHAKTI MURTHY

                     Shakti Murthy is a truly exceptional appellate lawyer and legal writer.

                     At Boalt Hall School of Law, Shakti ranked in the top 5% of her class, received American
                     Jurisprudence awards for evidence and constitutional law, and won the "Best Brief" award
                     for moot court.

                     After law school, she clerked for California Supreme Court Chief Justice Stanley Mosk before
                     entering private practice. Ms. Murthy was trained in civil litigation at the respected San
                     Francisco-based law firm of Morrison & Foerster.

                     Shakti now serves the community as a member of the appellate defense panel for the U.S.
                     District Court for the Central District of California. Her practice focuses on appeals and writs,
