WELCOME LETTER


Welcome to PROJECT!

We are thrilled to have you join us for our Winter 2012 season! Our goal is to make your experience as
enjoyable, successful and easy as possible, and to do that we need your help.

Whether it’s your first time at PROJECT or you’re an experienced exhibitor, this kit is an easy-to-use guide to help
make exhibiting a smooth process and ensure that you have a successful show. Please be sure to check out the
Exhibitor Checklist and Frequently Asked Questions – these tools can help you save time and money as you
prepare for PROJECT.

In addition to the forms for ordering your booth fixtures and signage, we’ve also included all the necessary forms
from our partner companies for ordering optional services, such as electricity, lighting and in-booth catering. Each
form will have corresponding contact & ordering information for that service. To make sure your order is received
on time, please send order and payment forms to the contact for the service you are requesting.

As you are deciding which services to order, don’t forget that PROJECT provides the following complementary
business services:

           Internet access from our PROJECT provided computers in various Internet Lounges
           Small quantity copy service at Exhibitor Service desk

Basement – South Hall (behind registration.) This is NOT a place to store empty bags/boxes.

INTERNET: Free wireless internet is provided and there’s an Internet Lounge with computers on the 2nd floor – South Hall.

SECURITY
STEAMING STATIONS:
Will be set up on 2nd floor and in basement during exhibitor load-in on January 15, 2012. Exhibitors may steam clothing at
these locations but may NOT take steamers to their booth. After January 15, 2012 two steamers will be left set up in coat
check.

TRANSPORTATION:
Subway Stations:

       B, D, F, M: Houston between Broadway & Lafayette
       C, E: Spring & 6th Ave
Car Service: PROJECT will be providing car service between PROJECT, ENK & Capsule 11am-4pm on show days. Luxury
Worldwide will have a dispatcher onsite to help call cars.

PARKING:
No parking on Mercer Street. There are several parking garages in the area. The parking coordinator (stationed outside) can
help once you arrive.

BOOTH TYPES:
STANDARD BOOTH PACKAGE A booth measuring approximately 9’ deep x 10’ wide x 6’ high wherein exhibitor must use
the PROJECT standard booth equipment package. Multiples of such booths, no matter what the final combined square
footage, are considered standard booths and are subject to standard booth rules and regulations.

Standard Booth Exhibitors may not build out or bring a custom booth. All Standard booths must use booth equipment
package.

Booth equipment package includes:
       1 booth ID sign
       Hard wall panels
       1 work table
       3 work chairs
       1 trash bin
       Choice of display fixtures: one set built into each wall section.
             o Display fixtures consist of either 1 rack or 3 shelves per wall section at PROJECT standard heights.
       For 2 combined standard booths or larger, free standing rolling racks are available. Standing shelves may be
        substituted for rolling racks for an additional fee. (see contract for permitted quantities for your booth size)

Standard booth packages must order booth fixtures and signage 30 days prior to the first day of the show.

Deadline Date December 16, 2011

Any fixture orders not received by Project at least 30 days prior to first day of show will receive default configuration:

        Apparel & mixed product companies will receive (all racks)
        Accessory or other non-apparel companies will receive (all shelves)
        Any changes to this order must be made on site at Exhibitor’s expense.

Exhibitors accepted to Project after this deadline must place order at time of contracting. Order not placed at this time will be
set up as per above.

Several Floor Managers will be available to answer questions regarding exhibits, assist in resolving on-site problems, and is
responsible for enforcing the rules and regulations of the show. They will be located throughout the Exhibit Hall.

Within this Exhibitor Kit there are order forms and contact information from many different companies. We
understand that it can be confusing. Below is a list of both Exclusive and Non-Exclusive Services.


Exclusive Services:
If you need any of the following products or services they must be ordered through the provider listed:

       Electrical outlets in your booth – 82 Mercer. Please see the order form in this kit.
       Additional booth lighting – 82 Mercer. Please see the order form in this kit.

Non-Exclusive Services:
Below are companies that we recommend because they do excellent work. If you decide to use another company
you are responsible for familiarizing them with PROJECT’s Rules and Regulations.

       Shipping – Global Shipping Alliance. Please see the order form in this kit
       Security – We secure the entrances and perimeter of the exhibit hall. Additional security may be
        contracted for your individual booth. Please check with Erin Estes for a recommendation:

COST SAVING IDEAS



1.   Read this exhibitor kit! The information it contains will save you time, money and needless stress.

2.   Helpful reminders about ordering:
             Order any essential services in advance (i.e. booth fixtures, electrical labor and services, IT, booth security,
              etc.). Place all orders by advance deadline to get better rates. Try to avoid placing orders on-site. On-site
              orders are expensive and may be subject to delays. Confirm that your advance orders have been received
              before leaving for the show.
             Bring copies of your advance order forms, payment records and a company credit card to the show, just in
              case.

3.   Helpful Shipping Reminders:
            Place a rider on your insurance policy from the time your product leaves your possession until it is returned.
             Your company is responsible for your product.

             If you must ship directly to show site, time the delivery to arrive when your company representative will
              be present. Confirm that your carrier will guarantee on-time delivery, and be sure to have their phone number
              and shipment reference information handy.

             Remove old shipping labels and attach new labels provided in the exhibitor kit. Make sure the labels are
              completely filled out, with your company name, booth number, and number of pieces clearly marked.

             Label boxes with the booth number and the exhibitor name as listed in the PROJECT directory. Shipping
              under the parent company name causes delays.

             Coordinate your return shipment in advance. Make sure someone from your company is on-site to
              oversee the outbound shipment of your display and product. Someone from your company should be
              with your display and product at all times, do not leave items unattended.

             Make sure your booth is packed and ready before turning in your Bill of Lading.

FREQUENTLY ASKED QUESTIONS



Q: HOW DO I ORDER BADGES?
A: Once you have paid in for your booth space in full, you will receive an email containing a link to the badge
registration page. Select your company name from a drop-down menu and provide your password. You will be
able to add names and receive confirmation for your badges at that time. If you prefer, you can print out the
Exhibitor Badge Request Form and send where noted before deadline. If you’ve missed the pre-order deadline,
fill out the Exhibitor Badge Request Form in this kit and bring it to the registration desk at the show.

Q: WHERE DO I SHIP MY MERCHANDISE AND CRATES?
A: Whenever possible, ship merchandise in advance to 82Mercer. Follow the instructions on Advance Shipping
located in this kit. For shipments during load-in, ship to 82 Mercer. Be sure to use the labels provided in this kit
and clearly write the name of your company and booth number on all packages.

Q: HOW CAN I PURCHASE LIABILITY INSURANCE?
A: You can purchase liability insurance by printing out the insurance forms located in this kit and sending them to
Wells Fargo Insurance. This must be done in advance. Address and dates are on the forms.

Q: WHERE DO I STORE ALL OF MY EMPTY CRATES, CARTONS AND CASES?
A: All shipping containers must be removed from the show floor before the show opens. If you wish 82 Mercer to
remove them, request storage labels at the Project Exhibitor Service desk located on the 2nd floor, flatten and tie
together cardboard boxes and fill out storage labels completely, then just leave your boxes outside of your booth.
Boxes will be removed at the end of day on setup day and returned at show close.

Q: WHAT IF I HAVE A MEDICAL EMERGENCY OR NEED FIRST AID IN MY BOOTH?
A: Stop anyone with a radio and staff badge or a security guard, and let them know the situation. They will be able
to contact our on-site Medical Unit.

Q: WHAT TYPE OF SECURITY IS PROVIDED?
A: There is peripheral security during the show. However, you are responsible for the security of your individual
booth and its contents. We recommend that you secure your booth by hiring your own overnight security guard,
not leaving one-of-a-kind samples, expensive jewelry, or small items unattended at any time, carrying a detailed
list of all your products, and closing off your booth at the end of each day.

Q: WHO DO I CONTACT IF I HAVE QUESTIONS DURING SET UP?
A. There will be PROJECT Customer Service Representatives and floor managers designated to each aisle of the
show. Get to know them! They are available to help and assist exhibitors. If they cannot help you, they will direct
you to the correct PROJECT Show Management representative. If you have questions regarding your booth set-
up and/or fixtures please visit the PROJECT Exhibitor Service desk.

STANDARD BOOTH DÉCOR RULES
1. DEFINITION: A standard booth is typically defined as an approximately 8’ deep x 9’ wide x 5’6” high booth (depending on
equipment). Multiples of such booths, no matter what the final combined square footage, are considered Standard booths and
are subject to standard booth rules and regulations.
2. NO CUSTOM BOOTHS: Standard Booth Exhibitors may not build out or bring a custom booth. All Standard Booths are
Package booths.
3. FIXTURE ORDER: Exhibitors must submit their booth fixture order at least 30 business days in advance of first day of show
   or default configuration will be provided. Please see #8 below and Exhibitor Kit for more information.
4. PROHIBITED DÉCOR: Exhibitors MAY NOT bring in any of the following:
    a) Carpet/rug (except #5d below).
    b) Signage/graphics must be under 12'' x 18'', free-standing and not placed against, clipped or otherwise attached to
       PROJECT displays fixtures. Must be placed inside booth and not in aisle.
    c) Custom fixtures or furniture (except #6a below).
    d) Lights. If exhibitor requires supplemental light it must be ordered through the venue and installed in the ceiling.
    e) Tablecloths, curtains & drape.
    f) Decorative and/or display furniture or fixtures including but not limited to tables & chairs, racks, large sculpture and
       props or audio/visual equipment (including but not limited to any laptop or computer screen over 17 inches).
5. APPROVED DÉCOR/DISPLAY ITEMS: All standard booth exhibitors MAY bring in the following items:
    a) Floral.
    b) Small props. May be no larger than a small suitcase or milk crate.
    c) Mannequins. Mannequins must be half- or full-size and headless, minimalist in design with no custom, lifelike or
       distinguishing features.
    d) Area rugs. Must not present a tripping or safety hazard. Must be finished with no raw edges.

6. APPROVED DÉCOR/DISPLAY ITEMS FOR 2 OR MORE STANDARD BOOTHS: Exhibitors who have rented
   & combined two (2) or more standard booths into one larger booth may bring in the following:
     a) Custom fixtures & furniture.
7. HEIGHT LIMIT: Nothing may extend above 6' from the ground. Truss and hanging signage are prohibited. If exhibitor
requires supplemental light it must be ordered through the venue and installed in the ceiling.
8. BOOTH FIXTURE ORDER DEADLINE:
    Booth fixture orders are due no later than 30 days in advance of first day of show
    After this date, fixture choice will revert to default setup (see below) and any changes must be made on show site at
     exhibitor’s expense
    If exhibitor contracts after this date, fixture choice must be submitted with contract. If not submitted with contract, the
     default set up will be provided, and any changes must be made on site at exhibitor’s expense
    One week prior to show, any new exhibitors automatically receive default setups.
    Default setups:
                         Apparel companies: all racks
                         Accessory/shoes/jewelry companies: all shelves
9. ADDITIONAL BRAND(S) IN BOOTH: No Exhibitor shall assign, sublet or share any part of its assigned space without the
written consent of Show Management. Any Exhibitor who wishes to display additional brand(s) in its booth must submit the
additional brand(s) to Show Management for approval. Upon Show Management’s written approval, Exhibitor will be required
to pay an additional fee per brand. If unapproved brands are found in Exhibitor’s booth, exhibitor’s booth will be closed down.
All monies paid by exhibitor will be forfeited.

SHOW RULES & REGULATIONS
1. FINAL SAY: Show Management reserves the right to decline, prohibit or expel any exhibit, or item or feature thereof which,
in its judgment, is inappropriate or out of keeping with the character of the Show, this reservation being all inclusive as to
persons, things, printed matter, product, conduct, sound level, etc. Failure to comply with the rules & regulations as stated
here and in the Exhibitor Kit will result in alteration or removal of booth, booth personnel and/or product and jeopardize
Exhibitor’s participation in future shows. Booth Rental Fees are non refundable.

2. ASSIGNMENT OF SPACE, EXHIBIT STAFFING: No Exhibitor shall assign or sublet or share any part of its assigned
space without the written consent of Show Management in writing. Any space not occupied by Exhibitor at the time set for
completion of installation of displays will be reassigned at the discretion of Show Management, in which case all amounts paid
or payable by Exhibitor will be forfeited unless special arrangements have been approved in writing by Show Management.
Exhibitor agrees to keep its exhibit open and staffed at all times during the Show hours.

3. DISTRIBUTION OF PROMOTIONAL MATERIALS: Distribution of marketing and promotional materials is strictly limited to
inside the Exhibitor’s booth. Exhibitors may NOT allow staff or representatives to distribute or place materials in any space
within the show or lobby, or anywhere outside their booth that is within the show boundaries. Marketing materials include but
are not limited to fliers, brochures and promotional items of any kind. Any promotional materials found in the show common
areas will be confiscated and disposed of. Any personnel found distributing these materials will be removed from the
premises. Any Exhibitor whose name appears on the materials or is associated with the materials will be held responsible and
will be subject to penalties stated above.

4. NUDITY: Nudity is prohibited. All individuals must be properly clothed. Sheer or otherwise transparent garments are not
acceptable forms of dress on the Show floor. Special displays and/or performances including but not limited to models with
body paint or skin decoration, in-booth performances of any kind, etc., must be pre-approved in writing by Show Operations.
Failure to comply will result in the removal of such models/performers/ booth personnel from the show and jeopardize
exhibitor’s participation in future shows.

5. MUSIC & SOUND: Show Management provides music for the show. Music & sound amplifying devices, other than those
provided by Show Management, are prohibited.

6. PROPERTY LINES & COURTESY: Exhibitor's exhibit or products may not extend beyond the limits of the Exhibitor's booth
and no part of any exhibit or product may extend into any aisle. No Exhibitor shall arrange its exhibit so as to obscure or
prejudice adjacent Exhibitors, as determined by Show Management’s Operations Staff.

7. DEMONSTRATIONS, MODELS: All demonstrations by Exhibitor must be located so that assembled crowds are within the
Exhibitor’s space and not blocking any aisle or neighboring exhibits. Personnel (including but not limited to models,
performers, artists & specialty demonstrators) participating in demonstrations must be inside Exhibitor’s booth space at all
times and not performing, displaying or otherwise conducting promotional exhibitions of any kind outside Exhibitor booth
space. Failure to comply will result in the removal of such models/performers/ booth personnel from the show and jeopardize
exhibitor’s participation in future shows.

8. SIGNS: Exhibitor agrees to change any sign determined by Show Management not to be in the best interest of the Show.

9. BALLOONS & GAS: Balloons are prohibited. Neon or other gas-based signs are prohibited.

10. NOISE & OBSTRUCTION: Noisy or obstructive exhibits or activities producing objectionable noise or odors are prohibited.

11. FORWARD INFORMATION: It is Exhibitor’s responsibility to forward all pertinent booth rules and regulations information
to any Exhibitor Appointed Contractor, Expo Company, builder or agent (collectively “EAC”) that designs, constructs or
assembles booth on their behalf. Please see #28 below and Exhibitor Kit for fixture order deadline, late fees and more
information.

12. TYPE OF BOOTH: If Exhibitor is unsure which type of booth they have contracted, it is their responsibility to contact their
sales representative for clarification.

SHOW RULES & REGULATIONS
13. INTELLECTUAL PROPERTY RIGHTS: Show Management requires exhibitors to respect the intellectual property rights
of third parties. If Show Management receives credible information indicating that a third party’s intellectual property rights are
being violated by an exhibitor, Show Management may (but is under no obligation to) require the exhibitor to provide evidence
of its right to use such intellectual property. If the exhibitor refuses to do so, Show Management reserves the right to remove
the exhibitor from the premises.

14. AVAILABLE SERVICES
On behalf of the Exhibitors, Show Management has designated official Show contractors to provide the following: drayage,
cartage, furniture, booth and floor decorations, signs, photographs, telephone services, etc. Services of electricians,
plumbers, carpenters and other labor will be available and charged for at the then prevailing rates. Contractors and rates will
be listed in the Exhibitor Kit to be issued separately. Show Management assumes no responsibility or liability for any of the
services performed or materials delivered by the foregoing persons, parties and organizations. Arrangement for these services
and payments are to be made between Exhibitors and official Show contractors.

15. PROTECTION OF FACILITIES
Nothing shall be posted on, or tacked, nailed, screwed, or otherwise attached to the columns, walls, floors, or other parts of the
convention hall exhibit area without permission from the proper building authority. Fluids, caustic or staining, must not be used
where they may damage floor coverings. Packing, unpacking and assembly of exhibits shall be done only in designated areas
and in conformity with directions of Show Management, the convention hall manager or their assistants.

16. EXHIBITS MOVE IN, MOVE OUT
Movement of exhibits in and out of the Hall must be handled by official Show contractors. No exhibit will be allowed into or out
of the Hall without an official clearance from Show Management. The Exhibitor must make its own arrangements for
transportation of exhibits and packing material. Show Management cannot accept or sign for exhibits on behalf of the
Exhibitor. Move in and move out times and access outside of Show hours are limited to those described in the Exhibitor Kit.
At such time after the close of the Show as Show Management may specify or upon sooner termination of this Agreement, all
exhibits shall be removed and cleared from the Show space and vacant possession of the exhibit space shall be delivered to
Show Management in as good and clean order and condition as it was when delivered to Exhibitor. Exhibitors will pay the cost
of repairing any damage caused to the Hall facility by the Exhibitor and/or its contractors. Any property remaining after the last
day designated by Show Management for it to be removed may be held or otherwise disposed of by Show Management or
Hall Management at the Exhibitor’s expense. No property may be removed from the Show before the Show ends. Please
refer to Exhibitor Kit for detailed information.

17. SAFETY
All display materials used for decoration must be flameproof. All electrical equipment or devices used in or about an exhibit
must be in good operating condition and able to pass fire and/or electrical inspections. Extra materials stored in Exhibitor’s
exhibit space must not block access to the exhibit or cover electrical wires or outlets. Exhibitor agrees to comply with local
ordinances and Hall Management rules regarding health, fire prevention and public safety. If inspection of an Exhibitor’s booth
discloses a failure to comply with any applicable law, code or regulation, or if Show Management determines that all or any
part of an exhibit presents a fire hazard or other danger, Show Management may cause the removal of all or a portion of such
exhibit at the Exhibitor’s expense. Under no circumstances may the weight of any equipment or exhibit material exceed the
Hall’s maximum floor load. Exhibitor accepts full and sole responsibility for any injury or damage to property or persons

load specifications.

18. SECURITY
Show Management will provide perimeter guard service during the Show and while the Exhibit Hall is closed. Exhibitor agrees
that Show Management is not liable for anything its guard service, or facility security does or fails to do. This includes, but is
not limited to, damage, theft, or loss sustained by Exhibitor’s exhibit or its representatives. Exhibitor will not be allowed into
the Exhibit Area after Show Hours. Exhibitor should consider arranging security for its specific booth space for either during or
after Show hours.

19. ATTENDANCE
Show Management shall have sole control over admission policies at all times.

20. ELECTRONIC MESSAGES
By providing Show Management the e-mail addresses set forth on the first page of this Agreement, Exhibitor hereby consents
to receiving unsolicited commercial e-mail messages from Advanstar Communications Inc., its affiliates and partners as well
as third parties licensed to send such messages to Exhibitor by any of the foregoing.

21. EXHIBITION ACTIVITIES
Exhibitor agrees not to schedule or conduct any outside commercial activity including, but not limited to, receptions, seminars,
symposiums and hospitality suites during the Show, whether such activities are held at or away from the Hall facility, except
with the written approval of Show Management.

22. ERRORS AND OMISSIONS
Exhibitor agrees that Show Management will not be liable in the event of any errors or omissions in the Show’s directory listing
or in any related materials.

23. SPONSORSHIP AGREEMENT
All rules and regulations of all applicable sponsorship agreements and related materials are hereby incorporated into this
Agreement.

24. ADDITIONS OR CORRECTIONS
Show Management may amend these terms from time to time in the best interest of the Show upon written notice to Exhibitor.
Exhibitor agrees to accept notice of additions or amendments and to consider them as part of this Agreement.

25. ADDITIONAL BRAND(S) IN BOOTH: No Exhibitor shall assign, sublet or share any part of its assigned space without the
written consent of Show Management. Any Exhibitor who wishes to display additional brand(s) in its booth must submit the
additional brand(s) to Show Management for approval. Upon Show Management’s written approval, Exhibitor will be required
to pay an additional fee per brand. If unapproved brands are found in Exhibitor’s booth, exhibitor’s booth will be closed down.
All monies paid by exhibitor will be forfeited.

BOOTH CONSTRUCTION AND ARRANGEMENT:

26. STANDARD BOOTHS

26a. DEFINITION: A standard booth is typically defined as an approximately 8’ deep x 9’ wide x 5’6” high booth (depending on
equipment). MULTIPLES of such booths, no matter what the final combined square footage, are considered STANDARD
BOOTHS and are subject to standard booth rules and regulations.

26b. NO CUSTOM BOOTHS: Standard Booth Exhibitors may not build out or bring a custom booth. All Standard Booths are
Package booths.

26c. EQUIPMENT PACKAGE: Standard Booth equipment is provided by Show Management and includes:

• 1 booth ID sign
• 1 work table
• 3 work chairs
• 1 trash bin
• 3 freestanding fixtures (choice of shelving unit or rolling racks) please see #28 below and Exhibitor Kit for fixture order
deadline and more detailed information.

26d. FIXTURE ORDER: Exhibitors must submit their booth fixture order at least 30 business days in advance of first day of
show or default configuration will be provided. Please see #28 below and Exhibitor Kit for more information.

    d) Lights. If exhibitor requires supplemental light it must be ordered through the venue and installed in the ceiling.
    e) Tablecloths, curtains & drape.
    f) Decorative and/or display furniture or fixtures including but not limited to tables & chairs, racks, large sculpture and
        props or audio/visual equipment (including but not limited to any laptop or computer screen over 17 inches).

26f. STANDARD BOOTH APPROVED DÉCOR/DISPLAY ITEMS: All standard booth exhibitors MAY bring in the following
items:
     a) Floral.
     b) Small props. May be no larger than a small suitcase or milk crate.
     c) Mannequins. Mannequins must be half- or full-size and headless, minimalist in design with no custom, lifelike or
        distinguishing features.
     d) Area rugs. Must not present a tripping or safety hazard. Must be finished with no raw edges.

26g. ADDITIONAL APPROVED DÉCOR/DISPLAY ITEMS FOR 2 OR MORE STANDARD BOOTHS: Exhibitors who have
rented & combined two (2) or more standard booths into one larger booth may bring in the following:
     a) Custom fixtures & furniture.

26h. HEIGHT LIMIT: Nothing may extend above 6' from the ground. Truss and hanging signage are prohibited. If exhibitor
requires supplemental light it must be ordered through the venue and installed in the ceiling.

26i. ATTACHED ITEMS: Exhibitors may not affix, apply or attach any item (including but not limited to fliers, banners or other
signage, stickers, decals or other items) onto any furniture provided by Show Management including walls, shelves, racks,
tables, chairs, etc (“PROJECT Furniture”). If stickers or other items are found attached to PROJECT Furniture or signage in
violation of this rule, Exhibitor will be billed for full replacement costs.

27. LARGE PACKAGE BOOTH: There will be no large booths available for the New York January 2011 show.

28. DEADLINES: Exhibitors must confirm their PROJECT fixture/furniture order in advance of the show. Deadlines are listed
below.

Exhibitors may get their product to the show in three ways:

        1. You may ship in advance to the 82 Mercer.
              If shipped advance, product will be brought to your booth and will be waiting for you on your
                setup day.
              82 Mercer will charge Materials Handling for this service, charged by size.
              Advance shipments must arrive to the warehouse between the dates published in the 82 Mercer
                Brochures & Order Forms section of this Kit. Early or late shipments will incur additional fees.

              Please see the Advance Warehouse shipping label in the 82 Mercer Services Kit.

        2. You may ship directly to show site.
             Important: shipments to show site will only be accepted during your scheduled load-in
               date and time. If you ship to arrive beforehand your packages will be refused by the
               building.

        3. You may bring your items directly to the show.
            If you can Hand Carry your product you are not charged Materials Handling; however you must
              follow the Hand-Carry policy below.

Hand Carry Policy:
You may bring your materials in through the building’s front doors if they can be carried by hand. There is a
flight of stairs up to the 2nd floor and a flight of stairs down to the 1st floor. Freight elevator is available for
larger items.


Privately Owned Vehicles:
You may unload your hand carried items in front of the building. The time limit to unload is 15 minutes and you
must have someone stay with your vehicle at all times. Please be aware that Mercer Street is a narrow, one-way
street that does not allow any parking during the day.

If your empty boxes and sample cases are stored by 82Mercer they will be returned to you starting at 5:00pm on
the last day of the show. Remember, you may not begin breaking down until 5:00PM on Wednesday,

Outbound Shipping: If using a freight carrier, you should be in contact with that carrier in order to meet them
at the freight elevator or front entrance with your boxes. No freight carriers are allowed on the show floor
except for Global/Airways.

82Mercer has established the following terms and conditions of sale for all services rendered by us:

82MERCER REQUIRES PAYMENT FOR ALL SERVICES PRIOR TO THE START DATE OF THE
SHOW. Advance payment can be made by completing the Method of Payment Form.

It is the responsibility of the exhibitor to advise 82Mercer of any problems with any orders, and to check
their invoice for accuracy prior to the close of the event. No credits will be issued after the exhibition
closing. All payments must be made in U.S. Funds.

If your firm or agency requires a purchase order be issued for any services rendered, such purchase order
must accompany the order forms. Government agencies please note.

All materials and equipment are on a rental basis, except where specifically identified as a sale, and
remain the property of 82Mercer.

Exhibitors with a history of delinquent payment and/or open balances will be required to settle their past
due accounts and forward an advance deposit to cover the estimated costs of service and, if such deposit
is not sufficient, will be required to settle their accounts prior to the start of the show.

For all exhibitors, all advance shipments must be paid for prior to the start date of the show. 82Mercer
will accept payment solely by credit card, Visa, Mastercard or American Express.

82Mercer reserves the right to check the credit available on any card presented. If the exhibitor fails to
review/ pay their invoice prior to the start of the show, the charges will automatically be applied to the
credit card on file.

International Exhibitors will be required to settle their accounts in full prior to the start of the exhibition.
Payments must be made by credit card, Visa, Mastercard, or American Express when previously arranged
by 82Mercer.

Sales Tax will be charged on top of the final invoice at the rate of 8.875% .

Payment for all labor, equipment and services, whether ordered by the exhibitor, display builder,
nonofficial contractor or other parties shall be the responsibility of the exhibitor at the event.

82Mercer reserves the right to institute collection action against all exhibitors/third parties in the event
payment is not received within 20 days. Services charges of 1.5% per month or fraction thereof will be
applied to the past due accounts; the annual rte per service charge is 18%. Fees associated with
chargebacks on credit card will be applied to your invoice.

               Liability and Limits of Liability and Responsibility for Material Handling Services

   1)    82Mercer and its subcontractors shall not be responsible for loss, delay or damage due to strikes, lockouts or work
         stoppages of any kind.
   2)    82Mercer and its subcontractors shall not be responsible for loss, injury or damage caused by tradesmen or equipment
         furnished by 82Mercer or its subcontractors, except when such tradesmen are working or operating equipment under
         the direct supervision of a supervisor designated by 82Mercer or its subcontractors.
   3)    82Mercer and its subcontractors shall not be liable to any extent whatsoever for any actual, potential, or assumed loss
         of profits or revenues, or for any collateral costs that may result from any loss, injury, or damage to an exhibitor’s
         materials or exhibitor personnel, which may make it impossible or impractical to exhibit the exhibitor’s materials.
   4)    Upon discovery, all apparent loss, injury or damage to you or your property must be left in its undisturbed condition
         and immediately reported to an 82Mercer representative for documentation. Claims for discovered and reported loss,
         injury or damage must be submitted to 82Mercer by the close of the show. No suit or action shall be brought against
         82Mercer or its subcontractors more than one year after the incident giving rise to the cause of action.
   5)    The placing of an order for the services of labor and the use of equipment by an exhibitor or any agent of the exhibitor
         shall be construed as an acceptance by such exhibitor or agent of the terms and conditions set forth in sections 1
         through 4 above. 82Mercer and its subcontractors are not insurers of you or your property and will not assume
         responsibility for loss, injury or damage where the direct cause of the loss, injury or damage is unknown or
         indeterminable.
               a. A. 82Mercer shall not be liable for any consequential, incidental, direct, exemplary, punitive, or special
                    damages whatsoever.
   6)    82Mercer and its subcontractors shall not be responsible for damage to uncrated materials, materials improperly
         packed, glass breakage or concealed damage.
   7)    Relative to inbound shipments, there may be a lapse of time between the delivery of shipment (s) to the booth by
         82Mercer or its subcontractors and the arrival of the exhibitor’s representative at the booth. Similarly, relative to
         outgoing shipment (s), it is possible that there may be a lapse of time between the completion of packing and the actual
         pick-up of materials from the booth unattended. Therefore, it is agreed that 82Mercer and its subcontractors are not
         responsible for the loss or disappearance of exhibitor’s materials after the same have been delivered to the exhibitor’s
         booth, nor are 82Mercer and its contractors responsible for exhibitor’s materials before they are picked up from the
         exhibitor’s booth for loading after the show. Consequently, all bills of laden covering outgoing shipment (s) submitted
         to 82Mercer or its subcontractors by exhibitor will be checked at the time of pick-up from the booth and corrected
         where discrepancies exist.
   8)    82Mercer and its subcontractors shall not be held liable for any damage incurred during the handling of equipment
         requiring special devices to properly load, place or reload unless advance notice has been given to 82Mercer in time to
         obtain proper equipment.
   9)    82Mercer and its subcontractors shall not be responsible for loss, delay or damage due to strikes, lockouts, or work
         stoppages of any kind.
   10)   82Mercer and its subcontractors shall not be responsible for ordinary wear and tear in handling of equipment, nor for
         loss or damage due to fire, theft, windstorm, water, vandalism, acts of God, terrorism, mysterious disappearance or
         other causes beyond their control.
   11)   It is understood that 82Mercer and its subcontractors are not insurers. Insurance, if any, shall be obtained by the
         exhibitor. Amounts payable by 82Mercer hereunder are based on the scope of liability as herein set forth and are
         unrelated to the value of the exhibitor’s property. It is further understood and agreed that 82Mercer and its
         subcontractors do not provide for full liability should loss or damage occur. It is agreed that if 82Mercer and its
         subcontractors should be found liable for loss or damage to exhibitor’s equipment, the liability shall be limited to the
         specific article that was physically lost or damaged. Such liability shall be limited to a sum equal to 5.30 per pound per
         article, with a maximum liability of $50.00 per item or $1,000.00 per shipment, whichever is less, as agreed upon
         damages and exclusive remedy. Provisions of this paragraph shall apply if loss or damage, regardless of cause of
         origin, results directly or indirectly to property through performance or nonperformance of obligations imposed by the
         offering of services to exhibitors or from negligence, active or otherwise, by 82Mercer, its subcontractors or their
         employees.
   12)   82Mercer and it subcontractors shall not be liable to any extent whatsoever for any actual, potential or assumed loss of
         profits or revenues or for any collateral cost that may result from any loss or damage to exhibitor materials, which may
         make it impossible or impractical to exhibit same.

                                                                                                  Freight FAQs

FAQS ABOUT MATERIAL HANDLING

HOW DO I SHIP TO THE WAREHOUSE (i.e. advance shipment to warehouse)
  x We will accept freight beginning 30 days prior to show move-in.
  x To ensure timely arrival of your materials at show site, freight should arrive by the deadline date listed on
     the Show Information page. Your freight will be accepted after the deadline date, but additional charges
     will be incurred.
  x The warehouse will receive shipments Monday through Friday, 9:00 am-4:30 pm.
  x The warehouse will accept crates, cartons, skids, and trunks/cases. Loose or pad-wrapped material will not
     be received.
  x All shipments must have a bill of lading or delivery slip showing the number of pieces, type of merchandise
     and weight.

HOW ABOUT PREPAID OF COLLECT SHIPPING CHARGES?
  x We do not accept collect shipments. Collect shipments will be returned to the delivery carrier.
  x To ensure that your freight does not arrive collect, mark your bill of lading “prepaid”.
  x “Prepaid” designates that the transportation charges will be paid by the exhibitor or a third party.

HOW SHOULD I LABEL MY FREIGHT?
  x The label should contain the exhibiting company name, the booth number and the name of the event:

WHAT HAPPENS TO MY EMPTY CONTAINERS DURING THE SHOW?
  x Make sure each carton or container is labeled with your booth number and company name. Place a label
     on each container. Labeled containers will be picked up and stored during the show. Cartons must be
     broken down for storage and it is the responsibility of each exhibitor to supply packing tape to reform the
     box (es).

HOW DO I PROTECT MY MATERIALS AFTER THEY ARE DELIVERED TO THE SHOW OR BEFORE
THEY ARE PICKED UP AFTER THE SHOW?
   x Consistent with trade show industry practices, there may be a lapse of time between the delivery of your
      shipment (s) to your booth and your arrival. The same is true for the outbound phase of the show- the time
      between your departure and the actual pickup of your materials. During these times, your materials will be
      left unattended. We recommend that you arrange for a representative to stay with your materials, or that
      you hire security services to safeguard your materials.

HOW DO I SHIP MY MATERIALS AFTER THE CLOSE OF THE SHOW

DO I NEED INSURANCE?
   x Be sure your materials are insured from the time they leave your firm until they are returned after the show.
       It is suggested that exhibitors arrange all-risk coverage. This can be done by “riders” to your existing
