 Safire Partners is a research-based retained executive search firm headquartered in Los Angeles,
 CA. We work with emerging growth, venture capital, private equity and angel backed companies
 in digital media, technology, online advertising, eCommerce, clean energy, and consumer products
 sectors.

 Todd Gitlin founded Safire Partners in 2006 to realize a vision that relationships are the most
 important asset to an emerging growth company. These relationships have helped companies not
 only build their executive teams, but also reach customers, angels, investors, industry partners, and
 alliances. Safire Partners was founded to support businesses in this formative stage when
 relationships are most critical.

 For every search Safire Partners conducts a thorough analysis of an industry, and systematically
 identifies every qualified candidate in the marketplace. This process of sourcing generates a
 concentrated list of candidates without regard to their interest in a career change. Only through this
 process will our clients gain momentum with candidates who would have never responded to a job
 advertisement or been found through a personal network.

 Safire Partners continually looks for opportunities to invest in their clients, and since 2006 has
 invested over $3M. Since starting the firm in 2006 Safire Partners has placed over 250 executives.

 Todd Gitlin (Managing Partner & Founder) has been a recognized leader in executive search
 since 1999 completing over 500 assignments. From 2002 to 2006, Todd was a Principal
 Consultant with one of the larger retained executive search firms in Southern California. From
 1999 to 2002, Todd worked as a Search Consultant with a top retained search firm exclusively
 engaged to recruit Chief Financial Officers for the tier-one venture community. Earlier in his
 career, Todd founded and served as CEO of CareerCreations.com, a venture-backed software
 company that focused on leveraging technology to develop integrated recruitment programs and
 job search methods for college students. Todd has a Bachelor of Arts in Organizational
 Management from California State University, Chico. He served as a Board Member for Los
 Angeles Venture Association (LAVA), and on advisory boards of Brighthouse, Lagovent Venture
 Group, TreatFeed, TigerText. and Peer Media Technologies.

 Safire recruits 50 executives annually with a staff of 3 recruiters/researches and 2 administration.

SAFIRE’S RETAINED SEARCH PROCESS
CLIENT MEETINGS: Each search begins with a kick-off meeting at the Company’s office to learn
about the company, the culture and the specific position. All members of the management team (and
investors) are encouraged to become involved. These meetings will produce a mutually agreed upon
strategy and tactics providing the platform for the next step.

POSITION SPECIFICATION/CANDIDATE PROFILE: Based on the information from these
meetings, we create a detailed description of the position. After approval of the position specification, a
candidate profile is created. We use this profile as a basis for assessing potential candidates.

SOURCING: Our sourcing model is research-based, and we will conduct a thorough analysis of the
industry and companies located in the target area (i.e. Los Angeles). Safire’s process of sourcing
generates a concentrated list of candidates without regard to their interest in a career change. Only
through this process will the Company gain momentum with candidates who would have never responded
to a job advertisement or been found through a personal network. This is done by building a list of target
companies, utilizing in-house proprietary database, leveraging our referral network, and through our
collective industry experience. We do not advertise/post jobs or use job search engines. Our sourcing
methodology generates candidates solely on qualifications, not employment status.

INTERVIEWS: We will have extensive phone and face-to-face interaction, as well as interviews with
each candidate prior to formally submitting them to the Company.

SUBMISSION: A written summary is generated on all candidates, detailing the basis for submission.

CLIENT INTERVIEWS: As the client (and investors) interview candidates, we are continually
collecting feedback. This feedback/information is used to calibrate the search, potentially resulting in the
introduction of additional candidates.

REFERENCE CHECKS: We will participate and (or) lead conversations from the candidate's reference
list. By the time the candidate reaches the reference stage, Safire Partners has already confidentially
reached out to our network to gain critical insight into the candidate.

NEGOTIATIONS: Once the proper individual has been identified, we offer guidance and resources to
ensure the negotiation process results in a successful acceptance by the candidate. This process of
negotiating starts on the first call!

COMPLETION: While many executive search firms would consider the deal completed at this point,
Safire Partners provides ongoing support to ensure a smooth transition for executive and client.

GUARANTEE: If employment of a Safire Partners candidate is terminated (voluntarily or involuntarily)
within one year of the date of hire, then Safire Partners will re-conduct the search at no cost.

FEES, INVOICING & GUARANTEE
  •   Guarantee. Safire offers a one year guarantee on every candidate we recruit. At your request, we
      will re-conduct the search at no cost for any reason.

  •   Pricing / Fees. Safire’s fee is one-third of a hired candidate’s first year direct cash compensation,
      which is defined as base salary and any potential bonus. Flat fee structures can be arranged.

  •   Performance invoicing. The retainer is due up-front, but the 2nd and 3rd payments are invoiced
      only after Safire Partners accomplishes set metrics. The mid-search metric is defined by the
      client, and is usually when 3-5 candidates are ready to move to the board review level. The final
      payment is not due until the search is closed!

  •   NO Monthly Fees. Safire does not charge monthly fees. We absorb the costs of the search
      directly incurred on behalf of the client, such as: breakfast/lunch/dinner interviews, candidate
      transport, Safire’s travel costs, entertaining, database access, research reports, advertising,
      postage/FedEx, photocopying, and any other ordinary recruiting expenses. Extraordinary
      expenses incurred are always at the approval of the Client.
