                                  Vendor Compliance

It is the responsibility of the Vendor to ensure that its Representatives understand and
comply with the Via Christi Health System Standards of Conduct and Conflicts of
Interest policy and to inform its Via Christi Business Contact (or member of Via Christi
management) if and when any situation develops that causes the Vendor to operate in
violation of the expectations set forth in the Standards of Conduct. Via Christi Vendors
are expected to self-monitor their compliance with the Standards of Conduct. In addition
to any other rights Via Christi may have under its agreement with Vendor, Via Christi
may request the immediate removal of any Vendor (or employee, agent or subcontractor
thereof) who behaves in a manner that is unlawful or inconsistent with the Standards of
Conduct or any Via Christi policy.

Vendor agrees that:

      it has not been convicted of a criminal offense related to health care,
      it is not currently listed by a federal or state agency as excluded or otherwise
       ineligible for employment by an entity that receives federal health care
       funding, and
      it is not currently listed on the General Services Administration (GSA) List of
       Parties Excluded from the Federal Procurement and Non-Procurement Programs
       or the Office of Inspector General (OIG) List of Excluded Individuals/Entities

Reporting of Questionable Behavior and/or Possible Violations

If a Vendor wishes to report a questionable behavior or possible violation of the
Standards of Conduct, Via Christi has a variety of resources available to assist Vendors.
Vendors are encouraged to work with their primary Via Christi Business Contact in
resolving a business practice or compliance concern. However, Via Christi recognizes
that there may be times when this is not possible or appropriate. In such instances,
Vendors should contact any of the following:

   1. Call the Via Christi Compliance Hotline at 1-800-794-9027.

   2. Call the Corporate Responsibility Officer for the Via Christi ministry.

   3. Call the Corporate Responsibility Officer for the Via Christi Health System,
      Shelley Koltnow, 316-858-4909.

   4. Send a letter to the Corporate Responsibility Office at Via Christi Health System,
      3720 East Bayley, Wichita, Kansas 67218.
Via Christi will not tolerate any retribution or retaliation taken against any individual
who has, in good faith, sought out advice or has reported questionable behavior and/or a
possible violation.

Vendor Compliance Education Materials

Vendors that provide or propose to provide medically related services on site are
provided a copy of the Via Christi Standards of Conduct.

Vendors that provide services on site but unrelated to medical care are provided a copy of
the Via Christi Privacy brochure.
