                                      NOTICE INVITING TENDER
          Offers are invited from approved Environmental auditors with Gujarat Pollution
Control Board in Schedule I category for Environmental Auditing of Kandla Port
Trust premises as per Gujarat Pollution Control Board and High Court of Gujarat
Directives for the year 2011.

       Tender Documents shall be issued from the A.O.(Cash),Finance Department
Kandla Port Trust, Administrative Office Building, Gandhidham-Kachchh, Gujarat -370
201 on payment of the tender fees Rs.500/- on any working day during office hours. The
last date of issue of Tenders is two days before the Date of opening.

        The payment of the tender fees can be made by cash or by Crossed Demand
Draft in favour of “Kandla Port Trust” payable at Gandhidham (Kachchh).

       The tender documents will also be available on the website
www.kandlaport.gov.in till 14.30 Hrs. of 17/1/ 2011 and the same can be downloaded
and used as tender documents for submitting offers. Separate DD of Rs.500/- towards
the cost of tender documents shall have to be enclosed in addition to earnest money
while submitting the tender, otherwise, the tender will be summarily rejected. Kandla
Port Trust shall not be responsible for any delay/ difficulties/ inaccessibility of the
downloading facility for any reason what so ever.

       In case of any discrepancy between the tender documents downloaded from
internet and the Master Copy available in the office, the later shall prevail and will be
binding on the tenderer(s). No claim on this account shall be entertained. The tenderers
are also required to observe the website to find out if any correction slips are issued
subsequent to uploading of the Tender Notice and schedule.

     Offers will be received at the Office of the Chief Engineer, Kandla Port Trust,
Administrative Office Building, Annexe, 1st Floor, Gandhidham-Kachchh, Gujarat -370
201 up to 15.00 hrs. on 19 /1 /2011 and tender will be opened on the same date at
16.00 hrs in the presence of authorized representative of tenderers.

                                              ENGINEERING DEPARTMENT


               Appointment of Environmental Auditor for Environmental Auditing of
     Kandla Port Trust premises as per Gujarat Pollution Control Board and High
     Court of Gujarat Directives.
               Kandla Port Trust intended to invite bids from Schedule I Environmental
     Auditors recognized by Gujarat Pollution Control Board for carrying out
     Environmental Audit of Kandla Port Trust premise.
1.     INTRODUCTION


               The Port of Kandla situated in the Kandla Creek, 90 Nautical Miles from the
     mouth of Gulf of Kachchh, it is portal to the West and North India, enjoys locational
     advantage with vast hinterland of 1 Million Sq. Km. consisting of States of J&K, Punjab,
     Himachal Pradesh, Haryana, Rajasthan, Delhi, Gujarat and part of Madhya Pradesh
     and Uttar Pradesh. The Port is nearest among all the Major Ports to this vast hinterland
     and well connected by four-lane road network of National Highways as well as Broad
     Gauge Railway linkage.
            Presently the Port has twelve cargo berths for handling dry cargo traffic, six oil
     jetties for handling POL products and other liquid cargo traffic at Kandla within Kandla
     Creek and three Single Buoy Mooring (SBM) at Vadinar in Jamnagar District for
     handling crude oil.
            Action has been initiated to construct further four dry cargo berths viz 13th to 16th
     in line with the existing berths within Kandla creek.
            In order to meet with target and trade requirements, it has been decided to Create
     Berthing Facilities for handling dry cargoes off Tekra, at the off shore of south of Nakti
     Creek ( outside Kandla Creek), in the limits of Kandla Port to meet with the burgeoning
     demand. The proposed location has natural draught of 9.4m and have no bar restriction
     in the approach channel like in the case of berthing facilities within Kandla Creek.


2.     DEFINITIONS: -
      2.1. “Board” means Board of the Trustees of the Port of Kandla, a body corporate
                under the major Port Trusts Act, 1963 as amended from time to time.
      2.2. “Auditor” means the Environmental Auditor - person or persons, firm or company
                recognized by Gujarat Pollution Control Board whose tender has been accepted
                by the Board and includes the Auditors personal representatives, successors
                and permitted assignee.
      2.3. “Chairman” means the Chairman of the Board of Trustees of the Port of Kandla.
      2.4. “Chief Engineer” means the Chief Engineer of Kandla Port Trust.
      2.5. "GPCB" means Gujarat Pollution Control Board.

3. PROCEDURE FOR SUBMITTING TENDER
  3.1         The offer shall be submitted in two covers system. Cover-I shall consist of
              “EMD”, and Cover –II shall consist of “Price Bid”.
  3.2         Contents of Cover –I
  3.2.(i) The Earnest Money Deposit should be furnished in separate cover i.e. Cover
  No.1. This shall be sealed and should bear on the top of the cover “Earnest Money
  Deposit for the work of preparation of Tender Documents for “Appointment of
  Environmental Auditor for Environmental Auditing of Kandla Port Trust premises
  as per Gujarat Pollution Control Board and High Court of Gujarat Directives ‘ and
  bear on the bottom left corner the name of the Auditor.
            No tender will be considered which is not accompanied by a sum of Rs.10,000/-
  (Rupees Ten Thousand only) as Earnest Money Deposit, which is lodged on the
  understanding that in the event of the Advisor withdrawing his tender before the expiry
  of 180 (one hundred and eighty) days from the date of opening of the tender, the tender
  would be cancelled and the earnest money deposited therewith forfeited to the Board.
  The Earnest Money may be paid by demand draft on a Nationalised Bank/ Scheduled
  Bank drawn on Gandhidham Branch of the Bank in favour of the Financial Adviser and
  Chief Accounts Officer, Kandla Port Trust. The Demand Draft must be forwarded in
  separate cover (i.e. Cover-I) along with price bid. In case, it is not forwarded as stated
  above, the tender will be liable to be rejected. No remittances along with the tender will
  be accepted. The amount of earnest money will be refunded to unsuccessful Advisors
  as soon as possible after the decision is taken regarding the award of the contract. No
  interest will be allowed on the earnest money from the date of receipt until it is refunded.
            The EMD of successful bidder will be retained by Kandla Port till completion of
  the work as Security Deposit and the same shall be released after the successful
  completion of work.
            The successful tenderer shall deposit an amount equal to 5% of the accepted
  tender value as performance guarantee in the form of FDR or Bank guarantee from
  Nationalized /Scheduled Bank having its Branch at Gandhidham, within 15 days of
  issue of the letter of acceptance.
            Apart from the 5% performance guarantee mentioned above, Security Deposit at
  the rate of 5% of the gross amount of Bill shall be deducted from each running bill, till
  the sum along with the sum already deposited as EMD amounts to 5% of the accepted
  tender value.

  3.3       Contents of Cover – II

  The Cover-II shall contain nothing but Annexure-A (Price bid) showing the rate and
  amount against the items for " Environmental Auditing of Kandla Port Trust premises as
  per Gujarat Pollution Control Board and High Court of Gujarat Directives which is
  enclosed with the tender documents supplied by the Kandla Port Trust.

          The tenderer shall clearly write on Cover-I as Tender for the work of providing
advisory services for " Environmental Auditing of Kandla Port Trust premises as
per Gujarat Pollution Control Board and High Court of Gujarat Directives.”- E.M.D
". On Cover-II as Tender for the work of Advisory Services for “Environmental
Auditing of Kandla Port Trust premises as per Gujarat Pollution Control Board
and High Court of Gujarat Directives.” - Price Bid. All two sealed covers (Cover –I,
Cover-II) mentioned above shall be finally put in a envelope which shall be sealed and
superscribed “Complete tender for the work of providing advisory services for
“Environmental Auditing of Kandla Port Trust premises as per Gujarat Pollution
Control Board and High Court of Gujarat Directives and bear on the bottom left
corner the name of the Advisor and addressed to the Chief Engineer, KANDLA PORT
TRUST, Administrative Office Building, Gandhidham (Kutch), Gujarat State 370 201.
3.4       The Environmental Auditor should not make any alteration in the tender
          documents.
3.5       The Board will not be responsible for or pay for expenses or losses, which may
          be incurred by any Auditor in the preparation of his tender.
3.6       The Environmental Auditor should not send revised or amended offers after the
          closing date and time of the tender.
3.7       The tender should be delivered to the office of the Chief Engineer and the Auditor
          should obtain written acknowledgement for the same. Outstation tenders should
          reach the office of the Chief Engineer by post in sealed cover before 15.00 hrs on
          the due date. The Advisors should specifically note that their tenders whether
          sent by post or by hand must reach this office on or before due date and time.
          Offers received late from outstations even though posted in time will not be
          considered in any case.
3.8       The “Complete Tender” Will be opened at 16.00 hrs on 19.1.2011 in the
          presence of such persons / representatives of the AUDITORS who may wish to
          be present in the Office of Chief Engineer, KANDLA PORT TRUST,
          Gandhidham.
3.9       The Board reserves the right to accept the tender in part or in full and does not
          bind itself to accept the lowest or any tender in part or in full.
3.10      The validity of the offer shall be 180 days from the date fixed for opening of the
          price bid and extendable hereafter by mutual consent. The rates quoted in the
          Tender Schedule must be filled in ink only, both in figures and in words and shall
          be inclusive of all taxes, duties and charges levied by the Governments,
          Statutory Authorities and the Port Trust.
3.11      Any corrections to rates shall be supported by the Environmental Auditor
          signatures there-against. The rates written in words shall prevail over those
          marked in figures where the two do not tally.
3.12      The Environmental Auditor whose tender is accepted will be required to enter
          into an agreement, the form of which (subject to necessary modification) will be
          as set out in the form appended to the conditions of the contract at Annexure “B”.

               The cost of stamping the agreement and final acceptance etc, shall be borne by
               the successful Auditor.
     3.13      All signatures in tender documents shall be dated. All pages of all sections of
               tender documents shall be initialled at the lower right hand corner or signed
               wherever required in the tender papers by the Auditors or by a person holding
               power of attorney authorising him to sign on behalf of the Advisor before
               submission of tender.
     3.14      The Board reserves the right to make deviation from the proposals. Such
               changes, if any, will be intimated to the Auditor at the appropriate time.
     3.15      The Environmental Auditor is required to inform Kandla Port on progress on the
               auditing work and on any issues arising there from.
     3.16      Information relating to necessary data collection, sampling, results theron for
               Environmental Audit carried out by the Auditor will not be disclosed by the
               Environmental Auditor to any person. The Environmental Auditor shall treat all
               information confidential and shall not divulge any information unless it is directed
               to do so by any statutory entity that has the power under law to require its
               disclosure or is to enforce or assent any right or prevalent of the statutory entity
               and/ or Authority.


4.     SCOPE OF WORK:-
               The scope of services to be provided by the Environmental Auditor is as under:-
The Detailed Scope of work to be carried out by Environmental Auditor are mentioned as
under: -
1) This includes the work of Environmental Auditing for audit period 2011 and necessary
     data collection for all the Kandla Port area including Ambient Air monitoring, domestic
     waste water analysis, ,water balance, Noice quality, adequency of existing STP’s,
     adequency of EMP’s etc. and all other necessary measurements strictly as per the
     “FORMAT FOR ENVIRONMENTAL AUDIT” prescribed by Gujarat Pollution Control
     Borad ,Gandhinagar and its subsequent revisions, if any by GPCB as per the
     requirement of Honourable High Court of Gujarat.
               a) The work of Environmental Auditing includes collection and analysis of
     samples as per the GPCB guidelines.
               b) Measurements of Ambient Air quality at minimum 3 stations as per the
     requirements of GPCB in each monitoring visit.
                c) Measurements of Noice quality monitoring at minimum 3 stations as per the
     requirements of GPCB in each monitoring visit.
               d) Collection of domestic wastewater from different locations and analysis as per
     the requirements of GPCB in each monitoring visit.
               e) Adequacy Certification of existing Sewage Treatment Plant at New Kandla and
     Gopalpuri Colony as per the GPCB Guide lines.

               f) Adequacy certification of all proposed Environmental Management Plans
     proposed by consultant in their EIA Study Report for various ongoing/future proposals of
     Kandla Port Trust.
               g)Identification of Hazardous Wastes ,method of disposal and its monitoring.
               h) Study on the accidents in the industry and remedial measures taken along
     with the improvement in the steps taken.
               i) Safety measures auditing covering the general Environment of the working
     area and also the study on the prospective applications used during worst conditions.
     2) The work shall be carried out by the team of Environmental auditors, duly recognized
     by GPCB and Hon.High Court ,Gujarat.
              a) The sampling/measurement shall be done by the standard methods approved
     by the GPCB/CPCB in the presence of concerned engineer by your own facilities like
     manpower, Transportation, Laboratory equipments, chemicals and other consumables
     etc. Further, the numbers of monitoring to be done for the Environmental monitoring is
     as per the GPCB norms.
              b) The auditor shall arrange for necessary equipments and chemicals for
     monitoring, collection and preservation and shall be analysed at your own laboratory by
     the standard methods.
     3) The auditor shall comment about adequacy and efficiency of the environmental
     management Plans in practise and make suggestions on improvement of the same.
     4) The Environmental Auditor should be recognized by the GPCB for the period for the
     year 2011 for the purpose of the Environmental Audit. The party should submit along
     with the tender a copy of the certificate from GPCB showing the validity reorganization
     of the firm.
     4) Final Audit report for the year 2011 shall be submitted on or before 30th January
     2012 to this office in 20 copies in a format prescribed by GPCB.
     5) The audit report submitted by the auditor may be checked/verified by any other
     external agency as appointed by Hon.High Court of Gujarat and the auditor shall comply
     with all requirements /carryout liaison work with the agency appointed by the
     GPCB/High Court of Gujarat.
5.      REMUNERATION
     5.1       Environmental Auditor shall quote a lump sum amount for the above said scope
               of work. These charges shall be inclusive of expenses for conveyance/ travel
               expenses to Kandla, boarding, lodging expenses, including all taxes, duties etc.
               complete. The Environmental auditor may carryout site visit before submitting the
               tender to understand and familiarized themselves thoroughly with the site
               conditions and area for which the Environmental Auditing is to be carried out.
     5.2       The lump sum charges quoted by the Environmental Auditor shall be for one time
               performance of services without any substantial variation in scope and is subject
               to involvement of the Advisor in the project till its completion.
     5.3       Schedule of payment of Lump sum charges by Kandla Port to the Environmental
               Auditor will be as under.

     6.        RELEASE OF PAYMENT
               Payment of above said charges will be made by Kandla Port within one month
               from date of due by Demand Draft payable at station of the Environmental
               Auditor drawn on any Nationalized Bank.
     7.        TAXES & DUTIES
               The offer of the Environmental Auditor shall inclusive of all taxes excluding
               Service Tax if any and duties payable by them. Income tax and surcharge as
               applicable to be deducted at source by Kandla Port in accordance with Income
               tax act and in accordance with instruction issued by Tax Authorities on this behalf
               from time to time. Service Tax shall be reimbursed on production of documentary
               evidence for deposit of same in Govt. Treasury.
     8.        CARE AND DILIGENCE
               The Environmental Auditor shall exercise all reasonable care and diligence in
               discharge of Technical, Professional and Contractual duties to be performed by
               them and will be fully responsible for carrying out their duties properly.
9.             TERMINATION OF SERVICES
               The Kandla Port reserves the right to terminate the Environmental Audiors
               Agreement with 15 days notice or 1 month notice on the grounds such as un-
               satisfactory work, un-due and inordinate delay in submission of tender
               documents, un-reasonable intermediate Claims, Display of Non Co-ordination
               and Non-Liaison during execution of work, etc. The Balance work will be carried
               out by the Kandla Port at the risk and cost of the Advisor and the EMD converted
               as security deposit will be forfitted. The decision of the Kandla Port in this regard
               shall be final and binding upon the Advisor.
     10.       TIME SCHEDULE
               1 year from date of WORK Order.
     11.       COMPENSATION FOR DELAY:-
               The time allowed as specified in Clause 10 shall be strictly adhered to by the
               Environmental Auditor and shall be reckoned from the date on which the order to
               commence the work is issued to the Environmental Auditor. The work shall,
               through out the stipulated period, proceed with the diligence. The Environmental
               Auditor shall pay as compensation for delay any amount equal to 1/4% percent

          per week of the contract value of the advisory work, beyond the date of
          completion of the extended period granted by Kandla Port Trust if any as the
          case may be. Provided always that the entire amount of compensation to be
          levied shall not exceed 10% of the total value of the contract.
12.       ARBITRATION
12.1      In the event of any difference or dispute arising between the Department and the
          Environmental Auditor in the performance of duties under the Advisory
          Agreement, the same shall be referred to arbitration in accordance with the
          Arbitration and Reconciliation Act., 1966, and the Rules thereto and any statutory
          modifications thereof. The arbitration proceedings would be held in Gandhidham
          only and the Court of Gandhidham will have the jurisdiction for filing the Award.
          This clause will apply only if the advisory work is awarded to a private firm.

                                                    FORM OF AGREEMENT

This agreement made this ………….. day of ………….. between the Board of Trustees
of the Port of Kandla, a Body corporate under Major Port Trusts Act, 1963, having its
Administrative Office Building at Gandhidham (Kutch) (hereinafter called the “Board”,
which expression shall unless excluded by or repugnant to the context, be deemed to
include          their        successors              in          office)   of   the   one     part       and
…………………………………………………………………… (name and address of the
Environmental Auditor if an individual and of all partners if a Partnership with all their
addresses) (hereinafter called the Environmental auditor” which expression shall unless
excluded by or repugnant to the context be deemed to include his/their heirs, executors,
administrators, representatives and assigns or successors in office) of the other part.

NOW THIS AGREEMENT WITNESSES as follows:
1 In this agreement words and expression shall have the same meanings as are
respectively assigned to them in the conditions of contract hereinafter referred to.


2     The following documents shall be deemed to form and be read and construed as
part of this agreement viz.
a) The tender submitted by the Environmental Auditor.
b) The Board’s drawings / documents and the drawings / documents submitted by the
     Environmental Auditor.
c) The conditions of Contract.
d) Correspondence exchanged before the issue of letter of acceptance by which the
     conditions        of contract are amended, varied or modified in any way by mutual
     consent (to be enumerated).
e) Monitoring and advice on bidder performance against any conditions precedent to
     financial close;
3. The Environmental Auditor hereby covenants with the Board to complete the works
     in conformity, in all respects, with the provision of the contract.
4. The Board hereby covenants to pay the Environmental Auditor                          in consideration of
    such completion of the works the Contract Price of Rs………….. (Rupees……………)
