					This is an attorney referral agreement between a law firm and a client, which sets forth
the terms of a fee split between two firms. The letter indicates that the firm that is
currently representing the client desires to refer the client's work to a third party firm and
in exchange for the referral, receive a percentage of the fees. This letter agreement,
which is used to comply with applicable ethical rules further provides that both firms
shall be responsible for representation of the client and that the client's fees shall not be
increased as a result of the fee sharing. This agreement should be used by attorneys
and law firms that want to refer clients to one another.

Dear ___________ [Instruction: Insert Client Name(s)]:

        As you may recall, on or around ___________ [Instruction: Insert Date], you entered
into an attorney-client agreement (the “Agreement”) with ___________ [Instruction: Insert
Firm Name] (the “Firm”) to represent you in connection with ___________ [Instruction:
Insert Subject of Representation] (the “Legal Matter”). As we have previously discussed, the
Firm would like to refer the Legal Matter to ___________ [Instruction: Insert Referred Firm
Name] (the “Referred Firm”), a law office skilled in this particular area of the law.

       Within the legal profession, it is fairly customary when one attorney refers a client to
another attorney, for the referring attorney to receive a “referral fee”. The ethical rules
governing attorneys conduct require lawyers to explain to their client, in writing, the financial
aspects of the referral fee, and the rules require that the client consent to the referral fee.

        The Agreement provides that the Firm’s fee in connection with the Legal Matter is
___________ [Instruction: Insert Fee Amount]. The Firm and the Referred Firm propose to
share the fee as follows:

       ___% to the Firm [Instruction: Insert Percentage]
       ___% to the Referred Firm [Instruction: Insert Percentage]

        You shall not pay anything additional from what was agreed in the Agreement as a result
of the foregoing fee sharing between the Firm and the Referred Firm. In addition, both the Firm
and the Referred Firm will share responsibility for your legal representation in the Legal Matter.

        Please examine this letter carefully and let the Firm know immediately if you have any
questions or concerns. If you have no objections to the proposed fee sharing, I ask that you
please sign this letter and return to me in the postage prepaid envelope enclosed for your
convenience. Upon receipt of your signed confirmation, I will arrange for the Referred Firm to
contact you regarding its representation.
Thank you again for retaining the Firm to represent you in this important matter. I look forward
to continuing to work together.
