requested information and joins them to the conference.

which enables a multi-party call to take place. Thousands of participants can be connected
together for an Event Audio Conference Call. Event Audio is priced per minute per participant and
includes: the services of a Dedicated Event Coordinator, a Communications Line and Q&A
Management with or without Audio View functionality. (please see section 4.1.2)

3.1.2 Methods of Entry

The traditional method of entry for an Event Audio Conference call is via a dial in number and a live
conference coordinator. Each participant is greeted by a live event conference coordinator who verbally
verifies the call the participant wants to join and proceeds to collect the required information from the
participant (minimum requirement is first and last name.)

For customers wishing to host audio conferences for hundreds (or thousands) of participants, we
recommend one of our automated methods of entry. Should a customer select one of these entry
methods, they can be assured that the conference is still fully managed, monitored and moderated by
Genesys Conferencing.

Event Audio Registration An online participant registration service which allows participants to
register for the conference via the internet and receive a unique user
pin to obtain access to your Event without waiting for an operator
Direct Dial In Participants directly enter their conference call based on the telephone
number that they dial. They are not greeted by a live conference
                                operator.
Name Record Play Participants are prompted to record their name and be placed
immediately into their call. After they have entered the conference,
Genesys staff transcribes the name for inclusion on the Participant
List or for use during Q&A.
Pass code Participants are asked to enter a predetermined pass code and then
are placed directly into their call without live assistance. If the pass
code is not entered correctly, the individual will be transferred to an
                                operator for assistance

Online Presentation

This feature adds a visual element to the Event Audio Conference Call in the form of an online
presentation of PowerPoint™ slides, which increases understanding and retention of key points.

The client uploads their slides to the Genesys platform in advance using the upload link provided at
the time the event is booked with reservations. The client uses the Presentation Manager
interface, and simply clicks through to manage the slide transitions for the participants during the
live event.

Participants dial-in on their touchtone telephones to receive the audio portion and click on a URL
provided to join the online presentation, following the onscreen instructions.

The slides appear within a Genesys branded participant interface on the Web, preceded by a “log
on” page for the audience to submit their details to the hosting organization.

Note that only one set of PowerPoint™ slides can be uploaded into the platform. Multiple sets of
slides need to be combined and saved as one PowerPoint™ slide file. The PowerPoint™ slides
are uploaded as static images only, slide-builds and animation are not supported. If animation is
built into the slide, the final animation build of the slide will be presented.

Clients can choose to make two additional functions available via the Web for participants:

    Web Q&A
    Download Slides

3.1.6 Web Q&A

In addition to the audio Q&A facility mentioned in section 3.1.2. , an additional option for online
presentation is Web Q&A. Web Q&A offers the ability for participants to submit a question via the
same Web interface they are using to view the slides.

Participants type their question(s) in the Q&A box and clicks submit. Up to 600 characters can be
typed into the Q&A box. A pop up box will confirm that their question has been submitted. Only
the moderator will be able to view the questions submitted by the participants via the Presentation
Manager interface.

Participant’s identification details are carried through from the log on page where they connect to
the online presentation. Questions are directed to the Presentation Manager for screening and
response by the presenter.

If Web Q&A is active for the live event, it will also be active in the archived version of the event.
Participants viewing the archive are able to submit questions. The questions submitted can be
found in the User Question Report available to the moderator. See section 6.

3.1.7 Download Slides

This module is initiated by the participant (non-synchronized).

On the participant interface a link will show that a PDF copy of the slides is available for
downloading directly to their desktops.

The participant clicks on the icon a standard PDF interface opens and allows the participant to
view the PDF version of the slides in a separate window or save to their own files.

                                                                                                        11
If Download Slides is available for the live event, it will also be active for the archived version of the
event.

Audio Streaming

Audio Streaming adds a simultaneous stream to the core audio service, so participants can choose
the way they listen to the event – either via the audio conference or via streaming using their
Internet browser and computer speakers.

The audio stream player bar appears within a Genesys branded participant interface on the Web,
preceded by a “log on” page for the audience to submit their details to the hosting organization for
both the live stream and the archived version.

Web Q&A and Download Slides are not available with Audio Streaming.

Audio Streaming is also a cost-effective way for an organization to reach a large audience.
Genesys’ audio streaming package is flat rated for up to 500 participants to enable the customer to
budget effectively and simplify the buying process.

3.1.8 Player support

Events are streamed using both Real Player and Windows Media Player.

Online Presentation with Audio Streaming

Clients can choose to add an Online Presentation with synchronized Audio Streaming to their
event. This allows participants a choice in the way they listen to the event – either via the audio
conference or via streaming using their Internet browser, media player and computer speakers.
The slides incorporated in the event are synchronized with the audio stream.

Streaming is a cost-effective way to reach a large audience, and Genesys’ Web streaming
package is flat rated for up to 500 participants to enable the customer to budget effectively and
simplify the buying process. Although streaming is a one-to-many technology, the Web Q&A facility
enables the streaming participants to participate in the Q&A session.

Archiving

All Events can be archived for later playback via the Web. Archives are hosted by Genesys and
are viewable by participants by clicking on the URL provided. An archive must be requested at
the time of reservation.

As above, if slides are incorporated into the event, then the streamed archive will be synchronized
with the slides.

It is not necessary to have had a live stream of the event in order to have a streamed archive.

Standard archiving period is 3 months and is for an unlimited number of “hits”. This may be
extended in 3-month blocks.

Editing is not available for archives. Archives are exact copies of the live event presentation.

                                                                                                        12
4 Presentation Manager

The Moderator is Genesys’ main client contact who is coordinating the event. This may be the
same person who placed the reservation or it may be an alternative individual.

Presentation Manager is used by the client for live event tasks. This interface is where the slides,
polls and URL’s are pushed to the audience during a live event. The Presentation Manager is also
used to view questions submitted by the live Web audience.

Through the Presentation Manager, moderators are able to:

 View a real-time list of Web participants
     Advance slides for participants
 View and manage the Web Q&A session
o Web participants questions are shown in full with the user’s details as provided on
                 the Registration Page.
 Chat privately with other moderators
 Ability to push URLs (live Web sites) to audience available
     Ability for polling/voting available

The Presentation Manger interface displays options and instructions in English

Upload Slides URL

Moderators upload their slides in advance using the Upload Slides URL. The Upload Slide URL
has two main functions:

 Upload slides for presenting to live audience. Slides are converted to .jpg or .gif images for
        audience viewing.
           o Moderators can select the image type which best suits their presentation;
 JPG is recommended for presentations containing photographs/graphics
                       and provides crisp clear image
 GIF compresses the size of the slide file which is helpful for audiences with
                       small bandwidth requirements.
 Converts slide file into PDF available for audience to view and save to their own files.

                                                                                                    13

8 Terms and Conditions

Conditions of Service Delivery

Genesys recommends a minimum of 24 hours notice to allow sufficient time for pre-call planning and testing
once a customer is on boarded.

Prices for live web options are based on live event duration up to 1 hour for up to 500 unique connections.

        Online Presentation

Only one PowerPoint presentation may be used per Online Presentation. Multiple presentations
must be combined into a single file prior to being uploaded by the client. We strongly recommend
presentations are uploaded a minimum of 2 hours prior to the start of the live event incase
        assistance is required.

The PowerPoint™ slides are uploaded as static images only; slide-builds and animation are not
supported. If animation is built into the slide, the final animation build of the slide will be presented.

Automatic page numbering of slides should be removed from the presentation prior to uploading.

        Web Q&A

Web questions may be submitted at any time during the presentation. If Web Q&A is included in the
live event, it will also be active for the duration of the hosted archive.

Genesys is not liable for the content of any questions or for actions arising from their submission or
        response.

        Audio Streaming

An Event Audio conference call must be booked for each Audio Stream as it serves as the source for
the Audio Stream. The stream will be encoded at 16kbps as standard.

        Custom Template Creation

Three business day lead time is required for basic template customization. Events requiring multiple
media (i.e. video stream and audio stream) or additional customization work will require additional
lead time pending the review of the requested changes.

Archives

Archiving is available regardless of whether a live-streamed version of the event was delivered.

Archives MUST be requested at the time of reservation

The archive is a replay of the live event. No edits may be carried out to the original file.

The stream will be encoded at 16kbps as standard

The time frame for Archives to be made available for viewing is approximately twice the duration of the live
event. As an example, if the live event is one hour, the archive will be available approximately two hours
after the end of the live event.

There is no maximum number of participants who may access the archived event during its hosting duration.

Standard archiving / hosting period is 3 months from the date of the live event. Archiving period may be
extended in 3 months blocks subject to an additional fee per 3-month block. Extension to the hosting period

                                                                                                                     18
may be requested AFTER the delivery and billing of the original event, but BEFORE the end of the initially
booked hosting period.

        Archive Reports

During the 90-day period after the expiration of the event hosting period, an alert message will be
posted at the top of the event Report. The message will alert you of the pending deletion of the
report's registrant and attendee activity data based on the schedule below:

 Up to 90-days following event hosting expiration: Continued access to Reports. Alert posted
                 to indicate pending deletion.
 Between 90-days to 180-days following event hosting expiration: Report no longer available.
 180-days following event hosting expiration: Report no longer available, data purged. Alert
                 posted.

Pricing Conditions

The scheduled start time of the event will be used to calculate the hours used for invoicing. For example, if
an event is scheduled to start at 1.00 pm but actually starts late at 1.17pm, the invoice is calculated using the
1.00pm start time as scheduled, not the actual start at 1.17pm.

A 5-minute 'leeway' period is granted on all the live Web options after which an additional fee applies per
additional hour of the event duration. For example: the first hour of live broadcasting is 65 minutes.
       th
The 66 minute is the start of the second hour. Hours will be billed in 60 minute increments and will not be
prorated for partial hours used.

        Cancellation Fee

A cancellation fee of 25% of the live event fee will be charged if the event is cancelled within 24
hours of the booked start time. This applies to events with live streaming and/or archives.

If Genesys has produced a customized template for the webcast which is canceled, is will be
charged at the full price. The customer will have the template stored for future events. The template
can be re-used at no extra charge so long as no significant modifications are required.

        Multiple language events

Each version of a multiple language event is considered as an individually priced event but with the
following rules. The event set-up fee for a second language is 75% of the complete list pricing, a
third language and any subsequent languages are 50% of the complete list pricing.
