a.   Management - Our Regional Management and Operation Office team
     shall on a routine visit your Installation at location, to ensure that
     consistent High Standard of Service is maintenance at all time. In
     consonance with our Quality Assurance Programmed, as per our
     Catering Operations and Safety Procedures Manual.

b.   Catering Crew - We will be using trained and qualified at all time. All
     key personnel will have previous experience in offshore work. We shall
     meet all statutory and customary obligations with respect to personnel.

     Our staffing will be structured keeping in mind busy periods, sick leave
     etc. Organization chart, reporting system will be followed on both the
     vessel and schedule of catering crew shall be given and adhered to.


c.   Insurance - All our operations and Project Personnel shall be covered
     under Insurance Policies as required by local regulations.

d.   Medicals - All our catering crew undergo through medical check-ups
     every six months. All food handlers will pass a medical examination on
     Board/Installation


e.   Health & Safety - Health and safety of our Client and Catering crew is
     our prime concern. All our catering staff will be given. Regular training
     on board and at base, to ensure this. Our planned House-keeping
     schedule will ensure conducive atmosphere for Health & Safety. We put
     great emphasis on Hygiene and Sanitation at all times.

     Catering personnel and representative shall at all times comply with all
     applicable laws, ordinance, statutes, rules and regulations covering
     offshore operations.

     We understand and agree that we shall comply with all food, health,
     sanitation and safety laws and regulations, applicable to offshore
     operations and to furnish a certificate of health, satisfactory for each
     catering crew at the time of joining the installation.

f.        Menus -      Our experience Camp Boss and skilled Chef on board will
          prepare Daily Menus to the taste and requirements of your crew. Our
          catering crew always keeps in mind that food and service has a very
          special place in the oilfield industry.



g.        Materials - We registered with ISSA – International Ship Suppliers
          Association, London, and rigidly follow its Worldwide Supply Norms and
          standards.

h.        Mobilization -    Mobilization of men and materials will be done within
          a reasonable time after receiving the letter of Intent.

                      SAFETY PROGRAM
PURPOSE
To provide guidelines for safety to be followed by all personnel in their daily
work routines.

PROCEDURE:
Accident prevention is a primary responsibility of all levels of
management. Each supervisor is directed to use maximum initiative in
communication, training, motivation, monitoring and observation
techniques to assure that every reasonable precaution is taken to
prevent accidents. All occupational injuries can be prevented.

Safety demands the active participation of every employee within the
organisation. Each supervisor must exhibit a high degree of professional
competency, initiative and communicative effectiveness in performing his
duties. Accident prevention responsibilities of line supervisors cannot be
delegated.

MANAGEMENT RESPONSIBILITIES
Every employer has a duty to ensure the health, safety and welfare of his
employees at work. A written statement must be prepared giving details of the
policy for health and safety of employees, including details of the
organizational set-up to enforce these arrangements. This statement and any
revisions must be brought to the attention of every employee.

This general duty covers all aspects of employment but particular attention
should be given to the following points:

a.    The provision and maintenance of plant and systems of work.

b.    Arrangements for the use, handling, storage and transport of articles
      and substances.

c.    The provision of relevant information, instruction, training supervision.

d.    The maintenance of any place of work under the employer’s control,
      including the means of access and egress.

e.    The provision and maintenance of a safe and healthy working
      environment.
f.    The provision of adequate facilities and arrangements for employees at
      Work.

                 EMPLOYEES RESPONSIBILITIES:

It shall be the duty of every employee while at work:
a.    To take responsible care for the health and safety of himself and other
      persons who may be affected by his acts or omissions at work.

b.    As regards any duty or requirement imposed on his employer or any
      other person by or under any relevant provisions, to co-operate with him
      so far as is necessary to enable that these duties or requirements to be
      performed are complied with. No person shall intentionally or recklessly
      interfere with or misuse anything provided in the interests of health,
      safety or welfare in pursuance of any relevant provisions. Working safe
      is a condition of continued employment


PROTECTION OF CONSUMERS, VISITORS AND THE PUBLIC:

It is the duty of every manager to ensure that they conduct their department in
a manner which does not endanger the safety or health of any person who is
not an employee. Anyone who has control, to any extent, of non-domestic
premises which are made available to persons who are not employees for use
as a place of work or as a place where they may have the plant or substances
provided for their use (e.g. consumers in a staff restaurant) have a duty to
ensure the health and safety of the people using such premises. These duties
include the maintenance of:

a.    Safe and hygienic premises.

b.    Safe access and egress from the premises.

c.    Safe plant without risk to health.

d.    Substances handling without risk to health.

                  SCOPE OF WORK


     CATERING, HOUSEKEEPING & ALLIED SERVICES

We are giving below what we believe could be the Scope of Work. We would
like to work as per requirement, with the flexibility to match your operational
needs.

The following is our understanding of our Scope of Work :-

1.    Purchase all consumable materials within the Scope of Work of
      Catering & Allied Services and transport the same to the shore base
      site designated by the Client.

2.    Provide professional Camp Bosses, Cooks, Stewards, Room Boys, and
      Laundry Men to perform Qualitive services. Organization chart for
      catering crew attached.

3.    Provide all clerical, supervisory and management personnel necessary
      for qualitative services.

4.    Pay salaries and other statutory benefits to Catering crew.

5.    Provide meals, uniforms and shoes to Catering crew.

6.    Ensure periodical medical check-ups for Catering crew.

7.    Purchase and transport all materials to port of supply or shore base site.

8.    Maintain a Minimum Stock of 21 days on board, at any given time,
      subject to availability of storage space and facilities.

9.    Prepare, cook and serve :

      09.1 Top Quality Meals as per Oilfield & Shipping Standards i.e.
           Breakfast, Lunch, Dinner & Midnight Meal – 7 days a week.

      09.2 To provide Client’s personnel and other personnel authorized to
           be on the Board/Installation with all the food that each may desire
           at any meal.

      09.3 All meals shall be good and wholesome and of first – class quality
           and shall be prepared and served attractively with sufficient
           quality and variety of foods, all to the reasonable satisfaction of
           Client.

      09.4 Served in Dinning Hall at pre-scheduled timings.

      09.5 Provide 24 hrs. Coffee, tea and emulsions from dispensing
           machines provided by Client.

10.   Ensure all Clients’ equipments and property in the kitchen, stores, mess
      halls, accommodation area and laundry and recreation rooms are
      cleaned according to schedule and are well cared for.

11.   Collect, wash and safely deliver all working and personal clothes of
      client on board using Client’s equipments, water, electricity and
      drainage facilities.

12.   Make beds and clean all living quarters on daily basis.

13.   Change and wash bed – linens and towels, twice weekly or as and
      when a bed is freshly assigned.

14.   Supply all soaps, detergents, extermination chemicals required for
      cleaning and extermination programmers for insects and roaches.

15.   Procure and supply video tapes, newspapers, periodicals and
      magazines if required by the client at additional cost.

16.   Comprehensive insurance coverage for all men and materials.

17.   Be responsible for all taxes, levies pertaining to Catering & Allied
      Services as per existing local laws except Sales Tax, which if
      applicable, will be mutually agreed upon.
