Background
     Potentially include: purpose, scope, the development of this agreement, and/or some background on each
     organisation.




1.        Key Principles
The following principles underpin this Partnership Agreement:
          In the spirit of collaboration, parties will acknowledge and honour their different “agendas”, goals or
           motivations for collaboration by open communication, clarifying agendas and identifying areas of
           mutuality and divergence.
          Developing the collaboration will be based on mutual trust and respect through the investment of time
           and resources in building and maintaining the collaborative relationship in an environment that fosters
           creative approaches to resolving problems and identifying solutions.
          Parties will be accountable to each other through transparent processes, fair use of funding,
           acknowledgement and recognition of each other.
          A quality improvement approach will be adopted to improve the collaboration and to learn from
           difficulties or challenges and successes.
          Appropriate and realistic expectations will be developed for collaborative activities and these will be
           resourced sufficiently in both funds and time to ensure success.
          There will be a focus on growth over time by engaging other parties in collaborative projects who share
           commitment to the principles of this collaboration.
2.         The Agreement
          The parties support the key principles which underpin this Partnership Agreement. These principles will
           be reviewed in twelve months from the date of signing.
          The parties agree to support the collaborative governance mechanism (described in Item 4 below) that
           will oversee the achievement of mutually agreed objectives.
          The Partnership Agreement does not transfer any interest in intellectual property. The parties intend that
           they will each retain ownership of any background intellectual property they contribute to a project. The
           parties intend that the ownership of any intellectual property created through any project will be
           determined on a case-by-case basis and will be documented in a project agreement for each project.
          Conflict resolution will be managed through the governance mechanism (described in Item 4 below).
          The parties agree that none of the provisions of this Partnership Agreement are, or are intended to be,
           legally binding. No legally binding obligation or enforceable commitment will be created, implied or
           inferred and nothing in this Partnership Agreement is intended to impose any legal liability on any party.
           Any specific project or program will be subject to the mutual consent, availability of funding and approval
           of both parties.
          The parties accept shared responsibility for negotiating and developing communication processes that
           enhance and provide leadership and innovation. These processes may involve communication with
           internal and/or external stakeholders, and the community where it is deemed appropriate.

4.         Governance Mechanism
The CEO/Executive Director of both organisations will hold overall responsibility and authority in relation to this
Partnership Agreement and all partnership activities undertaken as a result of its implementation. Sign-off for all
partnership activities is required by the CEO/Executive Director of both organisations.
Partnership activities will be managed on an ongoing basis through a Steering Group. This group will be
comprised of three members from each party. The group will determine Terms of Reference at the first meeting
and will meet on a bi-monthly basis after that to identify and discuss potential new directions and opportunities
for partnership. Minutes will be kept of all meetings and distributed to group members and the CEO/Executive
Director of both organisations.
The Steering Group will consider the progress of all partnership activities to check that timelines and
deliverables are achieved.
Additionally, the Steering Group will be responsible for ensuring the Partnership Agreement is being
implemented appropriately and that regular reviews of the agreement are undertaken as stated in this
Agreement.
The Steering Group will report to the CEO/Executive Director of both organisations on at least an annual basis
with regular internal updates as considered appropriate.

5.      Performance Measurement and Evaluation
Evaluation of the Partnership Agreement and its implementation will be undertaken through the following:

     All partnership activities undertaken will be required to provide progress reports on a 6 monthly basis to
      the Steering/Reference Group.
     The Steering/Reference Group will consider the progress of all partnership activities to check that
      timelines and deliverables are achieved.
     The Steering/Reference Group will report to the CEO/Executive Director of both organisations on at least
      an annual basis with regular internal updates as considered appropriate.
     The Steering/Reference Group will be responsible for ensuring the Partnership Agreement is being
      implemented appropriately and that regular reviews of the agreement are undertaken as per the
      Partnership Agreement. These reviews will also evaluate the effectiveness of the Partnership Agreement,
      the success of the partnership activities and the value of maintaining the Partnership Agreement in its
      current form.


6.      Roles and Responsibilities
Organisation 1 Responsibilities:
     Ensuring the Partnership Agreement is implemented appropriately and that regular reviews of the
      agreement are undertaken as required.
     Finding and considering potential partnership activities.
     Identifying possible resourcing opportunities for partnership activities.
     Undertaking any related contractual and financial management.

Organisation 2 Responsibilities:
     Preparing project plans for partnership activities.
     Providing six-monthly project reports for partnership activities.
     Providing project management for partnership activities.
     Promoting the work resulting from this Partnership Agreement.


7.      Term of the Agreement
This Partnership Agreement will be effective when it is signed and dated by both parties and shall remain in
force until terminated by either party giving the other party three months notice in writing.
