                  Short Term Tender Notification (Through ‘e’ procurement) for
           Selection of Contractors/Agencies for Organising Summer Exhibition-2012

Karnataka Exhibition Authority (KEA) invites tenders from experienced contractors / agencies for
organizing Summer Exhibition-2012 at Exhibition grounds, Doddakere Maidana, Mysore, for a
period of 45 days during 09-04-2012 to 23-05-2012. Mysore is a heritage city and attracts a large
number of visitors to the Summer Exhibitions conducted year-on-year and offers opportunities for
exhibitors to showcase their products and services. The contractors / agencies to be selected
through transparent e-tender process. Contractors / agencies should satisfy the following criteria
for eligibility:

   (i)     Experience of minimum 3 years in organizing exhibitions / fairs
   (ii)    Should have organized at least three exhibitions / fairs anywhere in India
           during these three years, of which at least one should be of minimum 10 days
           duration.
   (iii)   Should have achieved annual turnover of Rs. 30 lakhs only by conducting
           exhibitions during any one year in the last five years
   (iv)    Solvency of Rs.10 lakhs from their bankers
   (v)     Preference shall be given to those who have conducted ‘exclusive public exhibition’ that
           includes stall construction, food court, commercial stall and amusement park etc.

Interested Contractors/Agencies may visit the exhibition location at Mysore for getting a first-
hand idea of the facilities and potential. Interested Contractors/Agencies are invited to submit
tenders through ‘e’ procurement portal (https://www.eproc.karnataka.gov.in.) on or before
22.03.2012 by 4.00 PM Contractors/ Agencies interested in participating in the tender required to
obtain Digital      Signature     Certificate from       DSC        vendors and register with
http://www.eproc.karnataka.gov.in.

                                          Section-1

                                    Information to Bidders

A. General

     Mysore is the second largest city in the State of Karnataka, India. It is the
     headquarters of the Mysore district and the Mysore division and located about
     146 km South-west of Bangalore, the capital of Karnataka. The city is spread
     across an area of 130 sq.km and is situated at the base of the Chamundi Hills.

     Mysore is famous for the festivities that take place during the Dasara festival,
     during which it receives a large number of tourists. The Urban Development
     Ministry, GOI rated Mysore as the second cleanest city in India in 2010 and the
     cleanest city in Karnataka.

     Known as the cultural capital and heritage city of Karnataka, Mysore is well
     known for the festivities that take place throughout the year especially during
     Dasara, the State festival of Karnataka. Mysore is called the City of Palaces
     because of the number of palaces situated in the city.

     Mysore is a tourism hot spot and also acts as a base for other tourist places in
     the State. One of the most visited monuments in India, the Ambavilas Palace
     (also known as Mysore Palace) is the center of tourist attraction. The Mysore
     Zoo, established in 1892, and the Karanji, Kukkarahalli lakes, Krishnarajasagar
     Dam and the adjoining Brindavan Gardens are also popular spots for tourists.

     While tourism is the major industry in Mysore, the growth of information
     technology related industry in the first decade of the 21st century has resulted in
     the city emerging as the Second largest software exporter in the State of
     Karnataka, next to Bangalore.

B.   Karnataka Exhibition Authority (KEA)

     Karnataka Exhibition Authority (KEA) is an organization established by the
     Government of Karnataka for organizing Exhibitions during Dasara and also
     during summer. The duration of Dasara Exhibition would be 90 days and of
     Summer Exhibition is 45 days. These Exhibitions are organized by the Authority
     every year at Doddakere Maidana, Mysore, through tenders. Doddakere
     Maidana is in the centre part of the Mysore city and located in the vicinity of
     world famous Mysore Palace and Mysore Zoo. The Maidan is at the foot of
     Chamundi hills, the abode of Goddess Chamundeshwari. The total extent of
     land with the Exhibition Authority is about 145 acres. For the Summer
     Exhibition, an extent of about 10 acres will be made available to the selected
     contractor / agency.

C. About Summer Exhibition

     Summer Exhibition is for a period of 45 days from 09-04-2012 to 23-05-2012 at
     Doddakere Maidana, Mysore. The various activities available for the contractors
     / agencies are broadly as follows:

         Entry management and collection of entry fee
         Marketing, allotment & collection of rent from 59 permanent commercial
          stalls in the premises.
         Construction of temporary exhibition stalls in open areas (including ‘0’-
          point area), marketing to exhibitors and collection of rentals
         Construction of temporary food stalls and allotment & collection of rent.
         Organizing safe amusement and recreational facilities in the designated
          areas.
         Managing Sky Track Mono Rail.
         Vehicle parking & collection of parking fees.

D. Eligibility Criteria

      Contractors / agencies with proven experience in organising exhibitions/ fairs
      along with amusement items preferably sponsored by Central/ State
      Govt./Board & Corporations/Authorities and having sound financial
      background are invited to submit tenders through ‘e’ procurement portal
      https://www.eproc.karnataka.gov.in. Contractors/ Agencies interested in
      participation in this tender have to obtain Digital Signature Certificate from
      DSC vendors and register with http://www.eproc.karnataka.gov.in

      Contractors/Agencies shall satisfy the following minimum criteria for eligibility:

      (i)   Experience of minimum 3 years in organizing exhibitions / fairs
      (ii) Should have organized at least three exhibitions / fairs anywhere in India
            during these three years, of which at least one should be of minimum 10
            days duration.
      (iii) Should have achieved annual turnover of Rs. 30 lakhs by conducting

E.    Brief Activities / Items proposed in the exhibition

      Activities / items proposed in the exhibition are as follows:

                                    The necessary temporary shed, barricading etc., should
                                     be constructed at his own cost.

F.   Detailed Scope of Services

     (a) Collection of Entry fee
     1.   An entry fee of Rs. 10.00 (Rupees ten only) shall be collected on all days
          including Saturdays, Sundays and public holidays. The specimen copy of
          the entry ticket should be approved by the Authority and ticket should be
          printed with serial number and counterfoil.

     2.   For school children an entry fee of Rs. 5.00/- (Rupees five only) per student
          shall be collected. Free entry to be made for Children below five years /
          Physically Challenged / Blind / Mentally retarded etc. In case of persons
          above 60 years Rs. 5/- (Rupees five only) to be collected. These concessional
          entry fee rates shall be applicable on all days including Saturdays, Sundays
          and public holidays.

     3.   The Authority reserves the right of issuing free pass to the Contractors /
          Government Departments / Boards / Corporations, Authority Staff & VIP’s,
          Press Reporters, Special Cultural Artists, etc., as indicated below:

           1   Press Media/TV Media valid for the entire exhibition         150 Nos.
               period
           2   VIP pass valid for one day during exhibition period and      300 Nos.
               with permit of 5 persons
           3   Complementary pass valid for one day during exhibition       2000 Nos.
               with permit of 4 persons
           4   Temporary pass (period will be mentioned in pass)            200 Nos.

          The pass holders should be allowed free to the exhibition at the entrance.
          At the entry gate, staff of authority will be deployed along with the staff of
          the contractor.

     4.   After obtaining approval from the Authority to specimen entry ticket, the
          contractor should print the ticket at his own cost. The contractor should
          make his own arrangements for issuing of tickets, verification of tickets by
          appointing necessary staff at his own cost.

     5.   Separate ticket counters shall be opened by the Contractor for Women, Men
          and Handicapped persons.

     6.   The entry timings for exhibition will be from 3 pm to 9.30 pm on week days
          and 3 pm to 10 pm on Saturdays, Sundays and all public holidays.

     7.   Entry fee details shall be displayed by the tenderer at all ticket counters for
          the notice of public. Tenderer should make necessary arrangements for
          display boards indicating Entry / Exist at his own cost.

     8.   The contractor should organize cultural programmes on Sundays and on
          public holidays at his own cost. The necessary minimum light and sound
          arrangements for the programme would be provided by the authority.
          Extra light and sound arrangements, if required, shall have to be arranged
          by the contractor with his own cost.

     9.   The minimum sound and light systems for the cultural programmes at
          Kalamandira (Sri P. Kalingarao Kalamandira) located within the exhibition
          area and for Radio room (Children Block Area), which is also located within
          exhibition area will be provided by the authority.

     10. Free entry should be given to public on inaugural day of Summer
         Exhibition 2012 (scheduled on 09.04.2012).

     (b) Stall Allotment and Rent Collection

     1.   The selected contractor is required to allot stalls in ‘A’ Block, comprising
          Stall No. 01 to 45 (45 nos.), which are permanent in nature and 0-point (1
          stall) which is temporary in nature. In ‘B’ Block, there will be 14 stalls (Stall
          No. 07 to 20) which are also permanent in nature and contractor shall collect
          rent from the parties.

          The contractor shall construct Zinc sheet partition wall between the existing
          Stalls and after successful conclusion of exhibition, the same should be
          dismantled and cleared at his own cost.

          The size (plinth area) of the stalls available in ‘A’ and ‘B’ Block are given in
          the following table.

     2.   As per the layout approved by the Authority, the tenderer should construct
          food stalls in the open space (from fountain circle to Ittigegudu Road left
          side, children park, Chamundi block-I, Lead pavilion block) without
          making any damages and shall allot food stalls & collect rent accordingly.

     3.   Business or any other activity in front of stalls and along footpaths are not
          allowed for the sake of convenience of public for free movement.

     4.   Any construction of additional stalls in open space at ‘A’ block by the
          contractor is strictly prohibited.

     5.   There is no restriction for the contractor for fixing the rents for the stalls
          and also rates to be collected from other activities organized by the
          contractor.

     6    The Contractors should issue printed duty pass to stall holders and the staff
          deployed at Amusement Park, Sky Track Mono Rail and at main entrance at
          his own cost. The list of staffs deployed at various points should be
          submitted to the office of CEO, KEA. The contractor shall issue 3 passes to
          each stall (one for owner and two for staff).

     7    The stall holders participating in the Summer Exhibition-2012 should be
          registered at Commercial Tax Department (VAT). The contractor should
          collect the VAT Certificate from the stall holders within the 15 days from
          the commencement of Summer Exhibition - 2012 and submit the same to the
          Authority.

     (c) Amusement Park-Ball Games, Balloon Shooting, Ring games etc.

     1.   The Contractor should arrange to install the amusement / recreation items
          in the space provided as in the approved plan.

     2.   In addition to Amusement Park the Contractor can provide Ball Games,
          Ring Games, Balloon Shooting stall at Chamundi            Block-II and Lead
          Pavilion. The stall should be constructed as per the approved drawing and
          direction of the Civil Engineering section.

     3.   Enough care should be taken to provide all safety measures to avoid any
          kind of mishap or inconvenience at the amusement area. A first aid kit shall
          be made available within the amusement area at contractor’s cost and in
          case of any unforeseen emergencies/injuries caused to public from
          amusement items, all the medical expenses including hospitalization,
          treatment charges shall be borne by the contractor.

     4.   The contractor should charge reasonable rates for items at Amusement Park
          and shall submit details of rates for each item for prior information of the
          Authority. If any written complaints are received from the public regarding
          higher fee collection, the contractor is liable to pay a penalty ranging from
          Rs.100/- to Rs.500/- to the Authority, if complaints are proved.

     5.   The following documents pertaining to items to be installed at Amusement
          Park should be submitted to Authority before commencement of
          Exhibition:

          a) Fitness Certificate from the competent authority for the items to be
             installed at Amusement Park.

          b) Fitness Certificate from the Electrical Inspectorate for the generator /
             electric connection
          c) Insurance coverage for Rs.10 lakhs (Rupees ten lakhs only) in the interest
             of public to cover any accidents / mishap / damages at Amusement park
             and other exhibition area.
          d) The rate list for the items at amusement park should be displayed in
             Kannada at least in two locations for publicity and for public notice.
          e) Experienced staff should be deployed for operation and maintenance of
             amusement items and daily inspection for the fitness before
             commencement should be carried out.


     6.   Sale of Soft drinks, food (Vegetarian & Non vegetarian), eatables etc., at
          Amusement Park / area premises is prohibited.

     7.   The contractor should issue 500 passes for Amusement Park for
          Officers/VIPs/Staff.

     8.   The contractor should install high quality items at his own cost and
          maintain them in good condition throughout the exhibition period. The
          items should be installed as per list enclosed along with the tender. The
          items should be as for as possible new items and attractive.

     9.   Only hydraulic based equipments should be installed. The items installed at
          Exhibition should be get inspected by the concerned department and
          inspection report should be obtained and produced before the Authority.

     10. For the amusement items, the contractor shall provide electricity at his own
         cost and a certificate from electrical inspectorate and submitted.

     (d) Collection of Vehicle Parking Fee
     1.   The authority reserves the right to provide any type of advertisement at
          vehicle parking area during the Summer Exhibition -2012. It reserves the
          right to issue 250 vehicle passes as follows:

                      1    Two Wheelers              200 Nos.
                      2    Cars / four wheelers      50 Nos.

     2.   The contractor should collect the Vehicle parking fee from the public as
          approved by the authority. If higher fee collection is noticed/complaints
          received from public, Rs. 250/- (Rupees two fifty only) per complaint is
          levied as penalty and this amount will be recovered from security deposit
          and penal action will be initiated. For such instances, the contractor is solely
          responsible. Vehicle parking fee to be collected by the tenderer shall be as
          follows:

          a) The above rate list should be compulsorily displayed in Kannada &
             English near vehicle parking entry gate for public information. Such flex
             boards should be provided at two entrances by the contractor at his own
             cost (digital display is preferred).

          b) Barricading around the vehicle parking should be provided by the
             contractor at his own cost.

          c) Arrangements should make for public to park the vehicles in specified
             places and necessary sign boards should be provided.
          d)    Vehicle parking tickets / tokens should be issued through
               Computer/Electronic Machine with serial numbers and in every ticket
               vehicle number should be mentioned compulsorily and token should be
               collected back at the exist gate.
          e) Contractor is responsible for the safety of the vehicles. For any
             loss/theft/damage of the vehicle, the contractor is responsible. The
             Authority is not responsible for such incidents and contractor is fully
             responsible for legal proceedings.
          f) Contractor should issue direction to wear uniform and Identity card to
             his staff on duty during working hours.
          g) Free entry should be provided for Government/ Semi-government /
             Board / Corporation and Authority’s Staff vehicle / VIP’s vehicles. For
             this necessary pass will be issued by the Authority.
          h) In case of theft of vehicle or damage, the contractor should make good
             the loss to the owner of the vehicle. In vehicle parking fire fighting
             equipments should be installed.
          i) The Authority has every right to inspect regarding adherence of above
             terms and conditions.
          j) Contractors is not permitted to provide any banners and cutouts except
             in connection with the Summer Exhibition-2012.
          k) Any legal issues that may be raised between the authority and contractor
             shall be sorted out within the jurisdiction of courts in Mysore.

     (e) Maintenance of Sky Track Mono Rail

          Contractor should collect Rs.10/- (Rupees ten only) per person per round of
          Sky-Track-Mono Rail. The contractor shall take charge of the Sky-Track
          Mono Rail units ‘as is there is’ basis and shall maintain it in good condition.

          It should not be alienated or sublet. The contractor shall arrange to appoint
          and deploy the required staff for operating the rail at his own cost. After
          the exhibition, the Sky-Track Mono Rail units shall be returned to the
          Authority in good condition. If any unit is found damaged, the contractor
          shall get them repaired at his own cost. If any accident/unforeseen mishap
          while operating the Sky-Track Mono Rail, the tenderer shall wholly be
          responsible for the same.

     (f) Organizing Cultural Events

          The contractor is required to organize cultural events in the evenings of
          week ends (Saturday & Sunday) and all public holidays. The cultural events
          should be of minimum two hours duration preferably from 7 pm to 9 pm.
          The cost involved in organizing these cultural events shall be met by the
          contractor. Further, contractor shall not charge any entry fee for these
          cultural events and events are to be open for public.

B EMD & Other Payments
  1. The tenderer should submit E.M.D. of Rs. 50,000/- (Rupees fifty thousand
     only) through any of the 4 modes of ‘e’ procurement as mentioned in the ‘e’
     procurement portal.

    2. Tenderer should submit a DD / Pay order for Rs. 6,02,500/- (Rupees six lakh
       two thousand five hundred only) being 25% of the threshold tender amount
       fixed by the Authority. Drawn by scheduled commercial bank /Nationalised
       Banks favour of CEO,KEA, Mysore.

    3. Tenderer should also submit separately a DD/ Pay order for Rs. 50,000/-
       (Rupees fifty thousand only) of Scheduled Commercial Banks / Nationalised
       Banks in favour of CEO, KEA, Mysore, towards Cultural Programmes Deposit.

    4. Scanned copies of the two DDs / Pay orders in required to be uploaded in the
       e-portal. Original DDs / Pay orders to be submitted to KEA through registered
       post a/d so as to reach the Authority on or before the date of opening the
       technical proposal.

   5. Persons/firms/contractors/agencies black listed by KEA or any other
      government organizations shall not be eligible to participate in the tender.

   6. The successful tenderer should remit the tender amount, deducting the
      amount already paid at the time of submission of tender, before 3 pm on
      30-03-2012 in the form of account payee DD / Pay order from a scheduled
      Commercial Bank /Nationalised Banks drawn in favour of CEO, KEA, Mysore.

   7. Failing to remit the DD / Pay order for 25% of the threshold tender amount
      and cultural programme deposit, the EMD paid by the tenderer shall be
      forfeited by the authority as penalty.

   8. Payment details and other parameters are summarized below:

     9.   Tenderers should submit experience certificate and other documents in
          original for verification.
     10. Attested copies of Income Tax Returns, Pan Card and Service Tax
         registration certificate shall be produced for verification.
     11. The tenderer should abide by the rules and regarding payment of Income
         Tax and Cess, duty other Taxes/fees fixed by the Central and State
         Government imposed from time to time.


     C    KEA reserves the right

     1. The authority reserves the right of accepting or rejecting any or all tenders
        without assigning any reasons thereof and all tenderers are bound to the
        decision of KEA.
     2. The Authority also reserves the right to negotiate on the financial proposals
        with the selected contractor.


D. Other General Rules and Conditions

     1.   At any instance during the prevalence of the above contract, owing to
          natural disasters or unforeseen circumstances or due to the decision of the
          Government, the Authority reserves the absolute right, if it becomes
          inevitable of reducing the duration of the Exhibition or close it before the
          completion of the stipulated period. The decision of the Authority shall be
          final in this regard.
     2.   Tenderer/contractor shall be responsible to pay tax, cess and other
          duties/fees as stipulated by the Central/State Government. The tenderer
          shall produce proof for payment of all taxes before the closure of the
          exhibition.

     3.   The Authority reserves the right of supervising compliance to the above
          rules and regulations at any instance, at any place.
     4.   Employees deployed to punch tickets at the Entrance Gate by the contractor
          shall be instructed to wear uniforms and identification badges during the
          duty hours without fail.
     5.   This tender/contract shall not be sublet or alienated. The contractor as well
          as the staff appointed by him shall deal with the general public with
          patience and perseverance. No room shall be given for any disturbance or
          untoward incidents. The contractor shall be solely responsible for any such
          untoward happenings.
     6.   Stall owners shall exhibit their sign boards and display boards regarding
          entry fee. Sign boards shall be clearly displayed by compulsorily giving first
          preference to the regional language Kannada.
     7.   After the completion of the Exhibition, gate passes will be issued to the stall
          owners other items taken on lease by the Karnataka Exhibition Authority.
          or outside the Authority premises.
     8.   As the exhibition premises is a public place, the central government has
          strictly banned the sale of goods relating to smoking in public place. In the
          exhibition area no shops shall to sale the items belonging to smoking. The
          tenderer has to intimate all the stall holders in writing in this regard before
          allotment of space/stall.
     9. The contractor has to put-up temporary Ticket Booth and barricades in the
         entrance to the Exhibition from ittigegud road and after the Exhibition the
         same has to be removed by the contractor at their own cost.
     10. The contractor has to put up the plat form over drainage in front of the ring
         stalls, ball games etc., at their own cost.
     11. Use of plastic is prohibited in the premises of Karnataka Exhibition
         Authority. District Administration has ordered to encourage the use of
         eco friendly materials like paper bags, joot materials, cloth, Areca leave
         plate and other similar materials. Mean while the use of plastic materials
         in carry bags, plates, cups, badges etc., has to be banned.

     12. Special care and interest should be taken, by the concerned authorities
         regarding this. All shop holders, Hotels, Refreshments , Food stall holders,
         Ice Creams, Popcorn Shop holders and others are here by required to
         completely take 100% interest in prohibiting the use of plastic in
         Summer Exhibition-2012.
     13. If the applicants are partnership firms, they shall submit partnership
         agreement deed, partnership registration certificate, recent passport size
         photographs of partners. Applicant/ partnership firm should submit
         experience certificate for having organized and conducting the exhibitions.
     14. If the Applicant is a Company or an Organization or an Association,
         attested copies of Certificate of Incorporation, Memorandum of Association
         and Articles of Association shall be enclosed. In case the Applicant is a
         Trust, attested copy of the        Registered Trust Deed shall be enclosed.
         Applicant shall also submit an Experience Certificate from an Govt
         Authority for having organized and conducting the Exhibitions. The
         person who is attending the tender has to produce authorization letter in
         case of partnership and company.
     15. If the tenderer is an a partnership firm or Company, Public Limited
         Company, Private Limited Company the authorized letters for participating
         in the tenderer should be produced.

                                         Section-3

                         Bidding Process and Selection of Contractor


A    Bidding Process

     The bidding process will be single stage, two-cover system comprising
     Technical Proposal (Part-1) and Financial Proposal (Part-2).

     Part-1: Technical Proposal – comprises detailed profile of the contractor, record
     of experience, turnover details, EMD, security deposit etc., to be submitted in e-
     portal.

     Part-2: Financial Proposal - The Financial Proposal as per the format given in
     Part-2 shall be uploaded in the ‘e’ procurement portal. The financial proposal
     will be evaluated and those who quote the highest amount shall be selected to
     award the contract of organizing the Summer Exhibition 2012. Financial
     Proposal should be indicated in Indian rupees in figures as well as words.

B    Submission of Tender Document
     The Tender document (both technical and financial proposal) shall be uploaded
     to the ‘e’ procurement portal, in the prescribed formats.

         Part-1: Technical Proposal: In the prescribed format duly signed
          electronically. Part-1 shall contain the following:
         A covering letter in the format enclosed at Appendix – A.
         EMD of Rs. 50,000/- (Rupees Fifty thousand only) to be remitted in the e-
          portal by one of the four modes.
         Refundable Special Cultural Programme Security deposit of Rs. 50,000/-
          (Rupees fifty thousand only) in the form of DD /Pay order from scheduled
          commercial bank / Nationalised Banks drawn in favour of CEO, KEA.
          Mysore. Scanned copy of the DD / Pay order need to be uploaded in e-
          portal. Original DD / Pay order has to be submitted to KEA through

          registered post with a/d so as to reach the Authority on or before the date of
          opening the technical proposal.
         DD /Pay order for Rs. 6,02,500/- (Rupees six lakh two thousand five
          hundred only) being 25% of the threshold tender amount. The DD / Pay
          order to be drawn from scheduled commercial bank / Nationalised Banks
          and in favour of CEO, KEA, Mysore. Scanned copy of the DD / Pay order
          need to be uploaded in e-portal. Original DD / Pay order has to be
          submitted to KEA through registered post with a/d so as to reach the
          Authority on or before the date of opening the technical proposal.
         Details of bidders experience and capabilities asper the format at Appendix
          – B.
         Scanned copies of extract of Balance sheets / audited accounts for the past
          five years as a proof of turnover.
         Acceptance of Tender conditions.
         Name & address of the Banker/s and auditors of the contractor.

     Part-2: Financial Proposal in the prescribed format (Appendix-D) duly signed
     and to be uploaded in the ‘e’ procurement portal.

     The last date for submission of Tender document in e-procurement portal is
     22.03.2012 before 4.00 pm. Bids received in physical form and beyond the
     closing date / time shall not be accepted and rejected, unopened. The e-portal
     automatically closes and will not accept bids submitted after due date and time.

     Financial Proposal (in e-portal) of the Bidders whose technical bids are
     qualified by the evaluation committee will be opened on 27.03.2012 at 11.00 AM
     in presence of the technically qualified bidders or their representatives who
     wish to attend. Bidders can also visit ‘e’ procurement site to know the status of
     their bid-technical as well as financial. In the event of any change in the date,
     this would be intimated in advance.

C    Selection Process

     The selection will be single stage two cover system and encompass a two-part
     evaluation viz. (a) Technical and (b) Financial by the Evaluation Committee
     specifically constituted for the purpose.

     (a) Technical Evaluation

          Technical Proposal will be evaluated to ascertain the eligibility based on the
          following parameters:

           (i)    Experience of minimum 3 years in organizing exhibitions / fairs
           (ii)   Should have organized at least three exhibitions / fairs anywhere in
                  India during these three years, of which at least one should be of
                  minimum 10 days duration.
          (iii)   Should have achieved annual turnover of Rs. 30 lakhs by conducting
                  exhibitions only during any one year in the last five years
          (iv)    Solvency of Rs.10 lakhs from their bankers
          (v)     Preference shall be given to those who have conducted ‘exclusive public
                  exhibition’ that includes stall construction, food court, commercial stall and
                  amusement park etc.

          Contractors / agencies which fulfill the eligibility criteria shall be qualified
          for opening of Financial Proposal in e-portal. Stringent action shall be
          initiated against those found to be submitting forged/fake/ manipulated
          documents.

     (b) Financial Proposal

          The financial proposal of only those bidders, who qualify technically, will
          be opened and evaluated by the Evaluation Committee.

     (c) Final Selection

          The contractors who quote the highest financial proposal shall be selected
          for awarding the contract.

D    Post Selection

     (i) The decision of the Evaluation Committee on the technical / financial
         evaluation shall be final. Financial proposal of the bidders who do not
         qualify for eligibility during technical evaluation will not be opened.

     (ii) Selected Bidder will be required to enter into an agreement with KEA.

     (iii) Selected Bidder has to submit original Technical and Financial proposals as
           submitted in the e-portal to KEA along with other relevant documents.

     (iv) KEA reserves the right to cancel selection of Bidder, if documents uploaded
          in the e-portal are found not correct or not adhering to the terms of tender.

     (v) In case of any extension being sought by the successful tenderer he shall
         pay an amount calculated as per the prorate basis for the extended period.

E    Termination of Contract

     1. If in the opinion of KEA, the work of contractor in organizing summer
        exhibition is found unsatisfactory, KEA shall have the right to terminate the
        contract at the contractor’s risk by giving 3 days’ notice in writing to that
        effect. KEA shall then have the right to award the contract to such other
        agencies as they may deem fit and any loss or expenses incurred on this
        account as assessed by KEA will be deducted from the money due to the
        first contractor.

     2. In case any dispute or differences arises between KEA and the contractor on
        any matter within the scope of the contract, the matter should be settled by
        amicable discussions. The decision of the Chief Executive Officer of KEA on
        the matter shall be final and bound on either party.

to reduce into writing the agreed terms and conditions as contained hereinafter.

NOW IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES AND THIS
AGREEMENT WITNESSETH AS FOLLOWS:


1.    KEA has appointed M/s ------------------- as its CONTRACTOR for organizing
      Summer Exhibition for the duration of 45 days commencing from 09.04.2012 to
      23.05.2012 at Doddakere Maidana, Mysore.

      In this agreement words and expressions shall have the same meaning as are
      respectively assigned to them in the conditions of the contract herein after is
      referred to.

      In consideration of the payments to be made to KEA by the contractor, KEA
      offers the right to organize Summer Exhibition to the contractor for 45 days in
      conformity with all respects with the provisions of the contract.

      The following documents shall be deemed to form and be read and construed
      as part of this agreement viz.

      a)   The general conditions of contract (as specified in the tender document).
      b)   The special conditions of contract (as specified in the tender document).
      c)   The approved layout drawing of exhibition area s

2.    KEA has specified threshold bid amount of Rs. 24,10,000/- (Rupees Twenty
      four lakhs and ten thousand only, inclusive of service tax) to get the work of
      conducting summer exhibition of 45 days commencing from 09.04.2012 to
      23.05.2012.

      The contractor / agency M/s --------------- (CONTRACTOR) has quoted highest
      bid amount of Rs. -------- (Rupees--------) against the threshold bid amount. The
      contractor has agreed to pay the quoted amount to KEA on the following
      terms and conditions:

      The Proposal amount is payable by the selected contractor to KEA in 2 stages,
      as per the following schedule:

         Rs.6,02,500 (Rupees six lakhs two thousand five hundred only) being 25% of
          the threshold bid amount at the time of submission of tender.

      information to the Contractor for reference and discharging his/its duties for
      ‘Organizing Summer Exhibition’.

4.    Contractor shall take up the work for ‘Organizing Summer Exhibition’ as per
      the requirements of KEA.

5.    The parties have agreed that no amendment, modification or waiver of any
      provision of this contract shall in any event be effective unless the same has
      been made in writing and signed by a duly authorized officer (the word ‘duly
      authorized officer’ means any person authorized by the Competent Authority
      to take necessary action in this context on behalf of the parties) of each of the
      parties, and approved in writing by other and any waiver or consent shall be
      effective only in the specific instance and for the specified purpose for which it
      is given.

6.    The parties have agreed that the confidentiality of the information, which may
      be transferred between the Parties from time to time as being essential to this
      Agreement and agree not to disclose the same to any other third party.
      However, each Party shall be free to disclose such information as is:

          Part of the public domain at the time of disclosure, or;
          Required to be disclosed in accordance with the applicable law;

      The obligation of Parties as defined above shall apply notwithstanding
      termination of this agreement as well.

7.    Both the parties to the Agreement have agreed that in case, any dispute or
      difference of any kind whatsoever arises between the parties in connection
      with or arising out of or relating to or under this Agreement, the parties shall
      promptly and in good faith negotiate with a view to its amicable resolution
      and settlement. In the event no amicable resolution or settlement is reached
      within a period of thirty (30) days from the date on which the above-
      mentioned dispute or difference arose, such dispute or difference shall be
      finally settled by arbitration. The arbitral tribunal shall consist of a sole
      arbitrator appointed by mutual agreement of the parties.

      In case of failure of the parties to mutually agree on the name of a sole
      arbitrator, the arbitral tribunal shall consist of three arbitrators. Each party
      shall appoint one arbitrator and the two arbitrators so appointed shall jointly
      appoint the third arbitrator. The seat of arbitration shall be Mysore and the
      arbitration shall be conducted in the English language.

      The Arbitration and Conciliation Act, 1996 shall govern the arbitral
      proceedings. The arbitral tribunal shall render its award as expeditiously as
      possible and the award rendered by the arbitral tribunal shall be final and
      binding on the parties. However, any unresolved dispute or difference or the
      initiation or continuance of the arbitral proceedings shall not be a cause for

         postponing or delaying the performance by the parties of their respective
         obligations under or pursuant to this Agreement.


8. (a)    A Party shall not be liable to the other Parties for any loss, injury, delay,
          damages or other casualty suffered or incurred by the latter due to Force
          Majeure, and any failure or delay by any Party in performance of its
          obligations under this Agreement due to Force Majeure and shall not be
          considered as a breach of this Agreement.

   (b) The Party suffering Force Majeure shall notify the other Parties in writing
       promptly after the occurrence of such Force Majeure and shall, to the extent
       reasonable and lawful, use its best efforts to remove or remedy such cause.
       Upon the occurrence of any circumstances of Force Majeure the Party
       claiming Force Majeure shall use all reasonable endeavors to continue to
       perform its obligations under this Agreement and to minimize the adverse
       effects of such circumstances.

   (c) Such a Party shall notify the other Parties of the steps it proposes to take
       including any reasonable alternative means for performance. In the event any
       obligation cannot be performed due to continuance of a Force Majeure event
       for a period of 60 days, the Parties agree that the time period for the
       performance of such obligation shall stand extended for an equivalent period
       after such time as the Force Majeure event ceases to exist.

   (d) However, if in the opinion of the parties, the force majeure event is not likely
       to be cured within a reasonable time frame or is of such a nature as to have
       rendered any one or more of the project unviable or un-bankable, the parties
       may decide to terminate this Agreement with respect to such project.

9.    The parties have further agreed that any notice or other communication given
      or made under or in connection with the matters contemplated by this
      Agreement shall be in writing and in English. A Party may notify the other
      Parties of a change to its name, addressee, address and telex or facsimile
      numbers.

10.   Both the parties have agreed that the duration of this Agreement is for 60 days
      only.

                           e-Payment System of e-Procurement System

1.    Payment of Tender Processing Fee and EMD

      The bidder shall pay tender processing fee and EMD through any of the following
      modes of e-payment as specified in the e-Procurement platform.

      • Credit Card
      • Direct Debit
      • NEFT / RTGS
      • Over-the-Counter (OTC)

1.1   Credit Card

      The credit card payment is routed through a payment gateway and prompts the bidder for
      entry of relevant credit card details. The confirmation of payment is displayed on the screen
      leading to bidding screen with a green tick against the payment.

1.2   Direct Debit

      The direct debit payment is only for Axis Bank account holders and the payment routed
      through Axis Bank internet payment gateway. The gateway prompts the bidder for entry of
      relevant debit card / bank account details. The confirmation of payment is displayed on the
      screen leading to bidding screen with a green tick against the payment.

1.3   NEFT / RTGS

      The National Electronic Fund Transfer (NEFT) / Real Time Gross Settlement (RTGS) mode of
      e-payment involves printing a challan from the e-Procurement system. On selection of the
      NEFT / RTGS in the e-Procurement platform, the bidder need to select the refund account
      prior to click of ‘Pay’ button. The next screen provides a link to download the challan. The
      challan contains the beneficiary name, beneficiary account no., beneficiary IFSC code,
      beneficiary bank branch and city. The challan need to be furnished to the sending bank to
      facilitate transfer of money. The NEFT challan generates dynamic bank account no. which
      varies with every bidder and tender. Hence, the bidders shall not use the same NEFT challan
      for multiple payments.

      On receipt of transaction number from the sending bank, the same need to entered in the e-
      Procurement platform along with the date of payment against the specific NEFT / RTGS
      payment transaction. The NEFT / RTGS mode of e-Payment is a deferred mode of e-payment
      as the same is reconciled in the next two working days after upload of payment scroll in the e-
      Procurement system. Bidders may submit their bids after update of transaction number in the
      e-Procurement system. A green tick mark appears against the payment after update of
      transaction number and date of payment. However, the payments are reconciled after
      payment records are updated by the bank.

1.4   Over-the-Counter (OTC)

      The Over-the-Counter (OTC) mode of e-payment involves printing a challan from the e-
      Procurement system. On selection of the OTC mode in the e-Procurement platform, the
      bidder need to select the refund account prior to click of ‘Pay’ button. The next screen
      provides a link to download the challan. The challan contains the beneficiary name in favour
      of which either cash (upto Rs. 50,000) or Demand Draft can be submitted in any of the
      designated branches of Axis Bank throughout the State of Karnataka and country. All
      payments less than Rs. 50,000/- are accepted in cash form for OTC mode of payments and all
      payments of Rs. 50,000/- and above are accepted in the form of Demand Draft.

      On receipt of transaction number from the sending bank, the same need to entered in the e-
      Procurement platform along with the date of payment against the specific OTC payment
      transaction. The OTC mode of e-Payment is a deferred mode of e-payment as the same is
      reconciled in the next two working days after upload of payment scroll in the e-Procurement
      system. Bidders may submit their bids after update of transaction number in the e-
      Procurement system. A green tick mark appears against the payment after update of
      transaction number and date of payment. However, the payments are reconciled after
      payment records are updated by the bank.

2.    IMPORTANT NOTE
      In the case of payments made through NEFT / RTGS or OTC, the bidder need to print a
      challan from the e-Procurement platform prior to actual payment. On obtaining the bank
      transaction number, the same need to be updated in the e-Procurement platform along with
      the date of payment. A ‘green tick’ icon appears against the payment in the e-Procurement
      platform, though the status of the payment shows ‘verification pending’. The payment is
      reconciled subsequently on upload of payment scroll in the e-Procurement system and the
      status ‘verification pending’ will subsequently be changed to ‘verification successful’.

     With regard to payment through NEFT / RTGS, the bidder is advised to initiate payment well
     in advance to avoid the risks as mentioned below.
     (i) Payments credited after the due date and time of submission as prescribed in the tender
         notification
     (ii) Payments returning back to the bidders account due to incorrect entry of beneficiary
          account no. and / or beneficiary account name by the sending bank at the time of transfer.
     (iii) Please ensure that the payments are credited within the last date and time of receipt of
           tenders. Bidders crediting payments after the due date and time of submission as
           prescribed in the tender notification will not be eligible to participate in the tender.
     (iv) Please instruct the sending bank to enter the correct bank account, IFSC code and
          beneficiary name, as mentioned in the NEFT / RTGS challan generated from the e-
          Procurement platform, while transferring amount through NEFT / RTGS. Any mistake in
          the entry of above information will result in amount returning back to sender and
          subsequent ineligibility of the bidder to participate in the tender.
