					                            POLICIES & PROCEDURES

1. Policies and Compensation Plan Incorporated into Distributor Agreement.
These Policies and Procedures, in their present form and as amended at the sole discretion of
Life Shotz, a division of Oxyfresh International, Inc. (hereafter “Life Shotz” or the “Company”), are
incorporated into the Life Shotz Distributor Agreement. Throughout these Policies, when the term
“Agreement” is used, it collectively refers to the Life Shotz Distributor Application and Agreement,
the Policies and Procedures, and the Life Shotz Compensation Plan. The Company reserves the
right to amend the Policies and Compensation Plan at its discretion. Amendments shall be effective
30 days after publication in your Life Shotz Advanced Personal Marketing Center.

2. Policies and Provisions Severable.
If any provision of the Agreement, in its current form or as amended, is found to be unenforceable,
only the unenforceable portion(s) of the provision shall be severed from the Agreement and the
remaining provisions shall remain in effect. The severed provision shall be reformed so that it is in
compliance with the law and reflects the purpose of the original provision as closely as possible.

3. Term and Renewal of Your Life Shotz Business.
The term of the Distributor Agreement is one year from the date of enrollment. Managers and above
must renew their Distributorship Agreement each year and pay the annual renewal fee.

4. Compliance With the Law.
Distributors must not engage in any act or omission that constitutes a violation of the law. There are
a number of laws that apply to network marketing programs which are discussed in the Distributor
Resource Center available through your backoffice. You should regularly review these materials.

Additionally, all retail sales must comply with the FTC Three-Day Cooling-Off Rule, which requires
statutory language and notice of cancellation rights on the retail sales receipt. The customer must
receive a receipt from a receipt book. The receipt must have a notice of cancellation form on it. The
retail receipt must have the following language on it: “You the buyer may cancel this transaction at
any time prior to midnight of the third business day after the date of this transaction.”

5. General Conduct. Distributors shall safeguard and promote the good reputation of Life Shotz
and its products, and must avoid all deceptive, misleading, unethical or immoral conduct or
practices. While it is impossible to specify all misconduct that would be contrary to this policy, the
following standards specifically apply to Distributors conduct:

•     Distributors must conspicuously identify themselves as an independent Life Shotz Distributor
      in all promotional material and social media postings, and are responsible for the content of
      all material that they produce and all postings that appear on any social media site that they
      operate, own or control;
•     Deceptive conduct is always prohibited. Distributors must ensure that their statements are
      truthful and accurate;
•     Distributors may not make any social media postings, or link to or from any postings or
      other material that is sexually explicit, obscene, or pornographic, offensive, profane, hateful,
      threatening, harmful, defamatory, libelous, harassing, or discriminatory (whether based on
      race, ethnicity, creed, religion, gender, sexual orientation, physical disability, or otherwise),
      is graphically violent, is solicitous of any unlawful behavior, that engages in personal attacks
      on any individual, group, or entity, or is in violation of any intellectual property rights of the
      Company or any third party.

•      When an Independent Distributor’s Life Shotz business is cancelled for any reason, the
       Distributor must discontinue using the Life Shotz name, and all other Life Shotz intellectual
       property, and all derivatives of such intellectual property, in postings on all Social Media,
       websites, or other promotional material.

6. Distributor Created Marketing Methods and Tools.
Distributors must adhere to the terms as described in the Life Shotz Compensation Plan and as
set forth in official Life Shotz literature. Distributors shall not require or encourage other current
or prospective Distributors to execute any agreement or contract other than official Life Shotz
agreements and contracts in order to become a Life Shotz Distributor.

7. Advertising.
Distributors may create and publish their own Life Shotz marketing and advertising materials, and/
or other sales tools (websites are addressed below). However, all Life Shotz materials must be
submitted to the Company and must receive written preapproval before they can be used or made
public. Distributors who receive authorization from Life Shotz to produce their own Life Shotz
advertising and promotional materials and/or sales tools may make approved materials and tools
available to other Distributors free of charge if they wish, but may not sell such materials or tools to
other Life Shotz Distributors. Life Shotz reserves the right to rescind approval for any sales tools,
promotional materials, advertisements, or other material, and Distributors waive all claims against
Life Shotz, its officers, directors, owners, employees, and agents for damages or remuneration
arising from or relating to such rescission.

8. Trademarks and Copyrights.
The name Life Shotz and other names as may be adopted by Life Shotz are proprietary trade names,
trademarks and service marks of Life Shotz. Life Shotz will not allow the use of its trade names,
trademarks, designs, or symbols, or any derivatives of such marks, by any person, including Life
Shotz Distributors, in any unauthorized manner without its prior written permission.

9. Telephone Directory Listings.
Distributors may list themselves only as an “Independent Life Shotz Distributor” in telephone

10. Distributor Web Sites.
Official Life Shotz supplied replicated websites are the only online forum through which Life Shotz
products may be sold and new Life Shotz Distributor enrollments may be transacted. Distributors
may create his/her own website to promote his/her Life Shotz business, but must sign and submit a
Distributor Website Application and Agreement and pay the $100 annual fee. Distributor produced
websites will be governed pursuant to the terms of the Distributor Website Application and

11. Domain Names, Intellectual Property and Email Addresses.
Distributors may not use or attempt to register or use any of Life Shotz’s trade names, trademarks,
service names, service marks, product names, the Company’s name, or any derivative thereof, for
any email address, or social media name or address.

12. Online Sales Forums.
Use of online auction sites to sell products, including but not limited to, Amazon and ebay are

prohibited. In addition, use of other online listing services for sales or promotion purposes, including
but not limited to Craig’s List, are prohibited.
13. Change of Sponsor.
The only means by which a Distributor may legitimately change his/her sponsor is by voluntarily
canceling his/her Life Shotz business and remaining inactive for six (6) full calendar months.
Following the six calendar month period of inactivity, the former Distributor may reapply under a new
sponsor. However, the Distributor’s former downlines will remain in their original line of sponsorship.

14. Waiver of Claims.
In cases wherein a distributor improperly changes his/her sponsor, in addition to taking disciplinary
action pursuant to policy 25, Life Shotz reserves the sole and exclusive right to determine the final
disposition of the downline organization. DISTRIBUTORS WAIVE ANY AND ALL CLAIMS AGAINST

15. Unauthorized Claims.
No claims (which include personal testimonials) as to therapeutic, curative or beneficial properties
of any products offered by Life Shotz may be made except those contained in official Life Shotz
literature. Distributors may not make any claim that Life Shotz products are useful in the cure,
treatment, diagnosis, mitigation or prevention of any diseases. In addition, when presenting or
discussing the Life Shotz opportunity or Compensation Plan to a prospective Distributor, Distributors
may not make income projections, income claims, or disclose their Life Shotz income (including,
but not limited to, the showing of checks, copies of checks, bank statements, or tax records), or
the income of any other Life Shotz Distributor. Distributors may, however, use potential income
projections calculated on the official “income calculator” of Life Shotz.

16. Participation in Other Network Marketing Programs.
Life Shotz Distributors are free to participate in other network marketing programs. However, during
the term of this Agreement, Distributors may not directly or indirectly Recruit other Life Shotz
Distributors or Customers for any other network marketing business. For a period of one calendar
year after the cancellation of a Distributor’s Life Shotz business for any reason, the Distributor may
not directly or indirectly recruit other Life Shotz Distributors or Customers for another network
marketing business with the exception of those Distributors whom the former Distributor personally
enrolled into Life Shotz. The term “Recruit” means the direct or indirect, actual or attempted
sponsorship, solicitation, enrollment, encouragement, or effort to influence in any other way, another
Life Shotz Distributor to enroll or participate in another network marketing opportunity.

17. Confidential Information.
“Confidential Information” includes, but is not limited to, the identities of Life Shotz customers and
Distributors, contact information of Life Shotz customers and Distributors, Distributors’ personal and
group sales volumes, which is contained in Distributors’ respective backoffices and on any reports
issued by Life Shotz. This Confidential Information constitutes proprietary business trade secrets
belonging exclusively to Life Shotz and is provided to Distributors in strict confidence. Confidential
Information shall not be directly or indirectly disclosed to any third party nor used for any purpose
other than Distributor’s use in building and managing his/her Independent Life Shotz business.

18. Excess Inventory and Bonus Buying.
Distributors must not purchase more products than they can reasonably use or sell to retail
customers in a month, and must not influence or attempt to influence any other Distributor to buy
more products than they can reasonably use or sell to retail customers in a month. In addition, bonus
buying is strictly prohibited. Bonus buying includes any mechanism or artifice to qualify for rank
advancement, incentives, prizes, commissions or bonuses that is not driven by bona fide product
purchases by end user consumers.

19. Family Distributorships.
A Distributor may enroll his/her minor children and/or spouse as a Life Shotz Distributor, and may
build a business on behalf of the minor children under Life Shotz’s Family Distributorship program.
Distributors who wish to participate in the Family Distributorship Program must execute a Family
Distributorship Application and Agreement.

20. Actions of Affiliated Parties.
If any individual associated in any way with a corporation, partnership, LLC, trust or other entity
(collectively “Business Entity”) violates the Agreement, such action(s) shall constitute a violation
by the Business Entity, and Life Shotz may take disciplinary action against the Business Entity.
Likewise, if a Distributor enrolls in Life Shotz as a Business Entity, each owner, operator, and
manager of the Business Entity shall be personally and individually bound to, and must comply with,
the terms and conditions of the Agreement.

21. Non disparagement.
Distributors must not disparage, demean, or make negative remarks about Life Shotz, other Life
Shotz Distributors, Life Shotz’s products, the Marketing and Compensation plan, or Life Shotz’s
directors, officers, or employees.

22. Sales Receipts.
Distributors must provide their retail customers with two copies of an official Life Shotz sales receipt
at the time of the sale and advise them of the three day right to cancel. Distributors must maintain
all retail sales receipts for a period of two years and furnish them to Life Shotz at the Company’s

23. Adjustment to Bonuses and Commissions.
When a product is returned to Life Shotz for a refund or is repurchased by the Company, the
bonuses and commissions attributable to the returned or repurchased product(s) will be deducted,
in the month in which the refund is given, and continuing every pay period thereafter until the
commission is recovered, from the upline Distributors who received bonuses and commissions on
the sales of the refunded products.

24. Return of Inventory and Sales Aids by Distributors Upon Cancellation.
Upon cancellation of a Distributor’s Agreement, the Distributor may return products and sales aids
that he or she personally purchased from Life Shotz as long as they are in Resalable condition. Upon
the Company’s receipt of returned goods and confirmation that they are in Resalable condition, the
Distributor will be reimbursed 90% of the net cost of the original purchase price(s). Shipping charges
will not be refunded. If the purchases were made through a credit card, the refund will be credited

back to the same account. Products and sales aids are “Resalable” if each of the following elements
is satisfied: 1) they are unopened and unused; 2) packaging and labeling has not been altered or
damaged; 3) they are in a condition such that it is a commercially reasonable practice within the
trade to sell the merchandise at full price; 4) the goods are returned to Life Shotz within one year
from the date of purchase (or longer as may be required by local law). Any merchandise that is
clearly identified at the time of sale as nonreturnable, discontinued, or as a seasonal item, shall not
be resalable. Montana Residents. A Montana resident may cancel his or her Distributor Agreement
within 15 days from the date of enrollment, and may return his or her Business Kit for a full refund
within such time period.

25. Disciplinary Sanctions.
Violation of the Agreement, any illegal, fraudulent, deceptive or unethical business conduct, or any
act or omission by a Distributor that, in majority of Life Shotz’s Distributor Advisory board believes
may damage the Company’s reputation or goodwill (such damaging act or omission need not be
related to the Distributor’s Life Shotz business), may result in the suspension or termination of the
Distributor’s Life Shotz business, and any other measure that Life Shotz deems appropriate to rectify
the misconduct. In situations deemed appropriate by Life Shotz, the Company may institute legal
proceedings for monetary and/or equitable relief. Life Shotz’s Distributor Advisory Board will consist
of the 5 top five Distributors by Qualified Rank and Sales. If the dispute involves a member of the
Disciplinary Advisory Board’s downline or any other related party, this member will abstain from
participating in sanction discussions.

26. Effect of Cancellation.
A Distributor whose business is cancelled will lose all Distributor rights, benefits and privileges. This
includes the right to hold ones self out as a Life Shotz Distributor, to sell Life Shotz products and
services and the right to receive commissions, bonuses, or other income resulting from the sales and
other activities of the Distributor’s former downline sales organization.

27. Voluntary Cancellation.
A participant in this network marketing plan has a right to cancel at any time, regardless of reason.
Cancellation must be submitted in writing to the Company at its principal business address. The
written notice must include the Distributor’s signature, printed name, address, and Distributor I.D.
Number. If a Distributor is also on the Autoship program, the Distributor’s Autoship order shall
continue unless the Distributor also specifically requests that his or her Autoship Agreement also be
canceled. A Distributor may also voluntarily cancel his/her Life Shotz business by failing to renew
the agreement on its anniversary date or failing to personally generate any Personal Volume for six
consecutive months.
