                                    PURCHASE AGREEMENT

This Purchase Agreement, entered into on this          day of               , 2011/2012, between (name & address)




and Shelly A. Ames (Heritage Acres) is as follows

TERMS AND CONDITIONS:
Buyer agrees to purchase


Jockey Club Registration

Buyer and seller agree:
- Horse above sells as is, with no other warranty other than what has been verbally given
- Horse is in good health and up to date on worming and vaccinations.
- Removal of the horse will take place                       or board will accrue beyond that date @ $10/day

- Buyer is responsible for shipping arrangements and payment.
- Seller warrants transfer of ownership ON LINE and provides written documentation
- All sales are on an “as is,” “where is,” and “with all faults” basis with no warranties. No refunds. Any and all
payments are accepted as suggested donations.
Seller retains the right to any records from any requested pre-purchase exam and buyer obtains right to direct
contact from the veterinarian by phone, email or writing or to be present or to provide their own vet. Buyer agrees to
set up billing with the vet services performing the services or pay in advance.
Seller agrees to be available for any Health Certs, Vaccinations or pre-purchase exams (within reason) at no charge
to the Buyer
- SHOULD the horse described above not satisfactorily pass the pre-purchase exam for any reason, the Seller shall
refund 70% within 10 business days to the Buyer. 30% of the suggested donation fee is NON REFUNDABLE due to
the expenses incurred in making the horse available for vetting, holding fees, termination of active marketing, and up
to ten days of free board.
Buyer agrees to quarterly reports, photos and potential farm visits throughout the year and authorizes the release of
all vet records to Heritage Acres. These reports will be made by the Buyer, to the Seller, exercising due diligence via
email and snail mail.

PAYMENT:
Buyer agrees to pay, in exchange for the receipt of the described horse, the rate of            for the purchase of

the above described horse, as described above and exclusive ownership to the horse described here in, all fees paid.
Payment must be received no later than 72 hours after receipt of written (email or snail mail) decision to
purchase/adopt or this contract is null and void. Once payment has been received, be it the NON REFUNDABLE
DEPOSIT or payment in full, the Buyer will be issued a receipt and based on any contingencies in this agreement,
appropriate other paperwork. In the case of outright purchase, risk of loss and liability shift to the Buyer upon
receipt of full payment.

30% of the suggested adoption fee of $                     is NON REFUNDABLE under any conditions to include any
pre-purchase exam.

RIGHT TO FIRST REFUSAL
Seller retains the right to first refusal on any future sale of the horse and to take the horse back should the buyer
decide at any time in the future that they can no longer care for the horse.

PLEASE NOTE: LEGAL ACTION WILL BE TAKEN AGAINST ANY ONE THAT SELLS A HORSE
ADOPTED/PLACED OR SOLD BY HERITAGE ACRES WITHOUT FIRST NOTIFYING THEM, IN WRITING OF
THEIR INTENTION TO ADVERTISE, INTENTION TO SELL AND OPTION TO EXERCISE THIS RIGHT TO
FIRST REFUSAL.

In the event that said equine is returned to seller voluntarily by the buyer, buyer would be responsible for a minimum
of 30 days board at another facility while room and arrangements were being made by the seller. At the time of
return, said equine must have a current negative coggins (no less than 6 months old) and be up to date on vaccines,
worming, dental and hoof care. Should said equine not be current on above requirements, Buyer agrees to
reimburse seller for necessary costs to bring said equine back up to date on above requirements. Transportation will
be at the expense of the buyer.

The Buyer understands that the said equine may have health limitations due to previous abuse, career or neglect.
Seller hereby provides the buyer with the health records of the said equine that were known to rescue at and/or after
the time rescue obtained possession of the said equine, and the specially required medications and nutritional needs
of the said equine Buyer and seller agree that the following disclosures are made as a courtesy to the buyer and
these disclosures are to the best of our knowledge. Nothing herein shall be construed as a claim, representation, or
warranty as to the temperament, health, or mental disposition of the said equine. NO THOROUGHBRED HORSE sold
by the seller may ever be raced again without express, written permission to do so and an assessment by the rescue
that the said equine would be suitable for such a career. NOTE HERE ANY KNOWN ISSUES:




SURETY:
Buyer agrees to hold Seller harmless, in all cases and causes.

GOOD FAITH:
This is an exclusive Agreement between Seller and Buyer.

THIS CONTRACT REPRESENTS the entire agreement between the parties. No other agreements or promises,
verbal or implied, are included unless specifically included in this written agreement. Each party should individually
initial additional agreements. If none, so indicate: ____.

EITHER PARTY MAY TERMINATE THIS CONTRACT for failure of other party to meet any material terms of this
agreement. In the case of any default by one party, the wronged party shall have the right to recover reasonable
attorney's fees and court costs as a result of said default. The laws of the United States and the State of New York
will govern this Contract. Any action relating to this Contract must be brought in the federal or state courts located in
Livingston County, NY. Buyer irrevocably consents to the jurisdiction of such courts.

By signing, Buyer acknowledges reading and understanding this Contract and, once signed, it will then be binding on
both parties subject to the above terms and condition.
