                  GENERAL

                  All items shall be at the cost of the Contractor except
                  where specifically stated.

                  PRELIMINARY ITEMS

                  The preliminary items included hereunder apply to the
                  whole of the Works contained in this document and the
                  Contractor must allow for complying with same and for any
                  cost incurred in connection therewith.

                  Items shall be priced individually and the amounts shall be
                  deemed to apply to the whole of the Works carried out
                  under the Contract. Lump sum or percentage additions will
                  not be accepted. The monetary value of any item left
                  unpriced is deemed to have been included in the rates or
                  prices included elsewhere in the Bills of Quantities.

                  The word “Government” or “Employer” whenever appeared
                  herein shall be taken to read and construe as “Holy
                  Makkah Municipality (HMM)”.

       1.         THE SITE AND SCOPE OF WORK

       1.1        SCOPE OF WORK

       1.1.1      General

                  The work generally consists of construction of final cover
                  system including access roads and erosion control,
                  leachate collection and pumping system, leachate barrier,
                  an active gas collection system, construction of surface
                  water drainage system, and other amenities. It comprises
                  of the followings:

             1) Clearing the site as shown in the drawings or as directed by
                S.O. of all trees, shrubs and undergrowth, grubbing up of
                roots structures and superficial obstructions, unstable
                materials on the site in the way of or otherwise affected by
                the work
             2) Bulk excavation of unsuitable material and earth filling to
                finished platform levels including transport of unsuitable
                excavated materials, deposit and compact within site,
                transport of excavated materials and disposal areas.
                Excavated soil removed from site shall be disposed away
                from sites approved by the Local Authorities.

                The Contractor shall allow here for any inconvenience
                caused and no claims whatsoever will be entertained later.

             3) Layer of sand bedding.

             4) Obtain relevant permit from Authorities.

             5) All temporary works required proper execution of the works
                including temporary access and culverts.

             6) As-built drawings shall be prepared to the details specified.
                Initial setting out of works and as-built drawings are to be
                carried out by a Licensed Surveyor.

             7) All other works accidental to and necessary for the proper
                and satisfactory completion of the Contract including any
                modification carried out within the terms of Contract.

       1.2        SEQUENCE OF WORK

                  The Contractor shall propose his own sequence of
                  construction which shall be detailed in the programme of
                  work so as to complete the Works in the time as stated on
                  the Form of Tender.

                  However, the S.O. may, at his discretion, direct the
                  Contractor to give priority to certain works or order the
                  Contractor to do certain works first at no additional cost to
                  the Employer.

                  Such completion will not be regarded as partial
                  possession/sectional completion under the terms of the
                  Contract.

       1.3        THE SITE

                  The site for the Proposed Works is located at Muassim
                  landfill is located (21°26'38.94"N, 39°54'40.30"E) about 8
                  km to the north-northeast (N-NE) of Al-Haram Mosque, as
                  shown in drawing PPKA/MUASSIM/PI/DT/01 (1).

                  The Contractor is to refer to the site plan for the exact
                  location, dimension and area of the site and he must
                  accept the site “as found” on the date for possession.

                 The Contractor’s attention is drawn to the likely presence
                 of underground services, ducts, and the like. The
                 Contractor shall also note the particular soil conditions at
                 the different areas of the site.

                 The Contractor shall ascertain for himself before tendering
                 the means of access and conditions for moving the site. No
                 claim for lack of information will be later considered.

                 The contractor shall be responsible for obtaining the
                 consent of the owner, tenants or occupier of any land he
                 proposes to use as access and to abide by all regulations
                 and requirements for the use of all public and private road
                 and properties.

       1.4     ACCESS TO AND WITHIN SITE

       1.4.1     General

                 The Contractor shall ascertain for himself before tendering
                 and provide at his own cost the means of access and
                 conditions to the site and conditions for moving to, within
                 and around the site. No claim for lack of information will
                 later be considered. The site shall only be used for the
                 purposes of carrying out the Contract.

                 Tenderers shall allow for all necessary temporary services
                 and access road necessary to undertake the whole of the
                 works. The tenderer shall establish the likely condition at
                 the site before and during the process of the contract and
                 any issues in relation to access and temporary services
                 (water, electricity etc.) and the like shall be allowed for. No
                 claims shall be entertained due to the breakdown of these
                 services including for the closure of these access roads.

       1.4.2     Common Access

                 The Contractor shall permit the presence of the other
                 Contractor including allowing access for them to perform
                 and carry out and complete their respective works.

                 The Contractor shall construct, maintain and reinstate the
                 common access roads as and directed by the S.O. all as
                 per Drawing No. PPKA/MUASSIM/PI/DT/01.                The
                 Contractor shall allow herein for any inconvenience,
                 prevention or damages suffered or caused by the above
                 circumstance and for whatever costs arising in connection
                 therewith.

       1.5        VISIT THE SITE

                  The Contractor shall be deemed to have visited the site
                  and its surroundings as stated in Clause 15 of the
                  Conditions of Contract and to have ascertained for himself
                  before submitting his tender all details appertaining thereto,
                  including :-

             a). means of access to the site and the accommodation he may
                 require.

             b). the nature, character and conditions of the site and the sub-
                 soil upon which the Works are to be carried out.

             c). local conditions including climatic.

             d). local drainage problems.

             e). the extent of working space available.

             f). conditions affecting labour and materials .

             g). the storage of materials, positioning of sheds, stores, site
                 office and plant.

             h). the location of existing services.

             i). the nearest point from which temporary electricity and water
                 can be connected.

             j). any other information as to risks, contingencies and all other
                 circumstances which may affect his tender.

             k). any claim on the grounds of lack of knowledge of the site
                 and any of the aforesaid matters will not be considered.

       1.6        SITE SURVEY

       1.6.1      Verification of Levels Etc.

                  Immediately upon taking possession of the site and before
                  commencing any work the Contractor shall check actual
                  levels and dimensions against those shown on the
                  drawings.

               The Contractor shall immediately, but not more than two
               (2) weeks from the date of possession of site inform the
               S.O. of any alleged discrepancy. Otherwise the levels and
               dimensions will be deemed to be correct as shown. No
               claims for extra payment in this connection will be later
               entertained.

       1.6.2   Establishment of Temporary Bench Marks

               The Contractor’s surveyor (Licensed Land Surveyor) shall
               transfer, establish and maintain a temporary bench mark
               as directed by the S.O. This transference shall be jointly
               checked by the Employer’s Surveyor and the S.O.

       1.6.3   Initial Survey
               The Contractor shall employ an approved licensed Land
               Surveyor to carry out a site survey before work
               commences, and to assist in establishing boundaries and
               setting out the Works. Details of grid lines, setting out
               stations, benchmarks, profiles, etc. shall be recorded on a
               setting out drawing.


               The drawings duly certified by the said Licensed Land
               Surveyor shall be submitted to the S.O. for verification and
               seven (7) copies paper prints and 1 copy tracing shall be
               provided for the S.O’s use after verification.

       1.6.4   Survey On Completion

               Immediately on completion of the Works, the Contractor at
               his own cost shall employ an approved licensed Land
               Surveyor to carry out a further site survey and produce as-
               built drawings showing the levels, position of structures,
               leachate barrier, gas vents, groundwater monitoring wells,
               and other pertinent details required by the S.O.

               The drawings shall be submitted to the S.O. for verification
               and seven (7) copies paper prints shall be provided for the
               S.O's use after verification.

       1.7     EXISTING FEATURES, GAS VENTS, ETC.

       1.7.2   Features

               Prevent damage to any features and gas vents where
               shown on drawings, which are to remain in position during
               the execution of the Works. If damaged, repair to original
               condition to the satisfaction of the S.O.

       1.7.3   Protection of Existing Benchmarks and Other Survey
               Marks

               The Contractor shall ensure that existing benchmarks and
               any other survey marks located within the area are not
               disturbed or destroyed during the Works. Any existing
               benchmarks or survey marks disturbed or destroyed shall
               be re-established to the satisfaction of the S.O., as soon as
               practicable, by the Contractor at his own expense.

       1.8     EXISTING SERVICES

       1.8.2   Generally

               The Contractor shall ascertain the exact positions of
               existing cables, pipes, ducts, gas vent pipes, groundwater
               monitoring well, leachate pumping well, boreholes and the
               like, under or over the site, whether indicated on the
               drawings or not. He shall uphold, protect and maintain the
               same during the execution of the Works and make good or
               pay for making good all damage thereto or and any
               consequential damage or loss arising out of such damage.

               The Contractor shall not interfere with the operation of
               services without the consent of service authorities, or
               private owners, or the S.O. as appropriate.

               If services have to be temporarily terminated or diverted,
               the Contractor shall give the necessary notices to the
               appropriate Authorities, arrange for the work to be carried
               out and pay all charges in connection therewith.

               The Contractor shall divert, as required, any drains and
               waterways encountered during the progress of the Works If
               such diversion is temporary, the Contractor shall
               subsequently reinstate to the S.O's approval at his own
               expense.

       1.9     ANTIQUITIES

               Where such articles are found and the Contractors is
               involved in additional work such work will be evaluated
               under Clause 25 of the Conditions of Contract.

       1.10       MATERIALS FOUND ON SITE

                  Any usable sand, gravel, or other building and valuable
                  materials which may be found on the site shall remain the
                  property of the Employer. If the use of any such material is
                  approved by the S.O. for the Works the Contractor shall
                  allow to the Employer the fair market value of the said
                  materials and the Contract Sum shall be adjusted
                  accordingly.

       1.11       SITE INVESTIGATION

       1.11.2     General

                  The Contractor may carry out further site and sub-surface
                  investigation. Such investigation shall be entirely at the
                  Contractor's expense and he shall obtain the S.O prior
                  permission in writing. The Engineer shall be provided free
                  of charge with two copies of the results of any such
                  investigation conducted and to use them as he deems fit.

                  The Contractor will deemed to have visited and inspected
                  the site and surroundings before preparing his tender and
                  to have thoroughly acquainted himself with all details
                  appertaining to the site whether or not specifically
                  mentioned herein or shown in the drawings.

       2.         DOCUMENTATION

       2.6        TENDERING PROCEDURE

                  These conditions are supplementary to or amplify those
                  stated in the Instructions to Tenderers and on the Form of
                  Tender.

                  The Tender Documents are numbered in sequence and
                  the Contractor shall check his copy. The Contractor shall
                  notify the S.O. in writing at once of any errors or omissions
                  and have them rectified. No claim for loss consequent
                  upon failure to comply with this clause will be later
                  entertained.

                  No alteration shall be made by the Contractor to the
                  Tender Documents. The printed text shall be rigidly
                  adhered to. Except where expressly stated, any offers of
                  alternatives will render the tender liable to disqualification.

       2.7     THE CONDITIONS OF CONTRACT

               The Contractor is referred to the full text of the
               undermentioned clauses of the Conditions of Contract.
               Allow for the obligations, liabilities and services described
               therein against the headings set out below.


       Clause 1   Definitions and Interpretation.

                  The Contractor shall be deemed to have satisfied
                  himself as to the correctness and sufficiency of his

                  the proper execution of the Works.

       Clause 5   S.O.'s Instructions.

       Clause 5(b) The Contractor shall provide free and uninterrupted
                  access and facilities to such other persons so employed
                  so that they may carry out their work without
                  interference.

                  The Contractor shall supply the necessary instruments,
                  equipment and labour for the setting out of the Works
                  and for checking by the S.O. if required.

                  The checking of any setting-out by the S.O. or his

                  responsibility for the correctness thereof.

       Clause 15 Inspection of site.

                  If permission for overtime or shift work is granted this
                  will not entitle the Contractor to claim any extra costs.

                  Whenever overtime or shirt work is to be worked give
                  the S.O. not less than 3 days notice, specifying times,
                  types and location of work to be done.

                  Concealed work executed during overtime or shift work
                  for which notice has not been given may be required to
                  be opened up for inspection and reinstated at the
                  Contractor's expense.

                  The Contractor shall reimburse the Employer for
                  payment of overtime worked by the Employer's Site
                  Supervisory Staff beyond the normal working hours of
                  8.00am to 1.00pm and 2.00pm to 5.00pm on Monday to
                  Friday.

       Clause 19 Foreman and Assistants.

       Clause 34 Workmen's Compensation.

                 See “Insurances” Clause 4.12.

                 The labour content shall be assessed, (for the purpose
                 of this insurance only) to be not less than 10% of the
                 Contract Sum.

                 The said policy or policies so taken out shall be
                 endorsed as follows:-

                 Endorsement “A” - "It is hereby understood and agreed
                 that in the event of any workman employed by the within
                 Insured or by the Insured's Contractors as referred to in
                 Endorsement “B” herein or any dependant of such
                 workman, bringing or making a claim under the
                 Workmen's Compensation Ordinance in force in
                 Kingdom of Saudi Arabia against any officer of the
                 Employer for personal injury or death or disease
                 sustained whilst at work on any Contract covered by the
                 terms and conditions of the within policy which the
                 Insured may be carrying out for the said officer or
                 Employer, the Company will indemnify the said officer or
                 Employer against such claim and any costs, charges
                 and expenses in respect thereof. Provided always that
                 the Company shall be entitled to have the sole conduct
                 and control of all proceedings connected with claims
                 covered by this endorsement. Nothing in this
                 endorsement shall be construed as affecting the
                 Insured's right to recover damages in any other way
                 under the said Ordinance".

                 Endorsement “B” - "It is hereby understood and agreed
                 that the indemnity herein granted is to cover the legal
                 liability of the Insured to workman in the employment of
                 Contractors performing work for the Insured while
                 engaged in the business and occupation in respect of
                 which the within policy is granted but only so far as
                 regards claims under the Workmen's Compensation
                 Ordinance in force in Kingdom Saudi Arabia".

       Clause 35 Malaysia Employee's Social Security Act, 1969 or
                 equivalent.

       Clause 36 Notwithstanding anything to the contrary contained
                 elsewhere in the contract documents, the Contractor
                 shall cause all sub-contractors whether nominated or
                 otherwise to comply with the requirements of the
                 Malaysia Employee's Social Security Act, 1969 or
                 equivalent as described under Clauses 35 of the
                 conditions of contract. The Contractor shall be
                 responsible to submit the S.O., whether demanded or
                 not the Contractor/Employee's code Numbers or copies
                 of Form 2 or Form 3 if the Social Security Numbers are
                 not yet available of all employees by them.

       Clause 37 Insurance of Works.
                 See “Insurances” Clause 4.12.

       Clause 38 Performance Bond.

                 A Performance Bond in the Form of Banker’s Draft or
                 Banker’s Guarantee amounting to 5% of the Contract
                 Sum shall be deposited with the Employer (see
                 Appendix D).

                 Upon the issuance of the Certificate of Practical
                 Completion for the whole of the works by the S.O., the
                 Employer may release the bond and retained a retention
                 sum in the amount of 5% of the Contract Sum under the
                 progress payment.

                 The Retention Fund shall be retained and shall not
                 become payable until the issue of the Certificate of
                 Making Good Defects under Clause 45(e) or on the
                 expiration of the Defects Liability Period whichever is
                 the later and shall become payable and be paid to the
                 Contractor only if and when all shrinkages, other faults
                 and damage have been amended & made good in
                 accordance with the terms of Clause 45 of this Contract
                 and only after the Contractor shall have complied with
                 the terms of sub-clause (d) of Clause 48 of this
                 Contract.

       Clause 39 Possession of Site.

       Clause 40 Completion of Works.

       Clause 41 Damages for Non-Completion.

       Clause 42 Sectional Completion.

       Clause 43 Partial Occupation by Employer.

       Clause 45 Loss and Expense caused by delays.

                 The Contractor shall submit monthly applications for
                 interim payment for consideration by the S.O/Quantity
                 Surveyor. Application shall fully detail the work done
                 and material on site.

                  To facilitate the checking, preparation and approval of
                  applications for progress payments, the Contractor shall
                  keep a copy of the purchasing agreements/orders and
                  delivery orders of all materials on site in their site office
                  so as to enable the Q.S. to check and verify the
                  materials.

                  Materials on site before incorporation into the works
                  shall be paid at the rate of 75% of the invoice value. No
                  payment will be made for materials meant for temporary
                  works and prematurely delivered to the site. For the
                  purpose of definition, premature materials which will not
                  be incorporated in the works in the next four (4) weeks.
                  No payment for materials off-site will be included in
                  progress payment. Material included in the valuation
                  shall be subject to retention.

                  The S.O may by any certificate make any correction or
                  modification of any previous certificate which shall have
                  been issued by him and the S.O shall have the right to
                  deduct from any certificate for works which in the S.O's
                  opinion are not carried out in accordance with the
                  Contract including value of works although properly
                  executed but affected by the rejected work.

                  No interest will be paid by the Employer on any sums
                  neither of money retained nor on any sums of money
                  claimed by the Contractor on account of value of work
                  so deducted or on an extra works.

                  Final completion and the act of making final payment of
                  the balance of the contract price shall in no way be
                  interpreted as complete exoneration of the Contractor
                  from any defects that may arise due to causes
                  attributable to negligence of the Contractor or inferior

                  All payment made by the Employer to the Contractor
                  shall be in Saudi Riyal (SAR).

       2.8     DEFINITIONS

               In the Contract Documents, the following words and
               expressions shall have the meanings assigned to them,
               except where the context otherwise requires.

              WORKS        Shall mean the Works referred to in the
                           Articles of Agreement and is the whole of the
                           materials, labour, plant and other things
                           necessary and requisite for the proper
                           execution and completion of the Contract as
                           shown on the Contract Drawings and
                           described by or referred to in the Conditions.

              APPROVED Shall mean approved in writing by the S.O.,
                      including subsequent written confirmation of
                      previous verbal approval. Approval means
                      approval in writing including as aforesaid.

       2.10   LANGUAGE AND LAW

              The Contract is subject to the laws for the time being in
              force in the Kingdom of Saudi Arabia. The Contractor
              hereby submits to the jurisdiction of the Kingdom of Saudi
              Arabia courts to hear and determine any actions or
              proceedings arising out of the Contract.

              The Contractor shall accept as final in all respects within
              his country of domicile or elsewhere any decision or award
              of an arbitrator or judgement in any of the Kingdom of
              Saudi Arabia Court in relation to any dispute between the
              parties under the Contract.

       2.11   TIME FOR COMPLETION

              The time for completion stated on the Tender Form is the
              gross time available for completion of the Works including
              all reasonable allowances for anticipated delays through
              difficulties in obtaining labour or materials, transport
              problems, inclement weather conditions and statutory and
              other holidays.

                Before granting any extension of time, the S.O. must be
                satisfied that the Contractor' has shown due diligence and
                taken all reasonable steps to avoid or reduce delay.

       2.12     DRAWINGS

       2.12.2   Tender Drawings

                Drawings issued as tender documents are only intended to
                show the general arrangement, character, shape and
                disposition of the Works.

       2.12.3   Contract Drawings

                The complete set of drawings used in the preparation of
                the Tender Documents and forming part of the Contract
                Documents are listed in Appendix “A”.

                The Contractor shall check all dimensions on site. If any
                discrepancy is found between the drawings and site
                conditions notify the S.O. immediately and request
                instructions/clarifications. Do not scale from drawings but
                obtain from the S.O. any dimensions required but not given
                in figures on the drawings or not calculable from figures on
                the drawings.

       2.12.4   Shop Drawings

                The Contractor shall allow for the preparation of any shop
                drawings required, calculations etc. required for the works.
                Allow for checking and inspection by the S.O. and any
                subsequent amendments, re-submission and re-inspection.
                Inspection and any comments made by the S.O. will not
                relieve the Contractor of responsibility for compliance with
                contract requirements. Shop drawings shall include
                sufficient information and data to permit a detailed study of
                the product or system submitted. Unless otherwise stated
                provide seven (7) copies of each shop drawing.

       2.12.5   As-Built Drawings

                The Contractor shall allow for the preparation of any as-
                built drawings required by the Contract Documents. During
                the course of the Contract, prepare and keep up to date
                the as-built drawings to show each change from the
                Contract Drawings.

                drawings and in general the format required prior to the

       2.13     BILLS OF QUANTITIES

       2.13.2   Generally

                All work in these Contract Documents is to be taken as
                new (unless otherwise distinctly stated).

                Headings are not comprehensive and do not modify the
                meaning of the Clauses and items in the Bills of Quantities.

                The descriptions of measured work are not intended to be
                comprehensive and shall be read in conjunction with the
                Specification and Preambles To All Trades.

                The term “as described” shall mean as described in the
                Specification To All Trades and shall be deemed to be
                included in each description of items in the Bills of
                Quantities, whether specifically stated or not.

                The term “allow” shall mean the cost of the item shall be
                entirely at the rise of the Contractor.

                The Bills of Quantities is to be read as a continuous
                document as dittos and associated items are carried to the
                next page without repetition of headings etc.

       2.13.3   Discrepancies

                Should any discrepancy arise between the Bills of
                Quantities, Specification and Drawings, the S.O. shall
                decide on the discrepant item at no extra cost to the
                Employer.

       2.13.4   Abbreviations

       2.13.5   Rates

                The rates set down by the Contractor against each item in
                the Bills of Quantities shall be deemed to include for
                supplying and delivering materials to site, unloading,
                storing, carriage and cartage, distributing, cutting and
                waste on materials, hoisting, setting, fixing in position,
                return of packings, use of all tools, plant and equipment,
                supervision, all duties and taxes where applicable,
                establishment charges and profit and all other labour and
                everything else necessary for the due and proper execution
                and completion of each item.

                The rates shall be inclusive of all ancillary work and
                expenditure whether separately or specifically mentioned
                or described in the Contract Documents or not, which are
                either indispensably necessary to carry out and bring to
                completion the Works, or which may contingently become
                necessary to overcome difficulties before completion.
                Items shall be realistically priced. The Contractor shall
                substantiate any rates required by the S.O., prior to the
                signing of the Contract. Failing which, he will be considered
                not to have submitted a bona-fide tender and shall be liable
                to have his Tender Deposit forfeited.

                All like items shall be priced at the same rate. In valuing
                variations, the lowest rate for any individual item will be
                applied if unit rate vary from Bill to Bill or Section to
                Section.

                The value of any item unpriced (or with a dash against it)
                shall be deemed to be included in the Contract Sum and in
                the case of Schedule of Rates, it shall be deemed to be
                included in the prices of rates of other items. Each item
                shall be priced in individually, lump sum or percentage
                additions will not be accepted.

       2.13.6   Adjustment of Errors Etc.

                Any error or omission in rates and/or calculations in the
                Contractor's priced Bills of Quantities/Summary of Tender
                discovered before the signing of the Contract shall be so
                rectified and adjusted that, when correctly calculated, the
                total amount represents the amount stated on the Form of
                Tender submitted by the Contractor.

                The Nett aggregate amount of errors in moneying out items
                in the Bills of Quantities/Summary of Tender whether a
                deduction or addition will be calculated as a percentage of
                the corrected total of the Bills of Quantities/Summary of
                Tender. All unit rates throughout the Bills of Quantities and
                Prices in the Summary of Tender shall be subjected to
                such percentage discount or premium as the case may be.
                Provided always that Provisional and Prime Cost Sums
                and shall not be subject to such discount and premium.

       2.13.7   Method of Measurement

                The measured works of the Bills of Quantities have been
                prepared generally in accordance with the principles of the
                Standard Method of Measurement of Building Works (for
                use in Malaysia) First Edition (Metric) March 1976
                published by the Institute Of Surveyors (Malaysia). The
                contractor is expected to follow the local principles where
                applicable.

                Departures from the Standard Method of Measurement
                have however be adopted in certain measurements and in
                the detail compilation of the Bill of Quantities and such
                departures, which the Contractor shall be deemed to have
                noted, shall be accepted by the Contractor for this
                particular Bills of Quantities. The Contractor shall allow
                here for any cost in connection with this matter. Any such
                departures shall not vitiate the Contract.

       2.14       SPECIFICATION AND PREAMBLES

                  The rate/prices for each item in the Bills of Quantities shall
                  include for complying with the Specification and Preambles
                  To All Trades contained in the Contract Documents. No
                  claim for extra payment in this respect shall be later
                  entertained.

                  Any schedule given in the Contract Document is a brief
                  statement of requirements; the schedule shall be read in
                  conjunction with the appropriate section of the
                  Specification.

       3.         STATUTORY AND GENERAL OBLIGATIONS

       3.6        GENERALLY

                  The Contractor Shall Comply with All Statutory Obligations
                  Concerning the Works.

       3.7        USE OF SITE

                  The Contractor shall confine his workmen and operations
                  (including Nominated Sub-Contractor's and Suppliers'
                  workmen and operations) within the site boundary unless
                  otherwise directed and the site shall only be used for the
                  purpose of carrying out the Contract.

       3.8        WORKING HOURS

                  The Contractors shall comply with any restrictions on
                  working hours stated in the Contract.

       3.9        TAXATION

                  The Contractor shall pay tax on profits made by him and
                  due in accordance with any tax laws which are in force or
                  which may come into force and the Contractor's employees
                  shall be liable to pay income tax in respect of their salaries
                  chargeable in accordance with any tax laws as aforesaid.
                  The Contract Sum shall be deemed to include for
                  complying with all such tax laws in force in the Kingdom of
                  Saudi Arabia.

                  This clause shall be deemed to cover any particular
                  requirements applicable to joint venture Contractors.

       3.10     POLICE REGULATIONS

                The Contractor shall observe and comply with any police
                regulations concerning the carrying out of the Works
                including regulations governing the loading/unloading of or
                waiting by vehicles on public roads, highways and the like
                including the carriage of any materials, protective covering,
                warning displays etc. and shall include for all costs
                involved.
       3.11     TRAFFIC CONTROL

                The Contractor shall ascertain and comply with all
                regulations concerning the carrying out of work in public
                roads and give the necessary notices. No road shall be
                temporarily or permanently closed except any for which the
                Employer has obtained the necessary permission.

                The Contractor shall apply the necessary traffic control in
                private and public roads for carrying out the Works,
                together with any necessary diversions to maintain traffic
                flow. Diversions shall be suitable for the type of traffic to be
                expected and shall be properly reinstated on completion of
                the Works to the satisfaction of the S.O. and/or Local
                Authority concerned.

       3.12     EXISTING PRIVATE AND PUBLIC ROADS

       3.12.2   Obstruction

                The Contractor shall not unnecessarily obstruct any private
                and/or public road by reason of the carrying out of the
                Works.

       3.12.3   Damage

                The Contractor shall be responsible for any damage to
                existing roads, kerbs, drains, crossings, culverts etc.
                caused by the carrying out of the Works, including damage
                caused by his workmen, vehicles or plant or those
                Nominated Suppliers approaching or leaving the site and
                shall maintain the aforesaid in their original condition to the
                satisfaction of the S.O.

                If damaged, the S.O. will assess the damage even to the
                extent of examining the sub-grade and road base, and the
                Contractor shall do any repair and rectification work to the
                satisfaction of the S.O. and to that of the relevant
                authorities.

                Alternatively if instructed by the S.O., the Contractor shall
                bear the cost of such maintenance and restoration as a
                deduction from any monies due or to become due to the
                Contractor under this Contract.

       3.12.4   Reinstatement

                Reinstatement of roads affected by the Works and/or
                damaged by the carrying out of the works shall be
                backfilled, and temporarily and permanently reinstated to
                the satisfaction of the S.O. and the relevant Authority.
       3.12.5   Restriction of use

                The Contractor shall verify with the Authorities whether any
                restrictions exist on the free passage, at any time, of
                vehicles, plant or workmen approaching or leaving the site,
                and shall allow for any such limitations. Allow for complying
                with traffic regulations and payment of parking fees, if any,
                levied by the Authorities in and around the vicinity of the
                Works.

       3.12.6   Cleaning

                The Contractor shall allow for the hosing down, clearing of
                any droppings and cleaning of any roads or highways
                necessitated by construction traffic. He shall be
                responsible for keeping roads immediately adjacent to the
                site free from mud, dirt or rubbish arising out of the
                execution of the Works.

                Suitable “Wheel Washing” arrangement shall be provided if
                necessary for all traffic leaving the site, to the approval of
                the S.O.

       3.13     SAFETY MEASURES

                Allow for complying with Act of Parliament, Statutory
                Regulations, etc. relating to safety of persons on or about
                the site.

                The Contractor is solely responsible for the adequacy of
                safety provisions throughout the Contract period.

                The S.O.'s approval of any safety measures shall not
                relieve the Contractor from this responsibility of ensuring
                the safety of persons on or about the site from risk of

              Provide and maintain all warning notices, danger plates,
              instruction charts and all other necessary signs and notices
              particularly for works outside the site and in public roads.

       3.14   WATCHING AND LIGHTING

              The Contractor shall provide watchmen, protective lighting,
              warning lamps etc. as necessary or as required by the
              S.O., Statutory or other Authorities to prevent injury to
              persons and property including the Works, the workmen
              and the public.

              The Contractor shall provide warning lights, traffic lights
              and watching particularly for work in public roads.

              Take all precautions to prevent theft, damage or
              unauthorised access to the Works and adjoining property.

       3.15   SITE FIRE       PREVENTION        AND     FIRE    FIGHTING
              FACILITIES

              The Contractor shall be responsible for fire prevention
              procedures and fire fighting facilities on the site. He shall
              ascertain the requirements of the local Fire Authority in
              appraising fire hazards and taking adequate precautions
              and provide equipment in accordance with their
              requirements and to the satisfaction of the S.O.

       3.16   ANTI-POLLUTION, NOISE AND VIBRATION MEASURES

              The Contractor shall take adequate provision by spraying,
              hosing, erecting screens, provision of covers to loaded
              lorries and other suitable methods) to avoid any nuisance
              or damage by dust or other pollution by the Works to
              persons or properties on the site and in the vicinity, and he
              will be held responsible for any complaint, damage or claim
              in this connection.

              The Contractor shall maintain and keep all drains, streams
              and waterways on or adjacent to the site free from mud, silt
              and any other obstruction or pollution caused by the Works
              and make good where necessary.

              The Contractor shall take the necessary precautions to
              prevent nuisance from noise. All plant and equipment shall
              be fitted with noise suppressor recommended by the
              manufacturer.

       3.17   MOSQUITO PREVENTION

              Any excavation and/or portions of site where water may
              stagnate or accumulate shall be kept dry by pumping,
              baling or other operations.

              Allow for taking such precautions as may be deemed
              necessary or desirable by the S.O. and Local Authority for
              the prevention of breeding of mosquitoes and pay any
              charges in connection with any anti-malarial measures
              taken.

              The Contractor must refrain from depositing rubbish, spoil,
              unused materials, or empty bottles, cans and other
              containers capable of collecting liquids which afford
              breeding places for mosquito. Which may afford breeding
              places for mosquitoes.

              He will be held responsible for mosquito nuisance at the
              site and surroundings arising from non-observance of the
              provisions of this clause and will be required to employ
              whatever mosquito destructive measures the S.O. directs
              at his own expense.

       3.18   LIABILITY FOR NUISANCE

              The Contractor shall be solely responsible for any damage,
              accident, annoyance, nuisance or disturbance to existing
              roads, footpaths, premises, owners or occupiers of
              adjoining properties, and the public arising from the
              carrying out of the Works.

              The Contractor shall be responsible for restricting his
              workmen only to the areas of the Works and shall prevent
              trespass into existing and adjoining properties.

              He shall undertake to make good any damage and
              indemnify the Employer against all claims, proceedings
              and damages arising out of, or in relation to, any such
              matters.

       3.19   RELEASE OF INFORMATION

              The Contractor, his staff or workmen shall not make any
              public or press statement, nor divulge any information to
              the public or any other party concerning this Contract
              without the express written permission of the Employer
              (through the S.O.).

       3.20   ADVERTISING

              The Employer reserves the sole right of advertising upon or
              adjacent to the Works. The Contractor shall not allow and
              must ensure that no advertisement is displayed without the
              written consent of the Employer (through the S.O.).

       3.21   WARRANTY

              The Main Contractor shall inter alia warrant materials and
              workmanship. Period of Warranty shall deemed as the
              period commencing from the date of Defects of Liability
              Period as certified by the S.O.

       4.         MANAGEMENT AND ADMINISTRATION

       4.6        GENERALLY

                  The Contractor is responsible for the coordination,
                  supervision and administration of the Works including all
                  sub-contractors. He shall arrange and monitor a
                  programme with each sub-contractor, suppliers, Local
                  Authority and statutory undertaker, and obtain and supply
                  information as necessary for coordination of the Works.

       4.7        PROGRAMME OF WORK

       4.7.2      Generally

                  Before commencing the Works, the Contractor shall submit
                  to the S.O. for his approval a fully detailed programme
                  showing the order of procedure in which he proposes to
                  carry out the Works and the anticipated time for completion
                  of work including the Sectional completion for each section
                  and that covered by Prime Cost and Provisional Sums.
                  Allow for any resubmission to obtain approval and when
                  approved provide six (6) copies for the S.O.'s use. The
                  approved programme shall only be amended/expanded as
                  further information becomes available and the Contractor
                  shall not depart from the approved programme.

                  The Contractor shall also provide details of his proposed
                  site layout organisation together with all labour, plant and
                  equipment which he proposes to employ on the Works.

                  One copy of the approved programme shall be retained on
                  site and the progress of the Works constantly monitored
                  and updated thereon by the Contractor.

       4.7.3      Progress of the Works

                  If at any time it should appear to the S.O. that the actual
                  progress of the Works does not conform to the approved
                  programme, the Contractor shall produce, when instructed
                  by the S.O., a revised programme showing the
                  modifications to the approved programme necessary to
                  ensure completion of the Works within the time for
                  completion defined in the Contract.

               If the S.O. so instructs, the Contractor shall arrange at no

       4.7.4   Approval by the S.O.

               Submission to and approval by the S.O. of such
               programmes or giving of such details will not relieve the
               Contractor of his duties or responsibilities under the
               Contract.

       4.7.5   Failure to Prepare And/or Update Programme

               Should the Contractor fail to submit or subsequently to
               revise or keep up to date the programmes of work, the
               Employer may employ and pay other persons to do so and
               all expenses thereon or incidental thereto shall be
               recoverable from the Contractor by the Employer and will
               be deducted from any monies due or which may become
               due to the Contractor.

       4.8     PROGRESS REPORT

       4.8.2   Weekly Report

               The Contractor shall prepare daily progress reports for the
               Works and submit to the S.O. at weekly intervals.

               The report shall be signed by the S.O. and the Contractor
               at the end of each day. The report shall include the work of
               Nominated Sub-Contractors and indicate the number and
               description of workmen employed, materials and goods
               delivered, the extent and type of plant employed, weather
               conditions, visitors to the site, and generally the progress
               of the Works.

       4.8.3   Monthly Status Report

               The Contractor shall further submit at monthly intervals a
               full status report on the progress of the Works in a form to
               be agreed with the S.O.

       4.9      PROGRESS PHOTOGRAPHS

                Provide four (4) sets of 4R size coloured photographs and
                one set of slides of the works taken from approved
                positions fortnightly during the Contract, or at such other
                times as the S.O. may direct. Each set shall consist of a
                minimum of 10 photographs and shall be properly
                annotated referenced, dated, signed by the Contractor and
                bound in an approved booklet form.

                On completion of the Works, the Contractor shall provide
                the S.O. with ten (10) sets of 4R size coloured photographs
                of a minimum twenty (20) photograph of the completed
                works taken from approved positions and the photographs
                shall be framed in album form. The negatives for these
                photographs shall be in the form of slides.

                The Contractor shall note that the ownership and rights to
                negatives of the photographs is rested with the Employer.

       4.10     KEEPING RECORDS

       4.10.2   Generally

                Before commencement of any portion of the works, the
                Contractor shall extend to the S.O. a complete record of
                the existing works, which shall be in the form of
                photographs or other approved means, at the Contractor's
                own expense.

       4.11     SITE SUPERVISORY STAFF

       4.11.2   Generally

                The Contractor shall provide adequate and competent on
                and off site management and supervisory staff for the
                proper coordination, supervision and administration of the
                Works.    Such persons shall be careful, skilled and
                experienced in their several trades and callings.

                The Contractor's site management and supervisory staff
                must be constantly on site during the execution of the
                Works and as long thereafter as the S.O. may consider
                necessary for the proper fulfilment of the Contractor's
                obligations under the Contract.

                The S.O. reserves the right to order the Contractor to
                increase his site staff or to obtain better staff or to remove
                unsuitable staff should the S.O. consider the site staff
                inadequate or unsuitable. Should the Contractor fail to

                Employer may engage adequate site staff and shall deduct
                their salaries including overtime pay and expenses
                incurred from any monies due or which may become due
                to the Contractor under this Contract.

       4.11.3   Foreman/Site Agent

                The Contractor shall appoint a Foreman/Site Agent
                together with the necessary assistants as required by the
                Contract.

                The Site Agent shall be approved of in writing by the S.O.
                having a comprehensive theoretical background, suitable
                qualifications and relevant practical experience.

                Once appointed and approved the Site Agent shall not be
                changed without giving ample notice to the S.O.

                Should the S.O. have any reasonable objection to the Site
                Agent, the Contractor shall, on written instruction from the
                S.O., remove the agent from site and shall thereafter
                employ another to the satisfaction of the S.O.

       4.12     LABOUR, SUB-CONTRACTORS AND SUPPLIERS

                Subject to any requirements stated in the Contract, the
                Contractor shall make his own arrangements for
                engagement of labour and payment thereof, comply with all
                statutory requirements appertaining thereto and pay all
                contributions in relation to such employment.

       4.13     FOREIGN WORKERS AND SPECIALISTS

                The Contractor shall be responsible for the entry of foreign
                workers and specialists into Malaysia. Their entry shall
                conform to the rules and requirements of the immigration
                laws of the Country. He shall be responsible for obtaining
                the necessary work permits from the relevant authorities.
                The Employer absolves himself from all responsibility
                pertaining to this matter.

                The foreign workers and specialists shall observe and
                comply with the rules regulations, laws, and customs of
                Malaysia and the Contractor shall be fully responsible for
                their conduct and all consequences arising there from.

       4.14     SITE MEETINGS

                The Contractor shall attend all site meetings as required by
                the S.O. Senior members of his staff and the site agent
                shall attend to bring about the proper management and
                coordination of the Contract as well as to report the
                progress of the Works and resolve any problems. The
                Contractor shall inform Nominated Sub-Contractors when
                their presence at meetings is required and if necessary
                shall hold meeting to facilitate accurate reporting of
                progress.

                The S.O. will chair the meetings and distribute the minutes.
                Persons designated by the Contractor to attend and
                participate in site meetings shall have the required
                authority to commit the Contractor to solutions agreed
                upon at the meetings.

       4.15     WORKSHOPS AND SITE MANUFACTURE

                Fabricated items such as metalwork, steelwork, joinery,
                ducting, switchboards, hydraulic systems and the like shall
                be manufactured off site in factory conditions except where
                approved otherwise by the S.O.

                All such items shall be delivered to site in a finished
                condition so that only “special” and make-up pieces are
                actually manufactured on site.

                Notwithstanding anything stated above, the Contractor
                shall apply for approval from the S.O. to manufacture any
                fabricated item on site.

       4.16     CRANES AND HOISTS

       4.16.2   Generally

                It is the Contractor's responsibility to ensure the sufficiency,
                inter alia, of all lifting equipment for men and materials to
                effect the earliest completion within the time stipulated in
                the Contractor Documents.

                The Contractor shall provide sufficient lifting equipment in
                the form of cranes and hoists to meet a significant demand
                in order to achieve the required completion date.

                Day and night time hoisting may be required by the
                Nominated and other Sub-Contractors and it is the
                Contractor's responsibility to organise the hoisting
                programme, to the satisfaction of the S.O.

                The Contractor shall provide for hoisting of all equipment
                and materials for ALL Sub-Contractors at his own
                expenses. No claim for extras for hoisting will be
                entertained.

                The Contractor shall also provide all necessary hoisting fir
                his own personnel and personnel of the Nominated Sub-
                Contractors at all times.

       4.16.3   Safety

                Notwithstanding anything contained in any statutory
                regulations in force at the time, for the Contractor's
                attention is directed to the following requirements with
                respect to the equipment safety which should be
                considered as additional to the requirements of statutory
                regulations.

                a) Cranes

                    All cranes are to be manned by experienced operators.

                    In addition to crane operators, each crane must be
                    attended by at least one ground attendant at all times
                    who shall be in constant contact with the crane
                    operator.

                A maintenance and inspection schedule shall be
                implemented for any major equipment operating on the
                site. Such schedules are to be adhered to in respect of
                periodic maintenance at all time.

                b) Hoists

                    Each hoist is to be manned by an experienced
                    operator at all times.

                    Electrical call buttons are to be provided at all floor
                    levels.

                  At each landing adequately designed handrails with wire
                  mesh safety netting are to be provided for the safety of
                  persons entering the hoists.

       4.17       INSURANCE

                  All insurances required to be taken out by the Contractor
                  shall be through insurance companies registered in the
                  Kingdom of Saudi Arabia and approved by the Employer.

                  If any event occurs which may give rise to any claim or
                  proceeding in respect of loss or damage to the Works, or
                  injury or damage to persons or property arising out of the
                  Works, the Contractor shall forthwith give notice in writing
                  to the Employer (through the S.O.) and his Insurers. The
                  Contractor shall indemnify the Employer against any loss
                  caused by the Contractor's failure to give such notice.

                  The insurance shall be in the form of a Contractor’s All
                  Risk Policy if so required by the S.O. instead of providing
                  separate insurance policies for each individual insurance
                  risk. The insurance policy shall include a cross liability
                  clause such the insurance shall apply to the Contractor and
                  to the Employer as separate insureds.

                  The Contractor is to note that he is required to take out
                  necessary Foreign Workers Insurance Policy to cover all
                  foreign workers. He is to allow the cost herein.

       4.18       COVER UP

                  The Contractor shall afford full opportunity for the S.O. to
                  examine and/or measure any work which is about to be
                  covered up. The Contractor shall give due notice to the
                  S.O. whenever such work is ready or about to be ready for
                  examination, and the S.O. shall without unreasonable
                  delay, unless it is considered unnecessary and the
                  Contractor is informed accordingly examine and/or
                  measure such work.

       5.         TEMPORARY WORKS AND SERVICES

       5.6        GENERALLY

                  Temporary works services shall comply with any relevant
                  Local Authority requirements and the Contractor shall give
                  all notices and pay all fees in respect of such works and
                  services.

               The Contractor shall provide, maintain, alter, adapt as

               approval before commencing the work.

               The Contractor shall allow for any involved in depositing
               with the Local Authority, a Banker’s Guarantee for the
               maintenance and repairs of the public roads affected by
               the Works.

       5.7     TEMPORARY ROADS

               Provide as necessary all temporary roads, tracks,
               crossings, vehicle and footplates, hardstandings,
               walkways, road and pavement diversions, etc. for the
               construction of the Works, including requirements for
               Nominated Sub-Contractors.

       5.8     TEMPORARY OPENINGS FOR ACCESS

               Provide as necessary any temporary openings for access.
               Obtain the S.O.'s approval to proposals before forming
               openings.

       5.9     TEMPORARY SITE OFFICES AND BUILDINGS

       5.9.2   Generally

               Temporary buildings together with contents shall be
               maintained in a clean and orderly condition, and in a good
               state of repair. The Contractor shall provide all necessary
               attendance.

               Temporary buildings shall be constructed at designated
               location to the relevant Authority's approval and to the
               S.O’s design and/or approval and shall be erected within
               two (2) weeks from the date of the possession of the site.
               The building shall be removed and their sites made good
               within one week of the receipt of the S.O's instruction for
               their removal.

               The Contractor shall pay any costs in connection with
               services installation from the commencement of this
               Contract, arrange disconnection at completion and remove
               where directed by the S.O.

               The Contractor is to allow for altering, shifting and adapting
               the temporary buildings from time to time as required by
               the S.O. Clear away when no longer required and make
               good thereafter as directed by the S.O.

               In the event that the temporary site office is too small to
               accommodate any meetings at site, the Contractor shall be
               responsible for arranging a place to conduct such meetings
               with the approval from the S.O. In any case the Contractor
               shall bear all costs in connection therewith.

       5.9.3   Employer’s Representative Site Office

               The Contractor shall provide and maintain a space as a
               site office for the use of the Employer’s Representatives
               and Consultants of a size and design approved by the S.O.
               complete with sanitary and plumbing installation, air-
               conditioning units, light fittings, electrical installation, table
               and chairs for clerk-of-work, white boards, drawing racks,
               sufficient pin boards, telephone and facsimile machine etc.
               to the approval of the S.O.

       5.9.4   Contractor's Accommodation Etc.

               The Contractor shall provide his own site office and
               necessary temporary weatherproof sheds for safe storage
               of materials and goods. Shelter mess rooms shall be
               provided for workman (including nominated sub-
               contractors) with adequate lighting, ventilation, cooking
               facilities, etc. where accommodation for workmen is
               required.

       5.9.5   Sanitary and First Aid Facilities

               Sufficient sanitary convenience shall be provided having
               concrete and complete with water, drainage and disposal
               facilities. Separate facilities shall be provided for the use of
               the S.O. and other Employer's representative.

               Suitable first-aid facilities and equipment is to be kept at
               the site and the Contractor is to arrange any necessary
               medical attention.

       5.9.6   Accommodation for Workmen

               No accommodation for Workmen shall be allowed on site
               without the prior permission of the S.O. The Contractor
               shall provide accommodation for his workmen off site as he
               deems appropriate.

       5.10    TEMPORARY TELEPHONE INSTALLATION

               The Contractor must ensure that telecommunications
               facilities (wireless of otherwise) are provided on site, in
               whatever form, so that efficient communications is
               available between the site and all parties involved in the
               project. The Contractor is deemed to have allowed for all
               costs in his tender in compliance with this special
               requirement.

       5.11    TEMPORARY SIGN BOARD

               The Contractor shall provide and fix in position within one
               (1) week of the possession of the site a sign board
               designed and approved by the S.O. with the required
               wording and design.

               The Contractor shall ascertain the requirements of the
               above before submission of his tender and pay all fees as
               required by local authorities for putting up the sign board.
               No claim will be entertained for failing to do so.

               The sign board shall be maintained and adapted as
               required by the S.O. and shall be dismantled, removed and
               make good to the satisfaction of the S.O.

               No other board or advertisement will be permitted to be
               displayed on or around the Works, with the exception of
               one board of approved design for each Nominated Sub-
               Contractor.

       5.12    TEMPORARY SITE DRAINAGE

               The Contractor shall provide all necessary temporary
               pumps, drainage, culverts etc., within and around the site
               to keep the site free from water including flood water.

       5.13   TEMPORARY LIGHTING AND POWER

              The Contractor shall ascertain for himself the nearest point
              from which the temporary electricity supply can be
              connected.

              The Contractor shall provide all temporary lighting and

              Nominated Sub-Contractor's work. Provide temporary
              cables, wiring and metres as required.

              Where test running and commissioning of installations
              require current from the permanent electricity supply, the
              Contractor concerned will provide sub-meters to register
              the current consumed and reimbursed the Employer the
              cost of the power through the Contractor or such cost to be
              set off from any payments due or to become due and for
              the credit of the Employer. The Contractor will provide fuel,
              gas or steam supplies, and other services that may be
              required for the test running, testing and balancing of
              installations.

       5.14   TEMPORARY WATER SUPPLY

              The Contractor shall ascertain for himself the nearest point
              from which the temporary water supply can be connected.

              The Contractor shall provide a temporary mains water
              supply as required for the Works including that for
              Nominated Sub-Contractors' work. Provide temporary
              distribution about the site, tank etc. as required.

              The Contractor may use existing facilities (if any) or obtain
              water from other available sources only if approved by the
              S.O.

       5.15   METER READINGS

              Where charges for services supplied need to be
              apportioned, ensure that meter readings are taken by the
              relevant Authority at possession and/or completion as
              appropriate. Supply copies of readings to interested
              parties.

               of recommendations if required by the S.O.

               Where necessary, in the opinion of the S.O., the Contractor
               shall arrange for the attendance of a manufacturer's
               technical representative during the installation of
               proprietary items.

       7.7     MATERIALS AND GOODS

       7.7.1   Generally

               All material shall be new, unless otherwise described.

               Where not described it shall be suitable for the purpose of
               the Works stated in or reasonable to be inferred from the
               Contract Documents in the opinion of the S.O.

       7.7.2   Manufacturer's references

               Manufacturer's names and references quoted in the
               Contract Documents are indicative of type and quality only.
               Other manufacturer's products may be considered
               provided they are equal in all respects to those specified
               and are approved by the S.O. Full details of any proposed
               substitute shall be submitted for the S.O.'s review. Where
               possible however, the specified proprietary materials or
               goods shall be used.

               In the event that the S.O. allows the substitution of any
               materials during the course of construction, any additional
               cost arising out of the use of the substitute material shall
               be borne by the Contractor and any saving arising there
               from shall be passed onto the Employer unless the S.O.
               otherwise directs.

       7.7.3   Single Source

               Where a choice of manufacturer or source of supply is
               allowed for any particular product or material, the whole
               quantity required to complete the work must be of the
               same type, manufacturer and/or source. Do not change
               without approval. Produce written evidence of source of
               supply when requested by the S.O.

       7.7.4   Material of the Kingdom of Saudi Arabia Origin

               The materials of the Kingdom of Saudi Arabia Origin are
               preferred and shall be used wherever possible.

       7.7.5   Importation of Material

               The importation of materials for the project is subject to
               Customs Prohibitive Order (Import). Approval of import
               licenses from the relevant Ministry in the Kingdom of Saudi
               Arabia must be obtained before placing orders with
               overseas manufacturers and the Contractor will be
               responsible for complying with this procedure.

       7.8     ORDERING OF MATERIALS

       7.8.2   Generally

               The Contractor must not order from the quantities and
               sizes stated in the Bills of Quantities but must calculate
               and order from the drawings. All dimensions must be
               checked and verified by the Contractor on site before
               ordering.

               The Contractor shall place his order for material and goods
               at the earliest possible date, and in relation to the approved
               programme of work, and will be held responsible for any
               delay occasioned through failure to do so.

               Copies of order shall be presented to the S.O. for
               inspection if requested.

               Materials which require the approval of the S.O. shall not
               be ordered until approved. The Contractor must submit
               sample in good time for consideration, and allow
               reasonable time for S.O.'s review.

       7.9     SAMPLES

               A complete list of all materials for use in the Works shall be
               prepared and submitted to the S.O. within two (2) weeks
               after the acceptance of Tender.

               Following submission of the list, representative samples of
               all the materials shall then be submitted to the S.O. for
               approval at the earliest possible date in such order as to
               suit the work programme. No order for materials shall be
               placed until the approval of the S.O. is obtained. Approved
               samples shall be appropriately labelled and marked, and
               where applicable mounted on suitable sample boards
               which shall be kept on site. They shall be used as
               reference to maintain the standard of quality in the
               execution of the Works. Where samples are rejected,
               further samples must be provided until approval is
               obtained. Samples submitted shall be at the Contractor's
               expense.

               If the Contractor proposes an alternative manufacturer,
               samples of both the original specified item and the
               proposed substitute shall be submitted.

       7.10   MOCK-UPS AND CONTROL SAMPLES

              The Contractor shall provide mock-ups and control
              samples of the various trades well in advance of the
              construction works and obtain the approval of the S.O.
              before proceeding with the remaining work. Retain
              approved mock-ups on site for comparison with the
              ensuing work. Remove samples and mock-ups which are
              not part of the finished works when no longer required.

       7.11   APPROVALS

              Where and to the extent that products, materials or work
              are specified to be approved, the same must be supplied
              and executed to comply with all other requirements and in
              respect of the stated or implied characteristic either :-

              a)   To the express approval of the S.O., or

              b)   To match a sample expressly approved by the S.O. as
                   a standard for the purpose.

              Inspection or any other action by the S.O. must not be
              taken as approval of materials, product of work, unless the
              S.O. so confirms in writing in express terms referring to :-

              a)   Date of possession.

              b)   Part of the work inspected.

              c)   Respect or characteristics which are approved.

              d)   Extent and purpose of approval.

              e)   Any associated conditions.

       7.12   DEFECTIVE WORK

              As soon as possible after any part of the work is known or
              suspected to be defective, submit proposals to the S.O. for
              further testing, opening up, inspection, making good or
              removal and re-execution, and obtain instructions.

              Whenever inspection or testing shows that the work is not
              in accordance with the Contract and measures (eg. testing,
              opening up, experimental making good etc.) are taken to
              establish the acceptability of the Works, such measures :-

       7.13   ACCURACY/SETTING OUT

              Unless otherwise specified, construct the works to levels of
              accuracy so that in relation to B.S. 5606 Tables 2 and 3 :-

              1.   All achieved sizes        fall   within   the   permissible
                   deviations, and

              2.   Approximately two third of achieved sizes fall within
                   one third of the permissible deviations

              Arrange the setting out, juxtaposition of components and
              application of finishes (working within the practical limits of
              the design and specification) to ensure that there is
              satisfactory fit at junctions and that the finished work has a
              well-aligned, true and regular appearance.

              Wherever satisfactory accuracy, fit and/or appearance of
              the work are likely to be critical or difficult to achieve, obtain
              approval of proposals or of appearance of the relevant
              aspect of the partially-finished work as soon as possible.

              Work which fails to meet the specified levels of accuracy
              must not be rectified without approval. Submit proposals for
              rectification and meet all costs arising including other
              affected work.

              Allow for the possibility that approval will not be given,
              necessitating removal and replacement of work.

              Set out the works using methods and instruments
              described in B.S.5606 “Code of Practice for Accuracy in
              Building” Section 5 to within the permissible deviations
              specified. Submit detail of methods and equipment to be
              used in setting out the Works.

              The Contractor shall provide a copy of B.S 5606 which
              shall be retained on site.

       7.14     INSTRUMENTS

                The Contractor shall make available a theodolite or dumpy
                level, levelling staffs, 30m (100’0”) long measuring tape
                and such other measuring equipment for the sole use of
                the S.O. or his representative. Maintain all such
                instruments in a satisfactory condition throughout the
                duration of the Contract.

                To facilitate location for maintenance and repair, clearly
                mark positions of concealed services, in unobtrusive
                locations, to approval.

       7.15     PROTECTION OF THE WORKS

                The Contractor shall protect cover up as necessary and
                take all reasonable precautions to prevent loss or damage
                by weather, accident or any other cause to the Works or
                any part thereof including the work of Nominated Sub-
                Contractors.

       7.16     PRESERVATION OF SLOPES

       7.16.2   Generally

                The Contractor shall be responsible for the preservation of
                earth slopes on the site both existing (already on site at the
                handover to the Contractor) and new (formed under this
                Contract). Should slips nevertheless occur, the Contractor
                shall make good to the satisfaction of the S.O. The
                Contractor shall indemnify the Employer against any
                claims, damages or proceedings arising out of his neglect
                in this respect.

       7.16.3   Temporary Measures

                The Contractor shall construct temporary drainage, surface
                water chutes etc., cover slopes with approved sheeting and
                take any other necessary steps to prevent earth slips or
                erosion occurring.

       7.16.4   Inspections

                Make daily inspections of the site and report immediately to
                the S.O. if any slips have occurred or stability of the slope
                is threatened.

       7.17   PERIODICAL CLEANING

              During the progress of the Works the Contractor shall keep
              the site and the Works reasonably free from all
              unnecessary obstructions, and shall store or dispose of
              plant and surplus materials.

              All rubbish, debris, waste materials etc. including that from
              Nominated Sub-Contractor's work, shall be cleared from
              the site and work under construction from time to time as it
              accumulates and as the S.O. may direct.

              All rubbish and construction debris shall be taken out of the
              site and disposed off at authorised dump sites at the
              Contractor's own cost.

       7.18   DRYING THE WORKS

              The Contractor shall control the drying and humidity of the
              Works to prevent blistering and failure of adhesion,
              damage due to trapped moisture and/or excessive
              movement.

       7.19   LEAVE WORKS PERFECT

              On completion of the Works, and before the issue of the
              Certificate of Practical Completion of the Works, the
              Contractor shall be responsible for the final cleaning and
              commissioning of the Works and for leaving the site in a
              clean and tidy condition to the satisfaction of the S.O. Such
              operations shall include, but not be limited to, the following
              :-

              a)   Remove all rubbish, debris etc. from the site, clear
                   away and remove constructional plant and surplus
                   materials, and leave the Works clean and tidy and
                   ready for immediate occupation.

              b)   Remove any temporary markings, protective
                   coverings, tapes, casings, still in position and clean
                   exposed surfaces.

              c)   Ensure that all services and equipment are tested,
                   commissioned and functioning efficiently.

              d)   Reinstate to original condition any area disturbed by
                   sheds, materials, access roads, etc., not subsequently
                   covered up by the Works.

              In the event of the Contractor not leaving the Works perfect
              including clearing away the abovementioned materials and
              plant within a stipulated time, the Employer will carry out
              such work, either by employing a third party or by dealing
              with such direct, and the cost of such cleaning and/or
              clearing away will be deducted from any monies due or to
              become due to the Contractor. The Employer will not be
              held responsible or liable for any material or plant left upon
              the site.

       7.20   MAKING GOOD DEFECTS

              Prior to the issue of the Certificate of Practical Completion
              and handing over of the completed Works to the S.O., the
              Contractor shall make good all visible and obvious defects
              to the satisfaction of the S.O.

              The S.O. will give the Contractor due notice of his
              intentions to carry out inspections during the Defects
              Liability Period and the Contractor shall arrange for a
              responsible representative to be present at the time and
              dates nominated by the S.O.

              This representative shall render all necessary assistance
              and take note of all matters and things to which his
              attention is directed by the S.O.

              The Contractor shall make arrangements with the
              Employer (through the S.O.) and give reasonable notice of
              the precise dates of access to the various parts of the
              Works for the purpose of making good defects and inform
              the S.O. when remedial works to the various parts are
              completed and ready for inspection.

       7.21   OPERATION AND MAINTENANCE INSTRUCTIONS

              The Contractor shall provide complete operation and
              maintenance instructions covering all items of equipment
              and, when approved, submit six copies suitably bound.

       7.22   THE EMPLOYER'S DIRECT CONTRACTS

              To read in conjunction with Clause 29 of the Conditions of
              Contract.

              The Employer reserves the right to let separate contracts
              for work on the site. Such persons so employed shall not
              take instructions from the Contractor.

                  The Contractor shall liaise with and allow such persons
                  unrestricted access during reasonable working hours, allow
                  use of temporary roads and hard standing, provide space
                  for storage of their materials and give every reasonable
                  facility for the execution of their work, without additional
                  cost to the Employer.

                  The Contractor shall also extend temporary facilities such
                  as temporary water, power, lifting of men and materials and
                  other temporary services. Should the S.O. require the
                  Contractor to provide any labour, materials or the
                  temporary services mentioned herein in respect of such
                  persons, the cost of same shall be valued and added to the
                  Contract Sum as a variation. The Contractor shall submit
                  all necessary evidence for the valuation of the variation for
                  reimbursement.

                  All costs incurred by the Employer in the employment of
                  such other persons shall be deducted from money due to
                  the Contractor. The Employer also reserves the right to pay
                  directly to the various Sub-Contractors appointed by the
                  Contractor and all costs incurred shall be deducted from
                  money due or to become due to the Contractor.

       8.         SAFETY AT THE SITE

       8.6        Compliance with Safety Requirements

                  The Contractor shall comply and shall secure compliance
                  by his personnel and workmen and by his sub-contractors
                  at all times during the execution of the Works with all of the
                  following :-

                  a)   Malaysia Factories and Machinery Act, 1967, or
                       equivalent

                  b)   Occupational Safety and Health Act, 1994, or
                       equivalent

                  c)   All other relevant safety-at-work requirements
                       imposed by law including any subsequent
                       amendments to or re-enactment of the said law, and

                  d)   Any directive or order by the relevant authorities
                       and/or the Superintending officer relating safety
                       requirements;

       8.7     Submission of Safety Programme

               a)   Within 14 Days of the Letter of Award, the Contractor
                    shall submit to the Superintending Officer a safety
                    programme to ensure that all construction activities
                    required for the execution of the Works are carried out
                    in a safe manner and in compliance with the Safety
                    Requirements.

               b)   The safety programme shall be subject to the approval
                    of the Superintending Officer. The submission to and
                    approval by the Superintending Officer of the safety
                    programme shall not relieve the Contractor or any of
                    his obligations under the Contract.


       8.8     Safety Officer and Personnel

               a)   The Contractor shall appoint a suitably qualified &
                    experienced person as safety officer who shall be
                    responsible for compliance with Safety Requirements
                    and all safety matters relating to the Works. The
                    Contractor shall, from time to time, provide such other
                    personnel and resources as may be required to
                    ensure the effective implementation of the safety
                    programme on Site.

               b)   The Contractor shall conduct training programmes for
                    all workmen including workmen of his sub-contractors
                    for compliance with the Safety Requirements.

       8.9     Safety Measures

               a)   The Contractor shall ensure that the Construction
                    Plant together with all other tools and equipment,
                    Temporary Works and other items used in the
                    execution of the Works are in a safe, sound and good
                    condition and capable of performing the functions for
                    which they are intended.

               b)   Without limiting his liability under the Contract, the
                    Contractor shall provide at his own expense all
                    workmen on Site with the necessary safety equipment
                    including but not limited to safety boots, safety
                    helmets and protective clothing.
