CHANGES, AMENDMENTS & REVISIONS

Client is allowed to request changes, amendments and revisions throughout the design of their website or other project
being worked on. After the project is complete, full payment for that project is required. If new changes, amendments and
revisions are requested, a new quote will be given to the client for those new request(s).

CLIENT DELAYS

Client has 30 days to provide all the necessary information, tools, copy, content, etc., needed to start and potentially
complete said project. If client takes more than 30 days to present such information to the website designer, the price
originally quoted may go up to protect lost time incurred by the designer providing the service. It takes time to complete
projects. If one client is not ready to provide designer with needed materials to complete the project, the designer has the
right to fill his/her time with other client projects. Time is money.

OWNERSHIP OF WEBSITE DESIGN & CONTENT

Any copy, content and ideas shared with the website designer, shall remain the property of the client. Any ideas, copy,
content generated by the web designer for use on the clients’ project(s) shall remain the property of the website designer.
Website designer has the right to use his/her own creations on other websites, but not those ideas, copy and content
originally provided by the client for use on his/her own website exclusively.

PROJECT MILESTONES & EXPECTED COMPLETION DATE

Website designer will check in with client on a weekly basis (more or less) when working on the project to share progress
reports as to how the project is coming along. Once the project is completed, client will be required to pay any remaining
monies due, if any, to the website designer.

MAINTENANCE AND TECHNICAL SUPPORT

If maintenance, technical support or any other type of contact is made with the website designer by email or telephone,
those contacts will be billed in 1/2 hour increments. Upon the first contact (after the project is complete) will require a
deposit of $000.00 to cover website designer’s time for interacting with the client for business purposes.

CLIENT AND/OR 3RD PARTY WEBSITE MODIFICATIONS

If website designer chooses not to perform any more work on the project beyond the completed design, the client may
perform maintenance and/or hire a third party consultant to perform needed tasks in place of the initial website designer.

If you'd like to pay by credit card, just call or eMail me to let me know. I accept VISA, MC and AMEX. You will see

VI. REFUND POLICY

DEPOSITS: If zero work is performed, 100% of your deposit may be returned within 30 days to the client from the day
they request a refund.

PARTIAL WORK PERFORMED: If some amount of work was performed, all or a portion of your deposit may or may not
be returned to cover time spent working on the project.

FULL WORK PERFORMED: If the project is completed, and turned over, client may not ask for a refund just because
they want one. Consultants can’t resell time lost working on a project, like a product that can be put back on the shelf in
sellable condition.

LIABILITY

With regard to the services to be performed by the Web Designer pursuant to the terms of this agreement, the Web
Designer shall not be liable to the Client, or to anyone who may claim any right due to any relationship with the
Corporation, for any acts or omissions in the performance of services on the part of the Web Designer or on the part of the
agents or employees of the Web Designer, except when said acts or omissions of the Web Designer are due to willful
misconduct or gross negligence. The Client shall hold the Web Designer free and harmless from any obligations, costs,
claims, judgments, attorneys' fees, and attachments arising from or growing out of the services rendered to the Client
pursuant to the terms of this agreement or in any way connected with the rendering of services, except when the same
shall arise due to the willful misconduct or gross negligence of the Web Designer and the Web Designer is adjudged to be
guilty of willful misconduct or gross negligence by a court of competent jurisdiction.

ARBITRATION

Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration in
accordance of the rules of the American Arbitration Association, and judgment upon the award rendered by the
arbitrator(s) shall be entered in any court having jurisdiction thereof. For that purpose, the parties hereto consent to the
jurisdiction and venue of an appropriate court located in County, State of __________. In the event that litigation results
from or arises out of this Agreement or the performance thereof, the parties agree to reimburse the prevailing party's
reasonable attorney's fees, court costs, and all other expenses, whether or not taxable by the court as costs, in addition to
any other relief to which the prevailing party may be entitled. In such event, no action shall be entertained by said court or
any court of competent jurisdiction if filed more than one year subsequent to the date the cause(s) of action actually
accrued regardless of whether damages were otherwise as of said time calculable.
