INTRODUCTION

Welcome to Sussex Centre.

With its dramatic atriums and advanced office environments we hope that Mississauga’s
premiere business address will bring a new measure of excellence to your office
requirements.

Sussex Centre has been designed to cater to all aspects of your business. For its basic
services, Sussex Centre incorporates modern, proven technology such as computerized
heating, ventilation and air-conditioning and safety systems, and access controlled
parking facilities, high-speed elevators, and electronic security and communications.
Each of these services has been selected for their reliable and unobtrusive performance
records.

Sussex Centre is connected to the Novotel Hotel by an indoor walkway. The Novotel
features over 300 executive class suites, meeting rooms, dining facilities, an airport
shuttle service and everything else you would expect from a full service hotel.

Our team of Property Management professionals are dedicated to the highest levels of
tenant satisfaction, comfort, and security, all aimed at creating positive business
relationships with all of our Tenants.

This Tenant Manual covers all of the principal aspects of operations and services
available at Sussex Centre.

Each Tenant is asked to designate one two employees to act as principal liaisons
between our office and yours. This contact person(s) should be responsible for making
all inquiries or service requests to our OneServe Tenant Services Centre. Please provide
us your designated employee’s name, telephone number and e-mail address. By
restricting this responsibility to one principal liaison, it will allow us to provide a more
streamlined and efficient service.

INTERNET TENANT MAINTENANCE SYSTEM
(ANGUS ANYWHERE)

GWL Realty Advisors utilizes a web-based Tenant Service system known as Angus
Anywhere. This system allows our Tenants to communicate with our OneServe Tenant
Services Co-ordinators electronically on all types of maintenance and service requests.
This system can provide you with tracking on the progress of all your Work Order
requests and notification when the work has been completed.

Again, please provide us with the e-mail information of only one or two of your staff;
typically the person(s) who will be responsible for communicating maintenance requests
for your suite. We will arrange to have your representatives properly oriented with the
system.

This system also allows us to generate detailed work order histories and service
completion rates. Our Building Operations staff responds to your e-mailed service
requests via RIM Pager.

This telephone number is answered 24 hours /day, 7 days /week. Between the hours of
8:00 a.m. and 5:00 p.m. Monday to Friday, calls will be answered by our OneServe
Tenant Services Co-ordinators. All requests for services of any kind to your premises
should be directed to this number for prompt action, including any security inquiries of a
non-emergency nature.

After hours, this same telephone number is answered by our on site 24 hour Security
team.

CORPORATE CONCIERGE SERVICE

GWL Realty Advisors is pleased to provide all of our Tenants with the convenience of an
on-line Concierge Service through eservus. This service will provide you with
information on the Greater Toronto Area and environs, along with links to a network of
contacts and resources in the entertainment and hospitality industry. GWL Realty
Advisors will connect you to eservus to order tickets to the hottest shows and events in
town, including an assortment of personal services. Tickets are delivered to the Property
Management office. We will then notify you once your tickets are ready be picked up.
Register with eservus to keep up with the latest updates.

The Concierge Service will strive to meet your individual needs by providing information
on and access to discounted tickets for concerts, theatre productions, and sporting
events. The Concierge Service can provide information on corporate event planning,
hotel bookings, meeting or conference planning. It can be a valuable business hospitality
vehicle; our Concierge service will do the legwork while you focus on your day-to-day
business.

SUSSEX CENTRE FITNESS CENTRE

Whether you’re an experienced fitness club member or just starting out, there’s
something for every fitness level. From the moment you walk in the door you’ll sense the
friendly atmosphere that makes it seem more like a community than a gym.

The state-of-the-art Fitness Centre is 4,000 square feet and includes:
    Change rooms with showers, day lockers and hairdryers
    A group exercise area for classes
    Cardio equipment including treadmills, upright, recumbent, and spinning bikes,
       stair climbers, and elliptical trainers
    Multi-station weight machine and Smith machine
    Free weights including dumbbells and adjustable benches …..and more

This private facility is a benefit for Tenants working at Sussex Centre. The convenience,
along with professional programs and services make this amenity a real advantage for
everyone whether you are a beginner or elite fitness enthusiast. Located between the
two main buildings, the Fitness Centre is accessible from the Yellow underground
parking level. The facility is for the exclusive use of building employees.

The management of Sussex Centre Fitness is conducted by Tri Fit, Canada’s leading
corporate fitness and health-promotion company. Tri Fit’s professional team is here to
look after all of your fitness needs.

There are a variety of fitness classes taught by our certified group of exercise leaders
including hi/low impact, step, core-training, stretch and strength, total body sculpting,
yoga and pilates. Participation in all classes is included in your membership fees.

The Sussex Centre Wellness Co-ordinator will:
    Help you set realistic goals, including nutrition, exercise, weight loss or other
      personal goals
    Design a personalized program that will help you achieve these goals
    Demonstrate the correct and safe use of exercise equipment
    Provide ongoing feedback and follow-up

HOURS OF OPERATION & FACILITY ACCESS

Sussex Centre Fitness is open Monday to Friday from 6:00 a.m. – 9:00 p.m. and is
accessed via building photo access card only. (The gym is closed on weekends and
holidays)


MEMBERSHIP FEES

Membership at Sussex Centre Fitness is reasonable and affordable. For only $26 per
month (plus HST), members have access to the facility and a variety of programs and
services. Compare this to public club memberships which can cost anywhere from $50 -
$100 per month. The convenience and affordability make this centre a benefit for
everyone. A one-time registration fee of $40 is charged when members join. This fee
includes all the membership processing services plus a comprehensive fitness
assessment.

HOURS OF OPERATION

The building schedule with respect to Heating, Ventilation, and Air Conditioning (HVAC)
are as follows:

                   MONDAY – FRIDAY               7:00 A.M. – 7:00 P.M.

After hours HVAC and lighting may be arranged through the Property Management
office. Depending on the terms and conditions of your lease, if a charge applies, a Work
Order will be prepared for your approval. While the building is closed, access can only
be obtained with a valid photo access card.


LIGHTING SYSTEM INFORMATION

The lights in your space have been scheduled to operate from 7:00 a.m. to 7:00 p.m.,
Monday to Friday. Should you wish either permanent or long term temporary changes to
any of these times, please notify OneServe Tenant Services as per below:

•   Same evening changes, please advise OneServe Tenant Services 12:00 p.m.
•   Week-end changes, please advise OneServe Tenant Services by 12:00 p.m. Friday.

OVERRIDE BUTTON:

In order to turn lights on/off:

    1. Dial 905-897-8936 on your office phone, wait for the tone,
    2. Enter the four digit sector code provided to you by your office / facilities manager
    3. Enter “1” for on, or alternatively “0” for off.

Note: Your lights will remain on for one (1) hour. The lights will momentarily flicker to
notify you 10 minutes before they are scheduled to go off. Should you wish to turn them
back on, please use the procedure listed above.


HEATING & AIR CONDITIONING

The system is designed not to exceed 22 degrees Celsius (approx. 72 degrees
Fahrenheit) in summer with a maximum relative humidity of 50% and a minimum of 21
degrees Celsius (approx. 70 degrees Fahrenheit) in winter with a minimum relative
humidity of 30%.

Any adjustments required to temperature, humidity or air circulation should be directed
to OneServe Tenant Services at 905-275-6692.

ELEVATOR & LOADING DOCK

When moving in or out of the building, your moving contractor should be made aware
that any moves must be carried out after hours and security arrangements will be
required. Any costs associated with special elevator operations or security arrangements
are the responsibility of the Tenant.

                        GENERAL DELIVERY HOURS
                           7:00 A.M. TO          6:00 P.M.
The freight elevators and loading docks may be used for small moves lasting only 15
minutes between the hours of 9:00 a.m. – 12:00 p.m. and 1:00 p.m. – 4:00 p.m. All
costs associated with elevator operations or security arrangements are the responsibility
of the Tenant.

The freight elevators and loading docks may be reserved as follows:

MONDAY - FRIDAY                      >             any time prior to 8:00 a.m.
                                                   any time after 6:00 p.m.

WEEKENDS / HOLIDAYS                  >             any time

Large moves (furniture etc.) requiring more than 15 minutes must be done according to
the above referenced hours to ensure that daily deliveries and pick-ups are not
interrupted. The freight elevator and loading dock must be reserved in advance by
contacting OneServe Tenant Services at least 24 hours prior to the booking.

The freight elevator should be used for all furniture moves or for other large items;
protective blankets must be also be used in the elevator cab(s).

Two or four rubber wheeled dollies are required to move equipment that cannot be
carried.

NOTE: NO PUMP TRUCKS ARE ALLOWED INTO THE BUILDING PAST THE
           LOADING DOCK AREA UNLESS AUTHORIZED BY THE PROPERTY
           MANAGEMENT OFFICE.

Packing crates, skids or other debris must be removed from the loading dock when
deliveries are complete. There is a charge per pallet removal; please contact OneServe
Tenant Services for details. Cardboard cartons are to be flattened and placed in the
identified bins provided for recycling.

PARKING REGULATIONS AND PROCEDURES


TENANT PARKING

Tenant parking for the Sussex Centre can be found on Blue, Green, Orange, Violet and
Red Levels. All Tenant and Employee parking at the Sussex Centre must have a valid
Sussex Centre transponder in their vehicle. Arrangements for parking can be made
through OneServe Tenant Services at 905-275-6692 but are conditional on the terms of
the Lease.


VISITOR PARKING

Visitor parking is available on the Yellow Level of the underground garage and the
Exterior Lot off of Enfield Place. These areas are only intended for visitors to the
building.

There is a charge for Visitor Parking:
Yellow Underground Parking Level: $1.50 per ½ hour to maximum of $12.00 per day.
There are no “In & Out” privileges.

Exterior Parking Lot, Enfield Place: Open Monday to Friday with a manned booth in
place commencing 8:00 a.m. to 5:00 p.m. Visitor parking will be available at a daily flat
rate of $7.00 per day, payable upon entry. There are no “In & Out” privileges.

Note: All rates subject to change.


RESERVED EMPLOYEE PARKING

All reserved stalls are indicated on a numbered plaque. Please do not park in these
stalls unless reserved privileges are applicable.


HAZARDOUS VEHICLES

We must request that any vehicles with fluid leaks of any type (oil, gas, coolant, etc.) not
be brought onto this property until the defects have been repaired. In cases of severe
leaks, we are required by Fire Safety regulations to remove the vehicle from the
property. All attempts will be made to locate the owner of any hazardous vehicle, but
failing prompt response we will tow the vehicle immediately. Vehicle repairs should
never be performed within the confines of the Parking Garage.

It is important to have your transponder displayed and your vehicle registered with the
Property Management office in the event that we need to contact you in an emergency.

PHOTO IDENTIFIED ACCESS CONTROL

After hours access to Sussex Centre will require a photo identified security access card
to gain entry into the building and operate the elevator to your floor.

A letter should be sent to OneServe Tenant Services listing the names of personnel who
will require access cards, along with the hours of access that each card should be
programmed for.

The access cards will then be assigned to the specific individual(s) and should not be
transferred to other personnel without informing the Property Management office in
writing, or via work order, with your request.

•   The first issue is at no charge.

• The replacement cost of lost or damaged cards is $30.00 each (rate subject to
change)

It is important for you to note that only the authorized representative/tenant contact for
your company will be able to request access level changes to access cards.

If you wish to have a card reader / maglock installed in your office, arrangements can be
made through the OneServe Tenant Services at 905-275-6692.

KEY CONTROL

GWL Realty Advisors has established a standard practice for the handling, issue, and
protection of keys and lock systems.

Keys will be issued for Tenant interior and exterior doors as required. Once issued, they
become the responsibility of the Tenant. The keying of any tenant space must conform to
the base building master lock system, which is a restricted blank system for greater
security.


CONTROL PROCEDURES

TENANTS

Keys or lock changes must be ordered by written request or work order to OneServe
Tenant Services. All requests will normally be filled within 24-48 hours. Additional keys
will be provided at a nominal charge plus labour (please confirm costs with OneServe
Tenant Services). For Tenant protection, it is strongly recommended that keys be
duplicated only through the Property Management locksmith. This service is arranged
through OneServe Tenant Services.


PROPERTY MANAGEMENT

The Property Management office will arrange for the production and delivery of keys.
The Property Management office will also supply and control the issue of floor master
keys to the Housekeeping staff and ensure their return on a daily basis.


MAILING ADDRESS & POSTAL FACILITIES

The Tenant is responsible for informing Canada Post of their change of address. Mail will
be delivered to the Mail Room in the corridor off the Yellow Parking level. Each Tenant
will be allocated a mail box number and 2 keys in order to pick up their mail. It is not
necessary to use your box number in your mailing address.

Tenants will have to make arrangements with the Property Management office to pick up
and sign for new keys to their post box prior to moving in. To obtain your post box
number, please contact Joan McEwen, Administrative Assistant at 905-361-8183.

Tenants are responsible for picking up mail daily from their box, as no mail delivery is
provided floor by floor in the building. Should the volume exceed the capacity of postal
boxes on site, you will need to contact Canada Post directly to make other arrangements
(i.e. bag service).

SUITE NUMBER AND SIGNS

We will require, in writing, the exact manner in which you would like your corporate
name to appear on the building standard suite plaques, elevator directories, building
website directory and electronic directory kiosks. All listings are grouped by assigned
floors and are in alphabetical order. As provided in your Lease, we shall install one listing
for your premises. Additional listings may be requested by contacting Joan McEwen,
Administrative Assistant at 905-361-8183. Extra costs may apply.


HOUSEKEEPING

The housekeeping at Sussex Centre is performed by an outside cleaning contractor and
is administered by the Property Management Office. The first service under this contract
will be provided on the evening of the first business day that your company takes
occupancy, and will continue thereafter on a nightly basis as per the terms of the lease.

The Housekeeping Supervisor will pick up keys at the beginning of each shift and return
such keys to Sussex Centre Security upon completion of the shift. No keys are to be
removed from the premises.


ADDITIONAL SERVICES

Property Management can arrange for a variety of extra services on an “as-required”
service basis.

Service prices are based on hourly rates, benefits, supervision, direct and indirect costs,
and an administration fee of 15%. Material costs will be added where applicable with all
pertinent taxes.

   You may request additional security for any internal needs by calling OneServe
    Tenant Services at 905-275-6692.

   Prior to any work being done, the Property Management office will submit an
    itemized Tenant Work Order with all applicable costs for Tenant approval and
    authorization. No work will be performed unless the Tenant has signed off on the
    work order or quotation.

   Invoices for all work performed will be issued by Property Management.

WASTE MANAGEMENT AND RECYCLING

Responsible environment practices are something that we take very seriously as an
organization, as we all try to do our part to assist in environmental /conservation efforts.

Sussex Centre was awarded a BOMA Toronto (Building Owner’s & Manager’s
Association) Certificate of Excellence Award in 2005 & 2009 in recognition of our
outstanding efforts and initiatives towards improving the environment. We were also
awarded the BOMA Best Level 3 – Certificate of Achievement in 2009.

Below is a list of some of our ongoing environmental initiatives:

    The building has been retrofitted with new environmentally friendly ecology
       florescent lamps.
      Recycling of all base building lamp ballasts.
      All cleaning products used by our cleaning staff are all environmentally friendly.
      In extreme heat in the summer months the building’s lighting & air conditioning is
       reduced.
      Bicycle racks are available in the underground garage to encourage less vehicle
       commuting.
      Washrooms in the building now have upgraded hands free taps, soap dispensers
       and toilets.
      Recycling of all paper, glass & cans, and cardboard (see below for more details)
      Recycling of used toners & computer equipment see below for more specific
       details)
      New programs, such as biodegradable garbage bags, re-usable cloths that don’t
       require soap or other chemicals to be used.
      Annual participation in City of Mississauga’s “Corporate Cleanup”

In addition, we are also currently participating in the BOMA Toronto “Go Green Plus”
program that recognizes and audits participant buildings to ensure that they are
conforming to a high standard of environmental responsibility. Please see

As an organization, GWL Reality Advisors is dedicated to shaping the environment
through innovation and environmentally responsible management. Specifically, we are
committed:

      To help ensure a safe and healthy work environment for our tenants, guests,
       clients and staff;
      To protect and preserve our environment through the development and
       management of a formal Environmental Management Plan (EMP).

Our team’s proactive approach to managing and improving our EMP includes:

      Ensuring compliance to environmental legislation, laws, codes and policies with a
       view towards enhancing the assets we manage and undertaking a leadership
       position with our clients and within our industry;
      Ongoing review of GWL Realty Advisors’ environmental objectives, programs,
       policies & procedures to ensure consistency, effectiveness, quality and
       application;

RECYCLING

GWL Realty Advisors offers a recycling program for fine paper, newsprint, cardboard,
glass and aluminum/steel cans. Blue boxes will be provided to all tenant suites and
employees are asked to separate the recyclable materials for our Waste Removal
Contractor to collect.

We are continuing in our efforts to meet to exceed the Ministry of the Environmental and
Energy’s (MOEE) guidelines and be that much friendlier to our environment.


CARDBOARD / EXTRA GARBAGE DISPOSAL

The Ontario Fire Code prohibits garbage from being left in any common area.
Cardboard boxes or any other garbage must not be left in the elevator, lobby or common
areas of the building. Cardboard boxes are to be flattened by your staff and placed in the
bin provided for recycling. Please contact OneServe Tenant Services 905-275-6692 for
assistance or with any questions.


TONER & COMPUTER RECYLING

Please drop off your used toner cartridges for printers, fax & copier machines at the
West Tower, 90 Burnhamthorpe, Loading Dock (main floor) in the designated bin.

To request computer equipment recycling (i.e. personal computers including
keyboard, mouse & wiring, monitors, mini computers & components, printers, scanners,
drives & modems), please contact OneServe Tenant Services at 905-275-6692, to make
arrangements for pickup. There is a nominal fee for disposal of this equipment.
GWLRA will not be responsible for any information/files, etc. left on hard drives as it is
the Tenant’s responsibility to ensure hard drive(s) are erased prior to pickup.

   SECURITY AND LIFE SAFETY PROCEDURES

   Property Management will exert every effort to provide security to the premises, and
   physical supervision and support to the life safety features incorporated into Sussex
   Centre. In certain areas, however, it is essential that each Tenant assist us in this
   program by:

       •   Permitting staff to participate as Fire Wardens and Assistants in the Fire
           Prevention program;
       •   Keeping corridors clear of obstruction such as furniture, cardboard boxes or
           storage;
       •   Not blocking fire hose cabinets;
       •   Not obstructing sprinklers;
       •   Locking premises after normal business hours;
       •   Ensure all assigned building photo access cards and parking transponders are
           accounted for and lost or stolen cards are promptly reported to OneServe Tenant
           Services.
       •   Report solicitors, suspicious persons, or loiterers in tenant areas to OneServe
           Tenant Services at 905-275-6692 or Sussex Centre Security at 905-897-0323.


In-house seminar presentations are available through the Property Management office.
These seminars cover all aspects of Personal and Workplace Security, as well as,
discussing computer/information, security and crime prevention.

GWL Realty Advisors is also able to perform Security and Risk Assessment surveys of your
premises.

EMERGENCY PROCEDURES

Sussex Centre has a well-established Fire and Life Safety Plan. Fire Drills are
conducted bi-annually (Spring & Fall), and participation in both the pre-drill briefings and
actual drills is mandatory. A copy of the Emergency Procedures Manual is given to each
Tenant’s main contact upon moving into the building. Additional hard copies or
electronic copies may be requested by contacting Joan McEwen, Administrative
Assistant.

In-house seminar presentations are available through the Property Management office.
These seminars cover all aspects of Emergency Planning and Life Safety, including Fire
Safety, Bomb Threats, and Earthquakes. Please contact the Senior Property Manager to
make arrangements for these presentations.



FIRE WARDEN

As part of the Fire and Life Safety Plan, the Property Management office is required to
maintain a current listing of all Tenant Emergency Representatives. Please relay any
changes to this information immediately to Joan McEwen, Administrative Assistant, for
inclusion in our registry. Please use form provided in this manual to make changes.



AFTER HOURS EMERGENCY TENANT CONTACT

GWL Realty Advisors maintains a complete registry of Emergency Contacts for each
Tenant. This listing contains the name(s) of authorized representatives who would be
contacted in the event of an emergency or other significant event at the property. The
persons listed are generally authorized to allow access to the suite in the event that
employees get locked out or forget their keys and/or building photo access card. Please
relay any changes to this information immediately to Joan McEwen, Administrative
Assistant, for inclusion to our registry. Please use form provided in this manual to make

CHANGES TO PREMISES

If after initial occupancy Tenants wish to make changes to their premises, approval from
the Landlord must be obtained prior to any alterations to existing tenant space.
Information about the building and the conditions that govern tenant premise alterations
can be obtained by calling the Senior Property Manager at 905-281-4263.


RENT REMITTANCE

Rent and tenant charges are due and payable on the first day of each month. All
         cheques should be made payable to GWL Realty Advisors and delivered to
         the Property Management Office.

Late fees will accrue on the unpaid amount from the due date to the date of payment at
          the rate per annum, which is four percent (4%) above Prime.

As part of GWL Realty Advisor Inc.’s commitment to improving customer service, we are
pleased to offer “Electronic Funds Transfer” or “EFT”. EFT is a safe, convenient and
reliable means of withdrawing funds automatically from your account by a company who
has your written approval to do so.

LEASING

Should you have a requirement for additional space during the course of your lease
         term, please contact our Director of Leasing at 905-361-2257.


INSURANCE

Please remember to keep our office updated with a copy of your current Certificate of
         Insurance (COI) for your premises. Please refer to your Lease for the specific
         requirements. If there are any questions in this regard, contact Joan McEwen,
         Administrative Assistant at 905-361-8183.

TELEPHONE INTERCONNECT REGULATIONS

Each floor is equipped with facilities for installing telephone equipment. Your technician
should report to your suite prior to commencing work. OneServe Tenant Services should
be notified at least 24 hours in advance to arrange for access.

The Landlord’s consent must be obtained before any work commences. The
interconnecting company name and contact person must be supplied at this time.
Switchgear equipment should be located in the Tenant’s premises. No equipment is to
be located in the base building telephone rooms.

All overhead cable must be run in conduit, all sleeves run through “rated” partitions, and
must be adequately packaged as per current building codes unless plenum rated cable
is used.

Tenants are liable for all repair costs to leasehold and base building improvements or
fixtures damaged as a result of the installation. This includes, but is not limited to,
ceiling tiles, partitions, carpeting, bulkhead, and floor outlets.

Only GWLRA approved Electricians are permitted to perform any electrical work within
the property.

Arrangements for service can be made through OneServe Tenant Services at 905-275-
6692. Access to other Tenant’s premises during any construction must also be
coordinated through OneServe Tenant Services.


SATELLITE AND INTERNET PROTOCOL

All Tenants should contact the Property Management office prior to the installation of
any Satellite antennae or cabling into your premises. Any cable installation that requires
the use of the Building Riser System must be approved and authorized through the
Senior Property Manager.

There will be a monthly charge added to the current rent structure for any Satellite or
other rooftop installations. Any such installations require that a signed agreement be
completed with our office.
