The Yellowhead East Business Development Corporation (YEBDC) has compiled this
guide to assist individuals or businesses wishing to establish or expand a business in our
region. The intent of this guide is to provide a source book of information and
assistance, which is available to small businesses. While every attempt has been made
to ensure the accuracy of this guide, some information is subject to change without
notice. The individual agencies responsible for different programs should be contacted

STEPS TO SUCCESS
One of the most attractive features of running and operating a small business is that it is an
important way of fulfilling personal and professional goals. As a small business
owner/manager, your biggest challenge may be reaching those goals.
The following checklist for "Starting a Successful Business" may help to ensure that your
business operates at an optimal level.
1. Contact your local Municipal office to determine if your business is approved, within the
Land-use Bylaws. Also, refer to the index for information on appropriate permits and
licenses that may be required in the municipality where you are opening your business.
2. Develop a Business Plan. Assistance with Business Plan preparation may be obtained
from The YEBDC, either in Sangudo at (780) 785-2900 or 1-800-556-0328 or from our
Barrhead office at (780) 674-6880 or 1-877-848-3030.
3. Use the Business Plan to help obtain financing for the start-up. Many sources are
available for financing business start-ups and expansions. Check the municipality
listings on pages 19 to 30 or contact The YEBDC for further information.
4. Obtain the financial commitment before proceeding with start-up costs. Planning,
financing, and set-up often takes much longer than expected. Many companies
jeopardise their chances of success by committing to expenses before financing is in
place.
5. If you intend to operate as a sole proprietorship or a partnership, contact Alberta
Registries at (780) 427-2311, or The YEBDC at (780) 785-2900 or 1-800-556-0328 for
information and assistance to register your business.
6. If you are going to incorporate, contact The YEBDC at (780) 785-2900 or 1-800-556-
0328 or Alberta Registries at (780) 427-2311. Incorporations may be done without the
assistance of a lawyer; however, this is something you will want to consider carefully. A
“standard” Alberta Corporation Registration is currently costing $370.00 and a full
package is $550.00.
7. To obtain information about Provincial Business Licensing requirements, contact the
Consumer Services for information on Provincial business licensing at (780) 427-4088.

Provincial Government Number and there will be
no charge to you.
8. All commercial businesses that sell or provide GST taxable goods and services of
$30,000.00 or more in a taxation year must register with Canada Customs and Revenue
Agency (CCRA) at 1-800-959-5525 and must apply for a Business Number (BN)/GST.
9. Contact the Workers' Compensation Board, Employer’s Services Department to obtain
information about registering your company at (780) 498-3999 or check out their web-
site at www.wcb.ab.ca
10. Contact Canada Customs and Revenue Agency (Source Deductions) at 1-800-959-5525
to obtain an employer’s account number for Employment Insurance, Canada Pensions
Plan, and Federal Income Tax deductions.
11. Alberta Health and Wellness Group Coverage is compulsory for employers with five or
more eligible employees, even if it is a non-profit organization. For more information

Administration).
12. The Employment Standards Branch of Alberta Human Resources and Employment is
responsible for administering the labour standards provisions under the Employment
Standards Code. For information regarding wages, hours of work, vacations, and other
labour concerns, contact (780) 427-3731.

BUSINESS REGISTRATION
There are four (4) types of business organizations:
1. SOLE PROPRIETORSHIP
The simplest type of business formation is the “sole proprietorship”. The proprietor
(owner) assumes all responsibility for the business including financing, operating, and
taxes. The owner accepts all profits or losses and assumes total liability should the
business fail. The owner is personally and totally responsible for any debts and
contractual agreements involving the business.
2. PARTNERSHIP
A partnership is formed when two or more people enter into a joint business venture.
a) General Partnership
In a general partnership each partner is jointly and severally liable for the debts of
the partnership. This means one partner can be held responsible for all the debts
and obligations incurred in the name of the business by any other partner.
b) Limited Partnership
This is a special arrangement whereby a person may contribute financially but
cannot take part in the management of the firm or act on behalf of the company. A
limited partner is generally liable only to the extent of that partner's financial
contribution to the firm. All members of a limited partnership are required to file a
declaration under The Partnership Act.
Proprietorships, partnerships, limited partnership agreements and trade names should be
registered with Corporate Registry. Any business trade name, other than that of the
individual owner(s), should be registered even if the business is not incorporated.
Note: A fee is charged for name searches (NUANS) and registrations. Trade Names are
not reserved prior to registration.

3. LIMITED COMPANIES
The terms "Corporation", "Incorporated Companies" and "Limited Company" are
synonymous.
In an incorporated company, the company is a legal entity separate from its owners
(shareholders) and there is limited liability to the owners. Generally, no shareholders of
the corporation can be held personally liable for the debts or actions of the corporation.
Individuals may be required to sign Personal Guarantees for corporate loans. In this
case, individuals will assume personal liability. Companies can be incorporated either
provincially or federally, depending upon the scope and nature of the business. A
company incorporated in Alberta must register as an extra-provincial company if it
wishes to do business in provinces other than Alberta.
Although it is possible to file for incorporation yourself, it can be somewhat
complicated. Legal advice should be considered.

LICENSING
1. PROVINCIAL
Manufacturers, retailers, and wholesalers do not require a provincial license. Businesses
that require special provincial licensing include agriculture, highway development,
sawmills and timber cutting operations, nursing homes, mines, oil and gas drilling,
private investigators, security agencies, locksmiths, guards, cemeteries, commercial
trucking, bus operations, employment agencies, insurance and real estate agencies,
homes for special care, day-care centers, private school, and tradesmen. It is
recommended that such businesses contact Alberta Municipal Affairs, Housing and
Consumer Affairs for licensing requirements.

2. MUNICIPAL
Businesses operating within the Yellowhead East region are generally required to obtain
a municipal business license. Most business licenses are available through the respective
municipal offices, please refer to pages 19 – 30 for individual municipal requirements.

SUBDIVISION
To start the subdivision process, submit an application for subdivision to the subdivision
approving authority (S.A.A.) for your area, designated by the Minister of Municipal Affairs.
Application forms are available at the municipal offices. Subdivision applications normally
require a minimum of three months to process.
DEVELOPMENT PERMITS
Development permits are required whenever the start-up or expansion of a business entails
new construction, additions to buildings, or a change in use or intensity of use of the existing
buildings. There is an application fee for development permits. Development permits and
applications are obtained through the municipality office. Under the Municipal Government
Act, development authorities must reach a decision within 40 days, unless the applicant
agrees to a greater length of time. Development permits are not automatically granted and
are subject to public input and municipal approval. Contact your municipal office for more
information. If you are unsure of who to call, there is a provincial permit hotline. Their
number is 1-800-555-1212.
BUILDING PERMITS
Building permits are purchased through each municipal office. Development permits are
required prior to the application for a building permit. The cost for building permits varies in
each municipality and may be dependent on the structure and/or cost of the building.
Building permits normally require a minimum of two weeks to process. Please contact your
municipal office for more information.
SIGNAGE PERMITS
There may or may not be a fee required for a signage permit (i.e. to put up a sign) in your

HOME OCCUPATIONS
Applications for home occupation permits (Home Based Businesses) are available through
your municipal office. Such businesses are allowed, where it is determined that there will be
no significant adverse impact on surrounding properties, or on the residential character of the
neighborhood. Usually, there is an application fee for home based businesses. In addition,
home occupations in most municipalities require business licenses. Contact your municipal
office for more information.
NUANS AND TRADE NAME REGISTRATIONS
(Newly Upgraded Automated Name Search)
The NUANS report is the most comprehensive provincial name search available. It searches
the following:
1. Alberta Trade Names (Proprietorships & Partnerships)
2. Alberta Limited Companies
3. Federal Companies
4. Trade Marks
The NUANS name search will reserve your name in Alberta for 90 days.
In order to INCORPORATE a company you must do a NUANS search. It is required by
the government and must accompany the incorporating documents.
In order to register a TRADE NAME Corporate Registry strongly recommends a
NUANS search be completed to ensure that the name is available. If the name is not
searched and infringes on a Corporation or a Trade Mark you may be found liable.

Self-Employment Program
The SE Program is a 26-week program designed to assist persons wishing to start a new
business. Any Albertan over 18 years of age may apply to participate in the program.
Eligible participants must be unemployed or underemployed, be actively receiving
Employment Insurance Benefits or have completed and E.I. claim within the previous three
years, have a viable business idea, have sufficient cash or capital or access to cash or capital
to start you business, be residing the Yellowhead East region, preferably have a minimum of
51% ownership in the proposed business, and be willing to devote a minimum of 30
hours/week to the business. The business cannot have commenced in any way prior to
acceptance into the program.
Opportunities Fund Program
The Opportunities Fund program is designed to assist persons with disabilities to prepare
for, obtain and maintain employment or self-employment, resulting in increased financial
independence.
