agreements with regards to software licenses, channel-related (OEM, distribution, and reseller agreements),
professional services agreements, and nondisclosure agreements in light of Autonomy’s policies and risk tolerance
under tight timeframes. Support the legal needs of Autonomy’s China subsidiary such as closing various
transactions in Chinese. Provide counsel to business units, engineering teams, and marketing team on courses of
action and legal risks. Work with finance to understand and avoid potential revenue recognition issues.

Acting General Counsel / Legal Counsel
Oversaw the legal department as acting general counsel in the 80-person software technology company. Drafted,
reviewed, and negotiated agreements concerning licensing, development, marketing, and promotion of PlayFirst’s
intellectual property (“IP”). Managed PlayFirst’s IP portfolio and enforced PlayFirst’s IP rights against infringers
and competitors. Advised on a wide variety of legal issues related to business development, corporate governance,
human resources, privacy, and marketing, and recommended courses of action conforming to PlayFirst’s policies
and risk tolerance. Communicated legal concepts and negotiation strategies to internal teams. Oversaw
continuous improvement of standard agreement templates and legal processes.
