                                Board Minutes
                                March 22, 2007

The re-scheduled meeting of the Orion Chargers Baseball Club (“OCBC”) was held at
6:30 PM on Thursday, March 22, 2007 at Lake Orion High School. Present at the
meeting were Mike Musary, Craig Stockwell, Kurt Fish, Joe Ruggeri, Andy Dargavell,
Ken Grant, and Ed Shinouskis. Board members not present at the meeting include Dan
Stross, Eric Jennings, Bobby Clouse, Andy Schramek, and Dennis Recknagel.

Approval of Minutes

The minutes from the January 17, 2007 meeting of the Orion Charger Baseball Club
Board of Directors were reviewed and no changes were proposed. Kurt Fish motioned
that the minutes be approved, and Andy Dargavell seconded the motion. The motion was
unanimously approved by the Board.

The minutes from the February 21, 2007 meeting of the Orion Chargers Baseball Club
Board of Directors were reviewed and no changes were proposed. Craig Stockwell
motioned that the minutes be approved, and Ken Grant seconded the motion. The motion
was unanimously approved by the Board.

Bylaws Report

Ed Shinouskis distributed a revised draft of the OCBC bylaws for further review. The
following items were discussed:

      References to “Executive Board Members” would be changed to “Officers”
       throughout the document.

      References to “Board of Directors” would be changed to “OCBC Board”
       throughout the document.

      References to “Directors” would be changed to “Board Members” throughout the
       document.

      The Board reviewed the document to make sure it was clear that new Board
       Members are voted on by the entire OCBC Board.

      There was discussion about a limit of liability clause for Board members. No one
       was aware of such a clause in similar organizations so it was decided that such a
       clause was unnecessary.

      It was decided that amendments to the by-laws would require two-thirds the votes
       rather than a simple majority.
To expedite the approval of the Bylaws, Ed will distribute a final draft of the Bylaws in
the near future and propose a telephonic meeting time that will accommodate at least
two-thirds of Board members. Ed will set up a meeting line that will allow for a group
discussion to take place and get OCBC Board approval of the Bylaws.

Website Update

Coach Deeg and several other coaches have experienced some problems with the OCBC
website. The most significant problem appears to be the scheduling aspect of the
Goalline software. Coaches are unable to enter games currently and there is also an issue
with practice venues being changed without the knowledge of the coach involved. One
coach has experienced 12 hour delays in getting his website to update after inputting new
information. It was generally believed that adding information to the site is somewhat
cumbersome and requires a number of duplicative steps. Visually, the website looks
impressive, but these administrative issues need to be looked into by Dan Stross. Coach
Deeg will also be discussing his concerns with a representative of Goalline. Craig
Stockwell will follow up with Coach Deeg to hear if there was any resolution to some of
these issues with Goalline.

Treasurer’s Report

Joe Ruggeri distributed an inception-to-date financial report to the OCBC Board. Our
current bank balance is $23,876.05. Joe asked the coaches to make sure each of their
families have paid their fees.

To date, we have collected $3,450 in sponsor contributions and more is expected in the
near future. Ken Grant gave Joe a sponsor check for $300 from Tri-County Sports on
behalf of the 12U Chargers team.

The OCBC Board decided that the individual Charger teams would be responsible for the
cost and ordering of their team’s sponsor plaques, but they should coordinate with Eric
Jennings to order them from Cubbies Trophy. The sponsors will get 8 x 11 inch plaques
with a 5 x 7 inch color team photo.

Joe issued the following checks to Charger teams for their 50% share of sponsorship
proceeds:

                            10U Chargers    $300 check issued
                            11U Chargers    $250 check issued
                            12U Chargers    $300 check issued
                            14U Chargers    $175 check issued


Additional team checks will be issued during subsequent OCBC Board meetings.
Photography – Ed Shinouskis reminded everyone that picture day is March 25th. Mark
Cunningham will be taking pictures for the Charger programs, so individual pictures will
be taken of all the 16U and 18U players and only team pictures will be taken of the other
teams. Ed will check with the photographer to see if he can also take individual pictures
of the 10U through 14U teams and have them put on a website to purchase.


Fundraising – Craig Stockwell provided information about a Buffalo Wild Wings
fundraising opportunity. Buffalo Wild Wings will donate 20% of the revenues they
collect from people who dine at the restaurant who have an Orion Charger flyer. OCBC
will be given 300 flyers to distribute and the tentative date for this event is Monday, April
23.

Andy Dargavell updated the group on the Tiger Ticket Fundraiser, which is August 13.
Andy has produced a flyer that will be sent to all the coaches and be added to the OCBC
website. We have 200 tickets available to sell at $20 each. Individuals can order as
many as they want by sending an email to Andy at adarg@charter.net.

Ken Grant needs everyone to get their lottery ticket stubs and their money to him as soon
as possible. The drawings start the beginning of April and he would like to get the
database completed so that he can put everything on the OCBC website. Ken gave
$1,550 to Joe at the meeting from lottery collections he has received so far.


Uniforms- All the uniform issues have been resolved.


NOBF – Joe Ruggeri issued a check tonight to the NOBF for $5,700 in registration fees
for the 76 Charger players who will be playing this summer in an NOBF league. Greg
Deeg will deliver the check to NOBF on Sunday and each coach will get a copy of the
check to provide at the scheduling meetings.


Umpires

Ken Grant will schedule umpires for the Skyrocket Tournament and for the 18U home
games. He will check with Gilly David at NOBF first to see if she has people available
and at what price.
2008 Cooperstown Dreams Park Tournament

Andy Dargavell moved that OCBC approve funding the $600 down payment for the 12U
Charger team that will enter the Cooperstown Dreams Park Tournament in 2008. Ed
Shinouskis seconded the motion and it was unanimously approved by the OCBC Board.
This would be considered one of the five tournaments the team would schedule in 2008.
OCBC would only be responsible for the $600 down payment, and not the additional
costs associated with Cooperstown. The OCBC Board expects to provide this sort of
funding every year as a special benefit to the 12U Charger teams. Joe Ruggeri issued a
check for $600 to Andy Dargavell.


Field Allocations

Ken Grant has been working with Lake Orion High School regarding use of the softball
fields. He expects OCBC will be given one day a week to use the three softball fields.
Ken will try to reserve Wednesdays for OCBC teams.
