Constitution
Adopted on the 1st day of March 2011

Article 1 - Name of the Organization
The name of the organization is Enterprise Opportunity Forum
Ghana (known throughout this document as “the
Organization”).

Article 2 - Vision
Our vision is to become the most respected, viable and leading
youth organization in Ghana which aggressively seeks to reduce
suffering, unemployment and poverty.

Article 3 - Mission
We seek to create the enabling environment in promoting the
advancement of entrepreneurship and employment
opportunities among the youth and empower them champion
the development agenda of Ghana.

Article 4 - Aims and Objectives
The aims and objectives of the Organization shall be:
   a. Be a mouthpiece for the youth to advocate for good
      governance.
   b. Enter into partnership with establishments in the public
      and private sectors to provide voluntary work placement

     (internship/attachment) opportunities for tertiary
     students and graduates.
c.   Orientate and promote entrepreneurship (enterprise
     development) among the youth especially tertiary
     students and graduates.
d.   Organize social activities among members to foster unity
     and promote the shearing of ideas and cultural diversity.
e.   Solicit for technical and financial support to promote
     enterprise and agricultural development among the
     youth.
f.   Solicit for technical and financial support to provide
     vocational training and apprenticeship opportunities for
     underprivileged youths especially young women.
g.   Organize seminars, workshops and jobs fairs in
     partnership with other agencies to promote capacity
     building and leadership development.
h.   To establish or assist in the establishing of schools,
     colleges, universities or other educational centers and
     libraries and to publish news letters, brochures,
     periodicals, and books desirable for the promotion of the
     organization.
i.   Carry out from time to time community based activities in
     the areas of health, ICT, sanitation and environment.

Article 5 - Membership of the Organization
 a. Membership of the Organization is open to any individual
    of a sound mind between the ages of eighteen (18) and
    thirty five (35).
 b. Complete and fill a membership registration form.
 c. Pay a non-refundable registration fee, which shall be
    determined and reviewed from time to time by the
    Executive Board.
 d. Upon admission of the applicant to membership of the
    Organization, the applicant shall be notified by writing.
 e. An applicant shall become a member of the Organization
    with effect from the date of the Board’s decision to admit
    the applicant to membership.
 f. A member of the Organization may at any time resign
    from the Organization by written notice to the Board. The
    applicant shall cease to be a member of the Organization
    with effect from the date on which the Executive Director
    receives the written notice.
 g. The Board may declare that a member has ceased to be a
    member of the Organization if:

    1.    The member has ceased to be eligible for
          membership under Article 5.(f)

       2.    On the ground that the member has persistently or
             seriously   undermined      or      prejudiced the
             Organization’s aims and objectives.

  h. A member that has ceased to be a member of the
     Organization may apply to rejoin the Organization.

Article 6 -                 The     Programme            Areas       of     the
Organization
The programme areas of the Organization shall be:
  a.   Capacity Building and Leadership Development
  b.   Community Based Projects
  c.   Employment and Training programmes
  d.   Enterprise and Business Development
  e.   Microfinance
  f.   Social Activities
  g.   Sustainable Agricultural Development

Article 7 - Legal Status of the Organization
The Organization shall be a body corporate, capable of:
  a. Acquiring and holding property separately from its
     members and
  b. Suing and being sued in its name and generally, subject to
     this Constitution, capable of doing anything that bodies
     corporate may lawfully do.

Article 8 - Non-Profit Making Status
  a. The Organization is not formed and does not exist for the
     purpose of carrying out any business that has as its
     objective the making of gain or profit.
  b. The income and assets of the Organization shall be applied
     solely for the promotion of the aims and objectives for
     which it is established.
  c. No part of the income or assets of the Organization shall
     be paid directly or indirectly by way of dividend to any
     person or organization.

Article 9 - Board of Directors
  a. The Board of Directors shall consist of no less than three
     (3) and no more than seven (7) members.
       1. Two (2) who shall be permanent Board Members
       2. Five (5) other non-permanent Board Members.
  b. The two (2) Founders shall be permanent members of the
     Board. They can be removed from the Board in case of
     voluntary retirement or death. A non-permanent member
     shall be removed through death, retirement or by a simple
     majority vote by the other members.
  c. In the event of death, retirement of the Founder, the
     remaining Founder shall appoint a permanent Board
     Member to take his/her place.

  d. In the event of death, retirement or removal from office of
     any non-permanent Board member, the Founder shall
     appoint/select a replacement.
  e. The affairs and business of the Organization shall be
     vested in the Board of Directors, which shall be the
     supreme decision-making body of the Forum.
  f. Members of the Board shall elect or appoint a
     Chairperson.
  g. The Chairperson shall hold office for one (1) year from the
     date of his/her election or appointment and on expiry of
     that term shall be eligible for re-election/appointment.

Article 10 - General Powers and Duties of the Board
of Directors
In addition to the powers conferred upon the Board elsewhere
in this constitution, the Board shall have the following powers
and duties:
  a. Responsible for overall planning and policy formulation of
     the Organization.
  b. Responsible in consultation with the Executive Director
     safeguarding      of all finances and property of the
     Organization.
  c. In consultation with the Executive Director, solicit and
     procure sponsorships, aid and grants or other financial

     assistance from individuals, institutions, Government
     agencies or any other organizations.
  d. In consultation with the Executive Director establish
     branches and offices in other regions of the country
     (Ghana).
  e. Perform any other roles necessary to achieve the aims and
     objectives of the Organization.

Article 11 - Meetings of the Board
  a. The Chairperson shall cause an ordinary meeting of the
     Board to be convened at least two times in each calendar
     year.
  b. Notice of an ordinary or special meeting shall be in writing,
     specifying the date, time, place and business to be
     conducted at the meeting, except in the case of an Annual
     General Meeting, shall be given not less than fourteen
     days before the date of the meeting.
  c. The Chairperson shall preside over meetings of the Board.
  d. Subject to the approval of the Board, the Chairperson may
     invite any person to attend a meeting of the Board and
     take part in its deliberations.

Article 12 - The Executive Board
The Executive Board of the Organization shall comprise of:
  a. Executive Director

 b. Programme Manager
 c. Corporate Affairs Manager
 d. Finance Manager
 e. IT Manager
 f. General Secretary

Article 13 - The Responsibilities and Duties of the
Executive Board
 a. Executive Director

    1. Oversee the day-to-day administration and
       management of the Organization.
    2. Formulate policies and strategic plans for the
       organization.
    3. Advice on issues and submit proposals for the
       management of the Organization.
    4. Ensure and supervise the preparation and submission
       of relevant reports on the operations of the
       Organization.
    5. Ensure the establishment and strategic management
       of financial, administrative, marketing, editorial and
       internal audit systems and procedures and other
       organizational structures to achieve corporate
       effectiveness and efficiency.

  6. Develop and maintain a culture that will foster
     cooperation, commitment, efficiency, accountability
     and productivity within the Organization.
  7. Develop and implement systems and methods of
     effective monitoring and control of activities of the
     Organization.
  8. Perform any other duties that may arise from time to
     time.

b. Programme Manager

  1. Work with the Executive Director to oversee the
     effective implementation of the Organization’s
     programmes.
  2. Be responsible for membership drive of the
     Organization.
  3. Coordinate all the activities of the Organization to
     ensure that the aims and objectives for the
     Organization are accomplished in accordance with
     established priorities, time limitations, funding
     limitations or other specifications.
  4. Coordinate, monitor or supervise the activities of
     subordinates.
  5. Develop and recommend new or revised programme
     goals and objectives.

6. Monitors and approve programme expenditures
   ensuring that budget allocations are not overspent.
7. Prepares or assists in preparation of proposal for
   funding and/or funding continuation from outside
   sponsors.
8. Prepares periodic reports, financial statements and
   records on organization’s activities, progress, status or
   other special reports for management or outside
   agencies.
9. Evaluate programme effectiveness to develop
   improved methods.
10. Develops, compiles and writes communications and
   promotional literature for distribution such as
   newsletters, brochures or flyers; through printing and
   distribution.
11. Develops and facilitates workshops, meetings or
   conferences; coordinates logistics, scheduling and
   participant communications.
12. Recruits programme participants, members and
   volunteers utilizing most appropriate promotional or
   marketing methods, such as individual letters,
   brochures or presentations at meetings.
13. Interacts and maintains liaison with members,
   participating institutions/companies and other
   agencies in facilitating programme objectives.

c. Corporate Affairs Manager

   1. Reports directly to the Executive Director.
   2. Participates in the dissemination and promotion of the
      programmes and activities of the Organization.
   3. Carries out sensitization and public relations in
      collaboration with the Executive Director.
   4. Prepares, under the supervision of the Executive
      Director, information materials on the Organization
      and organizes their distribution and publication.
   5. Assist other members of management during visits,
      organize and covers press conferences when
      necessary.
   6. Prepares correspondences and reports on his/her
      activities, for the attention of the Executive Director.
   7. Sees to the publication of documents on the internet,
      under the supervision of the IT Manager.
   8. Executes any duty that may be assigned to him in
      relation to the tasks attached to the post of Corporate
      Affairs Manager.

d. Finance Manager

   1. Providing financial advice.
   2. Renewing the Organization’s systems and analyzing
      risk.

  3. Continuous management of financial systems and
     budget.
  4. Maintaining financial records, preparing budgets, bank
     reconciliation statements and making payments in
     accordance with accounting procedures and
     guidelines.
  5. Draft plans and accounting statements for
     presentation to the Board of Directors and the
     Executive Director.
  6. Prepare end of month and year reports.
  7. Excel in the use of computer accounting principles and
     use them often.

e. IT Manager

  1. Reports directly to the Executive Director.
  2. Plan and coordinate activities such as installing and
     upgrading hardware and software, programming and
     systems design.
  3. Implementation of computer networks, and the
     development of internet and intranet sites.
  4. Upkeep, maintenance and security of networks.
  5. Analyze the computer and information needs of the
     organization from the operational and strategic
     perspective and determine immediate and long-range
     personnel and equipment requirements.

   6. Assign and review the work of his/her subordinates
      and stays abreast of the latest technology to ensure
      that the Forum remains competitive.

f. General Secretary
   1. Responsible for organizing board meetings, informing
      Board of Directors about the impending meeting,
      formulating the agenda of the meeting with the
      Chairman and/or Executive Director, compiling the
      minutes of the meeting and maintaining minutes
      books.
   2. See that the Organization run in an efficient and
      organized manner.
   3. Conduct research, communicate with staff, members
      as well as programme partners.
   4. Supervising other secretaries in the Organization and
      also train new staffs.
   5. Keep record of appointments and see to it that each
      one is conducted on time.
   6. Responsible for filing annual reports, amended
      Memorandum and Code of Ethics.
   7. Responsible for maintaining the statutory registers
      regarding the members, and organization’s charges.
   8. Provide all types of support and guidance to the
      directors, helping them in discharging their duties.

     9. Ensure that all statutory and regulating requirements
        are properly complied with. Play a key role in ensuring
        that the decisions of the Board on the whole are
        properly implemented and communicated within the
        Organization.
     10. Advice the Organization and its Board of Directors on
        business ethics and corporate governance.

Article 14 - Executive Board Meetings
     a. The Executive Director shall preside over meetings of
        the Executive Board.
     b. The Executive Director shall cause ordinary meetings of
        the Executive Board periodically as and when the need
        arises.
     c. The Executive Board shall meet quarterly with the
        Board of Directors to discuss matters relating to the
        progress of the organization.
     d. Notice of an ordinary or special meeting by the
        Executive Board shall be in writing, specifying the date,
        time, place and business to be conducted at the
        meeting.

Article 15 - Annual General Meeting (AGM)
     a. The Annual General Meeting (AGM) of the
        Organization shall take place within six (6) months
        after the end of the Organization’s financial year.

     b. At least twenty-one days’ (21) written notice shall be
        given for the holding of the Annual General Meeting
        (AGM) of the Organization, specifying the date, time,
        place and business to be conducted at the meeting.
     c. The Annual General Meeting (AGM) shall be presided
        over by the Chairperson of the Board of Directors.
     d. The business of the Annual General Meeting (AGM)
        shall be:

        i.    The presentation and adoption of reports by the
              Chairperson.
        ii.   Presentations and adoptions of reports by the
              Executive Director on the Organization’s activities
              over the preceding financial.
       iii.   Presentations and adoptions of the Organization’s
              accounts for the preceding financial year.
       iv.    The appointment of auditors.
        v.    Any other business.

Article 16 - Finance
     a. The income of the Organization shall be derived from
        registration fees, sponsorships, grants, aids and
        donations and interest on investments.
     b. The Financial Year of the Organization shall be from
        1stJanuary of each year to the 31st of December of the
        same year.

    c. All funds and donations received by or on behalf of the
       Organization, in the first instance, shall be paid to such
       bank accounts that management shall from time to
       time open and operate on behalf of the Organization.
    d. The Executive Director shall ensure that full and proper
       accounts are kept in respect of all the organization’s
       transactions involving the receipt and expenditure of
       money and the acquisition of property.
    e. Each of the Organization’s bank accounts shall have
       three (3) signatories which shall be determined by the
       Board of Directors. The signatories shall consist of the
       Executive Director, the Finance Manager and the
       Programme Manager.
    f. In the case of money withdrawal, signatories shall be
       required from two (2) of the signatories, one of which
       must be that of the Executive Director.
    g. The Organization’s accounts shall be audited each year
       by personnel who is registered as a public auditor and
       who is appointed by the Board at the Organization’s
       Annual General Meeting (AGM).

Article 17 - Tertiary Education Chapter of the
Organization
    a. The Organization shall form in all tertiary institutions in
       Ghana, its chapter to facilitate membership drive and
       programme implementation.

     b. Each Chapter shall consist of the following Executives:
      1. President
      2. Vice President
      3. Secretary
      4. Public Relations Officer (PRO)
      5. Treasurer
      6. Organizer

     c.   Approval must first be obtained from the Executive
          Director before any chapter organizes or partakes in
          any activity or programme.

Article 18 - Amendments to the Constitution
The Board shall, by resolution passed at a duly convened
meeting, amend any provisions of this Constitution, provided
that:
    a. Proposal(s) for amendment of the Constitution is
       received by the General Secretary at least one (1)
       month before a general meeting.
    b. Such resolutions shall be passed by a simple majority of
       the total membership of the Board.

Article 19 - Code of Conduct and Discipline
Members and Officials of the Organization shall faithfully and
dutifully uphold and apply the following rules of conduct for the
smooth running of the organization in order to ensure unity
and cohesion within the Organization at all times as follows:
    a. Show love and respect towards members of the
       Organization.
    b. Defend and protect the integrity of the Organization as
       well as its decisions.
    c. Defaulting members shall be made to settle their
       indebtedness as enshrined in the Constitution.
    d. Officials must be willing to perform additional
       responsibilities assigned to them.
    e. Workers of the Organization must wear an official dress
       code between Mondays and Thursdays, and then on
       Fridays wear the Organization’s branded T-shirts or
       African wear.
    f. Volunteers must respect and adhere to the regulations
       and policies of organizations that they work for.
    g. Must conduct themselves properly in public.

Article 20 - Disciplinary Procedure(s)
    a. The discipline of any member or official of the
       Organization shall be exercised by the Executive Board

       of the Organization upon recommendation from the
       Disciplinary Committee.
    b. The following disciplinary measures shall be imposed
       based on the Constitution of the Organization:

        i.     Expulsion
       ii.     Suspension not exceeding six (6) months
      iii.     Removal from office
      iv.      Fine
       v.      Reprimand

Article 21 - Disciplinary Committee and other
Committees
The Disciplinary Committee and any other committee shall be
appointed by the Executive Board as and when the need arises.

Article 22 - Dissolution
    a. If it is necessary or advisable to dissolve the
       Organization, a meeting of all Members of the Board
       shall be called, of which at least 14 days’ notice must be
       given, stating the terms of resolution to be proposed.
    b. If the proposal is confirmed by a simple majority of those
       present and voting, the Board of Directors shall have
       power to attain any assets held by or on behalf of the
       Organization.

      c. Any assets remaining after the paying of debts and
         liabilities shall be given or transferred to another
         charitable organization, having objectives similar to the
         objectives of this organization.

Article 23 - Adoption of Constitution
We, the several persons whose names and signatures are
subscribed herein below, hereby enact, adopt and accept on
the date mentioned above this constitution.
