                                Bexley Care Trust

     Outer South East London Trust – Future Organisational

1.      Summary of Report
        The enclosed report is taken from the Bromley Hospitals NHS Trust Board and
        proposes that the acute Trusts in Bexley, Bromley and Greenwich should be merged
        into a new single Trust and that University Hospital Lewisham should not be part of
        this merger.

        The Joint Committee of the three trusts are currently seeking views of all
        stakeholders from 10 November 2008 in a 12 week engagement process. Ian
        Wilson, Interim Chief Executive at Queen Mary’s Sidcup NHS Trust will be attending
        the Board to discuss the proposals as part of this engagement process.

        The proposal requires the agreement by the Boards of each of the affected Trusts,
        and will be subject to stakeholder engagement and TUPE consultation (and possibly
        deliberations of the national Transaction Panel and Cooperation and Competition
        Panel), before a final recommendation to – and agreement by- the secretary of State
        for Health

2.      Recommendation – Action required
            The Board is asked to:-

            CONSIDER the merger proposals and the implications for Bexley
            DISCUSS and AGREE key elements of a response to the OSEL Joint
            Committee of Acute Trusts to the proposals as part of the stakeholder
            engagement process

3. Organisational Implications:

     o Financial Implications – the proposal outlines the combined Trust will have
       an income of £400m and will yield immediate savings of £2.5m. It is
       anticipated that further savings will be found to reduce the presently planned
       deficit of £21.7m in 2009/10. This figure does not include historic deficits built
       up by the Trusts (currently some £187m).

  o Patient Impact – The rationale for the merger is to provide safe and
    sustainable patient services for OSEL
  o Organisational Impact – merging three acute Trusts in OSEL will have
    organisational impact on the commissioning relationship between Bexley
    Care Trust and the acute Trusts in the OSEL sector.
  o Equality – An equality impact assessment will need to be developed as part
    of the proposals
  o Risk Assessment – the proposal outlines concerns for maintaining safe and
    viable clinical services with the current acute organisational structures. A risk
    assessment and mitigation strategy is included at Appendix 3.
