THIS AGREEMENT is made on ___/___/2001 at ____________

BETWEEN:

(1)     ITALIAN LUXURY INDUSTRIES S.p.A. a company incorporated in Italy, whose
        registered office is at Via Zamenhof 100, Vicenza, Italy, hereby duly represented by the
        Chairman of the Board of Directors, Mr Giancarlo Chimento (hereinafter referred to as
        the “Principal”); and

(2)     ______________, a company incorporated in ______________, whose registered office
        is at _______________________, hereby duly represented by its legal representative
        ______________________, (hereinafter referred to as the “Agent”);

                                                (hereinafter jointly referred to as the “Parties”);

本合同于 2001 年___月___日于___签订。

合同双方:

ITALIAN LUXURY INDUSTRIES S.p.A.设立于意大利。公司注册办公地址为意大利 Via
Zamenhof 100, Vicenza, Italy,法人代表为董事会主席 Giancarlo Chimento 先生。(以下简
称为委托方)

______________ 设 立 于 ________            公 司 注 册 办 公 地 址 在 ______________ 。 法 人 代 表
______________。(以下简称代理商)

                   (以下统称合同双方)



WHEREAS

(A)     the Principal is an Italian manufacturer of hand-made high quality and style golden
        jewellery marketed world wide under the trade mark, as hereinafter defined;

(B)     the Agent carries out activities related to the promotion, marketing and sale of jewellery;

(C)    the Principal is willing to appoint the Agent as its own agent with the aim to develop and
       increase its market share in the territory, as hereinafter defined;

all this being said and constituting an integral and substantial part of this Agreement,

(A) 委托方是意大利一家高品质,手工黄金珠宝制造商,在世界市场上均用以下合同中
      规定的商标。

(B) 代理商进行各种与珠宝宣传、营销和销售有关的活动。

(C) 委托方为了发展和增加自己在代理区域内的市场份额,愿意委托代理方为自己的代
      理商,其中代理区域在合同以下条款中有所界定。

以上内容是本合同不可分割的重要部分。

THE PARTIES AGREE as follows:

合同双方同意:

1.         INTERPRETATIONS

           名词说明:

     1.1      In this Agreement:

           “Contractual Year” means a 12 months period starting on ___/___/___;

           “Products” shall mean high quality and style hand-made jewellery and gold
           manufactured by the Principal and listed in Schedule 1, as from time to time amended
           and supplemented;

           “Territory” shall mean the area specified in Schedule 2.



           本协议中:

           “合同年”指的是从 ___年___月___ 日起的 12 个月时间;

           “产品”是指由委托方生产的品质高、款式好的手工珠宝和黄金饰品,附表 1 中
           已经列出,可以时常增加补充。

     1.2      “代理区域”是指附表 2 中界定的地区范围。The headings in this Agreement do
              not affect its interpretation.

           本协议所有标题仅为标识所设,不应作为合同解释所用

2.         APPOINTMENT

           委托

     2.1      The Principal appoints the Agent to be its exclusive agent for the sale of the Products
              in the Territory on the terms and conditions set out in this Agreement.

           委托方委托代理方为自己的产品在代理区域内的唯一代理商,按协议中的条款销
           售产品。

     2.2      The Agent has no authority or power to bind the Principal towards third parties or to
              contract in the name of the Principal or create a liability against it in any way or for
              any purpose.

           代理方无权限制委托方与第三方合作,无权以委托方的名义签订合同,也无权以
           任何形式或以任何目的给委托方制造麻烦。

3.         DUTIES OF THE AGENT

           代理商的职责

   3.1       The Agent hereby undertakes and agrees with the Principal that it will, in performing
             its activities under this Agreement, at all times during the term of this Agreement,
             look after the interests of the Principal and act dutifully and in good faith and in
             particular that it will:

         代理商同意并承诺,合同有效期间,在履行合同规定的事项时,必须照顾到委托
         方的利益,诚信尽职,具体应做到:

         3.1.1    use at all times its best endeavours to promote and extend sales of the Products
                  throughout the Territory to all potential purchasers and work diligently to
                  negotiate and obtain orders for the Products;

                  应始终全力以赴地宣传产品,扩大代理区域内的销售,争取尽可能多的潜
                  在客户;应竭力争取产品订单。

         3.1.2    regularly advertise the Products also by means of personal visits to and
                  correspondence with the purchasers and by distribution of advertising and other
                  printed material supplied by the Principal;

                  通过上门探访购买人,与购买人通信,及分发委托方提供的广告和其它材
                  料等方式,定期进行广告宣传。

         3.1.3    not without the prior written consent of the Principal be concerned or interested
                  either directly or indirectly in the manufacture, importation, promotion, sale or
                  advertisement of any goods in the Territory which are identical or similar to or
                  which might otherwise compete or interfere with the sale of any of the Products;

                  未经委托方书面允许,代理方不得直接或间接地在代理区域内制造、进
                  口、宣传、销售、或广告任何与委托方产品相同、相似、或可能与委托方
                  产品销售产生竞争或干扰委托方产品销售的产品。

         3.1.4    promptly submit to the Principal all enquiries or orders received from the
                  customers with regard to the Products in sufficiently full and accurate detail as to
                  enable the Principal with the least possible delay to respond effectively to the
                  enquiries and to fulfil the orders;

                  应及时向委托方提交详细、准确的客户咨询和客户订单,以便委托方能及
                  时有效地解答问题和执行订单。

         3.1.5    in all correspondence and other dealings relating directly or indirectly to the sale
                  of the Products clearly indicate that it is acting as selling agent of the Principal;

                  在所有与客户的信函和其它直接或间接的有关产品的联系中,都应表明作
                  为委托方代理商的身份。

         3.1.6    not incur any liability on behalf of the Principal or in any way pledge or purport
                  to pledge the Principal's credit;

                  不以委托方的名义承诺任何责任,或以任何方式用委托方的信誉做保证。

       3.1.7      immediately bring any improper or wrongful use in the Territory of the
                  Principal's patents, trade marks, copyrights, designs, models or other similar
                  industrial property rights which come to its notice to the attention of the
                  Principal as well as assist it in taking all steps to defend the rights of the
                  Principal’s upon the latter’s request;

                  如发现代理区域内有任何误用或滥用委托方专利、商标、版权、设计、模
                  型或其他类似的行业产权的情况,应立即通知委托方,并按委托方要求,
                  协助委托方采取措施,保护委托方的权力。

       3.1.8      promptly bring to the notice of the Principal any information which is likely to
                  be of use or benefit in relation to the marketing of the Products or otherwise,
                  including any information available to the Agent which concerning the future
                  level of sales, the market conditions and the Principal’s competitors;

                  及时将有利于或可能有利于产品推广的信息告知委托方,包括代理方能获
                  得的有关销售前景、市场行情、和委托方竞争对手的所有信息。

       3.1.9      so far as it is able, satisfy itself by means of all proper enquiries as to the
                  financial stability of intending purchasers of the Products whose enquiries and
                  orders it transmits to the Principal and promptly advise the Principal of any
                  change in any purchaser's financial standing;

                  如果可能,可询问有意向的客户的财务稳定状况,并将这些客户的问题、
                  要求和订单交给委托方,及时向委托方提供这些客户的财务变化情况。

       3.1.10     immediately inform the Principal of any changes in its organisation or method of
                  doing business which might affect the performance of its duties hereunder;

                  如有组织模式和业务经营方式的变动,应立即通知委托方,因为这有可能
                  影响到代理方履行职责的好坏。

       3.1.11     observe all directions and instructions given to it by the Principal in relation to
                  the sale, distribution and exploitation of the Products;

                  委托方给代理方的关于产品销售、分销、和开发的指示和说明,代理方应
                  严格执行。

       3.1.12     employ at its own risk, cost and expenses such permanent sales staff as may be
                  necessary to promote and extend the sale of the Products;

                  代理方为产品宣传和推广所雇佣的正式员工,由代理方自己承担风险、成
                  本和花销。

        3.1.13    report immediately to the Principal any defects, notices of defects or similar
                  communications or complaints about the Products and take all measures
                  necessary to obtain any information requested by the Principal in connection
                  therewith as well as support and assist the Principal in the exercise of its rights;
                  如发现产品有瑕疵或注意到类似的客户反应,代理商应立即告知委托方,

                    并按委托方的要求,采取措施弄清这些产品的请况,支持和协助委托方行
                    使其权力。

           3.1.14   not make any promises, representations or warranties with reference to the
                    Products without the prior consent of the Principal;

                    事先未经委托方允许,不得做出关于产品的任何承诺、陈述或保证。

           3.1.15   refrain from actively seeking customers outside the Territory and, in the case he
                    receives orders from such clients, immediately transmit these orders to the
                    Principal, so that he may decide in its own discretion whether or not to accept
                    them;

                    不得在代理区域以外寻求客户,如果代理方接到代理区域以外的客户订
                    单,应立即将订单交给委托方,以便委托方考虑自身情况,决定是否接
                    单。

           3.1.16   not collect the Principal’s credits unless expressly authorised in writing by the
                    Principal;

                    没有委托方明确的书面授权,代理方不得替委托方代收欠款。

           3.1.17   to participate, if so requested by the Principal, to the trade fairs in the Territory;

                    如果委托方要求代理方参加代理区域内举行的商品交易会,代理方应参
                    加。

           3.1.18   assist the Principal in clearing imported Products through customs into the
                    Territory and in effecting delivery to the purchaser.

                    协助委托方进行产品进口清关及代理区域内的货品派送。

4.         DUTIES OF THE PRINCIPAL

           委托方职责

     4.1       The Principal hereby agrees with the Agent that it will during the continuance of this
               Agreement act dutifully and in good faith and in particular that it will:

           合同双方同意,在合同有效期间,委托方将诚信尽职,具体做到:

     4.2       at its own expense supply the Agent with the documentation, the price lists, the
               general conditions of sale, the information concerning variations in the list of the
               Products indicated in Schedule 1 and such samples and sales literature as the Principal
               shall consider reasonably sufficient with a view to promoting the sales of the Products
               within the Territory. All such material shall remain the property of the Principal;

           为代理方提供文件资料,价格清单,总销售情况,附表 1 中产品单变动的相关信
           息,以及委托方认为可以帮助产品宣传的样品和实物。在此过程中的所有花费都
           由委托方承担。委托方保留对这些材料的所有权。

     4.3     except for what provided in clause 5.4 and 8.3, not appoint any other agent for the
             sale of the Products in the Territory during the term of this Agreement;

           除 5.4 条和 8.3 条规定的以外,在合同有效期间,不得委托其他代理商销售其产
           品。

     4.4     notify the Agent, within ___ days as from receipt its acceptance or refusal of any
             order for the Products received by the Agent. In case of acceptance such
             communication shall be given by sending to the Agent a copy of the relevant
             confirmation of order;

           应在收到订单起___ 天之内通知代理方是否接单。 如果委托方接受订单,应向代
           理方发送一份接受订单的确认函。

     4.5     keep the Agent informed as to the Products which are available for sale in the
             Territory and the foreseeable volume of sales and give the Agent at least one month's
             notice of any proposed change in the price structure.

           应让代理方知道其代理区域内可获得的产品有哪些,预计销售数量是多少;如果
           价格有任何变动,应提前至少一个月通知代理方。

5.         RIGHTS OF THE PRINCIPAL

           委托方的权力

     5.1     The Principal reserves to itself the following rights:

           委托方保有以下权力:

     5.2     at its absolute discretion to refuse any order transmitted to it by the Agent;

           出于自身情况考虑,拒绝代理商交给的订单。

     5.3     if the Agent does not reach the minimum turnover provided by clause 8, to vary
             Schedule 2 so as to exclude from this Agreement a part of the Territory or vary
             Schedule 1so as to exclude from the Agreement one or more Products;

           如果代理商没有完成第 8 条规定的成交量,可以减少附表 2 中一些代理区域,或
           减少附表 1 中的一种或多种产品。

     5.4     to enter into contracts directly with purchasers in the Territory and to maintain normal
             business contacts with any customers or potential customers.

           有权直接与代理区域内的购买人签订合同,并与客户或潜在客户保持业务联系。

6.         COMMISSION

           佣金

   6.1      The Principal shall pay to the Agent a commission at the rate of ___ % of the price
            invoiced for the Products sold in the Territory pursuant to orders placed through the
            Agent during the term of this Agreement as hereinafter defined by clause 7.

         在第 7 条规定的合同有效期之内,委托方应以代理方成交的订单为依据,支付代
         理方在代理区域内销售产品的发票价格的___ % 作为佣金。

   6.2      Commission in respect of each individual order shall become due to the Agent when
            the purchaser executes the order or should have done so.

           单个订单的佣金应于购买人兑现订单款项时或该日期到期时,付给代理商。

   6.3      Notwithstanding the fact that it may have become due under clause 6.2, the Agent's
            right to commission in respect of any order for the Products will be extinguished in
            the event that the contract between the purchaser and the Principal is not executed for
            a reason not depending on the Principal. In such circumstances the Principal shall
            deduct the relevant amount from the next payment of commission to be made to the
            Agent pursuant to clause 6.4 or, if there is no such outstanding payment, the Agent
            shall refund the relevant amount to the Principal within _____ (_____) days of the
            Principal notifying the Agent that such a refund is due.

         即使如 6.2 条所规定,佣金付款日期已到期,但如果因为非委托方的原因,购买人
         与委托方间的合同没有得以执行,那么代理商获得相关产品佣金的权力将终止。
         在上述情况下,委托方应按 6.4 条规定,从下一次给代理商的佣金中扣除相应的金
         额;如果不存在下一笔佣金,代理方应在委托方通知其退还佣金之日起 30 天内,
         退还委托方相应金额的佣金。

   6.4      Not later than the last day of the month following the quarter in which the commission
            became due the Principal shall supply the Agent with a statement of the commission
            due setting out the main components used in calculating the amount of the
            commission and pay the commission due to the Agent less any deductions pursuant to
            clause 6.5.

         委托方应于应付佣金期限到期当月的最后一天之前,给代理方出示一份佣金说明
         表,列明佣金的明细,并支付代理方不少于 6.5 条规定的佣金

   6.5      Commission shall be calculated on the net amount of the invoices, i.e. on the effective
            sales price (any discount other than cash discounts being deducted) clear of any
            additional charges (such as packing, transportation, insurance) and clear of all custom
            duties or taxes of any kind.

         佣金应以发票的净金额来计算,比如有效销售价格(扣除除现金折扣以外的其它
         一切折扣),不计算附加费用(如豹包装、运输、保险),和关税及其他税款。

   6.6      No commission shall be due in respect of orders transmitted by the Agent and not
            accepted by the Principal.

         委托方如果没有接受代理方交给的订单,那么委托方不应支付代理方佣金。

     6.7     All the expenses incurred into by the Agent during the execution of this Agreement
             shall be sustained by the Agent itself.

           代理方在执行本协议过程中产生的任何费用都由代理方自己承担。

7.         TERM

           合同期限

     7.1     This Agreement shall commence on ___/___/___ and shall continue in force until
             ___/___/___ (hereinafter referred to as the “Initial Term”).

           本合同自___年___月___日生效,有效期至___年___月___日。(以下称(最初期
           限))

     7.2     After the Initial Period this Agreement shall continue in force until terminated by
             either Party giving to the other Party not less than a ___ month notice of termination
             by registered letter with return-receipt.

           最初合同期期满后,本协议持续有效。合同双方任何一方想要终止合同,必须提
           前一个月以挂号信的形式,附带邮件回执,通知对方。

8.         MINIMUM SALES COMMITMENT

           最低销售承诺

     8.1     During the Initial Term the Agent undertakes to achieve the minimum level of sales
             indicated in Schedule 3.

           在合同最初期限内,代理方承诺完成附表 3 列明的最低销售额。

     8.2     In the event that this Agreement continues in force after the Initial Period pursuant to
             art. 7.2, the minimum sales commitment for any of the following Contractual Years
             shall be agreed upon in writing between the Parties at least 60 (sixty) days prior to the
             beginning of the relevant Contractual Year. Should the Parties be unable to agree on
             the minimum sales commitment, the purchase volume established for the previous
             Contractual Year increased by ___% shall apply for the new Contractual Year.

           如果本协议在过了 7.2 条规定的最初期限后仍然有效,接下来的每一个合同年的最
           低销售量承诺将由双方在该合同年开始至少 60 天前,以书面形式达成一致。如果
           双方不能就最低销售承诺达成一致,新一个合同年的购买量将在前一个合同年的
           基础上增加___%。

     8.3     Failure to achieve the minimum sales commitment agreed upon or determined in
             accordance to clause 8.2 shall entitle the Principal, at its own discretion, either to
             terminate this Agreement pursuant to clause 10.1.2 herein or to change the Agreement
             into a non-exclusive one by appointing one or more other agents or sale
             representatives in the Territory for the Products or to reduce the Territory according
             to clause 5.3.

            如果代理方没有完成 8.2 条中商定的最低销售承诺,委托方有权出于自身考虑,根
            据合同 10.1.2 条,解除合同,或将合同改为非独家代理合同,并在代理区域内委
            托其他也一家或多家代理商或销售代表,或减少 5.3 条中的代理区域。

      8.4      In order to calculate the minimum sales target, only the value of the orders
               transmitted by the Agent and accepted by the Principal shall be considered.

            为了计算最低销售目标,只有代理方交给委托方并被委托方接受的订单才被计算
            在内。

9.          TRADE MARKS AND TRADE NAMES

            商标

            Provided that no article of this Agreement shall be construed as transferring to the Agent
            any right on the trade marks and on the trade names described in Schedule 3 attached
            hereto (hereinafter referred to as the "Trade marks"), which are the sole propriety of the
            Principal, the Agent shall be entitled to use the Trade marks as a sign of the activity
            performed under this Agreement to qualify himself as “Italian Luxury Industries S.p.A.’s
            Agent” and exclusively to promote the sale of the Products.

            本合同所有条款均不赋予代理方附表 3 中列明的商标和品名(以下称商标)的任
            何权力。委托方是商标的唯一所有者,代理方可以在进行本合同范围内的活动时
            使用“Italian Luxury Industries S.p.A.的代理”这一商标,但只限于在产品的宣传和
            销售中使用。

      9.1      Upon termination of this Agreement, for any reason whatsoever, the Agent shall as
               soon as possible, and however within 1 (one) month from the termination of the
               Agreement, cease to use the Trade marks and return to the Principal all advertising
               materials and items of any nature bearing or containing reference to the Trade marks.

            在解除合同时,无论出于什么原因,代理方都应在合同解除后 1 个月内尽快停止
            使用委托方的商标,并将所有的广告材料,和其他与商标有关的,及包含商标内
            容的东西全部归还给委托方。

      9.2      The Agent shall not, at any time during and within 2 (two) years after the termination
               of this Agreement, adopt, use or register without the prior written consent of the
               Principal a word or symbol or a combination of them similar to the Trade marks.

            事先未经委托方允许,在合同终止后两年内,代理商不得采用、使用、注册与委
            托方商标类似的词、标志、或二者结合的标志。

10.         TERMINATION

            解除合同

      10.1     The Principal may terminate this Agreement with immediate effect by giving notice
               in writing to the Agent on or within a reasonable time after the occurrence of any of
               the following events:

         如果发生以下事件,委托方可以在事情发生后一定时间内,通过书面形式通知代
         理方立即解除合同。

         10.1.1   breach of the non-competition obligation provided for in clause 3.1.3;

                  违反 3.13 条中的非竞争规定

         10.1.2   failure to reach the minimum turnover as set forth in clause 8 hereinabove for
                  any reason whatsoever attributable to the Agent;

                  代理商由于自身原因,没有完成以上第 8 条规定的最低销售量。

         10.1.3   winding-up, bankruptcy, insolvency or change of control of the Agent;

                  代理公司解散、破产、欠债、更换领导班子

         10.1.4   a change in the organisation, methods of control or management of the Agent in
                  such a way as in the opinion of the Principal to influence the Agent’s capability
                  to carry out its duties under this Agreement;

                  代理公司组织结构、管理方式变动,委托方认为这种变动会影响代理商执
                  行合同规定的职责的能力。

         10.1.5   the Agent is guilty of any conduct which in the opinion of the Principal is
                  prejudicial to the Principal's interests and image;

                  代理方做出的举动在委托方看来会影响委托方的利益和形象。

         10.1.6   the Agent ceases, for any reason, to carry on its business as agent under this
                  Agreement in the Territory for a period longer than ___ months;

                  代理方出于一些原因,停止在代理区域内进行合同规定的代理业务长达
                  ___个月。

         10.1.7   a breach by the Agent of any of its obligations under this Agreement which (if
                  the breach is capable of remedy) the Agent has failed to remedy within ___ days
                  after receipt of notice in writing by the Principal requiring the Agent to do so;

                  代理方没有履行合同中规定的义务(如果这一过失可以补救),并在收到
                  委托方书面形式的通知,要求其采取补救措施后 ___天之内未进行补救。

11.      CONSEQUENCES OF TERMINATION

         解除合同的结果

      11.1   All rights and obligations of the Parties shall cease to have effect immediately upon
             termination of this Agreement; termination shall not affect:

         合同解除后,双方的权力和义务立即失效。合同的终止不会影响:

         11.1.1   the accrued rights and obligations of the Parties at the date of termination; and

                  合同双方在解除合同当天的权力和义务

         11.1.2   the continued existence and validity of the rights and obligations of the Parties
                  under those clauses which are expressly agreed to survive termination and any
                  provisions of this Agreement necessary for the interpretation or enforcement of
                  the Agreement itself.

                  双方明确同意的在合同解除后继续有效的条款下的权力和义务,及对合同
                  本身的解释和执行有必要的条款。

      11.2   Upon termination of this Agreement the Agent shall return to the Principal (or
             otherwise dispose of as the Principal may instruct) all business documents and papers
             and any other information, material or samples supplied by the Principal including
             any customer list.

         在解除合同时,代理商应归还(或按委托方指示,处理掉)委托方提供的所有文
         件、文字资料、其他一切信息、材料或样品,包括所有客户名录。

      11.3   The termination of this Agreement shall not of itself give rise to any liability on the
             part of the Principal to pay any compensation to the Agent for loss of profits or
             goodwill.

         合同解除后,委托方不承担赔偿代理商利益损失或信誉损失的责任。

12.      NON COMPETITION OBLIGATION

         非竞争义务

      12.1   [The Agent shall not, for a period of [two] years after termination of this Agreement,
             either alone or jointly with, through or as manager, adviser, consultant or agent for
             any person, directly or indirectly seek to procure orders for products of the same kind
             as the Products from persons in the Territory.]

         合同终止后两年时间内,代理商不得单独或合伙,通过或自己做经营人、顾问、
         或代理,不得直接或间接地在原代理区域内获取相同产品的订单。

13.      DEFAULT BY AGENT

         代理商过失

      13.1   The Principal shall not be responsible for acts or defaults of the Agent or of the
             Agent's employees or representatives and the Agent shall indemnify the Principal
             against all losses, liabilities and costs which it may incur as a consequence of any
             such acts or defaults.

         委托方不对代理商、代理商的员工、及代理商的代表的行为和过失负责。由这些
         行为和过失给委托方带来的损失、债务、和花销,代理商应赔偿委托方。

      13.2   Any act or omission which if it were an act or omission of the Agent would be a
             breach of this Agreement on its part shall be deemed to be such an act or omission for

             which the Agent is responsible if done or omitted by any person, firm or company
             who controls or is controlled by the Agent.

         代理商方面的任何违反协议的行为或过失,不管是代理方总公司或分公司,还是
         公司内部人员所犯过失,都应视为代理商的责任。

14.      CONFIDENTIALITY

         保密

      14.1   The Agent undertakes neither to reveal to third parties, also after the termination of
             this Agreement for any reason whatsoever, any confidential information relating to
             the Principal’s company and/or commercial activity which may have come to its
             knowledge in the performance of the Agreement, nor use such information otherwise
             than for the purposes of this Agreement. The Agent undertakes to adopt all the
             appropriate measures that are likely to ensure that the obligations described in this
             clause shall be respected also by third parties, be their partners or employees, who
             may have come into knowledge of the above information.

         代理商承诺:在执行合同期间以及合同解除后,不得以任何原因向第三方透露有
         关委托方公司及其商业活动的信息;除非是为了执行合同,否则也不得使用这方
         面信息。代理商承诺:采取所有可能的适当措施,保证知道相关信息的员工和合
         作伙伴尊重上述义务。

15.      FORCE MAJEURE

         不可抗力

      15.1   If at any time during the term of this Agreement the performance by either Party of
             any obligation under this Agreement is prevented or delayed in whole or in part due
             to governmental decision, embargoes, hostilities, war, civil commotion, sabotage,
             fire, flood, or any other event beyond the reasonable control of the Party concerned
             (hereinafter referred to as "the Force Majeure Event"), then notice of such Force
             Majeure Event shall be given by the affected Party to the other within 15 (fifteen)
             working days from the date of occurrence thereof and the affected Party shall be
             excused from performance only so long as such occurrence exists.

         在合同有效期间,如果发生政府决定、禁运、冲突、战争、民众暴乱、破坏活
         动、火灾、水灾、或合同双方不能控制的其它事件(以下称不可抗力事件),而
         阻碍或延迟了合同一方执行合同,那么受影响的一方应在上述事件发生后的 15 个
         工作日内通知另一方;此类情况下,责任不归咎于受影响一方。

      15.2   The affected Party shall, in each case, make all reasonable efforts to mitigate the
             effects of the Force Majeure Event on the performance of its obligations under this
             Agreement.

         无论发生那种不可抗力事件,受影响一方都应该竭尽所能减轻不可抗力事件对合
         同执行的影响。

      15.3     Should such Force Majeure Event exceed a three-month period beginning on the day
               the Event itself starts, then each Party shall be entitled to terminate this Agreement by
               giving at least a fifteen-day prior written notice to the other Party.

         如果不可抗力事件自发生日起,持续时间超过 3 个月,那么合同双方均有权提前
         至少 15 天以书面形式通知另一方终止合同。

16.      ASSIGNMENT

         转让

      16.1     The Agent may not assign or transfer or purport to assign or transfer a right or
               obligation under this Agreement without having first obtained the Principal’s written
               consent.

         事先未经委托方允许,代理商不得授权或转让本合同下规定的任何权力和义务。

17.      SUB-AGENTS

         分销代理商

      17.1     The Agent shall be entitled to appoint sub-agents in respect of any portion of the
               Territory. Communication of such appointment shall be given to the Principal.

         代理方有权将代理区域内的任何区域委托给分销代理商。关于委托事项应告知委
         托方。

18.      NOTICES

         通知

      18.1     Unless otherwise agreed in writing, all the correspondence and any notice under or in
               connection with this Agreement shall be in the English language; and

         除非经书面同意,否则所有和协议有关的信函和通知都应以英语书写。

      18.2     all notices, requests, demands and other communications hereunder shall be given in
               writing and shall be: (a) personally delivered; (b) sent by facsimile transmission or
               other electronic means of transmitting written documents; or (c) sent to the Parties at
               their respective addresses indicated herein by registered or certified mail, return
               receipt requested and postage prepaid. The respective addresses to be used for all
               such notices, demands or requests are as follows:

         所有以下通知、请求、要求及其他沟通都应采用书面形式,应该:(a)当面递
         交;或(b)传真或其他发送书面文件的电子方式; 或(c)按本合同中双方各自

   18.3     If personally delivered, such communication shall be deemed delivered upon actual
            receipt; if electronically transmitted pursuant to this paragraph, such communication
            shall be deemed delivered on the day transmitted unless it is received after 5:00 p.m.,
            Vicenza time, or on a day which is not a business day, in which case it shall be
            deemed delivered on the next business day after transmission (and sender shall bear
            the burden of proof of delivery); if sent by mail pursuant to this paragraph, such
            communication shall be deemed delivered as of the date of delivery indicated on the
            receipt issued by the relevant postal service or, if the addressee fails or refuses to
            accept delivery, as of the date of such failure or refusal.

        如果当面递交,双方的沟通被视为发生在实际收到的时间。如果采用电子方式,
        双方的沟通被视为发生在发送电件的当天,除非发送时间是在维琴察时间下午 5:

      18.4   Any Party may change its address for the purposes of this Agreement by giving notice
             thereof in accordance with this clause.

19.      GOVERNING LAW

         法律依据

      19.1   This Agreement and all matters arising from or connected with it shall be governed
             by Italian law.

         本协议及由协议产生的或与协议有关的所有事宜都以意大利法律为依据。

20.      JURISDICTION

         司法权

      20.1   The Court of Vicenza, Italy, shall have exclusive jurisdiction to settle any dispute
             arising from or connected with this Agreement.

         意大利维琴察法院拥有对于涉及本协议的争议之唯一司法管辖权。

      20.2   The submission to the jurisdiction of the Court of Vicenza, Italy, shall not (and shall
             not be construed so as to) limit the right of the Principal to take proceedings against
             the Agent in any other court of competent jurisdiction, nor shall the taking of
             proceedings by the Principal in one or more jurisdictions preclude it from taking
             proceedings in any other jurisdiction if and to the extent permitted by the applicable
             law.

         意大利维琴察法院的管辖权不限制(也不应被认为限制)委托方向其他相应的司
         法机关起诉代理商的权力。在相关法律允许的前提下,委托方在向一个或多个司
         法机关起诉代理方的同时,可以向其他任何一个司法机关提出诉讼。

21.      MISCELLANEOUS

         其他事项

      21.1   This Agreement and any document it refers to constitute the entire agreement, and
             supersede any previous agreement entered into between the Parties relating to the
             subject matter of this Agreement.

         本合同和合同涉及的所有文件构成整个合同;本合同生效时,合同双方之前达成
         的所有与合同相关的事宜将作废。

      21.2   A variation of this Agreement is valid only if it is in writing and signed by or on
             behalf of each Party.

         对合同的更改只有以书面形式并由双方或双方代表签字后才有效。

21.3  The failure to exercise or a delay in exercising a right or remedy provided by this
Agreement or by the law does not constitute a waiver of the right or remedy or a waiver of other

rights or remedies. No single or partial exercise of a right or remedy under this Agreement shall
prevent any further exercise of the right or remedy or the exercise of any other right or remedy.

         没有或延迟行使本协议或相关法律规定的某项权力,不视为放弃此项权力或其它
         权力。行使本合同规定下的任何单项权利或某单项权力的任何部分,都不妨碍进
         一步行使其他权力。

      21.4    If any provision of this Agreement is held by any court or other competent authority
              to be void or unenforceable in whole or in part, this Agreement shall continue to be
              valid as to the other provisions thereof and the remainder of the affected provision.

         如果任何法庭或相关权威认为本合同某项或几项规定无效或某部分无效,本合同
         其他规定和某规定的其他部分仍然有效。

22.      SCHEDULES

         The following Schedules constitute an integral part of this Agreement and all references
         to this Agreement shall encompass such Schedules:
