NOW COMES Plaintiff CENTER CAPITAL CORPORAnON ("Center Capital"), and



or its Motion for an Order Modifying the Automatic Stay or, in the alternative, an Order



irecting the Debtor to Provide Adequate Protection and Directing the Debtor to Tum Over



quipment; (hereinafter, the "Motion"), states as follows:



JURISDICTION & VENUE



1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. §§ 151 and 157.



2. Venue is appropriate in this Court pursuant to 28 U.S.C. § 1409.



BACKGROUND



3. Center Capital's predecessor-in-interest, Banc of America Leasing & Capital,



L.L.C. and Gulfstream Crane, L.L.C., a Florida limited liability company ("Gulfstream") entered



into a Master Loan and Security Agreement No. 16451-70000 (the "Master Agreement") dated



December 22, 2006. A true and correct copy of the Master Agreement is attached hereto as



Exhibit A.

4. Pursuant to the Master Agreement, Gulfstream executed Equipment Security Note



No. 70006 ("Note 70006") dated January 9,2008; Equipment Security Note No. 70007 ("Note



170007") dated January 9, 2008; and Equipment Security Note No. 70008 ("Note 70008") dated



anuary 9,2008 (sometimes collectively referred to hereinafter as "the Notes" and together with



he Master Agreement, the "Loan Agreement"). True and correct copies of the Notes, including



he Acceptance Notices evidencing the delivery and acceptance by Debtor of the Equipment, are



ttached hereto collectively as Exhibit B



5. The Notes relate to the Master Agreement and represent Center Capital's



mancing of the following property:



• One Linden-Comansa Model 550 18T Tower Crane on fixing angles,

serial number 14.413, with all standard and accessory equipment (per Note

70006);



• Two Linden-Comansa Tower Cranes (per Note 70007), which include one

Model 210 Tower Crane on fixing angles, serial number 14.422 and one

Model 21LC400 18T Tower Crane on fixing angles, serial number 14.423

and with all standard and accessory equipment for both cranes;



• One Linden-Comansa Model 290 Tower Crane on fixing angles; serial

number 14.426, with all standard and accessory equipment (per Note

70008).



(together, the above-described property may be referred to collectively herein as the



"Equipment" or the "Cranes").



6. Pursuant to the Master Agreement, Debtor granted Center Capital security



interest(s) in the Cranes; Center Capital has duly perfected that security interest, as is evidenced



by Center Capital's DCC Financing Statements, true and correct copies of which are attached



hereto collectively as Exhibit C.



I 7. On February 5, 2008, Banc of America Leasing and Capital, L.L.C. assigned its



Ientire interest in the Master Agreement and the Notes to Center Capital pursuant to paragraph 12

of the Master Agreement. True and correct copies of the Assignment and Specification of



Assigned Contract evidencing the assignment of the Agreement by Banc of America Leasing and



Capital, L.L.C. to Center Capital are attached hereto as Exhibit D.



8. On February 5, 2008 Debtor, Banc of America Leasing and Capital, L.L.C. and



Center Capital executed a Notice and Acknowledgment of Assignment, a true and correct copy



of which is attached hereto as Exhibit E.



9. At all times relevant herein, Center Capital duly and fully performed its



obligations under the Master Agreement and the Notes.



GULSTREAM'S DEFAULTS



10. Pursuant to the terms ofthe Note 70006, Gulfstream promised to pay Center



Capital fifty-nine (59) consecutive monthly payments each in the amount of $9,104.71 and one



(1) final payment in the amount of$147,854.71. See, Exhibit B.



11. Pursuant to the terms of the Note 70007, Gulfstream promised to pay Center



Capital fifty-nine (59) consecutive monthly payments each in the amount of $17,389.17 and one



(1) final payment in the amount of$282,389.17. See, Exhibit B.



12. Pursuant to the terms of the Note 70008, Defendant Gulfstream promised to pay



Center Capital fifty-nine (59) consecutive monthly payments each in the amount of $7,710.29



and one (1) final payment in the amount of$125,210.29. See, Exhibit B.



13. Gulfstream has defaulted under the terms and conditions of the Master Agreement



pursuant to paragraph 10(1) thereof and each of Notes 70006, 70007 and 70008 by, inter alia,



failing to make the payments due on March 5, 2009 and all payments due thereafter.



14. Center Capital is therefore entitled to immediate possession of the Cranes in



accordance with paragraph II(a)(2) of the Master Agreement; and, separately, pursuant to

Article 9 of the Uniform Commercial Code.



15. Debtor has also failed and refused to surrender possession of the Cranes to Center



Capital following its defaults up to, and beyond the Petition Date. Center Capital has continually



asserted Debtor's detention of the Cranes was wrongful and sought a writ of replevin and money



damages from the United States District Court for the Southern District of Florida, case number



09-CV-61021 which was filed on or around July 10, 2009 ("Center Capital's Action"). 1





16. Center Capital also accelerated all amounts due from Gulfstream under the Master



Agreement and the Notes pursuant to paragraph II(a)(I) of the Master Agreement and page one



(1) of each of the Notes.



17. The amounts Debtor owed Center Capital as of the Petition Date under Note



70008 (or Schedule 004) was $466,072.41. The amount Debtor owed Center Capital on the

The amount due and owing Center Capital on that same date (June 30, 2009) under Note 70007 was

$1,006,940.57, plus continuing interest, attorney fees and costs consisting of: two (2) payments of

principal and interest in the amount of$34,778.34; remaining principal of $946,302.27 subsequent to the

date of acceleration of April 27, 2009; late charges pursuant to paragraph 2 of the Master Agreement in

the amount of$5,216.76; interest at the rate of 12% per annum pursuant to paragraph 11(a)(8)(a) of the

Master Agreement from the date of acceleration until the date ofjudgment, resulting in a per diem of

$322.55; plus attorney fees and costs pursuant to paragraph 11(a)(6) of the of the Master Agreement.



The amount due and owing Center Capital on that same date (June 30, 2009) under Note 70008 was

$443,118.63, plus continuing interest, attorney fees and costs consisting of: two (2) payments of principal

and interest in the amount of$15,420.58; remaining principal of$415,541.81 subsequent to the date of

acceleration of April 27, 2009 late charges pursuant to paragraph 2 of the Master Agreement in the

amount of$3,084.08; interest at the rate of 12% per annum pursuant to paragraph 11(a)(8)(a) of the

Master Agreement from the date of acceleration until the date ofjudgment, resulting in a per diem of

$141.69; plus continuing interest, attorney fees and costs pursuant to paragraph 1I(a)(6) of the Master

Agreement.

Petition Date under Note 70006 (or Schedule 002) was $549,458.81. The amount Debtor owed



Center Capital on the Petition Date under Note 70007 (or Schedule 000) was $1,059,193.60.



Thus, the aggregate amount Debtor owed Center Capital on the Petition Date under the Master



Agreement and Notes was $2,074,712.80.



18. Furthermore, during the course of Center Capital's Action, it was disclosed that



Debtor caused the Cranes to be moved to Nevada, Texas and Georgia as the Cranes were "on



lease to third parties." See, the Declaration of James Robertson Pursuant to 28 U.S.C. § 1746,



filed in Center Capital's Action (the "Robertson Declaration"). A true and correct copy of said



Declaration is attached hereto as Exhibit F.



19. The leasing of the Cranes to third parties is an event of default under the Master



Agreement, which provides at paragraph 1 that:



"Notwithstanding the grant of a security interest in any Collateral

(including the Cranes), Borrower shall have no right to sell, lease, dispose

or surrender possession, use or operation of any Equipment to any third

parties without the prior written consent of Lender."



Similarly, paragraph 9 of the Master Agreement provides:



"Borrower shall be the sole owner of Equipment [which term includes the

Cranes], free and clear of all liens or encumbrances, other than Lender's

rights under the Equipment Note."



Paragraph 12 of the Master Agreement also provides:



"Borrower shall not sell, assign, pledge, hypothecate or in any way

dispose of any of its rights or obligation under any Equipment Note, or

enter into any lease of any Equipment [which term includes the Cranes),

without Lender's prior written consent."



20. Center Capital did not consent to Debtor's sale, lease, disposition or surrender of



the possession, use or operation of any of the Cranes. The delivery of the Cranes to third parties



to areas remote from Debtor's principal place of business without Center Capital's prior written

consent was a clear breach of the covenants in paragraphs 1, 9 and 12 of the Master Lease.





21. The Affidavit of Center Capital's Vice President, John F. Napierkowski pursuant



to this Court's "Guidelines for Relief from the Automatic Stay," is attached hereto as Exhibit G.



Mr. Napierkowski's Affidavit was prepared for, and exhibited to, Center Capital's recent Motion



for an Order Modifying the Automatic Stay or, in the alternative, an Order Directing the Debtor



to Provide Adequate Protection and Directing the Debtor to Tum Over Equipment filed in



another Chapter 11 bankruptcy proceeding before this Court, In re Fontainebleau Las Vegas



Holdings, LLC, case number 09-21481 (the "Fontainebleau Modify Stay Motion"). The



Fontainebleau Modify Stay Motion sought the relief from the automatic stay imposed under



Section 362 of the Bankruptcy Code as to one ofthe Cranes, believed to be the Crane under Note



70006, now located in Las Vegas Nevada. See, Exhibit G.





MOTION FOR RELIEF FROM THE AUTOMATIC STAY





22. On December 8, 2009 the Debtor petitioned this Court for relief pursuant to



Chapter 11 of the Bankruptcy Code, 11 U.S.C. § 101, et seq. (the "Petition Date").



23. The Automatic Stay provisions contained in §362(a) of the Bankruptcy Code



restrain Center Capital from exercising rights and remedies against certain property of the



Debtor's estate.



24. Section 362(d)(2) of the Bankruptcy Code provides, pertinent part, that:



" ... (d) On request of a party in interest and after notice and a hearing, the

court shall grant relief from the stay provided under subsection (a) of this

section, such as by terminating, annulling, modifying or condition such

stay-



(2) with respect to a stay of an act against property under

subsection (a) of this section, if-

(A) the debtor does not have an equity in such property;



and



(B) such property is not necessary for an effective

reorganization."



25. At the outset of Center Capital's Action, the estimated values for the Crane



under Note 70006 was $500,000.00, the estimated value for the two Cranes under Note



70007 together was $850,000.00 and the estimated value of Crane under Note 7008 was



$425,000.00.





26. The Debtor has no equity in the Cranes. Assuming for purposes of



argument that Center Capital were to realize the estimated values of the Cranes above



after recovery, the deficiency balances on the notes would be $49,458.81 (under Note



70006), $209,193.60 (under Note 70007) and $41,072.41 (under Note 70008) before the



addition of Center Capital's prepetition attorney's fees. Furthermore, the values of the



Cranes have decreased over the past year due to general market conditions and the wear



and tear caused by Debtor's, or its customer's, operation and use thereof. Debtor has



failed to pay for the Cranes since well before the commencement of the Center Capital



Action.



27. Debtor has not shown, nor offered to show, that the Cranes are necessary



for an effective reorganization. The Debtor reports that it utilizes 300 pieces of



equipment for its crane, hoist and rigging operations; but has faced a severe drop-off in



business due to the ongoing deep slump in the construction business. As noted, one of



the Cranes is in possession of another Chapter 11 Debtor before this Court, Fontainebleau



Las Vegas Holdings, LLC. That Crane, at least, is surely a burden to the Debtor's estate

as it generates no income for the estate. In the face of the Fontainebleau Stay Motion,



that debtor reported to Center Capital, Debtor and this Court that it no longer wishes to



pay for the Crane now in its possession. Only the Automatic Stay imposed by this case



on the day of the Fontainebleau Stay Motion hearing prevented an agreed stay relief order



from being entered.



28. Additionally, the Master Agreement requires that Gu1fstream keep the



Cranes insured against all risks ofloss. See, paragraph 6 ofthe Master Agreement,



Exhibit A. Center Capital has been provided with no evidence that Gu1fstream or Debtor



is maintaining appropriate insurance on the Equipment.



29. Accordingly, this Court should grant Center Capital relief from the automatic stay



to allow Center Capital to continue its effort recover the Cranes; and, further, the Court should



waive Rule 4001 (a)(3) so that Center Capital may immediately implement this Court's Order.



MOTION FOR ADEQUATE PROTECTION

AND ORDER FOR TURNOVER OF PROPERTY



30. Should this Court not grant Center Capital's request for relief from the Automatic



Stay, Center Capital respectfully requests that this Court direct Debtor to make immediate



periodic cash payments for the continued possession and use of the Cranes.



31. Debtor's business is supplying equipment such as the Cranes to third parties. See,



Debtor's Chapter 11 Case Management Summary (docket no. 12) and the Robertson Declaration,



Exhibit F. The proceeds generated by the admitted use of the Cranes are also Center Capital's



collateral. See, Master Agreement, ,-r 1(v), Exhibit A. Debtor appears to be using cash proceeds



from its nonconsensua1 subleasing of Cranes to finance its general post-petition operations. Such



use and diminishment of the Cranes by Debtor at Center Capital's expense is not appropriate.



Nevertheless, Debtor has failed to even offer to make payments under the Master Agreement and

Notes, or otherwise, to Center Capital.



32. Debtor's failure to make periodic cash payments to Center Capital under Section



361 (1) of the Bankruptcy Code has and will result in the Cranes depreciating in value faster than



payments are being received by Center Capital (of which at this time, there are none); and, as



such, the Cranes is not being adequately protected.



33. This Court has flexibility in fixing adequate protection in order to protect a



creditor from depreciation of the value of its leased equipment or collateral during the pendency



of the Automatic Stay. Accordingly, if the Court elects to allow Debtor to retain possession of



the Cranes then this Court, pursuant to Section 363(e) of the Bankruptcy Code, should condition



the use of the Cranes on Debtor's provision to Center Capital of adequate protection, as well as



an order allowing Center Capital to recover its Cranes without the need to file further pleadings



or motions with this Court in the event Debtor fails to make the required adequate protection



payments.



34. In the event that the Debtor does not make any of the required adequate protection



payments, Center Capital requests that this Court issue an order, pursuant to Section 105 of the



Bankruptcy Code, requiring Debtor to promptly tum over the Equipment to Center Capital.

WHEREFORE, CENTER CAPITAL respectfully requests this Court enter an order as

follows:



A. ModifY the restraining provisions of Section 362 by lifting the automatic stay to

allow Center Capital to pursue its state court remedies for recovery of the Cranes,

and/or;



B. Order Debtor to provide adequate protection to Center Capital including the

prompt cure of all post-petition arrears of the Master Agreement and Notes and

issue an order allowing Center Capital to recover such property without the need

to file further pleadings or motions with this Court in the event Debtor fails to

make the required payments, and/or;



C. For such other and further relief as this Court deems just and proper.

BEFORE ME, the undersigned authority, personally appeared .this day John F.



Napierkowski, known and personally identified by me to be said individual, who being by



me duly sworn, deposed and stated upon his oath the following:



1. I, John F. Napierkowski, am over the age of eighteen (18) years and am not



under or subject to any court-imposed disability, guardianship or disability. I am fully



competent to make this Affidavit. I am a Vice President at Center Capital Corporation



("CCC"), a Connecticut Corporation, which is suing Gulfstream Crane, LLC



("Gulfstream") in the United States District Court for the Southern District of Florida, case



number 09-cv-61029 (the "Lawsuit"). In my capacity as Vice President, I am in charge of



supervising and handling all aspects of the contracts between CCC and Gulfstream that are



the subject of the Lawsuit.



2. I am competent to testify as to matters set forth in this affidavit based upon



my personal knowledge of such matters and if called to testify in this action, I would testify



that all statements set forth in this affidavit are true and correct.

3. I have access to all of CCC's files and records concerning CCC and



Gulfstream and have personal knowledge of the contents therein. In preparation of this



affidavit, I have reviewed all of CCC's business records as they relate to all transactions



concerning the contracts which are the subject matter of the Lawsuit and CCCs Motion for



an Order Modifying the Automatic Stay OI, in the Alternative, and Order Directing the



Debtor to Provide Adequate Protection and Directing Debtor to Turn Over Equipment (the



"Motionl!) which this Affidavit supports.



4. I have either personal knowledge of all events recorded within the records of



CCC regarding Gulfstream, or I am qualified and authorized to testify about the methods



and processes used by CCC to collect and record the information and data contained within



CCC's files regarding all of the facts and events set forth in the Motion and the Lawsuit.



5. The information and data recorded .by, and the records and documents



collected in CCC's files which are the subject of the Lawsuit and the Motion are derived,



recorded and collected as part of the regular practice of CCC's business, are made in the



course of CCC's regularly~conducted business activities, and are rendered at or near the



time of their occurrence or are compiled by its employees at or near the time of transmission



of that information by an employee who has personal knowledge of the transmitted fact.



6. The nature of the Gulfstream defaults under its contracts with CCC asserted



by the Motion and the Lawsuit, are true and correct.



7. The amounts of the indebtedness of Gulfstream to CCC asserted in the



Motion at paragraph 10 and its footnote 1, are true and correct.



8. All CCC documents attached to the Motion are true and accurate copies of



the original documents.
