                      LICENSE AGREEMENT FOR USE OF BUILDING CONFERENCE ROOM

        This License Agreement is by and between M & J Wilkow, Ltd., as agent for NCT Louisville, LLC (M&J
Wilkow, Ltd. and NCT Louisville, LLC are herein collectively referred to as the “Licensor”), and the Licensee as
designated by their signature below, for the use of the area located on the 19 th floor, known as the Building
Conference Room (“Conference Room”).

  *Long distance charges will be billed at $.25 per minute within the continental United States and may be separately
   charged from the conference fee. International calls may be charged at higher rates.

  If caterer requires access to the loading dock, please ask them to contact the management office directly in advance

CLEAN-UP/SET-UP FEE FOR USE OF THE CONFERENCE ROOM:
Clean-up/set-up fee for use of the room up to and including 4 hours shall be $100.00 and $150.00 for over 4
hours. Morning, half-day rentals must conclude prior to 1:00 p.m. or the rate will be at the full day rate (over 4
hours) of $150.00. Billing shall occur separately along with rent statements.

SECURITY DEPOSIT FOR USE OF THE CONFERENCE ROOM:
Upon the execution of this License, Licensee shall deposit with Licensor $_______________ as a Security
Deposit. The Security Deposit is made by Licensee to secure the faithful performance of all the terms, covenants
and conditions of this License on the part of Licensee. If Licensee shall fail to perform with respect to any
provision hereof, Licensor may use, apply or retain all or any portion of the Security Deposit to cure such failure or
to compensate Licensor for any loss or damage, which Licensor may suffer as a result thereof. Within three (3)
business days after the completion of Licensee’s use of the Conference Room, the Security Deposit, or such part
as has not been applied to cure a failure, shall be returned to Licensee.

SERVICES TO BE PERFORMED BY LICENSOR:
Licensor will set-up, break down, and provide equipment as requested, and based on availability, for your event
and/or use. Trash will be emptied and a full clean-up performed following your use.

DAMAGE AND REMOVAL OF PERSONAL ITEMS:
Licensee shall be obligated to maintain the Conference Room, both inside and outside, in the same condition
existing prior to use. Licensee shall also be obligated to repair any and all damage to the Conference Room and
shall be obligated to remove any personal items and catering items from the room at the conclusion of the use.
Any items remaining in the suite beyond 12 hours will be removed by Licensor and Licensee will be obligated to
pay an additional $35.00 fee.

CANCELLATION

Cancellations of use of the Conference Room must be made between 8:00 a.m. and 4:00 p.m. at least one
working day prior to the reserved date, otherwise, a 4-hour charge will be due from Licensee.

SOLE RISK OF USE

The use of the Conference Room and the common areas of the Building in general shall be at Licensee’s sole risk
and in this connection: (1) Licensee unconditionally remises, releases and forever discharges the Licensor and its
employees from, and waives all claims for, expenses, losses, damages, injuries and/or liabilities of any nature,
including reasonable attorneys’ fees, resulting from, arising out of or related to the use of the Conference Room,
whether anticipated or unanticipated, or known or unknown; and (2) Licensee unconditionally indemnifies and
holds harmless Licensor and its employees, from all expenses, losses, damages, injuries and/or liabilities of any
nature, including reasonable attorneys’ fees, resulting from, arising out of or related to the use of the Conference
Room, whether anticipated or unanticipated, or known or unknown. The foregoing notwithstanding, Landlord shall
not be released and indemnified for any gross negligence or willful misconduct on the part of Landlord, or
Landlord’s agents and employees.

INSURANCE

Licensee shall be obligated to provide the insurance coverage as described on Exhibit “A” attached hereto relative
to its use of the Conference Room.

MISCELLANEOUS PROVISIONS

Licensee shall not interfere with or disturb the use by the office tenants of the Building. In addition, Licensee shall
not violate the general rules and regulations that apply to the use of the Building, a copy of which are available for
Licensee’s review.

No smoking is allowed in the Conference Room.

Licensee is not permitted or authorized to move or remove furniture, pictures, equipment in the Conference Room
and shall not place nails, tacks, pins, tape or other implements into or on the walls, doors, or wood trim of the
Conference Room or the 19th floor common areas, restrooms, and hallways.

Three directional sign holders are available in the hallway to hold your computer generated 8 ½” x 11” paper
signs. If you would like us to prepare signs for you at no charge, please provide us with what you would like them
to say – no more than 3-4 lines, please.

Licensee has read and agrees to all terms and conditions in this Agreement.
