2. TERMS AND CONDITIONS
Payment in full is due before fundraiser cards will be released. The fundraising organization (the "Fundraiser") will be
responsible for the selling and delivering of the Peel-A-Deal Subway Coupon Cards. No unsold cards will be accepted back by
Subway. The Fundraiser may not sell the Peel-A-Deal cards inside or outside a Subway restaurant or outside the
"approximate selling area", as noted above.
Liability: It is the intention of the parties that the Fundraiser and the participants/members of the Fundraiser’s origination be
considered independent contractors and in no way employees of Subway. Under this agreement the Fundraiser agrees to
indemnify and hold Subway of Alaska harmless from all claims arising out of any activities conducted under this agreement
except for the Subway of Alaska’s responsibilities as to the printing and compilation of the coupon cards.
Subway shall have the right to grant any other organization the privilege to conduct Peel-A-Deal Subway Coupon Card
sales. However, we will not grant more then 500 cards per month.
Entire Agreement: This agreement constitutes the entire agreement between the parties with respect to the subject matter
and supersedes all other agreements, understandings, statements or representation, either oral or in writing. In the event any
of the provisions of this agreement are for any reason held to be invalid, illegal or unenforceable in any respect, such lack of
validity, illegality or unenforceability shall not affect any other provisions and this agreement shall be constructed as if such
provision had never been contained herein. Should it become necessary to enforce the terms of this agreement through a
court of law the Fundraiser agrees to pay reasonable attorney fees and court cost. This Agreement is subject to acceptance
by SUBWAY OF ALASKA.
