This document proposes the terms to design or modify a website. If the client agrees to the proposal, it creates a binding contract between both parties. This document contains optional language that can be used to either design a website from scratch or modify a current website. Website Design Proposal THIS AGREEMENT to design or modify a website (the “Agreement”), made this ____ day of _____________, 201__, is entered into by and between ____________________________, [Provide name of person or business that wants a website] with his/her/its principal place of business at ____________________ (hereinafter, the “Client”), and _____________________ [Provide name of person who will be designing the website] (hereinafter, the “Designer”), an individual or business located at __________________________ [Address of Designer]. WHEREAS the Client requires the services of the Designer in respect to a website that currently exists, or, that Client wishes Designer to create; NOW THEREFORE, in consideration of the mutual covenants and agreements herein contained, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties covenant and agree as follows: 1. [ ] Designer will create a new website, in lines with the requirements set out in the attached Schedule A, below. or [ ] Designer will modify Client's existing website, in lines with the requirements set out in the attached Schedule A, below. The work will be completed by the date of _________________, 201____ (hereinafter, the “Completion Date”), subject to the conditions in paragraph # 4, below. 4. Upon the completion of the website design/modification, Client will have _______ ( ) days to evaluate the website, to ensure that it is functioning properly. Designer agrees to cure all “bugs” and non-functioning aspects of his/her/its work for no additional charge, and these fixes will be performed within _______ additional days after receiving notice of any such defect(s). If, however, any problems are identified after _______ ( ) days [Instruction: Here provide a “deadline” time period, after which the Designer will no longer be responsible], then Designer will not be liable for fixing those defects. Any work done by Designer in this circumstance will be the subject of a separate negotiation and agreement between Client and Designer. 8. In the event of a dispute, both parties agree to submit to the jurisdiction of the courts of _______________. Severability. In the event that any one or more of the provisions contained herein, or the application thereof in any circumstance, is held invalid, illegal or unenforceable in any jurisdiction, the validity, legality and enforceability of any such provision in such jurisdiction in any other respect and of the remaining provisions herein shall not be affected or impaired thereby. 12. Entire Agreement. This Agreement contains the entire understanding of the parties. There are no representations, warranties, promises, covenants or undertakings of any nature whatsoever, except as herein expressly set forth. This Agreement supersedes all prior agreements and understandings between the parties with respect to such subject matter.
