BYLAWS OF THE JEFFERSON COUNTY BAR
ASSOCIATION AUXILIARY
ARTICLE ONE
NAME
The name of this organization shall be known as the
Jefferson County Bar Association Auxiliary.
ARTICLE TWO
PURPOSE
The purpose of the Auxiliary shall be to extend the aims of
the legal profession by promoting an understanding and
appreciation of the American legal system and to promote law-
related education, citizenship awareness and public service
advocacy. Its purpose is exclusively educational and charitable.
ARTICLE THREE
MEMBERSHIP
SECTION 1. Spouses of members in good standing of the
Jefferson County Bar Association.
SECTION 2. Spouses of members in good standing of the State
Bar of Texas residing in Jefferson County, Texas.
SECTION 3. Spouses of any retired or deceased member of any
bar association, if application is made to and approved by
the Executive Board.
SECTION 4. Honorary membership may be extended at the
discretion of the Executive Board to former members, no
longer qualifying for membership, who have exemplified
distinguished service to the Auxiliary. After board

approval, honorary designation shall be approved by the
general membership. An honorary member shall have all
membership privileges with the exception of voting and
holding an elected office.
ARTICLE FOUR
OFFICERS
The officers of the Auxiliary shall be a President, President-
Elect, First Vice-President, Second Vice-President, Recording
Secretary, Corresponding Secretary, Treasurer, Parliamentarian,
and Historian.
ARTICLE FIVE
ELECTIONS
SECTION 1. A Nominating Committee shall be elected by the
Executive Board. The committee shall be composed of five
members, not more than two of whom shall be members of
the Executive Board, plus the President-Elect. The
members shall be representative of the entire area of
Jefferson County. The Immediate Past President shall be a
member ex-officio of the Nominating Committee and shall
serve as Chairman, but shall not have a vote.
SECTION 2. It shall be the duty of the committee to nominate
one member for each elected office and to present such
nominees at the meeting in May. Other nominations may
be made from the floor. Before a member’s name is placed
in nomination, each nominee for office shall have
consented to serve if elected. The President-Elect for the
following year must have previously served on and been an
active member of the JCBAA board at least one year prior
to becoming President-Elect.

SECTION 3. Election of officers shall be held at the regular
business meeting in May.
SECTION 4. Election shall be by secret ballot if there should be
more than one nominee for an office, otherwise by
acclamation.
SECTION 5. The term of office shall be for one year. Only the
Treasurer, at the option of the Nominating Committee,
may be asked to serve a second term in that office.
SECTION 6. Vacancies in office shall be filled by the Executive
Board.
ARTICLE SIX
DUTIES OF OFFICERS
SECTION 1. The President shall preside at the regular and
Executive Board meetings and shall be a member ex-officio
of all committees except the Nominating Committee. The
President or President’s designee shall serve as the Affiliate
Director to the Texas Lawyers Auxiliary.
SECTION 2. In the absence of the President the duties of that
office shall be performed by the President-Elect, followed
by the Vice-Presidents in order.
SECTION 3. The First Vice-President shall serve as Chairman of
the Program Committee.
SECTION 4. The Second Vice-President shall serve as Chairman
of the Membership Committee.
SECTION 5. It shall be the duty of the Recording Secretary to
keep the minutes of the Executive Board meetings and the
Auxiliary’s regular business meetings.

SECTION 6. It shall be the duty of the Corresponding Secretary to
conduct the correspondence as directed by the President.
The Corresponding Secretary shall keep the postal permit
and be responsible for all mailings.
SECTION 7. The Treasurer shall collect, and under the direction
of the Executive Board, shall disburse all funds of the
Auxiliary. All checks issued by the Treasurer shall be
countersigned by the President. The Treasurer shall submit
a report at each stated business meeting of the Auxiliary.
At the annual meeting in May the Treasurer shall render a
full report of the receipts and disbursements of the past
year. The Treasurer shall maintain a current roster of
members.
SECTION 8. The Historian shall keep a history of the Auxiliary.
SECTION 9. The Parliamentarian shall be the immediate Past-
President and shall render opinions on questions of
parliamentary procedure when requested to do so.
SECTION 10. Each officer shall assume the duties of the office at
the May meeting and shall turn over all records, books,
funds, etc., to the duly elected successor within fifteen days,
as well as an annual report for the record.
ARTICLE SEVEN
THE EXECUTIVE BOARD
SECTION 1. The Executive Board shall be composed of officers
and chairmen of the committees.
SECTION 2. The Executive Board shall meet upon the call of the
President or any five members of the Executive Board.
SECTION 3. The President shall appoint all standing committees
except the Nominating Committee. Each committee shall

have members from representative areas of the County of
Jefferson. Additional committees may be created by the
Executive Board as the need arises.
SECTION 4. The following committees shall be standing
committees:

SECTION 5. The Executive Board may act on two-thirds vote of
those members present and voting.
ARTICLE EIGHT
MEETINGS
There shall be at least three general meetings of the
Auxiliary held during a fiscal year. Additional meetings may be
held at the discretion of the Executive Board.

ARTICLE NINE
DUES
SECTION 1. Dues, in an amount fixed by the Executive Board,
plus $5.00 per member each year for the Texas Lawyers
Auxiliary, are payable to he Treasurer in May of each year.
SECTION 2. New members shall pay an Initiation Fee fixed by the
Executive Board in addition to the regular dues.
ARTICLE TEN
FISCAL YEAR
The fiscal year shall run from June 1st to May 31st.
ARTICLE ELEVEN
SCHOLARSHIP & MEMORIAL FUND
SECTION 1. The Scholarship Committee shall be composed of
five members: the chairman, the chairman from the
preceding year, treasurer or treasurer-elect, and two
members that have shown an interest in serving, selected by
the chairman.
SECTION 2. Applicant must be proposed by a current Bar
Auxiliary member in good standing, and must complete an
application requesting the scholarship from the Jefferson
County Bar Association Auxiliary Fund.
SECTION 3. Applicant must be a graduate of a high school,
college and/or university and be planning to APPLY,
ENROLL, AND ATTEND an accredited law school or law
related facility.

SECTION 4. Applicant must show proof of acceptance to the
selected law school or facility. Funds will be disbursed
directly to the school/ facility financial office. Absolutely
no funds will be given directly to the scholarship recipient.
SECTION 5. Applicant must be nominated by April 1st of each
year and planning to attend Law school/facility in: 1) the
next summer session, 2) Fall (August) semester, or 3)
Spring (January) session of the year following the
scholarship award.
SECTION 6. Should applicant fail to enter law school/facility in
the designated time frame, applicant forfeits the
scholarship and the funds remain in the account and given
at a later .
SECTION 7. The Scholarship Committee will review all
applications between April 1 and May 1 of each year. If a
qualified applicant is selected, the committee will notify the
recipient by May 5th of that year. The scholarship recipient
will be recognized at the May luncheon.
SECTION 8. In the event that no one is proposed for the
scholarship, the funds will remain in the scholarship fund
to generate interest. In the even that there are no
QUALIFIED applicants, the Scholarship Committee shall
recommend to the Executive Board that no scholarship
shall be awarded that year.
SECTION 9. The number of scholarships, and the amount of
each, shall be determined by the Executive Board upon the
recommendation of the Scholarship Committee.

ARTICLE TWELVE
AMENDMENTS
These Bylaws may be amended at any meeting of the
Auxiliary by a two-thirds vote of those present and voting, provided
written notice has been given to the membership not less than
thirty days in advance of the meeting at which the proposed
amendments shall be considered.
ARTICLE THIRTEEN
RULES OF PROCEDURE
Robert’s Rule of Order. Newly Revised, shall govern this
organization where they are applicable and consistent with these
bylaws.
